Defense Insider Threat Management and Analysis Center (DITMAC) Managed Security for Access Control Services/Intrusion Detection System/Monitoring Service for Government-Owned Kastle Security System
Part 1
General Information
1. GENERAL: This is a non-personal services contract to provide access control, intrusion detection system and monitoring services. The Government shall not exercise direct supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government.
1.1 Description of Services/Introduction: The contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and services necessary to perform access control, intrusion detection system and monitoring services as defined in this Performance Work Statement except for those items specified as government furnished property and services. The contractor shall perform to the standards in this contract.
1.2 Background: In December 2014, the DSS was appointed by the Secretary of Defense to incubate the DITMAC program. The mission of the DITMAC is to enable information sharing, collaboration, analysis, and risk mitigation across the DoD Components to address current and emerging threats to DoD personnel, assets, and information by insiders. It fills a critical gap within the Department by empowering and entrusting a single senior Defense official with the task of working with all DoD Component insider threat programs to promote best practices, drive innovation, promulgate a fundamental set of standards, and provide resource and policy advocacy to senior decision makers, and through an enterprise-level analytic function, close seams between Components that are potentially exploitable by insiders.
The National Insider Threat Policy and Minimum Standards for Executive Branch Insider Threat Programs require agency heads to establish an integrated capability to monitor and audit information for insider threat detection and mitigation that leverages counterintelligence, security, cybersecurity, human resources, law enforcement, and other relevant functions and resources to identify and counter the insider threat. Under the recommended way ahead, the DITMAC will provide an enterprise-level capability for insider threat information management with the ability to:
Assess risk Refer recommendations for action Synchronize responses Oversee resolution of identified issues
1.3 Objectives: The services shall operate, monitor, maintain, upgrade and provide supplies to perform the following services:
Access Control services.
Intrusion Detection services Monitoring Services System Access
1.4 Scope: Provide managed security services that includes operations, maintenance and upgrades for government-owned Kastle security equipment. Contractor shall also provide all equipment and technical support to perform these tasks as well as provide technical support.
1.5 Period of Performance: The period of performance shall be for one (1) Base Year of 12 months and four (4) 12-month option years. The Period of Performance reads as follows:

1.6 General Information
1.6.1 Quality Control: The contractor shall develop and maintain an effective quality control program to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor’s quality control program is the means by which he assures himself that his work complies with the requirement of the contract. The Quality Control Plan (QCP shall be delivered in electronic format to the Contracting Officer’s Representative (COR), within 30 days after contract award a comprehensive written QCP shall be submitted to the CO and COR within 5 working days when changes are made thereafter. After acceptance of the quality control plan the contractor shall receive the Contracting Officer’s acceptance in writing of any proposed change to his QC system.
1.6.2 Quality Assurance: The government shall evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan. This plan is primarily focused on what the Government must do to ensure that the contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).
1.6.3. On-Site Working Conditions, Holidays and other Closures:
(a) DSS facilities are smoking restricted workplaces. Due to the nature of the work, facilities, and requirements, contractor staff may only smoke outside in designated smoking areas.
(b) The government expects the contractor will establish normal operating hours under this contract between 8:00 a.m. to 4:30 p.m. EST Monday through Friday. The contractor’s Program Manager (PM) and the governments contracting officer’s representative (COR) shall consult and coordinate on any proposed alternate work schedules that may be arranged depending on the operational tempo/needs of the mission.
(c) Government personnel observe the following days as holidays and the Government facilities will be closed and unavailable to contractor personnel on the following days:

*If the date falls on a Saturday, the Government holiday is the preceding Friday. If the date falls on a Sunday, the Government holiday is the following Monday.
(d) In addition to the days designated as holidays, the Government observes the following days:
• Any other day designated by Federal Statute
• Any other day designated by Executive Order
• Presidential Inauguration Day
• Any other day designated by the President’s Proclamation *Government personnel in the Washington, DC, area are entitled to a holiday on the day a President is inaugurated (January 20 following a Presidential election). Government personnel are entitled to this holiday if they are employed in-
The District of Columbia;
Montgomery and Prince Georges Counties in Maryland;
Arlington and Fairfax Counties in Virginia; and The cities of Alexandria and Falls Church in Virginia.
When Inauguration Day is moved to January 21st because January 20th falls on Sunday, Government personnel in the Washington, DC, area who would otherwise work on Monday, January 21st, are entitled to a holiday on that day.
(e) It is understood and agreed between the Government and the Contractor that observance of such days by Government personnel shall not otherwise be a reason for an additional period of performance, or entitlement of compensation except as set forth within the contract. In the event the Contractor's personnel work during the holiday, they may be reimbursed by the Contractor, however, no form of holiday or other premium compensation will be reimbursed either as a direct or indirect cost, other than their normal compensation for the time worked.
(f) When the Federal, State, Local or other Governmental entity grants excused absence to its employees, assigned Contractor personnel may also be dismissed. The Contractor agrees to continue to provide sufficient personnel to perform critical tasks already in operation or scheduled, and must be guided by the instructions issued by the Contracting Officer (CO) or Contracting Officer’s Representative (COR).
(g) If Government personnel are unavailable due to furlough or any other reason, the Contractor must contact the CO or the COR to receive direction. It is the Government's decision as to whether the contract price/cost will be affected. Generally, the following situations apply:
(1) Contractor personnel who are able to continue contract performance (either on-site or at a site other than their normal workstation), must continue to work and the contract price shall not be reduced or increased.
(2) Contractor personnel who are not able to continue contract performance (e.g., support functions) may be asked to cease their work effort. This may result in a reduction to the contract.
(h) It is understood and agreed between the Government and the Contractor that in the event contractor personnel wish to attend DSS social events, such as the annual picnic, holiday parties, etc., they must co- ordinate their work schedules with the COR and obtain approval of their company’s supervisor prior to the event. The Government is not responsible for reimbursing any expenses to the contractor for attending any DSS social event.
1.6.4 Hours of Operation: The contractor is responsible for providing security non-stop, 24 hours per day, 7 days per week. The Contractor must at all times maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS. Contractor services for maintenance and repairs will be performed during core hours, 7:00am to 5:00pm, Eastern Time, Monday through Friday.
1.6.5 Place of Performance: The work to be performed under this contract will be performed at the Contractor’s site and 1550 Crystal Drive, Arlington, VA 22202.
1.6.6 Type of Contract: The government will award a Firm-Fixed Price Contract.
1.6.7 Security Requirements: Security Requirements: Contractor personnel performing work under this contract shall be eligible to hold a U.S. Secret clearance at time of the proposal submission, and must maintain that status in the event a U.S. Secret clearance is required to be obtained.
1.6.7.1 Physical Security: Physical Security: The contractor shall be responsible for safeguarding all government equipment, information and property provided for contractor use. At the close of each work period, government facilities, equipment, and materials shall be secured. Additionally, the Intrusion Detection System (IDS) shall be tested and in compliance with the UL2050 requirements and maintained as such.
1.6.8 Post Award Conference/Periodic Progress Meetings: The Contractor agrees to attend any post award conference convened by the contracting activity or contract administration office in accordance with Federal Acquisition Regulation Subpart 42.5. The Contracting Officer, COR, and other Government personnel, as appropriate, may meet periodically with the contractor to review the contractor's performance. At these meetings the Contracting Officer will apprise the Contractor of how the Government views the Contractor's performance and the Contractor will apprise the Government of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues. These meetings shall be at no additional cost to the government.
1.6.9 Contracting Officer Representative (COR): The (COR) will be identified by separate letter. The COR monitors all technical aspects of the contract and assists in contract administration The COR is authorized to perform the following functions: assure that the Contractor performs the technical requirements of the contract: perform inspections necessary in connection with contract performance: maintain written and oral communications with the Contractor concerning technical aspects of the contract: issue written interpretations of technical requirements, including Government drawings, designs, specifications: monitor Contractor's performance and notifies both the Contracting Officer and Contractor of any deficiencies; coordinate availability of government furnished property, and provide site entry of Contractor personnel. A letter of designation issued to the COR, a copy of which is sent to the Contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the resulting order.
1.6.10 Non-Disclosure Agreements: The Contractor shall not publish or disclose in any manner, without the Contracting Officer’s written consent, the details of any safeguards either designed or developed by the Contractor under this contract or otherwise provided by the Government. To the extent required to carry out a program of inspection to safeguard against threats and hazards to the security, integrity, and confidentiality of Government data, the Contractor shall afford the Government access to the Contractor’s facilities, installations, technical capabilities, operations, documentation, records, and databases. If either the Government or the Contractor discovers new or unanticipated threats or hazards, or if existing safeguards have ceased to function, the discoverer shall immediately bring the situation to the attention of the other party. Non-disclosure agreement shall be signed by all contractor employees supporting this effort.
1.6.11 Nondisclosure Agreements: In performance of this contract, the Contractor may have access to Controlled Unclassified Information (CUI) and other sensitive, non-public information. The Contractor agrees (a) to use and protect such information from unauthorized disclosure in accordance with DoD Instruction 8582.01, Security of Unclassified DoD Information on Non-DoD Information Systems, June 6, 2012; (b) to use and disclose such information only for the purpose of performing this contract and to not use or disclose such information for any personal or commercial purpose; (c) to obtain permission of the Government PM before disclosing/discussing such information with a third party; (d) to return and/or electronically purge, upon Government request, any non-public, sensitive information no longer required for Contractor performance; and (e) to advise the Government PM of any unauthorized release of such information. The Contractor shall have its employees assigned to this contract execute a non-disclosure agreement for delivery to the Government. The Government will require Contractor personnel to sign a non-disclosure statement to protect non-public information in the possession of the Government.
1.6.11.1 Non-disclosure agreements provided by the COR shall be signed by all Contractor employees performing work supporting the effort and forwarded to the AQ in care of the CO, prior to the commencement of work.
1.6.11.2 Release of Information: The Contractor and its personnel may have access to PII, Classified Information, and other CUI that is not releasable to the general public. The Contractor or its personnel shall not release any information or documents that they are provided during performance of the contract without the express written permission of the CO through coordination with the COR.
1.6.12 Contractor Manpower Reporting: The Contractor shall report ALL Contractor labor hours (including Subcontractor labor hours) required for performance of services provided under this contract for the DSS via a secure data collection site. The Contractor is required to completely fill in all required data fields using the following web address: http://www.ecmra.mil/. Reporting inputs will be for the labor executed during the POP during each Government fiscal year (FY), which runs October 1st through September 30th. While inputs may be reported any time during the FY, all data shall be reported no later than October 31st of each calendar year, beginning with 2017.

1.6.13 Identification of Contractor Employees: All Contractor personnel attending meetings, answering Government telephones, and working in other situations where their Contractor status is not obvious to third parties are required to identify themselves as such to avoid creating an impression in the minds of members of the public that they are Government officials. They must also ensure that all documents or reports produced by Contractors are suitably marked as Contractor products or that Contractor participation is appropriately disclosed.
1.6.14 Organizational Conflict of Interest: Contractor and Subcontractor personnel performing work under this contract may receive, have access to or participate in the development of proprietary or source selection information (e.g., cost or pricing information, budget information or analyses, specifications or work statements, etc.) or perform evaluation services which may create a current or subsequent Organizational Conflict of Interests (OCI) as defined in FAR Subpart 9.5. The Contractor shall notify the CO immediately whenever it becomes aware that such access or participation may result in any actual or potential OCI and shall promptly submit a plan to the CO to avoid or mitigate any such OCI. The Contractor’s mitigation plan will be determined to be acceptable solely at the discretion of the CO and in the event the CO unilaterally determines that any such OCI cannot be satisfactorily avoided or mitigated, the CO may affect other remedies as he or she deems necessary, including prohibiting the Contractor from participation in subsequent contracted requirements which may be affected by the OCI.

2. DEFINITIONS AND ACRONYMS:
2.1. DEFINITIONS:
2.1.1. CONTRACTOR. A supplier or vendor awarded a contract to provide specific supplies or service to the government. The term used in this contract refers to the prime.
2.1.2. CONTRACTING OFFICER. A person with authority to enter into, administer, and or terminate contracts, and make related determinations and findings on behalf of the government. Note: The only individual who can legally bind the government.
2.1.3. CONTRACTING OFFICER'S REPRESENTATIVE (COR). An employee of the U.S. Government appointed by the contracting officer to administer the contract. Such appointment shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor as long as that direction is within the scope of the contract, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract.
2.1.4. DEFECTIVE SERVICE. A service output that does not meet the standard of performance associated with the Performance Work Statement.
2.1.5. DELIVERABLE. Anything that can be physically delivered, but may include non-manufactured things such as meeting minutes or reports.
2.1.6. KEY PERSONNEL. Contractor personnel that are evaluated in a source selection process and that may be required to be used in the performance of a contract by the Key Personnel listed in the PWS. When key personnel are used as an evaluation factor in best value procurement, an offer can be rejected if it does not have a firm commitment from the persons that are listed in the proposal.
2.1.7. PHYSICAL SECURITY. Actions that prevent the loss or damage of Government property.
2.1.8. QUALITY ASSURANCE. The government procedures to verify that services being performed by the Contractor are performed according to acceptable standards.
2.1.9. QUALITY ASSURANCE Surveillance Plan (QASP). An organized written document specifying the surveillance methodology to be used for surveillance of contractor performance.
2.1.10. QUALITY CONTROL. All necessary measures taken by the Contractor to assure that the quality of an end product or service shall meet contract requirements.
2.1.11. SUBCONTRACTOR. One that enters into a contract with a prime contractor. The Government does not have privity of contract with the subcontractor.
2.1.12. WORK DAY. The number of hours per day the Contractor provides services in accordance with the contract.

4. CONTRACTOR FURNISHED ITEMS AND RESPONSIBILITIES:
4.1 General: The Contractor shall furnish all supplies, equipment, facilities and services required to perform work under this contract that are not listed under Section 3 of this PWS.
4.2 Facility Clearance: A Secret Facility Clearance is required for this requirement. If requested, the Contractor’s employees, performing work in support of this contract may be required to obtain a Secret security clearance from the Personnel Security Management Office for Industry (PSMO-I)/DoD Consolidated Adjudications Facility (DoD CAF).
Each Contractor employee may be expected to accomplish sensitive duties and be authorized access to classified information at the Secret level, as defined by DoD 5200.2-R, “Personnel Security Program.” It is incumbent upon the Contractor to ensure that the necessary security paperwork is submitted in sufficient time to enable each individual to be cleared as requested.

(a) Definitions. As used in this clause--
Department of Defense Activity Address Code (DoDAAC) is a six position code that uniquely identifies a unit, activity, or organization.
Document type means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).

Local processing office (LPO) is the office responsible for payment certification when payment certification is done external to the entitlement system.
(b) Electronic invoicing. The WAWF system is the method to electronically process vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(c) WAWF access. To access WAWF, the Contractor shall--
(1) Have a designated electronic business point of contact in the System for Award Management at https://www.acquisition.gov; and
(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this Web site.
(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/.
(e) WAWF methods of document submission. Document submissions may be via Web entry, Electronic Data Interchange, or File Transfer Protocol.
(f) WAWF payment instructions. The Contractor must use the following information when submitting payment requests and receiving reports in WAWF for this contract/order:
