PERFORMANCE WORK STATEMENT
EDUCATIONAL PROGRAM FOR HANSCOM AFB, MASSACHUSETTS
1.0 BACKGROUND AND PURPOSE. The Department of Defense Education Activity (DoDEA), Domestic Dependent Elementary and Secondary Schools (DDESS), requires comprehensive education program services (grades pre-K through 8) for the approximately 550 - 599 enrollment of eligible dependent children of Department of Defense personnel residing on Hanscom AFB, Massachusetts. The student enrollment for the current School Year (SY) 2011/2012 is 538. Enrollment numbers are expected to fluctuate (increase or decrease) with a greater probability to increase over the next two years due to the housing privatization plan and implementation. Pricing/cost for each performance period will be determined based on the annual student enrollment report and predetermined enrollment bands which will be illustrated in the Solicitation/Contract Line Item Numbers (CLINs).
2.0 SCOPE OF WORK. The contractor shall provide all necessary labor, services, administration, transportation, supplies and equipment to present a comprehensive educational program similar to that provided to students in comparable public school districts in the Commonwealth of Massachusetts. The contractor shall provide the required educational program in accordance with the laws of the Commonwealth of Massachusetts as well as applicable United Commonwealths laws and regulations.
The contractor shall be recognized by the Commonwealth of Massachusetts Secretary of Education to operate schools, grades pre-K through 8 in the state. The contractor shall provide for extension/enrichment activities, special education, remedial support, counseling services, intramural and extra-curricular activities consistent with federal and state laws and regulations. The contractor shall ensure that safety and security policies and practices are in place and comply with all federal, state, and DoD policies and practices.
3.0 PERIOD OF PERFORMANCE. Date of award through 30 June 2017 for School Year (SY) 2012- 2013 with the option to extend services for up to four (4) 12-months option periods.
3.1 School Year Calendar. The school calendar shall include a minimum of 180 days of instruction and the calendar shall be consistent for all students served.
3.2 Place of Performance. The contractor shall utilize Government facilities located on Hanscom AFB (currently called Hanscom Primary and Hanscom Middle Schools) for elementary and middle school students.
4.0 TECHNICAL REQUIREMENT: The contractor shall:
4.1 State Recognition. Be recognized by the Commonwealth of Massachusetts Secretary of Education to operate schools, and provide education services for grades pre-K through 8.
4.2 Educational Program. Be capable of providing grades pre-K through 8 educational services that are similar to that provided to students in comparable Massachusetts state public school districts and are consistent with federal law and Commonwealth laws and regulations.
4.3 Safe and Secure Environment. Provide a safe and secure environment for the students and staff that complies with all federal, state, DoD, and local laws and regulations.
5.0 TASKS TO BE PERFORMED: The Contractor shall:
5.1 Participate in Meetings.
5.1.1 Post-Award/Transitional Meetings. Participate in a post-award conference and/or transitional meeting(s) after contract award, as coordinated by the Contracting Officer's Representative
(COR).
5.1.2 Semiannual Meetings. Participate in semiannual meetings scheduled by the COR. It is the Government’s intent that most of these meetings will be conducted telephonically.
5.2 Provide Education Program Services. The contractor shall provide comprehensive educational program services, grades pre-K through grade 8, for eligible DoD dependent children residing on Hanscom AFB.
5.2.1 Pupil-to-Teacher Ratios shall not exceed the averages of 36:1 for Preschool (18:1 in each half-day session); 18:1 for Kindergarten through Grade 3; and 23:1 for Grades 4-8 in accordance with DoDEA guidelines.
5.2.2 Special Education Services shall be provided in accordance with federal and state laws and regulations. This shall include special education programs for eligible Hanscom AFB dependents in all appropriate settings and transportation services for children with disabilities.
5.2.3 Medical Services (Nurses). A minimum of at least one state board certified nurse shall be available for medical services to children during normal school hours.
5.2.4 Curriculum Planning Cycle. All educational programs, curriculum and accompanying textbooks used under this contract shall be periodically reviewed by the contractor to assure compliance with federal and state laws and standards.
5.3 Positive Relationship with Hanscom AFB Education Representative. The Contractor shall establish and maintain a cooperative relationship with the Hanscom AFB officials and education representatives, including the Hanscom Exceptional Family Members Program (EFMP), to ensure community input for the general education program and to assist in a smooth transition for newly arriving families with exceptional family members (special education).
5.4 Provide Student Transportation Services. The contractor shall provide transportation services for students with disabilities as required by their specific needs and in accordance with state and federal laws and regulations. This transportation shall be provided on a “one round trip per child per school day” basis and shall incorporate any variances in scheduling to include, but not limited to, late morning runs for delayed openings, and midday runs for school half days. Service also includes transportation for any extracurricular activities.
5.5 Perform Maintenance of School Facilities. The contractor shall provide day-to-day maintenance of the Hanscom Primary and Middle schools including preventive maintenance of the mechanical systems and facilities.
5.5.1 Routine Maintenance. The contractor shall provide maintenance services, parts, and supplies for all school buildings, associated maintenance support buildings, playgrounds, and buildings provided for the contractor’s use. All maintenance and upkeep of these facilities with a per project total cost of less than $50K (including labor, parts, and material) shall be the responsibility of the contractor.
Bundling of projects to exceed $50K is not allowed. Multi-trade (plumbing, electrical, carpentry, HVAC, etc.) projects must support a single project scope.
5.5.2 Projects over $50K. Projects with a per project cost of more than $50K shall be submitted to DDESS Facilities for verification and approval through and in coordination with the appropriate servicing contracting activity prior to initiation. Projects will be considered based on priority ranking with other agency requirements. Planned out-year projects shall be submitted to the DDESS Facilities Office for inclusion in budget calculations and prioritization.
5.5.3 Emergency Projects over $50K. Emergency projects costing over $50K shall be approved, time permitting, telephonically (prior to obligation of funds) by DDESS Facilities staff through and in coordination with the appropriate servicing contracting activity. Telephonic notification shall be backed up by an email or fax that includes an abbreviated scope, estimated cost, and identification of vendor. In no case shall approval be requested later than 72 hours after the emergency. Projects not approved by DDESS Facilities and the appropriate servicing contracting activity, because they are either deemed non-emergency or the cost should not have exceeded $50K, shall be the responsibility of the contractor. (Emergencies are considered to be a failure, which if allowed to go unchecked, would result in significant damage to the building or contents.)
5.5.4 Preventative Maintenance. The contractor shall provide a comprehensive, preventative maintenance program that shall ensure the facilities are properly maintained. The Preventative Maintenance Program shall establish written procedures implementing a maintenance program ensuring work is performed in accordance with standard commercial practices, manufacturer's recommendations, and applicable federal, state, and local rules and regulations.
5.6. Provide Student Food Service Program. The contractor shall provide and manage a student food service program for eligible DoD dependent children residing on Hanscom AFB which is comparable to that provided in local public schools and complies with federal and state laws and regulations.
5.7. Provide Custodial Service and Grounds Maintenance Services. The contractor shall provide and manage all custodial support and grounds maintenance requirements (trash pick-up, grass-cutting, various landscaping requirements, ice/snow removal, etc.) for school facilities and grounds.
5.8 Provide for Safety and Security of Students, Personnel, and Facilities. The Contractor shall be responsible for technology, safety and security requirements and shall be in compliance with the reluations, directive and instructions below. 5.9 Submit Reports/Notification to the COR. The Contractor shall provide the following reports to the COR each school year:
5.9.1 Enrollment Report. Enrollment information shall include all students, including special education, and out-of-district school students who are paid for by this contract. If the Contractor participates in a program (with the approval of the COR and CO) that permits enrollment of noneligible students on a no-cost to the Government basis, these students shall be reported separately. Enrollment numbers shall be reported by school, by grade and shall include the following additional information:
student name, sponsor name and home address. Enrollment reports will be provided to the local military command for verification of all dependents reported as residing on the installation. The contractor is only entitled to receive payment for dependents who meet the DDESS eligibility requirements as set forth in section 2164 of title 10, United Stated Code, and Department of Defense Instruction 1342.26, “Eligibility Requirements for Minor Dependents to Attend Department of Defense Domestic Dependent Elementary and Secondary Schools,” dated March 4, 1997. The statute and implementing Insturction mandate two specific criteria for eligibility which cannot be waiver: (1) the military sponsor must be on active duty/the Department of Defense employee sponsor must be in a full time status; and (2) the active duty sponsor must be assigned and residing in permanent living quarters on the installation or possess a “90-day” letter from Base Housing indicating they will be receiving quarters; the federal civilian employee sponsor must be assigned and residing in permanent living quarters on the installation.
5.9.2 Profiles Report. Copies of school and district profiles provided to the state on an annual basis.
5.9.3 Massachusetts Comprehensive Assessment System (MCAS) Report. Copies of report by school and district, as mandated by State.
5.9.4 Standardized Testing Reports. Results of student standardized testing (such as CTBS, Iowa Test of Basic Skills, etc) for Hanscom students. This does not require reporting on testing administered individually or to small, specific groups of students; only to those standardized tests given to all students in specific grades or programs in the Hanscom Schools.
5.9.5 Notification of Changes to State Educational Laws and Regulations. The contractor shall provide notification to the COR of any proposed changes to the educational program in accordance with the laws of the Commonwealth of Massachusetts as well as applicable United States laws and regulations.
6.0 PERSONNEL REQUIREMENTS.
6.1 Manager(s). The Contractor shall appoint a Primary and Alternate Manager who shall be responsible for all services performed under this PWS. The COR and the School Officials must be able to contact either the Primary or Alternate Manager at any time, regarding emergencies, severe weather notification, or other similar urgent nonroutine matters. The Primary or Alternate Manager shall be immediately available to go to the scene of an accident or other emergency.
6.2. Criminal History Background Check. The Contractor shall complete a criminal history background check for each applicable proposed employee working under this contract that will have unsupervised contact with students or unescorted access to facilities as required by contract in accordance with federal, state, DoD, and local laws and regulations, and any school district procedures.
7.0 QUALITY CONTROL. Contractor shall develop and maintain a quality control program to ensure educational services at Hanscom AFB, MASSACHUSETTS are performed in accordance with commonly accepted state and federal standards. The contractor shall develop and implement procedures to identify and prevent defective services from recurring. As a minimum, the contractor shall develop quality control procedures that address the areas identified in Table 1. The contractor must provide a specific quality control point of contact in case of customer complaints.
8.0 QUALITY ASSURANCE. The government will periodically evaluate the contractor’s performance in accordance with the Quality Assurance Surveillance Plan to the standards indicated in Table 1.

52.209-7 INFORMATION REGARDING RESPONSIBILITY MATTERS (JAN 2011)
(a) Definitions. As used in this provision--
Administrative proceeding means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.
Federal contracts and grants with total value greater than $10,000,000 means--
(1) The total value of all current, active contracts and grants, including all priced options; and
(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).
Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).
(b) The offeror ( ) has ( ) does not have current active Federal contracts and grants with total value greater than $10,000,000.
(c) If the offeror checked “has” in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:
(1) Whether the offeror, and/or any of its principals, has or has not, within the last five years, in connection with the award to or performance by the offeror of a Federal contract or grant, been the subject of a proceeding, at the Federal or State level that resulted in any of the following dispositions:
(i) In a criminal proceeding, a conviction.
(ii) In a civil proceeding, a finding of fault and liability that results in the payment of a monetary fine, penalty, reimbursement, restitution, or damages of $5,000 or more.
(iii) In an administrative proceeding, a finding of fault and liability that results in--
(A) The payment of a monetary fine or penalty of $5,000 or more; or
(B) The payment of a reimbursement, restitution, or damages in excess of $100,000.

(2) If the offeror has been involved in the last five years in any of the occurrences listed in (c)(1) of this provision, whether the offeror has provided the requested information with regard to each occurrence.
(d) The offeror shall post the information in paragraphs (c)(1)(i) through (c)(1)(iv) of this provision in FAPIIS as required through maintaining an active registration in the Central Contractor Registration database at http://www.ccr.gov (see 52.204-7).

52.209-9 Updates of Publicly Available Information Regarding Responsibility Matters (JAN 2011)
(a) The Contractor shall update the information in the Federal Awardee Performance and Integrity Information System (FAPIIS) on a semi-annual basis, throughout the life of the contract, by posting the required information in the Central Contractor Registration database at http://www.ccr.gov.
(b)(1) The Contractor will receive notification when the Government posts new information to the Contractor's record.
(2) The Contractor will have an opportunity to post comments regarding information that has been posted by the Government. The comments will be retained as long as the associated information is retained, i.e., for a total period of 6 years. Contractor comments will remain a part of the record unless the Contractor revises them.
(3)(i) Public requests for system information posted prior to April 15, 2011, will be handled under Freedom of Information Act procedures, including, where appropriate, procedures promulgated under E.O. 12600.
(ii) As required by section 3010 of Public Law 111-212, all information posted in FAPIIS on or after April 15, 2011, except past performance reviews, will be publicly available.

52.212-1 ADDENDUM – INSTRUCTIONS TO OFFERORS - - COMMERCIAL ITEMS (DEC 2006)
1. Proposal submissions shall include one executed/signed copy of the Standard Form (SF) 1449, Blocks 17a (Company Name/Address/Phone number), 17b and 30a-c. (This is page 1 only of the solicitation). Offers may be submitted on letterhead stationary. Each offeror’s proposal shall be submitted as stated below and all information shall be confined to the appropriate part to facilitate independent evaluation. The overall proposal shall consist of five (5) separate and detachable parts, individually entitled (see below).

Parts I through IV shall be organized into a single binder (Binder #1). The contents of binder #1 shall contain no pricing information. Each binder shall not exceed 100 pages (may be printed as single or double-sided). All sheets/pages with text, logos, graphics, photo, charts etc. will apply to the above page limit. Text should be printed in a commonly used font such as Times New Roman or Arial, pitch size between 10-12, and with margins between .05 – 1.5 “.

3. Site Visit: Interested contractors may request invitation to attend a scheduled site visit (reference FAR provision 52.237-1). Request for invitation to attend site visit must be submitted to Michael J. Eadon, Contract Specialist at email address: Michael.Eadon@am.dodea.edu within 5 calendar days after date of issuance of this solicitation.
4. Formal communications such as questions and/or requests for additional information concerning this solicitation should be submitted in writing via email, within 10 calendar days after date of issuance of this solicitation, to Contract Specialist at email address: Michael.Eadon@am.dodea.edu. Questions or request for clarifications concerning this solicitation will not be addressed during the site visit or in response to telephone calls. The Government will consolidate and post answers to the written questions as a solicitation amendment on the FedBizOpps website (www.fbo.gov).
5. Address the evaluation factors and sub-factors in 52.212-2:
a. Factor 1: Technical. The technical proposal shall address the offeror’s ability to meet the requirements stated in the Performance Work Statement (PWS). Unnecessary elaboration or other presentations beyond that sufficient to present a complete and effective proposal are not desired. The proposal shall contain all the pertinent information necessary to evaluate the proposal. Offerors are to demonstrate their technical approach considering the following sub-factors; and addressing each element separately:
(1) Sub-factor 1: Instructional Effectiveness:
(a) Demonstrate capability to provide a comprehensive program comparable to that offered in local area public schools which complies with Massachusetts’ Commonwealth laws and regulations for grades pre-kindergarten through 8, for approximately 600 students.
(b) Curriculum complies with state standards as described in the Massachusetts Frameware.
(c) Curriculum includes pre-kindergarten, full-day kindergarten, foreign language instruction at the middle school level, middle school athletics, mathematics enrichment programs and technology education.
(d) Curriculum review program and schedule ensures curriculum uses up-to-date information and incorporates current best practices. Curriculum includes co-curricular and extra-curricular activities which complement the education programs at all levels.
(e) Technology is integrated into and supports the curricular program. Curriculum includes instruction in the use of technology as a tool. Technology plan includes computer to student ratios and current technology inventory in classrooms, media centers, and other appropriate school locations using wireless connectivity capability. Demonstrate the ability to respond to the rapid technology developments of the modern world.
(f) District scores on the Annual Massachusetts Comprehensive Assessment System (MCAS) are comparable to other local school districts.
(g) Detailed plan for hiring staff demonstrates ability to staff school appropriately with highly qualified teachers in accordance with state guidelines.
(h) Teacher qualification requirements indicate the level of instructional quality being required.
(i) Teacher recruitment procedures demonstrate ability to attract and retain experienced and high quality instructional personnel.
(j) Pupil/teacher data including current number of classroom teachers, current number of non-classroom teachers (specialists), student/teacher ratio, and student/all educator ratios demonstrate the capability to meet or exceed Commonwealth of Massachusetts minimum requirements.
(2) Sub-factor 2: Special Needs
(a) Demonstrate capability to provide education for children with special needs with specific reference to applicable provisions of the Individuals with Disabilities Education Act (IDEA) for grades preK-8.
(b) Proposal details program delivery for special needs students, regardless of type or severity of handicapping condition. If capabilities to serve all types and degrees of handicapping conditions are outside of the contractor’s current capabilities, detailed contingency plans for obtaining services in a timely manner that comply with laws and regulations are included.
(c) Proposal includes plans for differentiated instruction providing appropriate and challenging programs to serve accelerated as well as remedial students.
(3) Sub-factor 3: Non-instructional Effectiveness and General Management Plan
(a) Demonstrate capability or approach to secure facilities, utilities, equipment, furniture, systems and supplies comparable to the local area public schools which complies with Massachusetts state laws and regulations for grades preK-8, and for special placements, within one (1) hour of Hanscom Air Force Base by school bus transportation.
(b) Communications – Comprehensive program for ensuring positive and consistent two-way communications with parents, the military, and community leaders.
(c) Continuity/Transition of Services - Plan for provisioning and staffing the schools to ensure school starts on a schedule similar to other local public schools and services fully comply with the requirements in the PWS and provide continuity with education services currently being provided at Hanscom AFB. Proposal includes plan (from offerors other than the incumbent contractor) to obtain provisioning and staffing between the estimated date of contract award and first day of school.
(d) Operational/Support Technology - Plan for maintaining and modernizing technology to ensure hardware and software are up-to-date and provide maximum use of technology in support the educational program and operations.
(e) Contingency Planning for Enrollment Changes – Plan for ensuring quality of the comprehensive educational program is maintained during unanticipated decreases in enrollment (resulting in lower total contract costs) as well as increases (resulting in increased contract cost but requiring immediate response to support said increases) beyond that acknowledged in the PWS.
(f) Quality Control – Describe approach for implementing quality control initiatives and standards.
(The final Quality Control Plan will be required within 10 calendar days after notice of award).
(g) Safety and Security – Describe approach to establishing and maintaining a safe and secure environment and operation. (The final Safety and Security Plan will be required within 10 calendar days after notice of award).
(h) Maintenance – Describe approach to maintaining facilities.
(i) Transportation – Describe approach to providing and maintaining school bus transportation services for regular scheduled school hours, extra-curriculum and after school programs for students with special needs.
b. Factor 2: Price Proposal. Submit unit pricing using CLIN structure format on page numbers 3 thru 7.
(1) The Price proposals will be evaluated to ensure price reasonableness for the services being provided to the Government, considering the specific terms and conditions, and relevant commercial practices.
(2) The Government will perform price analysis in accordance with FAR part 15.404-1(b) and applicable supplements and guides to ensure a fair and reasonable price. The price factor will include an evaluation of:
(a) Individual line items for CLINs 0001 thru 4001 (Base and Option Periods). The Government recommends including all overhead cost within each Enrollment Band for each performance period.
(b) The proposed prices in the current enrollment band (Band 2: 500-549) for base and option periods will be used to evaluate price. The proposed prices for each enrollment band and the sum total of the base and option period will be evaluated.
(c) A price and proposed rates that are found to be either unreasonably high or unrealistically low in relation to the proposed work may be indicative of an inherent lack of understanding of the solicitation requirements and may result in the overall proposal being considered unacceptable.
(d) Offeror’s understanding and description of workers/employees compensation in according with local labor laws and customs to include any fringe benefits.
(e) Any inconsistency, whether real or apparent, between proposed performance and price (including prices between enrollment bands) must be clearly explained in the price proposal. For example, if unique and innovative approaches are the basis for an apparently unbalanced/inconsistently priced proposal, the nature of these approaches and their impact on price must be completely documented.
(3) Include cost data supporting your proposed prices to include a minimum of:
(a) Number of each category of employee (e.g. teachers, para-professionals, administrators,custodians, clerical, food service, etc.).
(b) Total salaries for each category of employee
(c) Total price for the following: curriculum, utilities, technology, building maintenance, overhead, equipment, transportation.
c. Factor 3: Subcontracting Plan Factor.
(1) As required by FAR 52.219-9, Alt II and DFARS 252.219-7003, offerors from non-small business entities shall submit a written proposal detailing the extent to which they plan on using various types of small business, historically black colleges or universities and minority institutions, in the performance of the contract, whether as a joint venture, teaming arrangement, or subcontractor.
(2) Evaluation of the Offeror’s Subcontracting Plan will be in accordance with the Small Business Strategy (SBS) Checklist/Worksheet (see Attachment 1) Subcontracting Plan Standards.
(3) Small business offerors are not required to submit a sub-contracting plan and will be rated as “pass.”

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)
(a) The Government will award a single, firm-fixed price, bilateral contract from this solicitation using FAR Part 12 and 15 procedures. Award will be made to the offeror who is determined responsible in accordance with FAR Part 9 and whose offer and supporting documentation best meets the requirement at a price that is both fair and reasonable to the Government. The Government will not award to an offeror with an “unacceptable” or “fail” rating for any factor or subfactor. The Government will not pay a price it considers to be disproportionate to the benefits associated with the proposed service. The Government may select for award, the offer in which the total proposed cost is not necessarily the lowest, but whose overall proposal is deemed sufficiently more advantageous to the Government so as to justify the payment of a higher cost. Conversely, the Government may select for award the offeror whose total proposed cost is the lowest, when other proposals are not sufficiently more advantageous so as to justify the payment of a higher cost. The following shall be used to evaluate offers:

The technical is significantly more important than price. The Sub-contracting Plan will be rated as “pass” or “fail.”
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (MAY 2011)
ALTERNATE I (APR 2011)
An offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certifications electronically at http://orca.bpn.gov. If an offeror has not completed the annual representations and certifications electronically at the ORCA website, the offeror shall complete only paragraphs (b) through (i) of this provision.
(a) Definitions. As used in this provision:
"Emerging small business" means a small business concern whose size is no greater than 50 percent of the numerical size standard for the NAICS code designated.
"Forced or indentured child labor" means all work or service-
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
Inverted domestic corporation, as used in this section, means a foreign incorporated entity which is treated as an inverted domestic corporation under 6 U.S.C. 395(b), i.e., a corporation that used to be incorporated in the United States, or used to be a partnership in the United States, but now is incorporated in a foreign country, or is a subsidiary whose parent corporation is incorporated in a foreign country, that meets the criteria specified in 6 U.S.C.
395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c). An inverted domestic corporation as herein defined does not meet the definition of an inverted domestic corporation as defined by the Internal Revenue Code at 26 U.S.C. 7874.
“Manufactured end product” means any end product in Federal Supply Classes (FSC) 1000-9999, except—
(1) FSC 5510, Lumber and Related Basic Wood Materials;
(2) Federal Supply Group (FSG) 87, Agricultural Supplies;
(3) FSG 88, Live Animals;
(4) FSG 89, Food and Related Consumables;
(5) FSC 9410, Crude Grades of Plant Materials;
(6) FSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) FSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) FSC 9610, Ores;
(9) FSC 9620, Minerals, Natural and Synthetic; and
(10) FSC 9630, Additive Metal Materials.
“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--
