JUSTIFICATION FOR OTFAOC
Justification for OTFAOC Number:
Upon the basis of the following justification, I, as the Procuring Activity Competition Advocate (PACA), hereby approve the use of OTFAOC of the proposed contractual action, pursuant to the statutory authority of 10 U.S.C.§2304(c)(1). The regulatory authority that applies to the requirement is FAR Part 6.302-1, only one responsible source and no other supplies or services will satisfy agency requirements.

2. NATURE/DESCRIPTION OF ACTION(S):
a. The nature of this action is to procure commercial off-the-shelf, brand name Compuware mainframe software support. The Compuware software supports applications transmitted to or processed at the DISA-managed facilities. This requirement will be awarded as a firm-fixed-price (FFP) contract to the sole source provider and original equipment manufacturer (OEM), Compuware Corporation. This procurement will perpetuate the existing annual software support coverage currently under contract number HC1028-11-C-0127, which expires on September 30, 2016.

b. The period of performance (PoP) is October 1, 2016 through September 30, 2017 and includes four 1-year option periods, for a total contract life of five years. The total lifecycle value for this requirement is estimated at . The applicable North American Industry Classification System code is 541519, Other Computer-Related Services, with a sales size standard of $27.5 million. Fiscal year 2017 defense working capital funds will be used to fund the base year of this effort and were provided under military interdepartmental purchase request

3. DESCRIPTION OF SUPPLIES/SERVICES:
a. The Compuware product line offers the Abend-Aid, File-Aid, Xpediter, AutoStrobe, Strobe, and ISPW products that provide DISA with the capabilities to increase DISA data center efficiency by providing a mainframe application resolution process to help speed the discovery of failure solutions, thereby reducing critical application downtime. In addition, the software improves performance of mission-critical applications by reducing Central Processing Unit (CPU) consumption, batch runtimes, and online transaction response times. Other software functionality includes providing a comprehensive set of developer productivity tools that reduce the time needed to get programs implemented or returned to production by automating the analysis, testing, and debugging processes. One of the products, Xpediter, also assists by helping the next generation of mainframe programmers understand existing mainframe applications, examine the code (both statically and in execution), and validate their testing efficiency. All of these Compuware products assist DISA with time management, cost control, and risk avoidance with the mainframe platforms at mainframe processing data centers. The Compuware products all work together to improve data center productivity.
b. The following is a description of the Compuware mainframe products that require continued software support:

4. IDENTIFICATION OF STATUTORY AUTHORITY:
This acquisition is conducted under the statutory authority of 10 U.S.C§2304(c)(1) and the regulatory authority of FAR 6.302-1/Defense FAR Supplement 206.302-1, only one responsible source and no other supplies or services will satisfy agency requirements. The software support is peculiar to a specific brand name. Only Compuware Corporation can satisfy the requirement.
5. DEMONSTRATION OF CONTRACTOR’S UNIQUE QUALIFICATIONS:
a. The software support is proprietary and only available from Compuware Corporation, and no other type of software support will satisfy the agency requirements. Compuware owns all proprietary rights to the software code for all of the Compuware mainframe products that DISA owns and has no authorized resellers. The software support acquired through this purchase will support all equipment augmentations and all government-owned software processing environments, keeping the Compuware production environment and network infrastructure up to date. Therefore, Compuware is the only known contractor that can provide the required support.
The proposed acquisition is for continuation of support that is currently being provided by Compuware Corporation. The software support acquired through this purchase will support all equipment augmentations and all government-owned software processing environments.
b. Compuware mainframe software supports DISA mainframe environments consisting of 17 mainframes (all items identified under ISPW count as one product). Numerous studies and trial software, with similar functionality, have been utilized in the data centers; and after extensive testing, the determination has been made that the Compuware software is the only software
Page 4 of 7 Pages available that satisfies DISA’s current requirements. DISA maintains 17 types of software on the Compuware software support contract and utilizes the executive software products on the DISA mainframe hardware. An extensive amount of technical expertise has been developed at the computing centers, based on the existing infrastructure. Continued use of the Compuware software is required to maintain the current productivity and efficiency levels of the DISA data centers.
6. FEDERAL BUSINESS OPPORTUNITIES (FBO) ANNOUNCEMENT/POTENTIAL
SOURCES:
A sources-sought notice was published by DITCO-Scott to FBO on July 13, 2016, and no responses were received. A notice of the proposed contract action will be synopsized on the FBO website, as required by FAR 5.2, with the intention to award a sole source contract to Compuware Corporation. A copy of the redacted Justification for OTFAOC will be posted with the synopsis.
7. DETERMINATION OF FAIR AND REASONABLE COST:
A determination will be made by the contracting officer that the contract represents the best value to the government, as defined in FAR 2.101, and results in the lowest overall cost alternative (considering price, special features, and administrative costs) to meet the government's needs. The contracting officer will determine that the resulting contract prices will be fair and reasonable, based on comparison with the prices outlined below. The contracting officer will also determine the pricing information valid for comparative purposes. Certified cost and price data is not required for this commercial item acquisition, in accordance with FAR 15.403-1(b)(3). The contracting officer will determine whether the price is fair and reasonable, based on:
a. Comparison of the proposed prices to historical and existing prices paid, whether by the government or other than the government for the same or similar items.
b. Comparison of the proposed prices with commercial price lists for the same or similar commodities.
c. Comparison of proposed prices with the independent government cost estimate.
8. MARKET RESEARCH:
a. Market research was conducted by DISA IML from August 2015 through July 2016.
Market research included gathering data from previous acquisitions, reviewing current contracts, internet searches, reviewing catalogs and other contractor literature, contacting the manufacturer, conducting internal discussions, reviewing existing DISA-wide contract vehicles and other government-wide acquisition contracts, issuing a sources-sought announcement, and determining potential sources.

b. The first step in market research was to determine if another brand-name software could meet DISA’s needs. As a result of the market research, it is apparent that while other software with similar functionality is commercially available from IBM, BMC, ASG and CA, only Compuware products will fit within the already established network infrastructure, since the software is currently in use. While other software products provide similar functionality, there are no others currently on the market that can provide the exact functionality provided by Compuware. Decreased DISA data center productivity would be the major negative impact of discontinuing the Compuware software. Application performance measurement, inefficient code identification (which results in excessive CPU consumption and the automation of analysis), testing, and debugging processes would not be available for data center use. It is determined that there are no competitors in today’s market capable of meeting the requirement needs. The government will continue to conduct market research to determine if there are changes in the marketplace or if the government’s requirements change. It is not feasible to deviate from the currently tested, integrated, and fielded proprietary software at this time. Compuware Corporation is the only source that will satisfy the agency’s requirements for the brand-name software.
c. The second step in market research was to determine the method of procurement. The Compuware software support is commercially available to properly support the operating environment. Market research concluded the software was not available on existing government contract vehicles, to include Enterprise Software Initiative, General Services Administration, and National Aeronautics and Space Administration Solutions for Enterprise-Wide Procurement.
Based on the results of market research, a solicitation will be published to FBO and issued directly to Compuware Corporation, a large business.

11. ACTIONS THE AGENCY MAY TAKE TO REMOVE OR OVERCOME BARRIERS
THAT LED TO THE EXCEPTION TO FULL AND OPEN COMPETITION:
a. The previous procurement history of the Compuware software at DISA IML is outlined below. This particular Compuware acquisition is a follow-on for continuation of support previously provided under contract HC1028-11-C-0127.

b. At this time, it is deemed that only Compuware software support would be able to function with the current Compuware products/infrastructure already in place. The software support must be procured from the OEM, Compuware Corporation. If the identified OEM elects to surrender their legal ownership, copyright, and/or intellectual proprietary software rights and move toward a complete open-source solution, then DISA IML will seek open competition. Regardless, the government will continue to search the marketplace to determine if alternative solutions exist. If the government determines that the brand-name Compuware software is no longer required or other software meets the government’s needs, then the government will seek full and open competition for the required functionality. If similar requirements arise, every effort will be made to compete it to the maximum extent practicable.

In accordance with Defense Acquisition Regulation Supplement 7.103(S-90), this requirement does not meet the dollar threshold requiring a written AP.
