Combined Synopsis/Solicitation

This is a COMBINED SYNOPSIS/SOLICITATION for commercial services prepared in accordance policies and procedures using FAR Subpart 12.6, Streamlined Procedures for Evaluation and Solicitation for Commercial Items; and FAR Part 13, Simplified Acquisition Procedures; as supplemented with additional information included in this notice. This announcement constitutes the only solicitation on FedBizOpps; quotes are being requested and a written formal solicitation will not be issued.

Solicitation H92240-15-Q-2045 is issued as a request for quotation (RFQ).

This solicitation is set-aside 100% for small business. The agency intends to award a firm fixed price contract for services as described in this RFQ.

By submission of its quote, the vendor accepts all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in a quote being excluded from competition and not evaluated any further. Vendors must clearly identify any exception to the solicitation and conditions and provide complete accompanying rationale.

The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-81, effective 10 April 2015 and DFARS Change Notice 20150803, effective 3 August 2015.

· DEADLINE FOR RFQ QUESTIONS

All questions regarding this requirement shall be submitted electronically to lisa.king@navsoc.socom.mil by 3:00 p.m. (PST) on 4 September 2015 to allow adequate time to prepare a response.

· RFQ DUE DATE

Quotes are due 9 September 2015 at 3:00 p.m. PST (Local Time).

Quote Format and Content

Quotes must be valid for 60 days. Email is the only acceptable method of submission. No facsimile quotes will be accepted. All quotes must be emailed with the RFQ Number in the subject line. Submission of quotes through the FBO system is not permitted. Contractors are responsible for verifying receipt of their quotes to this office before the specified due date and time. An E-mail quote that resides on a Government server, but has not appeared in the designated E-mail inbox by the due date and time for quote submission will be considered late in accordance with FAR 15.208(b). Therefore, it is incumbent upon the quoter to ensure that its entire quote is received by the Agency by the designated due date. The quote page format will be 8 1/2" x 11", except for fold-outs used for charts, tables, or diagrams, which may not exceed 11" x 17". A page is defined as one face of a sheet of paper containing information. Type shall not be less than 12 pitch. Elaborate formats or color presentations are not desired or required.

Electronic quotes shall contain separate files for each volume. Individual emails shall not exceed 10MB.

VOLUME I – Introduction Provide the following information:

1. Contractor Name, Commercial and Government Entity (CAGE) Code, Dun and Bradstreet (DUNs) Number, and Tax Identification Number (TIN).

2. Name, telephone numbers, and email address of person(s) to be contacted for clarification or questions pertaining to the quote.

3. FILL IN CLAUSES: Quoters must be registered in the System for Award Management (SAM) to be eligible for award; Quotes received without the completed copy of the provision at FAR 52.212-3 or completed SAM representation may be considered non-compliant. Quotes determined non-compliant may not be evaluated for award. Quoters must also provide all fill-ins for:

a. 5652.204-9000 Individual Authorized to Sign (2014)

b. 5652.204-9004 Foreign Persons (2006)

VOLUME II – Technical Capability

· The quoter shall demonstrate a complete understanding and discuss their capability to fully implement and execute all requirements of the Performance Work Statement (PWS).

VOLUME III – Price

· Submit a Firm Fixed Price quote, to include all requirements and options of the Performance Work Statement and solicitation. Any travel shall be included in the firm fixed price of the class. Please submit pricing on the Attachment 1 Spreadsheet

· DESCRIPTION OF REQUIREMENT

Performance Work Statement Naval Special Warfare Command Basic Writing Course

BACKGROUND

1.1 The purpose of this contract is to provide the necessary level of professional instruction to Basic Writing Course of Instruction COI for Special Reconnaissance Team TWO personnel (SRT-2).

OBJECTIVES

2.1 The contractor will support the customer in the performance of training services as defined herein. Training support provided by the contractor will encompass the scope and learning objectives of the customers five day, Basic Writing course of instruction for Fifteen (15) SRT-2 personnel. The objective of this course of instruction (COI) is to enable new personnel to produce reports and correspond with senior level officials, while on deployment, in a skilled and proficient manner. The Contractor will provide the necessary instruction to ensure SRT-2 personnel are fully prepared to integrate learned techniques in order to support the commands mission.

SCOPE

3.1 The Contractor shall provide the personnel, management, materials, equipment (not otherwise provided by the Government) necessary to ensure all class participants receive training in basic military and civilian writing applications at the completion of this training block.

REQUIREMENTS

4.1 The contractor shall provide services and contractor employees for all requirements listed below during the specific period or performance listed in paragraph 14. The following descriptions of work define the training requirements by the Customer.

4.1.1 Introduction to the writing process (defining prewriting. drafting, and revising).

4.1.2 Explanation of the four components of writing (content, style, organization and mechanics)

4.1.3 Ensure the students writing, meets basic grammatical standards, including issues of word agreement, sentence construction, proper spelling, and punctuation.

4.1.4 Differentiate between the active and passive voice.

4.1.5 Plain language training that will help students identify the value of writing and when writing is applicable.

4.1.6 Demonstrate double negatives and exceptions to exceptions.

4.1.7 Demonstrate plain-language techniques on the web.

4.1.8 Explore the four elements of good writing, Clarity, Conciseness, Completeness, and Correctness. Students will practice each "C" in writing exercises.

4.1.9 Explore word agreement and the importance of parallel structures.

4.1.10 Practice writing in the active voice

4.1.11 Students will review the basics of punctuation and when to us certain marks.

4.1.12 Spelling and Proofreading

4.1.13 Writing business letters, reports and emails

4.1.14 Daily graded writing assignments.

4.1.15 Instructor Qualifications

4.1.15.1 Must have 5 years of experience of teaching courses to military audiences

4.1.15.2 Have college-level experience in teaching Writing.

4.1.15.3 Hold a graduate degree in English.

4.1.15.4 Have professional editing experience.

5 DELIVERABLES

5.1 Shall provide the following textbooks (students will keep):

5.1.1 Fifteen (15)- Guide to Effective Military Writing, 3rd Edition: ISBN: 978-0-8117-2779-2

5.1.2 Fifteen (15) copies of Federal Plain Language Guidelines, March 2011, Rev 1, May 2011. ISBN: 978-1-9354-2583

5.2 Deliver a proven five-day curriculum, targeted specifically to the military when responding to this RFP.

CONTRACTOR MANPOWER REPORTING

6.1 The contractor shall report ALL contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract for the customer via a secure data collection site. The contractor is required to completely fill in all required data fields using the following web address: http://www.ecmra.mil/. Reporting inputs will be for the labor executed during the period of performance during each Government fiscal year (FY), which runs October 1 through September 30. While inputs may be reported any time during the FY, all data shall be reported no later than October 31 of each calendar year, beginning with 2013. Contractors may direct questions to the help desk at help desk at: http://www.ecmra.mil.

CONTRACTOR TRAVEL

7.1 All travel shall be in accordance with FAR 31.205-46 and applicable travel regulations (Joint, Federal or Standardized). Contractor payments claims shall include applicable documentation to support actual costs incurred (e.g airfare and hotel/lodging receipts) as well as any receipts valued at or above S75.00. Failure to provide appropriate documentation may result in loss of reimbursement of travel expenses.

7.2 The contractor shall perform travel in accordance with the training syllabus outlined in this PWS. All travel will be completed in accordance with Joint Travel Regulations and other applicable Government guidance.

SECURITY

8.1 Contractor personnel do not require a security clearance.

8.2 Contractor shall establish appropriate administrative, technical, and physical safeguards to protect any and all nonpublic Government data to ensure the confidentiality, integrity, and availability of Government data.

8.3 Access to Military / Controlled Installations. Contractor shall be able to acquire access to military installations while performing work in Virginia Beach, VA and surrounding areas. Vehicle passes for rental cars shall be obtained through appropriate local Military Pass and Decal offices, if required.

8.4 Privacy Act Compliance. The contractor may be in contact with data and information subject to the Privacy Act of 1974 (Title 5 of the U.S. Code Section 552a). The contractor shall ensure that its employees assigned to this effort understand and adhere to the requirements of the Privacy Act and to DoD and DoN regulations that implement the Privacy Act. DoN policy and procedures implementing the Privacy Act are detailed in SECNAVINST 5211.5E, which is available online at http://privacy.navy.mil. The contractor shall identify and safeguard data, information, and reports accordingly. In addition, the contractor shall ensure contractor employees assigned to the contract arc trained on properly identifying and handling data and information subject to the Privacy Act prior to commencing work.

9 GOVERNMENT FURNISHED PROPERTY/EQUIPMENT/INFORMATION (GFP/GFE/GFI)

9.1 The customer will provide training facilities, to include classroom, projector, unclassified computer and all administrative consumables (pens, pencils, paper and erasers).

10 QUALITY CONTROL

10.1 The contractor shall implement and maintain a Quality Control Plan (QCP) to ensure work performed conforms to the scope of work and meets the requirements under this PWS. The QCP shall, at a minimum provide a method for performing inspections; identifying, correcting and preventing problems/defective service; addressing customer complaints, and improving the quality of services over the life of the contract.

QUALITY ASSURANCE

11.1 The Government reserves the right to perform inspections and surveillance to evaluate the Contractor's compliance to the contract terms and performance of the requirements in the PWS. The Government will make every effort to ensure that the surveillance methods used and are conducted in an objective, fair, and consistent manner. Contract Discrepancy Report (CDR). In the event of unsatisfactory contractor performance, the CO will issue a CDR that will explain the circumstances and findings concerning the incomplete or unsatisfactory service. The contractor shall acknowledge receipt of the CDR and respond in writing as to how he/she shall correct the unacceptable performance and avoid a recurrence. The Government will review the contractor's corrective action response to determine acceptability and will use any completed CDR as part of an overall evaluation of Contractor performance when determining present or future contractual actions.

52.209-5 Certification Regarding Responsibility Matters (Apr 2010)

(a)

(1) The Offeror certifies, to the best of its knowledge and belief, that --

(i) The Offeror and/or any of its Principals --

(A) Are [_] are not [_] presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(B) Have [_] have not [_], within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation); and

(1) Federal taxes are considered delinquent if both of the following criteria apply:

A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(2) Examples.

(i) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).

(ii) The Offeror has [[_] has not [_], within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.

(2) “Principal,” for the purposes of this certification, means an officer; director; owner; partner; or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

This Certification Concerns a Matter Within the Jurisdiction of an Agency of the United States and the Making of a False, Fictitious, or Fraudulent Certification May Render the Maker Subject to Prosecution Under Section 1001, Title 18, United States Code.

(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.

(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror’s responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.

(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.

(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

52.212-2 EVALUATION -- COMMERCIAL ITEMS (JAN 1999)

(a) The Government will award a contract resulting from this solicitation based on the “lowest price technically acceptable” quote. Quotes will be evaluated on the basis of price reasonableness in accordance with FAR 13.106-3(a).

Volume II – Technical Capability: The vendor shall demonstrate a complete understanding and discuss their capability to fully implement and execute all requirements of the Performance Work Statement (PWS).

The technical quotes will be rated acceptable or unaccepatable using the ratings and descriptions outlined in the table below. In order to be considered Acceptable, quoters must receive an acceptable rating for the technical submission in its entirety. Quotes that fail to demonstrate a complete understanding and discuss their capability to fully implement and execute all requirements of the PWS shall be considered Unacceptable.

Quoters whose technical submittal are rated “Unacceptable” will be rejected and removed from further competition.

Volume III – Price Evaluation Criteria: Price quotes will be evaluated on the basis of price reasonableness in accordance with FAR 13.106-3. Quoters responding to this solicitation are advised that, prior to award, the government may request quoters to submit additional information/data to support price reasonableness such as copies of paid invoices for the same or similar items, sales history for the same or similar items, price list with effective date and/or copies of catalog pages along with any applicable discounts. Failure to submit the requested information may result in disqualification of the submitted quote.

The Government may evaluate any and all information submitted by the vendor to support the reasonableness of prices quoted. The method of evaluation used by the Contracting Officer is solely within the discretion of the Contracting Officer.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award (End of provision)

52.212-3 -- Offeror Representations and Certifications -- Commercial Items. Offeror Representations and Certifications -- Commercial Items (Mar 2015)

The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site accessed through http://www.acquisition.gov . If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (p) of this provision.

(a) Definitions. As used in this provision--

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned—

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Veteran-owned small business concern” means a small business concern—

(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern --

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127),” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.

(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(ii) Examples.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appear rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals Contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
