52.203-2 CERTIFICATE OF INDEPENDENT PRICE DETERMINATION (APR 1985)
(a) The offeror certifies that --
(1) The prices in this offer have been arrived at independently, without, for the purpose of restricting competition, any consultation, communication, or agreement with any other offeror or competitor relating to –
(i) Those prices,
(ii) The intention to submit an offer, or
(iii) The methods of factors used to calculate the prices offered:
(2) The prices in this offer have not been and will not be knowingly disclosed by the offeror, directly or indirectly, to any other offeror or competitor before bid opening (in the case of a sealed bid solicitation) or contract award (in the case of a negotiated solicitation) unless otherwise required by law; and
(3) No attempt has been made or will be made by the offeror to induce any other concern to submit or not to submit an offer for the purpose of restricting competition.
(b) Each signature on the offer is considered to be a certification by the signatory that the signatory --

(1) Federal taxes are considered delinquent if both of the following criteria apply:
(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.
(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.
(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).
(ii) The Offeror has ( ) has not ( ), within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.
(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager;
head of a division or business segment; and similar positions).
(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.
(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.
(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.
(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

ADDENDUM TO 52.212-1, PROPOSAL PREPARATION INSTRUCTIONS
1. Adherence to Instructions: The offeror must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in an offer being ineligible for award.
2. Exceptions to Terms and Conditions: Offerors must clearly identify any exception to solicitation terms and conditions and provide accompanying rationale.

8. Cost or Pricing Data: The contracting officer has determined there is a high probability of adequate price competition in this acquisition. iii. Content: Offerors are required to thoroughly explain what aspects of the submitted contracts are deemed relevant to the proposed dining facility services. Relate your relevant experience to the Performance Work Statement (PWS) and cite specific PWS paragraphs. Explanations without PWS citations will not be evaluated. Thoroughly explain corrective actions taken in the past, if any, for substandard performance and any current performance problems such as exceeded performance periods.
iv. Predecessor Companies: If any of the contracts submitted were performed by a predecessor company, submit documentation that shows a legal tie between the companies. Contracts submitted without this documentation will not be evaluated.
v. Partnership Agreements Past Contracts: If any of the contracts submitted (Prime or Major Subcontractor) were performed as teaming or joint venture partners, offerors must thoroughly explain the relationship of each partner (e.g. managing partner under the contract submitted) and the duties that each assumed on the submitted contract. Relate duties to the PWS to include paragraph citations. Also include copies of the teaming and/or joint venture agreement for these contracts (copies of teaming and/or joint venture agreements shall be provided under a separate tab and will not count towards the page count of Volume III, Past Performance Information). Contracts submitted without this documentation (nature of relationship, duties performed (with PWS citations), and teaming/joint venture agreements) will not be evaluated.
vi. Major Subcontractor Consents: Past performance information pertaining to a major subcontractor (see paragraph viii) cannot be disclosed to the prime offeror without the subcontractor’s consent. Contractors must provide, with the proposal, a signed letter of consent from all major subcontractors consenting to the release of their past performance information to the prime contractor. Contracts submitted without consents will not be evaluated.
vii. Past Performance Questionnaire: The offeror shall send out and track the completion of the Past Performance Questionnaire (Attachment 4 of RFP) for each contract point of contact identified in the Performance Information Forms. The responsibility to timely send out and track the completion of the Past Performance Questionnaire rests solely with the offeror. The offeror shall exert its best efforts to ensure the points of contact submit completed Past Performance Questionnaires directly to the Contracting Officer and Contract Specialist as specified on the Past Performance Questionnaire by the closing date of the solicitation.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(1) PRICE
(2) TECHNICAL CAPABILITY
(3) PAST PERFORMANCE
Past Performance will be approximately equal to Price when being evaluated.
(b) The Government will evaluate an offeror’s Mission-Essential Contractor Services Plan on a Technically Acceptable/Unacceptable basis. See FAR 52.212-2 Addendum.
(c) Options. The Government will evaluate offers for award purposes by adding the total price for the option period to the total price for the basic requirement. Evaluation of the option shall not obligate the Government to exercise the option.
(d) A written notice of award or acceptance of an offer mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer, whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
ADDENDUM TO FAR 52.212-2
BASIS FOR CONTRACT AWARD: This is a competitive best value source selection in which competing offerors' past performance history will be evaluated on a basis of past performance being approximately equal to price.
However, in accordance with the Randolph – Sheppard Act - 34 CFR § 395.33 the State of California's Department of Rehabilitation will be allowed to propose as the State Licensing Authority (SLA) for the Randolph - Sheppard Act.
The solicitation is a competitive HUBZone set-aside, but also permits the SLA, which may not be considered a Small Business concern, to participate in the procurement. The priority embodied in the Randolph-Sheppard Act (R-SA) takes precedence over small business preferences. Therefore, if the SLA’s proposal is determined to be in the competitive range and remains so after discussions, in accordance with the R-SA, the Government will award the contract to the SLA. To be in the competitive range a proposal must be technically acceptable and have satisfactory confidence in performance. A neutral past performance rating for a HubZone offeror will suffice for a competitive range determination. The SLA will be required to provide a subcontracting plan to afford small business an opportunity to perform aspects of the requirement. Should the SLA not be eligible for award the remaining offerors will be evaluated in accordance with FAR 52.212-2, “Evaluation - Commercial Items”. By submission of its offer in accordance with the instructions provided in FAR 52.212-1, Instructions to Offerors, the offeror accedes to the terms of this model contract and all such offerors shall be treated equally except for their prices, technical submissions, and performance records. Failure to meet a requirement may result in an offer being determined technically unacceptable. The evaluation process shall proceed as follows:
A. Price Evaluation. Offers will initially be ranked according to price (lowest to highest), including all options. The offeror’s proposed prices will be determined by multiplying the quantities identified in the Pricing Schedule by the unit price for each item to confirm the extended amount for each. The evaluation will begin with the lowest priced offer being evaluated for technical capability.
B. Technical Requirement.
Subfactor 1: Mission-Essential Contractor Services Plan The Government will evaluate that the offeror adequately addressed the elements outlined in paragraph 3 (items A-F) of the plan template (Attachment 2 to the RFP). This requirement is met if the offeror’s plan reflects a sound, logical, and detailed approach to the performance of mission-essential services during a time of emergency crisis. Submission of a plan does not guarantee an acceptable/pass rating. Offerors will be assigned a technical rating as outlined in the DoD Source Selection Procedures, Table C-1. If the plan is found technically unacceptable, proposal evaluation stops and the Government will begin evaluating the proposal of the next higher-priced offeror. If the plan is found technically acceptable, the offeror’s Past Performance will be evaluated.

C. Past Performance.
1. The purpose of the past performance evaluation is to allow the Government to assess the offeror’s ability to perform the effort described in this solicitation, based on the offeror’s demonstrated present and past performance. To assess the Government’s confidence in an offeror’s ability to perform as proposed, past performance will be evaluated on recency, relevancy, and quality. The assessment process will result in an overall performance confidence assessment rating of Substantial Confidence, Satisfactory Confidence, Limited Confidence, No Confidence, or Unknown Confidence defined in the DoD Source Selection Procedures 1 APR 2016, Table 5.
2. The contracting officer shall seek recent and relevant performance information on the lowest-priced offer based on (1) the references provided by the offeror and (2) data independently obtained from other Government and commercial sources. Relevant present/past performance efforts are those that involve a similar scope and magnitude of effort and complexities required by this solicitation. The purpose of the past performance evaluation is to assess the degree of confidence the Government has in the offeror’s ability to supply the dining facility services that meet the end user’s needs based on the offeror’s demonstrated record of performance.
a. Recent: Ongoing contracts (a minimum of six months is required to be considered current) with a performance history and contracts completed within five years from the issue date of this solicitation (see SF 1449 Block 6).
b. Relevant: Includes performance of efforts involving dining facility services involving a similar scope and magnitude of effort and complexities required by this solicitation (see DoD Source Selection Procedures, Table 4 and the solicitation Relevancy Definitions, Chart A).
3. The Government will evaluate the quality and extent of an offeror’s performance deemed recent and relevant to the requirements of this solicitation. Past performance efforts will be evaluated on relevancy and assigned a relevancy rating as outlined in the DoD Source Selection Procedures, Table 4 (below). Current performance will generally have greater impact in the performance assessment than recent performance.
Performance that is more recent will usually have more impact than less recent performance. Past performance information that is found to be neither current nor recent will not be evaluated. Higher relevancy will be assessed for contracts that are most similar to the effort, or portion of the effort, for which that Contractor is being proposed (i.e. contracts performed on Federal or State facilities located in the state of California will be given a higher relevancy rating). The Government is not bound by the offeror’s opinion of relevancy. In evaluating past performance, the Government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this solicitation. The Government will use the following degrees of relevancy when assessing current or recent and relevant contracts (note: the items listed in the “Assessment Area” column are listed in descending order of importance):

4. Next, the offeror will be assigned a performance confidence rating, which is based on how well an offeror performed on the specified contracts. Potential sources of performance data are Government sources such as the Past Performance Information Retrieval System (PPIRS), Performance Information Forms, and Past Performance Questionnaires tailored to the circumstances of this acquisition, and non- Government sources such as information provided by the offeror as solicited. Offerors with no relevant past or present performance history or the offeror’s performance record is so limited that no confidence assessment rating can be reasonably assigned shall receive the rating “Unknown Confidence,” meaning the rating is treated neither favorably nor unfavorably. The performance confidence assessment ratings are outlined in the DoD Source Selection Procedures, Table 5.

5. After discussions, if the SLA’s proposal is determined not to be in the competitive range, if the lowest priced offeror is not judged to have a Substantial Confidence performance confidence assessment, the next lowest priced offeror will be evaluated and the process will continue (in order by price) until an offeror is judged to have a Substantial Confidence performance confidence assessment or until all offerors are evaluated.
The Source Selection Authority shall then make an integrated assessment best value award decision. The Government reserves the right to seek information on higher priced offerors if none of the lower priced offerors receives a “Substantial Confidence” performance assessment.
6. Past performance regarding predecessor companies or subcontractors that will perform major or critical aspects of the requirement will be rated as highly as past performance information for the principal offeror.
D. Offerors are cautioned to submit sufficient information and in the format specified in FAR 52.212-1, Instruction to Offerors -- Commercial Items. Offerors may be asked to clarify certain aspects of their proposal (for example, the relevance of past performance information) or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comments received from sources without a formal rating system. Communication conducted to resolve minor or clerical errors will not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for proposal revision.
E. The Government intends to award a contract with discussions with respective offerors in accordance with FAR 52.215-1, Instruction to Offerors -- Competitive Acquisition. If the offeror’s proposal has been evaluated as acceptable at the time discussions are closed, any changes or exceptions in the FPR are subject to evaluation and may introduce risk that the offeror’s proposal be determined unacceptable and ineligible for award.
