52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JUN 2008)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Reserved
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC

(4) Nongovernment (voluntary) standards must be obtained from the organization responsible for their preparation, publication, or maintenance.
(j) Data Universal Numbering System (DUNS) Number. (Applies to all offers exceeding $3,000, and offers of $3,000 or less if the solicitation requires the Contractor to be registered in the Central Contractor Registration (CCR) database. The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” or “DUNS +4” followed by the DUNS or DUNS +4 number that identifies the offeror's name and address. The DUNS +4 is the DUNS number plus a 4-character suffix that may be assigned at the discretion of the offeror to establish additional CCR records for identifying alternative Electronic Funds Transfer (EFT) accounts (see FAR Subpart 32.11) for the same concern. If the offeror does not have a DUNS number, it should contact Dun and Bradstreet directly to obtain one. An offeror within the United States may contact Dun and Bradstreet by calling 1-866-705-5711 or via the internet at http://fedgov.dnb.com/webform. An offeror located outside the United States must contact the local Dun and Bradstreet office for a DUNS number. The offeror should indicate that it is an offeror for a Government contract when contacting the local Dun and Bradstreet office.
(k) Central Contractor Registration. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the CCR database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the CCR database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the Internet at http://www.ccr.gov or by calling 1-888-227-2423 or 269-961-5757.
(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:
(1) The agency's evaluation of the significant weak or deficient factors in the debriefed offeror's offer.

(End of provision)
ADDENDUM TO 52.212-1 – INSTRUCTION TO OFFERORS
1) This Addendum prescribes the format for proposals and describes the approach for the development and presentation of proposal data. These instructions are designed to ensure the submission of information essential to the understanding and comprehensive evaluation of proposals. The instructions permit the inclusion of any additional data or information an offeror deems pertinent within the stated page limitations. Offerors are cautioned to follow the detailed instructions fully and carefully, as the Government reserves the right to make an award based on initial proposals received, without discussion of such proposals.
2) To ensure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Offerors are required to submit all documentation/information detailed herein, including terms and conditions, representations and certifications, and technical requirements. Failure to submit all required documentation/information may result in a proposal being ineligible for award. In submitting a proposal, offerors are agreeing to the terms and conditions as written in the entire solicitation. All pages in excess of the stated limitations will be removed and disregarded during the evaluation.
Proposal Format: Each proposal will be submitted in THREE (3) VOLUMES, each part separately bound, preferably in spiral or loose leaf binders. Care should be exercised to ensure that mission capability and past performance volumes do not include any pricing data. 6) The Contracting Officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial proposals, the Contracting Officer will review this determination and if, in the contracting officer’s opinion, adequate price competition exists no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists; offerors may be required to submit information to the extent necessary for the contracting officer to determine the reasonableness and affordability of the price.

b. Offerors shall ensure completed questionnaires are received not later than 4 P.M. (EDT) 9-Dec-10.
v. If no past performance information is submitted as a part of the offeror’s proposal, the entire proposal will be considered non-responsive and will not be considered for award.
vi. For those offeror’s who do not have any relevant past performance information to submit, a statement to that effect will satisfy the requirement for a past performance volume.
c) VOLUME III – PRICE PROPOSAL
i. General – All information relating to pricing data shall be included in this volume. Under no circumstances shall pricing data be included elsewhere in this proposal. Should such pricing data be included in the mission capability and/or past performance proposals, the result will be removal of such pricing data and all other information included on the same page with such data. This could result in the exclusion from evaluation of critical mission capability and/or past performance information. The price proposal shall contain the following in the order shown:
1. A signed Standard Form 1449, Solicitation/Award, along with all required fill-ins properly completed throughout the 1449.
2. If applicable, signed acknowledgement of any Amendment(s), Standard Form 30, issued against this solicitation.
3. Completed provisions/clauses for Offeror’s Representations and Certifications (see 52.212-3), as appropriate; also 52.209-7, 252.212-7000, & 252.225-7000.

52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. This acquisition will utilize the Performance Price Trade-Off (PPT) technique to make a best value award decision. The following factors shall be used to evaluate offers:
Mission Capability
Past Performace
Price
Mission Capability is pass/fail. Past Performance is approximately equal to Price in making an award decision.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
(End of provision)
ADDENDUM TO 52.212-2, EVALUATION – COMMERCIAL ITEMS
1) Any Offeror who does not submit a complete package consisting of all of the elements described in FAR 52.212-1 and Addendum thereto may automatically be considered non-responsive and their proposal will not advance in the evaluation process. Therefore, non-responsive proposals will not be considered for award. The application of the PPT Technique in the award selection and approval process is as follows:
a) A decision on the technical acceptability of each Offeror’s mission capability proposal shall be made first on a pass/fail basis. Each proposal will be assigned a rating of: Acceptable, Reasonably Susceptible of Being Made Acceptable, or Unacceptable. Only those Offerors determined to be technically acceptable will be considered for award.
b) All technically acceptable proposals will then receive an Integrated Past Performance Confidence Assessment Rating of: Substantial Confidence, Satisfactory Confidence, Limited Confidence, No Confidence, Unknown Confidence. The Integrated Past Performance Confidence Assessment Rating will be determined by combining two individual components: Relevancy and Quality of Past Performance.
c) All technically acceptable proposals will then be ranked by evaluated price. Note: Unrealistically low or high proposals will not be considered for award.
d) If the lowest evaluated price, technically acceptable Offeror has a Substantial Integrated Past Performance Confidence Assessment Rating, this Offeror’s proposal would represent the best value for this acquisition and award will be made to this Offeror, subject to a positive responsibility determination. The Government reserves the right to award only one or no contract at all, depending on the quality of the proposal(s) submitted.
e) If the lowest priced, technically acceptable Offeror’s Integrated Past Performance Confidence Assessment Rating is less than Substantial, the Government will consider a tradeoff between Price and Past Performance to determine which offer represents the best value to the Government. In these cases, the Source Selection Authority shall use good business judgment in making the best value award decision.
f) The Government anticipates making an award without conducting discussions. Therefore, each initial offer should contain the Offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if determined to be necessary by the Source Selection Authority.
2) MISSION CAPABILITY:
a) A decision on the technical acceptability of each Offeror’s Mission Capability Proposal shall be made. Each proposal will be assigned a rating of:
i) Acceptable: The Mission Capability Proposal meets all the minimum mandatory Mission Capability Proposal requirements in the solicitation. Only those proposals determined acceptable, either initially or as a result of exchanges will be considered for award.
ii) Reasonably Susceptible of Being Made Acceptable: The Mission Capability Proposal does not meet some of the minimum mandatory Technical Proposal requirements in the solicitation; however, there is reason to believe that through exchanges an acceptable Mission Capability Proposal could result. For award without discussions these proposals are considered “unacceptable”
iii) Unacceptable: The Mission Capability Proposal substantially fails to meet the minimum mandatory Mission Capability Proposal requirements in the solicitation. Mission Capability Proposals with an unacceptable rating will not be considered for award.
b) Each Offeror must show evidence of a capability to provide the mandatory requirements set forth in the Performance Work Statement (PWS) and elsewhere in this solicitation. A technical review team composed of key Government personnel will use their technical skills, knowledge and experience to thoroughly review the adequacy of the proposals. In evaluating the Mission Capability Proposal, the Government will use the following evaluation criteria:
i) Compliance with the requirements of the Performance Work Statement (PWS) and this entire solicitation.
ii) Understanding of the requirements of the Performance Work Statement (PWS) and this entire solicitation.
iii) Compliance and understanding of the requirements of the PWS as applied specifically to each factor/subfactor listed below.
c) The following specific subfactors will be evaluated in VOLUME I – MISSION CAPABILITY PROPOSAL (as outlined in the Addendum to FAR 52.212-1). Any subfactor determined unacceptable may render the entire Mission Capability Proposal as unacceptable. Upon final determination that a proposal is unacceptable, the Contracting Officer (CO) shall promptly notify the firm submitting the proposal that it will not be considered for award and shall indicate in general terms the basis for the determination.
d) Mission Capability Evaluation Sub Factors are as follows:
(1) Sub-Factor 1 - MANAGEMENT APPROACH: The Offeror will be evaluated on their ability to fulfill the PWS requirements, including how they plan to manage and administer these requirements.
Measure of Merit: The acceptable rating is met when the Offeror’s Management Approach provides a clear and comprehensive approach to meeting the requirements of the PWS. Reference 52.212-1 Addendum, Paragraph 7.a.iii.1.
(2) Sub-Factor 2 - PRODUCT SAMPLES: The Offeror will be evaluated on their ability to submit samples in accordance with the salient characteristics listed in the PWS.
Measure of Merit: The acceptable rating is met when:
(a) The Offeror has submitted one (1) set of bound samples for all proposed materials and products offered; which meet the salient characteristics listed in the PWS Sections 1.8 through 1.10, Appendix C, and D. Reference 52.212-1 Addendum, Paragraph 7.a.iii.1.
(b) The Offeror has submitted one (1) copy of manufacturers’ pre-printed technical data for each product sample offered, and the products that contain post-consumer recycled content are clearly marked. Reference 52.212-1 Addendum, Paragraph 7.a.iii.1.
3) PAST PERFORMANCE:
a) If no past performance information is submitted as a part of the Offeror’s proposal, the entire proposal will be considered non-responsive and will not be considered for award.
b) For those Offerors who do not have any relevant past performance information to submit, a statement to that effect will satisfy the requirement for a past performance volume. In such a case, that Offeror may be considered to have an unknown integrated past performance confidence assessment rating for evaluation purposes. However, if the Government has knowledge or gains knowledge through other sources regarding what the Government believes to be relevant past performance for an Offeror who states they have none, such information may be used by the Government for evaluation purposes and a past performance confidence assessment rating will be assigned to that Offeror’s proposal.
c) Technically acceptable Offerors will receive an Integrated Past Performance Confidence Assessment Rating based on the Offeror’s past and present performance as it relates to the probability of successfully accomplishing the required effort. The Integrated Past Performance Confidence Assessment Rating will be determined by combining two individual components: Relevancy and Quality of Past Performance.
i) RELEVANCY OF PAST PERFORMANCE: Determined by comparing the Offeror’s current and recent past performance (contracts that have not expired more than three (3) years ago) to the scope and complexity of the effort required by the Performance Work Statement. The Government is not bound by the Offeror's opinion of relevancy.
(1) Relevancy information will be obtained from:
(a) A review of each questionnaire submitted from Offeror’s sources assessing work which has been performed within the last three (3) years.
(b) A review of contract performance information from electronic posting systems such as Past Performance Information Retrieval System (PPIRS) and information independently obtained by the Government through other sources.
(c) A review of the information in the Offeror’s past performance proposal.
(2) Relevancy Rating will be assigned as follows:
Highly Relevant: Present/past performance effort involved essentially the same magnitude of effort and complexities this solicitation requires.
Relevant: Present/past performance effort involved much of the magnitude of effort and complexities this solicitation requires.
Somewhat Relevant: Present/past performance effort involved some of the magnitude of effort and complexities this solicitation requires.
Not Relevant: Present/past performance effort involved little or none of the magnitude of effort and complexities this solicitation requires.
(3) Relevancy shall be determined subjectively by the Government based on the information provided for each of the contracts submitted. The following table will be used in conjunction with the relevancy rating definitions provided above in determining each contract’s relevancy rating. Offerors must demonstrate by contracts submitted their experience (or team's experience) installing all flooring types specified in the PWS, experience with furniture lift systems, and asbestos abatement.
Sub factor 1 Management Approach
Highly Relevant
· Any contract showing experience working in occupied commercial buildings, removing the existing flooring material, purchasing and installing approximately 2,000 square yards of carpet.
and/or
· Any contract showing experience lifting approximately 100 workstations (system’s furniture) and moving executive office furniture and other portable furniture.
and/or
· Any contract showing experience identifying & abating asbestos containing flooring materials in the state of Ohio.
Relevant
· Any contract showing experience working in occupied commercial buildings, removing the existing flooring material, purchasing and installing approximately 1,000 square yards of carpet.
and/or
· Any contract showing experience lifting approximately 50 workstations (system’s furniture) and moving executive office furniture and other portable furniture.
· Any contract showing experience identifying & abating asbestos containing flooring materials in a state other than Ohio.
Somewhat Relevant
· Any contract showing experience working in occupied commercial buildings, removing the existing flooring material, purchasing and installing significantly less than 1,000 square yards of carpet or any contract showing experience installing carpet in new construction only.
· Any contract showing experience lifting approximately 25 workstations (system’s furniture) and moving executive office furniture and other portable furniture.
Not Relevant
· Any contract showing experience installing residential carpet.
· Any contract showing experience lifting significantly less than 25 workstations (system’s furniture).
ii) QUALITY OF PAST PERFORMANCE: Determined by examining documentation to identify how well the Offeror and their products actually performed on current and recent past contracts.
(1) Quality of Past Performance information will be obtained from:
(a) A review of each questionnaire submitted from Offeror’s sources assessing work which is being or has been performed within the last three (3) years.
(b) A review of contract performance information from electronic posting systems such as Past Performance Information Retrieval System (PPIRS) and information independently otherwise obtained by the Government through other sources.
(c) A review of the information in the Offeror’s proposal.
(2) Each contract evaluated for Quality will receive one of the following ratings:
Exceptional: During the contract period, contractor performance is meeting (or met) all contract requirements and consistently exceeding (or exceeded) many. Very few, if any, minor problems encountered. Contractor took immediate and effective corrective action.
Very Good: During the contract period, contractor is meeting (or met) all contract requirements and consistently exceeding (or exceeded) some. Some minor problems encountered. Contractor took timely corrective action.
Satisfactory: During the contract period, contractor performance is meeting (or met) all contract requirements. For any problems encountered, contractor took effective corrective action.
Marginal: During the contract period, contractor performance is not meeting (or did not meet) some contract requirements. For problems encountered, corrective action appeared only marginally effective, not effective, or not fully implemented. Customer involvement was required.
Unsatisfactory: During the contract period, contractor performance is failing (or fail) to meet most contract requirements. Serious problems encountered Corrective actions were either ineffective or non-existent. Extensive Customer oversight and involvement was required.
Not Applicable: Unable to provide a rating. Contract did not include performance for this aspect. Do not know.
iii) INTEGRATED PAST PERFORMANCE CONFIDENCE ASSESSMENT RATING: Determined by subjectively integrating the overall Relevancy and Quality of Past Performance data. This final assessment rating of the Offeror's past performance will be used by the Government in the best value award decision. Each Offeror will receive one of the following Integrated Past Performance Confidence Ratings:
Substantial Confidence: Based on the Offeror’s performance record, the Government has a high expectation that the Offeror will successfully perform the required effort.
Satisfactory Confidence: Based on the Offeror’s performance record, the Government has an expectation that the Offeror will successfully perform the required effort.
Limited Confidence: Based on the Offeror’s performance record, the Government has a low expectation that the Offeror will successfully perform the required effort.
No Confidence: Based on the Offeror’s performance record, the Government has no expectation that the Offeror will be able to successfully perform the required effort.
Unknown Confidence: No performance record is identifiable or the Offeror’s performance record is so sparse that no confidence assessment rating can be reasonably assigned. (See FAR 15.305(a)(2)(iv)
