Combined Synopsis/Solicitation for Long Range Daylight/Thermal Imaging Camera

Brand Name RFQ No.: FA5270-18-Q-A063 Issue Date: 25 July 2018

1. This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued. The solicitation number FA5270-18-Q-A063 is being issued as a Request for Quotation (RFQ). This notice and the incorporated provisions and clauses are those in effect through the Federal Acquisition Regulations (FAR). All responsible sources may submit a quotation.

2. The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular (FAC) 2005-99 - 15 Jun 2018 & 16 Jul 2018; DPN 20180629 - 29 Jun 2018; and AFAC 2018- 0525 - 25 May 2018.

3. The North American Industry Classification System (NAICS) code for this solicitation is 334220, Radio and Television Broadcasting and Wireless Communications Equipment Manufacturing. Small business size standards are not applicable to this acquisition.

4. Offerors must be registered in the System for Award Management (SAM) at http://www.sam.gov/, in order to be considered for award. A current copy of a prospective awardee’s Reps and Certs will be validated using the SAM website prior to the issuance of an award.

5. For information regarding the service acceptor or point of acceptance, please refer to DFARS 252.232-7006 (incorporated by full text) below.

6. The following commercial provisions and clauses are applicable to this acquisitions: FAR 52.212-1 along with its addenda, FAR 52.212-2, FAR 52.212-3, FAR 52.212-4, and FAR 52.212-5.

7. Except for what’s listed within this Combined Synopsis/Solicitation, there are no other additional terms and conditions that the Contracting Officer has considered to be necessary for this acquisition and consistent with commercial practices.

8. This is a “Brand Name” procurement. This notice is a request for quotations for the purchase of Long Range Daylight/Thermal Imaging Camera. Quotation received prior to the RFQ close date will be considered.

9. The Government contemplates a single Firm Fixed Priced purchase order resulting from this solicitation to the responsible offeror whose offer represents the best value in terms of price to the Government.

10. The Government intends to issue an order to the responsible offeror that meets following factor: Price and Technically Acceptability.

11. All quotations, and/or questions shall be submitted in writing, via email to Ms. Ava Sabado at ava.sabado.jp@us.af.mil. Quotes are due no later than 1100 hrs JST (Japan Standard Time) on 25 Aug 2018. Any potential amendments will be posted in the same fashion as the solicitation.

By submitting quotes via email, quoters assume all risk of quotes not getting through security measures and firewalls. Only files created using Microsoft WORD, Microsoft EXCEL, and/or Adobe .pdf files will be accepted.

No zip files will be accepted. The quoter may use AMRDEC SAFE https://safe.amrdec.army.mil/SAFE/ to upload the files if the total email is expected to exceed 7MB. When submitting quotes, email the file(s) by the solicitation closing date and time to the following email addresses: ava.sabado.jp@us.af.mil to notify the POC to ensure the receipts.

12. All quotes must remain valid until 1 October 2018.

13. Funds are not presently available for this requirement. The Government's obligation under this requirement is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the Contracting Officer.”

Addenda to FAR 52.252-1 INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS (JAN 2017)

(a) The following is inserted as new paragraph (m) of the provision:

“(m) Quotation Preparation Instructions.

(1) QUOTE PREPARATION INSTRUCTIONS

(a) To assure timely and equitable evaluation of quote, quoters must follow the instructions contained herein.

Quoters are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. Failure to meet a requirement may result in an offer being ineligible for award. Quoters must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.

(b) The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial quote, the contracting officer will review this determination and if, in the contracting officer’s opinion, adequate price competition exists no additional cost or pricing information will be requested. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists quoters may be required to submit information to the extent necessary for the contracting officer to determine the reasonableness and completeness of the price.

(2) SPECIFIC INSTRUCTIONS

(a) MISCELLANEOUS DATA.

Complete the necessary fill-ins and certifications in provisions and in the on-line Representations and Certifications at www.sam.gov. Unless the offeror submits, with their offer, a completed Provision 52.212-3 Alt I (JAN 2017), the representations and certifications completed at www.sam.gov will be used for this solicitation.

(b) PRICE Insert unit and extended prices in the unit price and total price blank in the Exhibit A. The extended amount must equal the unit price multiplied by the number of units.

(c) TECHNICAL INFORMATION Offeror shall submit all technical specifications (specs, catalogue, pictures etc.) for the Government to review in order to determine technical acceptability.

52.212-2 EVALUATION-COMMERCIAL ITEMS (OCT 2014)

(a) The government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the government, price and other factors considered. The following factors will be used to evaluate offers:

(2) Technical Acceptability

The technical aspect, when compared to price, is approximately equal to price. Technical acceptability will be determined by the requiring activity as subject matter experts. This requirement will be awarded to the vendor the lowest price technically acceptable.

The price evaluation will document the completeness and reasonableness of the total price. Reasonable price, technically acceptable quote will be determined to represent the best value. Technical acceptability will be determined by an evaluation of the quoted requirements that meet the technical criteria that is contained in the solicited item description. Award shall be based on All or None.

(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, will result in a binding contract without further action by either party. Before the offer's specified expiration time, the government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph

(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(a) Definitions. As used in this clause—

“Department of Defense Activity Address Code (DoDAAC)” is a six position code that uniquely identifies a unit, activity, or organization.

“Document type” means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).

“Local processing office (LPO)” is the office responsible for payment certification when payment certification is done external to the entitlement system.

(b) Electronic invoicing. The WAWF system is the method to electronically process Vendor payment requests and receiving reports, as authorized by DFARS 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(c) WAWF access. To access WAWF, the Contractor shall—

(1) Have a designated electronic business point of contact in the System for Award Management at https://www.acquisition.gov; and

(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this web site.

(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. (a) An ombudsman has been appointed to hear and facilitate the resolution of concerns from offerors, potential offerors, and others for this acquisition. When requested, the ombudsman will maintain strict confidentiality as to the source of the concern. CONCILIATION

Except as otherwise provided in this contract, any disagreement arising under this contract which is not resolved by the parties to this contract may be submitted to the United States-Japan Joint Committee for conciliation in accordance with Paragraph 10, Article XVIII, of the Status of Forces Agreement under Article VI of the Treaty of Mutual Cooperation and Security between Japan and the United States of America. Requests by the Contractor for conciliation shall be made in accordance with the following procedures:

(a) In the event the Contractor desires conciliation after the decision of the Contracting Officer has been served upon him, he will first file his appeal from such findings of fact with the appropriate authority in accordance with the clause of this contract entitled “Disputes”, and within the time limits described therein before filing a request for conciliation with the Joint Committee and then request the appellate authority under the clause of this contract entitled “Disputes”, to suspend its action on his appeal until such time as the Joint Committee has had an opportunity for effecting conciliation.

(b) The request for conciliation shall be submitted by the Contractor through the nearest Defense Facilities Administration Bureau, to the Contract Conciliation Panel of the Joint Committee. Upon the filing of the request with the Joint Committee, the Contractor shall immediately notify the Contracting Officer in writing that the request for conciliation has been filed.

(c) In the event the disagreement submitted to the Joint Committee under subparagraph (b) above has been resolved through conciliation, it will be the responsibility of the Contractor to notify the appellate authority designated in the clause of this contract entitled “Disputes”, of the settlement of the dispute and to withdraw his appeal.

(d) In the event the Contractor who has submitted a request for conciliation to the Joint Committee under subparagraph (b) above desires, notwithstanding pendency of his request for conciliation, that action by the appropriate authority under the clause of this contract entitled “Disputes”, be resumed on his appeal, it is his responsibility to so request the said authority in writing. The Joint Committee shall be immediately informed by the Contractor of his action taken hereunder.

(f) No request for conciliation can be submitted to the Joint Committee in the case of a dispute upon which the final decision of the appropriate authority under the clause of this contract entitled “Disputes”, has been rendered.

Pending the hearing of the conciliation panel, the Contractor shall proceed diligently with the performance of the contract in accordance with the Contracting Officer’s decision. The provisions of this clause shall not prejudice any right which the parties to the contract may have to file a civil suit.

FAR 52.212-4 paragraph (k) is changed to read:

TAX EXEMPTION CERTIFICATE

The contractor will submit requests for gasoline or diesel oil tax exemption certificates to the Contracting Officer.

This request will show the actual amount of gasoline or diesel oil used exclusively for the performance of this contract, with documentary evidence and detailed item breakdown to certify the accurate consumption of gasoline or diesel, or other necessary information and data as may be required. The Contracting Officer will issue to the contractor a Tax Exemption Certification for the actual amount of gasoline or diesel oil used exclusively for the performance of this contract. The contractor shall claim all tax and customs exemptions as listed below;

EXEMPTION FROM JAPANESE CUSTOMS DUTIES AND TAXES PURSUANT TO STATUS OF FORCES

AGREEMENT (AUG 2001)

(a) Paragraph 2, Article XI of the Status of Forces Agreement between Japan and the United States, authorizes the United States entry into Japan free from Japanese customs duties and all other charges on materials, supplies and equipment imported for the official use of the United States Armed Forces or for the exclusive use of such forces or ultimately to be incorporated into articles or facilities used by such forces.

(b) Paragraph 3, Article XII of said Status of Forces Agreement, authorizes the United States exemption from certain Japanese taxes for materials, supplies, equipment and services procured for official purpose in Japan by the United States Armed Forces or by authorized agencies of the United States Armed Forces. Currently, these taxes are: (1) Gasoline tax and local road tax on gasoline; (2) Diesel oil tax; (3) Liquefied petroleum tax, and (4) consumption tax.

(c) If you are the successful offeror, the Contracting Officer or his authorized representative will issue customs or tax exemption taxes in accordance with procedures agreed upon between the Government of Japan and the United States of America. Tax exemption certificates for either at the end of each month or upon termination of the contract. These can be applied against future purchases of motor fuel. They will be issued only to you as the prime contractor, so, if you employ a subcontractor or supplier who uses motor fuel, you must purchase the motor fuel to secure the exemption.
