52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (DEVIATION 2018-O0013)
Addenda to FAR 52.212-1, Instructions to Offerors—Commercial Items (DEVIATION 2018-O0013)
(a) Paragraph 52.212-1(c), “Period for Acceptance of Offers,” is tailored as follows: “The offeror agrees to hold the prices in its offer firm for 90 calendar days from the date specified for receipt of offers.”
(b) The following is inserted as new paragraph (m) of the provision:
“(m) Proposal Preparation Instructions.
A. To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or sub factors. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The response shall consist of two (2) separate parts; Part I
- Price Proposal, Part II – Technical Capability.
B. Specific Instructions:
1. PART I - PRICE PROPOSAL. Submit original electronic copy only
(a) This Part shall contain a completed Schedule of Supplies/Services and continuation sheets of SF 1449, blocks 19 – 24.
(b) Insert proposed unit prices and extended amounts for Contract Line Item Numbers (CLINs) X001 including all option periods. Do not put a price for CLIN X002. CLIN X002 is an informational only CLIN by the Government and will only be added IAW para. 2.6 of the PWS. The extended amount of the CLINs proposed on must equal the unit price multiplied by the number of units. It is imperative that mathematical calculations are correct; particular care should be taken to ensure the amounts match when using a spreadsheet program, such as Microsoft EXCEL. The unit prices and extended amounts are limited to two decimal places.
2. PART II - TECHNICAL CAPABILITY. Limited to no more than three (3) pages. Submit electronic copy only
The Offeror’s Technical Capability will be evaluated to determine Technical Acceptability. Offeror shall list, and clearly identify, the required licensing by the state and certification by appropriate federal and state regulatory agencies, IAW Section 8.6 of the attached Performance Work Statement (PWS) dated 21 June 2018.
C. Documents submitted in response to this RFP must be consistent with the following:
1. Requirements of the solicitation (CLINs and PWS) and Government standards and regulations pertaining to the PWS.
2. FAR 52.212-2, Evaluation—Commercial Items, of this solicitation.
3. If the Technical Narrative in a proposal exceeds the specified page limit cited in paragraph 2 above, the excessive pages will not be evaluated.
4. Format for Proposals shall be as follows:
*NOTE – The following information is to be understood if the Contracting Office were to print the proposals*
(a) Each Part shall be separately labeled and clearly identified on the file. The proposal shall contain a Table of Contents, Cross References, and the List of Tables and Drawings (if applicable). Cover pages, Table of Contents, and Tabs will not be counted against the page limits. However, those depicting tables, charts, graphs and figures will be counted. The number of copies of each part is specified in paragraph B, Specific Instructions, above.
(b) The proposals will be on 8 ½ in. by 11 in. paper.
(c) A page is defined as one face of a sheet of paper containing information. Two pages may be printed on one sheet of paper.
(d) All printing shall be single-spaced. Spacing characteristics are applicable to charts and graphs.
(e) Type font shall not be less than 10 point. Font/type size is applicable to charts and graphs.
(f) Page margins shall be a minimum of 1 inch top, bottom, and each side.
(g) One electronic copy of each Part of the entire proposal must be submitted. The electronic version of the proposal shall be submitted in a format readable by Microsoft Office 2010, which includes software programs such as Word, Excel, or PowerPoint. For those pages of the proposal that cannot be submitted using Microsoft Office, offerors shall include those pages electronically using Adobe Acrobat portable document files (.pdf) format.
(h) Offerors shall submit the electronic copy of the proposal via AMRDEC or email correspondence. Offerors assume all risk of proposals not getting through security measures and firewalls, upload issues, server outages or incorrectly typed email addresses. Only files created using Microsoft Word, Microsoft Excel, and/or Adobe pdf files, will be accepted; no zip files will be accepted. If using AMRDEC, the Offeror shall submit the proposal using the link and instructions at: https://safe.amrdec.army.mil/safe/. The Offeror will upload the proposal using this file exchange by selecting non-CAC user. Offerors may also send an email notification to the following email addresses: michael.chiti@us.af.mil, daniel.morphew@us.af.mil, and matthew.knoll@us.af.mil. In this email, please provide a confirmation that the proposal has been uploaded to AMRDEC, along with attaching a copy of the proposal itself.
**Note: Currently email/server issues prevent GCI.net email accounts from reaching Air Force email accounts.
It is the Offerors responsibility to ensure all communication and proposals reach the Government as described in this solicitation.
(i) Each Part shall be complete in itself and shall not reference information contained in other Parts. Page 1 of a Part is defined as the first page after the Table of Contents. All pages shall be numbered.
(j) Elaborate formats, bindings, and color presentations are not desired or required.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
Addenda to FAR 52.212-2, Evaluation - Commercial Items
A. The following is inserted as new paragraphs of the provision:
1. BASIS FOR CONTRACT AWARD: Price and other factors will be considered. The Government intends to evaluate proposals and award without discussions, but reserves the right to conduct discussions if deemed in its best interest. Therefore, the Offeror’s initial proposal should contain their best terms from a price and technical standpoint. Initially, the proposals will first be ranked by price. The lowest priced proposal will be evaluated for technical acceptability.
If the proposal is found technically acceptable by meeting the requirements of the PWS, award will be made without further consideration of any other proposals received. If it is found technically unacceptable, the Government will evaluate the next lowest priced proposal for technical acceptability until award can be made to the lowest priced technically acceptable Offeror(s). Proposals that fail to furnish required representations or information, or reject the terms and conditions of the solicitation, may be excluded from consideration of contract award.
2. Award will be made to the lowest priced, technically acceptable proposal from an Offeror.
(a) Price Evaluation Factor: The Government will rank all offers by Total Evaluated Priced (TEP).
The price evaluation will document the fairness and reasonableness of the TEP. In addition, each offeror’s separately priced line items or subline items may be analyzed to determine if the prices are unbalanced in accordance with FAR 15.404-1(g). The Government reserves the right to perform price realism analysis.
1) Total Evaluated Price: A TEP will be computed for each offer. The price of a six-month extension authorized by 52.217-8, Option to Extend Services, will be added to the proposed price for each potential contract performance period.
2) The TEP is a two-part computation. First, the offeror’s total proposed price will be determined by multiplying the quantities identified in the Pricing Schedule (SF 1449, continuation of blocks 19 – 24) by the unit price, limited to two decimal places, for each Contract Line Item Number (CLIN) to confirm the extended total amount for each CLIN; the sum of all extended amounts will be the offeror’s total proposed price. Second, the total proposed price (total amount for CLINs X001 plus the sum of Option to Extend Services clause 52.217-8 formula (shown below) will constitute the TEP.
The formula for the Option to Extend Services amount is as follows:
Base Year = CLIN Unit Amount x 0.5 Option Year 1 = CLIN Unit Amount x 0.5 Option Year 2 = CLIN Unit Amount x 0.5 Option Year 3 = CLIN Unit Amount x 0.5 Option Year 4 = CLIN Unit Amount x 0.5
**Evaluating the Option CLINs does not obligate the Government to exercise the Options.**
3) Offerors are cautioned to submit sufficient information and in the format specified in 52.212- 1, Instructions to Offerors – Commercial Items, of this solicitation. Offerors may be asked to clarify certain aspects of their proposals. Exchanges conducted to resolve minor or clerical errors will not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for proposal revision. The Government intends to award a contract without discussions with respective offerors. The Government, however, reserves the right to conduct discussions if deemed in its best interest.
4) Award will be made to the lowest priced offer, based on TEP, that meets the acceptability standards.
(b) Technical Evaluation Factor: The Offeror’s Technical Capability will be evaluated to determine Technical Acceptability. Offeror shall list, and clearly identify, the required licensing by the state and certification by appropriate federal and state regulatory agencies, IAW Section
8.6 of the attached Performance Work Statement (PWS) dated 21 June 2018.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (NOV 2017)
ALTERNATE I (OCT 2014)
The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at https://www.sam.gov/portal . If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision.
(a) Definitions. As used in this provision--
“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically https://www.sam.gov/portal disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
“Forced or indentured child labor” means all work or service—
(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—
(1) PSC 5510, Lumber and Related Basic Wood Materials;

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
“Sensitive technology”—
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
“Service-disabled veteran-owned small business concern”—
(1) Means a small business concern—
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
“Subsidiary” means an entity in which more than 50 percent of the entity is owned—
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
“Veteran-owned small business concern” means a small business concern—
(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
“Women-owned small business concern” means a small business concern --
(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and
(2) Whose management and daily business operations are controlled by one or more women.
“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127),” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability.
Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appear rights.
(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals Contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. §362 (the Bankruptcy Code).
