Excerpts from FAR 52.212-1 - Instructions, Conditions, and Notices to Offerors

ADDENDA TO 52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2015)

A. To assure timely and equitable evaluation of the proposal(s), the offeror must follow the instructions contained herein. The proposal(s) must be complete, self-sufficient, and respond directly to the requirements of this solicitation. The response shall consist of three (3) separate parts; Part I – Price Proposal and Part II - Past Performance Information and return of the FAR 52.212-3 “Offeror Representations and Certifications – Commercial Items,” and DFARS 252.212-7000.

The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer’s opinion, adequate price competition exists, no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines adequate price competition no longer exists offerors may be required to submit information other than cost or pricing data to support a determination of price reasonableness.

B. Specific Instructions:

1. PART I – PRICE PROPOSAL AND AMENDMENTS - Submit 1 (one) copy.

(a) Standard For (SF) 1449. Complete blocks 12, 17a, 30a, 30b, and 30c. In doing so, the offeror accedes to the contract terms and conditions as written in the solicitation and attachments.

(b) Complete the necessary fill-ins and certifications in provisions and in the on-line Representations and

Certifications at www.sam.gov. Return the provision FAR 52.212-3, Offeror Representations and Certifications-Commercial Items, along with the proposal. For other provisions and clauses in the solicitation, the offeror is required to submit the pages that require an offeror fill-in.

(c) This solicitation may be formally amended to incorporate changes to items such as the requirement or proposal due date. Offerors shall sign and return all published amendments with their proposal.

(d) This part shall contain a completed Schedule of Supplies/Services, continuation sheets of SF 1449, blocks

19-24.

(e) Insert proposed unit prices(s) and extended amount(s) in the Schedule of Supplies/Services for each

Contract Line Item Number (CLIN) or Sub CLIN, including all option periods. The proposal must be submitted for a 12 month base period plus four (4) Option Years. The extended amount must equal the unit price multiplied by the number of units. It is imperative the mathematical calculations are correct;

particular care should be taken to ensure the amounts match when using the EXCEL program and the rounding of figures, limited to two decimal places.

(f) Extreme care should be exercised to ensure no price data of any kind are included in any other part of the proposal.

2. PART II – PAST PERFORMANCE INFORMATION - Only references for same or similar type contracts are desired.

(a) Past Performance Survey/Questionnaire: The government will evaluate the quality and extent of offeror’s performance deemed relevant to the requirements of this solicitation. The government will use information submitted by the offeror and other sources such as other Federal government offices, state and municipal offices, and commercial sources, to assess performance. Provide a list of no more than three (3), of the most relevant contracts performed for Federal agencies and commercial customers within the last five years. Relevant contracts include: administrative services similar to the requirements of the PWS. The evaluation of past performance information will take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to the current acquisition.

However, subcontractor, and predecessor company information will not be considered as highly as past performance information for the principal offeror. Furnish the following information for each contract referenced:

1. Company/Division name

2. Product/Service

3. Contracting Agency/Customer

4. Contract Number

5. Contract Dollar Value

6. Period of Performance

7. Verified, up-to-date name, address, FAX, and telephone number of the contracting officer

8. Comments regarding compliance with contract terms and conditions. The Government will use information submitted by the offeror and other sources such as other Federal Government offices, state and municipal offices, and commercial sources, to assess performance. If no Past Performance is available the offeror may not be evaluated favorably or unfavorably on past performance: the offeror will receive a neutral rating.

(b) If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past/present performance information on previous teaming arrangements with same partner. If this is a first time joint effort, each party to the arrangement must provide a list of past and present relevant contracts.

(c) Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide with the proposal a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.

(d) Documents submitted in response to this solicitation must be consistent with the following list of items.

Failure to do so may result in a proposal being eliminated from consideration:

1. Requirements of the solicitation (CLINs and PWS) and government standards and regulations pertaining to the PWS.

2. FAR 52.212-2, Evaluation – Commercial Items, of this solicitation.

3. Proposal Submissions: The proposal can be sent as an email attachment, and must be addressed to both points of contact below. Additionally, the proposal can be mailed to:

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

A. The Government will award a contract resulting from this solicitation to the responsible offeror whose offer, conforming to the solicitation, will be most advantageous to the Government, price and other factors considered.

The following factors shall be used to evaluate offers:

1. PAST PERFORMANCE

2. PRICE

The relative importance of past performance is appromixately equal to price. Past performance will be rated in accordance with the confidence assessment ratings table below.

B. Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

C. A written notice of award or acceptance of an offer mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

ADDENDA TO 52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

BASIS FOR CONTRACT AWARD:

This is a competitive selection, in which competing offeror’s price, and past performance will be evaluated. The evaluation process shall proceed as follows:

A. PRICE – Initially, the proposals will be ranked according to their total proposed price, inclusive of options, as identified in the Pricing Schedule. An offeror’s proposed prices will be determined by multiplying the quantities identified in the Pricing Schedule by the unit price for each item to confirm the extended amount for each. The offeror’s Price proposal will be evaluated, using one or more of the techniques defined in FAR 15.404, in order to determine if it is reasonable. For a price to be reasonable, it must represent a price to the Government that a prudent person would pay in the conduct of competitive business. Normally, price reasonableness is established through price analysis techniques as described in FAR 15.404.

B. PAST PERFORMANCE – The past performance of the company whose proposal represents the lowest overall price will then be evaluated. Using a survey/questionnaire, see attachment 4, the Contracting Officer shall seek relevant performance information on the offeror’s ability to successfully provide qualified staff based on (1) past performance evaluation survey/questionnaire (completed by the evaluation team via telephone inteview ) and (2) data independently obtained from other Government and commercial sources. Relevant contracts include:

administrative services similar to the requirements of the PWS. The purpose of the past performance evaluation is to allow the Government to assess the offeror’s ability to perform the effort described in the RFP, based on the offeror’s demonstrated present and past performance.

Offerors with no relevant past or present performance history shall receive the rating “Neutral Confidence”, meaning the rating is treated neither favorably nor unfavorably. If the offeror’s performance record is so limited that no confidence assessment rating can be reasonably assigned, a “Neutral Confidence” rating will also be given. Past performance relevancy will be rated as follows:

Past Performance Relevancy Rating Method:

Adjectival Rating

Description

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

Performance Confidence Assessments Rating Method:

Adjectival Rating

Description

Substantial Confidence Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence

Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Neutral Confidence

No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance.

Limited Confidence Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence

Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

In evaluating past performance, the Government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this solicitation.

If the lowest priced offeror is judged to have a “Substantial Confidence” past performance rating, that offer represents the best value for the government and the evaluation process stops at this point. Award shall be made to the offeror without further consideration of any other offers.

The Government reserves the right to award a contract to other than the lowest priced offeror. If the lowest priced offeror is not judged to have a “Substantial Confidence” performance assessment, the next lowest priced offeror will be evaluated and the process will continue (in order by price) until an offeror is judged to have a

“Substantial Confidence” performance assessment or until all offerors are evaluated. If no offerors are judged to have “Substantial Confidence” when considering price and past performance, the Source Selection Authority shall then make an integrated assessment best value award decision.

Offerors are cautioned to submit sufficient information and in the format specified in the RFP preparation instructions. Offerors may be asked to clarify certain aspects of their proposal or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comments received from sources without a formal rating system.

Communication conducted to resolve minor or clerical errors will not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for proposal revision.

The Government intends to award a contract without discussions with respective offerors. The Government, however, reserves the right to conduct discussions if deemed in its best interest. (End of provision)
