(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(d) Inspection/Acceptance. The Contractor shall tender for acceptance only those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. The Government must exercise its postacceptance rights--

(1) Within a reasonable period of time after the defect was discovered or should have been discovered; and

(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.

(e) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence, such as acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.

(f) Termination for the Government's convenience. The Government reserves the right to terminate this contract, or any part hereof, for its sole convenience. In the event of such termination, the Contractor shall immediately stop all work hereunder and shall immediately cause any and all of its suppliers and subcontractors to cease work. Subject to the terms of this contract, the Contractor shall be paid a percentage of the contract price reflecting the percentage of the work performed prior to the notice of termination, plus reasonable charges that the Contractor can demonstrate to the satisfaction of the Government, using its standard record keeping system, have resulted from the termination.

The Contractor shall not be required to comply with the cost accounting standards or contract cost principles for this purpose. This paragraph does not give the Government any right to audit the Contractor's records. The Contractor shall not be paid for any work performed or costs incurred that reasonably could have been avoided.

(g) Termination for cause. The Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor, or if the Contractor fails to comply with any contract terms and conditions, or fails to provide the Government, upon request, with adequate assurances of future performance. In the event of termination for cause, the Government shall not be liable to the Contractor for any amount for supplies or services not accepted, and the Contractor shall be liable to the Government for any and all rights and remedies provided by law. 5352.242-9000 Contractor Access to Air Force Installations

As prescribed in 5342.490-1, insert a clause substantially the same as the following clause in solicitations and contracts:

CONTRACTOR ACCESS TO AIR FORCE INSTALLATIONS (NOV 2012)

(a) The contractor shall obtain base identification and vehicle passes, if required, for all contractor personnel who make frequent visits to or perform work on the Air Force installation(s) cited in the contract. Contractor personnel are required to wear or prominently display installation identification badges or contractor-furnished, contractor identification badges while visiting or performing work on the installation.

(b) The contractor shall submit a written request on company letterhead to the contracting officer listing the following: contract number, location of work site, start and stop dates, and names of employees and subcontractor employees needing access to the base. The letter will also specify the individual(s) authorized to sign for a request for base identification credentials or vehicle passes. The contracting officer will endorse the request and forward it to the issuing base pass and registration office or Security Forces for processing. When reporting to the registration office, the authorized contractor individual(s) should provide a valid driver’s license, current vehicle registration, valid vehicle insurance certificate, and social security to obtain a vehicle pass.

(c) During performance of the contract, the contractor shall be responsible for obtaining required identification for newly assigned personnel and for prompt return of credentials and vehicle passes for any employee who no longer requires access to the work site.

(d) When work under this contract requires unescorted entry to controlled or restricted areas, the contractor shall comply with AFI 31-101, Integrated Defense, and AFI 31-501, Personnel Security Program Management citing the appropriate paragraphs as applicable.

(e) Upon completion or termination of the contract or expiration of the identification passes, the prime contractor shall ensure that all base identification passes issued to employees and subcontractor employees are returned to the issuing office.

(f) Failure to comply with these requirements may result in withholding of final payment.

STATEMENT OF WORK

STATEMENT OF WORK

1. SCOPE OF WORK. The Contractor shall provide all personnel, equipment, tools, materials, supervision, and other items and services necessary to provide aircraft static display and demonstration flights in accordance with this statement of work (SOW).

1.2. CONTRACTOR. The Contractor hereby agrees to provide its aircraft for static display and 5 formation flight demonstrations at Joint Base Andrews 2017 Air Show within the limitations prescribed by Federal Aviation Regulation Waiver (FAA Form 7711-1) on the dates specified in paragraph 1.5 of this SOW, provided weather and site conditions permit.

1.3. PERFORMANCE. Contractor agrees to be a ground public static display on 15-Seotember -17 September and provide 1 demonstration flight per day from 13 September 2017 through 17 September 2017, with the aircraft’s departure being made immediately after the demonstration flight of the 17th of September. The Government shall determine if weather conditions allow the conduct of any flight by the Contractor.

1.4. COMPENSATION. The Government hereby agrees to compensate the Contractor at the rate specified.

Advance payment is not authorized, nor will the Contractor be paid any deposit. If the Contractor is on site and ready to perform, but cannot perform due to circumstances outside of their control, the Contractor will be paid 100% of the performance fee. If after the aircraft arrival only part of the demonstration flights have been supplied fuel will be negotiated and dispensed at a level commensurate to the Contractor's flights completed. If for any reason the Government cancels the show with at least 90 days notice prior to the date of the Air Show, no compensation will be made to the Contractor. If this cancellation is made within 90 days of the Air Show, the Contractor will be paid 25% of the performance fee. All payments for performance, or for full or partial cancellations will be made in accordance with paragraph 1.12 of this SOW.

1.4.1. DONATIONS. In accordance with Air Force policy, the Contractor shall not solicit donations as additional compensation from the public on an Air Force installation unless the contractor is a legitimate "War Bird" 501c3 private organization. Air Force shows are free to the public. The Contractor may not display or present any signage or person charge for an admission fee in any way, shape, or form to tour an aircraft or display. However, unsolicited donations are permissible as long as no signage or person block or interfere with entry by the public.

1.4.2. MEMORALBIA SALES. The sales of merchandise articles are permitted provided all merchandise items are specific to Contractor’s aircraft and not otherwise available from Government’s contracted vendor. Government will provide adequate space for Contractor to place its ground support trailer and merchandising tent adjacent to the aircraft while on static display.

1.5. AIR SHOW SCHEDULE. The Joint Base Andrews 2017 air show will be conducted for the public on 13 September through 17 September 2017. Specific flight demonstration times for all dates are to be determined by the Government and will be provided at a later date.

1.6. CONTRACTOR'S LIABILITY INSURANCE. The Contractor shall maintain personal liability insurance with limits of one million dollars ($1,000,000.00) per aircraft/occurrence for bodily injury or property damage.

Civil Aircraft Certificate of Insurance (DD Form 2400) to provide evidence of the required coverage will be provided to the Government upon request, and before filing FAA waivers prior to commencement of performance under this agreement. Civil Aircraft Landing Permit (DD Form 2401) and Civil Aircraft Hold Harmless Agreement (DD Form 2402) will also be required at this time.

1.7. FUEL. As compensation for 5 demonstration flights the Government will provide the following:

- 2,500 gallons of aviation fuel (100LL Avgas).

1.8. LODGING. The Contractor will not include a fee for lodging; Joint Base Andrews will provide 6 rooms for the duration of the show, (nights of 12 September – 16 September).

1.9. TRANSPORTATION. The Contractor will not include a fee for ground transportation; Joint Base Andrews will provide two fully insured vehicles for use during the duration of the Joint Base Andrews Air Show, (12 September – 17 September).

1.10. HANGAR SPACE. The Government will provide hangar space on a non-interference basis free of charge.

Available hangar space is limited. Contractor's requiring hangar space will coordinate with the Government for this space. Every effort will be made to house Contractor aircraft in a fully enclosed and secure hangar as required, during the course of the Air Show. Aircraft security on the parking ramp will be provided during all hours for the duration of the event. The Government will provide crowd control such that the show aircraft are protected from the spectators at all times while at the show site.

1.11. DEPOSITS. The Government will not pay any deposits or make advance payments.

1.12. PAYMENTS. All Contractor costs will be inclusive, and will be paid in one lump sum. Payment will be made within 30 days after receipt of a proper invoice. All invoices and payment will be submitted and made through the Wide Area Work Flow electronic business website (www.wawf.eb.mil).

1.13. GOVERNMENT CONTRACTOR. The Contractor and his/her employees will perform service in accordance with this SOW as a Contractor, not as a Government agent or employee. The Contractor and employees are employed to render professional aviation services only, and any payment made by the Government is compensation solely for such services rendered.
