Prohibition on Contracting with Entities that Require Certain Internal Confidentiality Agreements
(FEB 2015)
(a) The contractor shall not require employees or subcontractors seeking to report fraud, waste, or abuse to sign or comply with internal confidentiality agreements or statements prohibiting or otherwise restricting such employees or subcontractors from lawfully reporting such fraud, waste, or abuse to a designated investigative or law enforcement representative of a Federal department or agency authorized to receive such information.
(b) The contractor shall notify employees that the prohibition and restrictions of any internal confidentiality agreements covered by this clause are no longer in effect.
(c) The prohibition in paragraph (a) of this clause does not contravene requirements applicable to Standard Form 312, Form 4414, or any other form issued by a Federal department or agency governing the nondisclosure of classified information.
(d)(1) In accordance with section 743 of Division E, Title VII, of the Consolidated and Further Continuing Resolution Appropriations Act, 2015 (Pub. L. 113-235), use of funds appropriated (or otherwise made available) under that or any other Act may be prohibited, if the Government determines that the contractor is not in compliance with the provisions of this clause.
(2) The Government may seek any available remedies in the event the contractor fails to comply with the provisions of this clause.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records - Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and
(d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) of this paragraph in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause-

(a) The Government may extend the term of this contract by written notice to the Contractor prior to the expiration of the initial contract period or any option period; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years.

DOI ELECTRONIC INVOICING Electronic Invoicing and Payment Requirements - Invoice Processing Platform (IPP) (April 2013)
Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform System (IPP).
"Payment request" means any request for contract financing payment or invoice payment by the Contractor.
To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions - Commercial Items included in commercial item contracts. Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice:

The Contractor must use the IPP website to register, access and use IPP for submitting requests for payment. The Contractor Government Business Point of Contact (as listed in SAM will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) within 3 - 5 business days of the contract award date. Contractor assistance with enrollment can be obtained by contacting the IPP Production Helpdesk via email ippgroup@bos.frb.org or phone (866) 973-3131.
If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Contractor must submit a waiver request in writing to the Contracting Officer with its proposal or quotation.

SUBPART 42.15 CONTRACTOR PERFORMANCE INFORMATION (DIAPR) 2010-14,
Amendment 1
CONTRACTOR PERFORMANCE ASSESSMENT REPORTING SYSTEM (JULY 2010)
(a) FAR 42.1502 directs all Federal agencies to collect past performance information on contracts. The Department of the Interior (DOI) has implemented the Contractor Performance Assessment Reporting System (CPARS) to comply with this regulation. One or more past performance evaluations will be conducted in order to record your contract performance as required by FAR 42.15.
(b) The past performance evaluation process is a totally paperless process using CPARS. CPARS is a web-based system that allows for electronic processing of the performance evaluation report. Once the report is processed, it is available in the Past Performance Information Retrieval System (PPIRS) for Government use in evaluating past performance as part of a source selection action.
(c) We request that you furnish the Contracting Officer with the name, position title, phone number, and email address for each person designated to have access to your firm's past performance evaluation(s) for the contract no later than 30 days after award. Each person granted access will have the ability to provide comments in the Contractor portion of the report and state whether or not the Contractor agrees with the evaluation, before returning the report to the Assessing Official. The report information must be protected as source selection sensitive information not releasable to the public.
(d) When your Contractor Representative(s) (Past Performance Points of Contact) are registered in CPARS, they will receive an automatically-generated email with detailed login instructions. Further details, systems requirements, and training information for CPARS is available at http://www.cpars.csd.disa.mil/. The CPARS User Manual, registration for On Line Training for Contractor Representatives, and a practice application may be found at this site.
(e) Within 60 days after the end of a performance period, the Contracting Officer will complete an interim or final past performance evaluation, and the report will be accessible at http://www.cpars.csd.disa.mil/.
Contractor Representatives may then provide comments in response to the evaluation, or return the evaluation without comment. Comments are limited to the space provided in Block 22. Your comments should focus on objective facts in the Assessing Official's narrative and should provide your views on the causes and ramifications of the assessed performance. In addition to the ratings and supporting narratives, blocks 1 - 17 should be reviewed for accuracy, as these include key fields that will be used by the Government to identify your firm in future source selection actions. If you elect not to provide comments, please acknowledge receipt of the evaluation by indicating "No comment" in Block 22, and then signing and dating Block 23 of the form. Without a statement in Block 22, you will be unable to sign and submit the evaluation back to the Government. If you do not sign and submit the CPAR within 30 days, it will automatically be returned to the Government and will be annotated: "The report was delivered/received by the contractor on (date). The contractor neither signed nor offered comment in response to this assessment."
Your response is due within 30 calendar days after receipt of the CPAR.
(f) The following guidelines apply concerning your use of the past performance evaluation:
(1) Protect the evaluation as "source selection information." After review, transmit the evaluation by completing and submitting the form through CPARS. If for some reason you are unable to view and/or submit the form through CPARS, contact the Contracting Officer for instructions.
(2) Strictly control access to the evaluation within your organization. Ensure the evaluation is never released to persons or entities outside of your control.
(3) Prohibit the use of or reference to evaluation data for advertising, promotional material, preaward surveys, responsibility determinations, production readiness reviews, or other similar purposes.
(g) If you wish to discuss a past performance evaluation, you should request a meeting in writing to the Contracting Officer no later than seven days following your receipt of the evaluation. The meeting will be held in person or via telephone or other means during your 30-day review period.
(h) A copy of the completed past performance evaluation will be available in CPARS for your viewing and for Government use supporting source selection actions after it has been finalized.

4. Submission Requirements for Quote: Proposals shall be signed and dated. Proposals may be submitted on the SF 18 or letterhead stationery. As a minimum, proposals must show—
a. The solicitation number;
b. The name, address, and telephone number of the contractor;
c. Technical Proposal – The proposal must address the three technical evaluation criteria stated below and show how you propose to meet the stated requirements;
i. Key Personnel and Personnel Management
ii. Strategic Organizational Development Program System Knowledge & Approach
iii. Past Performance
d. Price Quote – A firm-fixed price for the line items listed in the solicitation.
e. Remit to address, if different than mailing address;
f. Acknowledgment of Solicitation Amendments; and
g. Include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Proposals that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
5. Period for acceptance of offers: The bidder agrees to hold the prices in its proposal firm for 60 calendar days from the date specified for receipt of proposals, unless another time period is specified in an addendum to the solicitation.
6. Any quote, modification, revision, or withdrawal of a proposal received at the Government office designated in the solicitation after the exact time specified for receipt of proposals is “late” and will not be considered. 7. Contract award: The Government intends to evaluate proposals and award a contract without discussions with contractors. Therefore, the contractor’s initial proposal should contain the contractor’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all proposals if such action is in the public interest; accept other than the lowest priced proposal; and waive informalities and minor irregularities in proposals received.
8. Data Universal Numbering System (DUNS) Number: The contractor shall enter, in the block with its name and address on the cover page of its proposal, the annotation “DUNS” or “DUNS+4” followed by the DUNS or DUNS+4 number that identifies the contractor’s name and address. The DUNS+4 is the DUNS number plus a 4-character suffix that may be assigned at the discretion of the contractor to establish additional SAM records for identifying alternative Electronic Funds Transfer (EFT) accounts (see FAR Subpart 32.11) for the same concern. If the contractor does not have a DUNS number, it should contact Dun and Bradstreet directly to obtain one. A contractor within the United States may contact Dun and Bradstreet by calling 1-866-705- 5711 or via the internet at http://fedgov.dnb.com/webform. A contractor located outside the United States must contact the local Dun and Bradstreet office for a DUNS number. The contractor should indicate that it is a contractor for a Government contract when contacting the local Dun and Bradstreet office.
9. System for Award Management: Unless exempted by an addendum to this solicitation, by submission of a proposal, the contractor acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the contractor does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered contractor. Contractors may obtain information on registration and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.
10. Debriefing: Notification to unsuccessful suppliers will be given to all offerors. If requested, a debrief explanation of the basis for the contract award decision will be provided.

Evaluation Factors for Award
I. BASIS OF AWARD
a. To determine the best value contractor, a source selection process will be used that involves evaluation of four factors. The four evaluation factors are: (1) Key Personnel and Personnel Management, (2) Strategic Organizational Development Program System Knowledge & Support,
(3) Past Performance, and (4) Price. Overall, the Technical Approach factors are more important than the Price factor.
b. Award shall be made to the responsible Offeror whose proposal is determined to be the most advantageous to the Government, with appropriate consideration given to the evaluation factors.
Pricing shall be evaluated in accordance with completeness and reasonableness criteria that are described below. The technical features of each proposal shall be evaluated against the Request for Proposal (RFP) requirements, assessing the strengths and weakness of each proposal in light of evaluation criteria that is described below. Non-pricing features of an offeror’s proposal shall be evaluated in such a manner as to assess the value of those features as compared to the proposed prices or costs to the Government. Implicit in this process is the Government’s willingness to accept other than the lowest priced offer, if the added benefits of a higher priced offer outweigh the additional cost or price involved.
c. The factors of Technical Approach shall be evaluated using reasoned judgment that results in the assignment of a rating as follows: Outstanding, Excellent, Acceptable, Marginal, or Unacceptable.
The grading for each criterion will be based on the following adjectives:
Outstanding (5): Greatly exceeds the minimum requirements of the qualitative merit criterion in a way that is beneficial to the Government. There are no significant weaknesses.
Excellent (4): Exceeds the minimum requirements of the qualitative merit criterion in a way that is beneficial to the Government. There are no significant weaknesses.
Acceptable (3): Meets the minimum requirements of the qualitative merit criterion. There may be minor but correctable weaknesses.
Marginal (2): May meet the requirements of the qualitative merit criterion. There are apparent or moderate weaknesses that are correctable.
Unacceptable (1); Fails to meet qualitative merit criterion. There are unacceptable weaknesses.
d. In the case of the Past Performance evaluation factor, a rating of Acceptable, Neutral or Unacceptable will be assigned. The Offeror’s experience will be evaluated on the degree of relevance to the requirement on the basis of similarity in size, scope, complexity, technical difficulty, contract type, and period of performance. Only recent experience will be evaluated.
Evaluations may include interviews with previous clients of the prime contractor and subcontractors and may include interviews with previous clients of proposed personnel. The Offeror’s experience with and knowledge of issues and problems of similarly-sized organizations will be evaluated. Past Performance Assessments: The Offeror’s past performance will be evaluated on the basis of information contained in the Offeror's proposal and the information that the Government obtains through other means. The past performance evaluation will assess the Offeror’s record of providing high quality services of a similar nature in a manner that ensures maximum accuracy, throughput, cost effectiveness and overall client satisfaction. If some of the Offeror’s experience is relevant and the rest is not, only the relevant experience will be evaluated for purposes of past performance.
e. The Government intends to award a contract without discussions but reserves the right to hold discussions if determined by the Government to be in its best interests. The Government may communicate with an Offeror in order to clarify, verify, or obtain additional information. Such communications will not constitute discussions within the meaning of FAR subpart 15 and will not obligate the Government to make a competitive range determination, conduct discussions, or solicit or entertain revised proposals.
f. Each proposal should be submitted in a format that is representative of the items to be evaluated in the order that they are described below.
II. EVALUATION FACTORS
a. FACTOR 1 - Technical Approach – Key Personnel and Personnel Management (Maximum of 5 pages)
Demonstrate resources to accomplish the requirements set forth in the SOW with autonomy and flexibility.
The offeror shall describe how they can meet the following criteria:
1) Performance, expertise and availability to meet the requirements of the Statement of work.
2) Resumes of the personnel suggested.
3) Demonstrate an understanding of the work to be undertaken and the offeror’s approach to the unique management issues posed by the contract and effectiveness of the offeror’s use of staff and/or subcontractors, both in terms of cost and in terms of meeting unique technical needs and variable workload.
b. FACTOR 2 – Technical Approach – Strategic Organizational Development Program System Knowledge & Support (Maximum of 5 pages)
The offeror shall describe their familiarity with conservation management, biology, fisheries, biology, or other conservation sciences best practices and standards. The offeror should specify their approach for developing conservation-related partnerships with accredited colleges or universities, conservation-related intern programs for foster care and at-risk youth, and enhancements and Support for an enterprise-wide Strategic Organizational Development Program. Provide evidence of effective understanding of relevant areas of program management, organizational development, leadership development, change management, mentoring and coaching, academic program advisor, conservation practices, and professional coalition building and how the technical approach supports the Service’s Statement of Work requirements. Offeror should provide documentation to support professed examples of any such methods, tools, or plans.
In addition to the items mentioned above, the following criteria will be evaluated:
1) Level of experience with implementation & support of Strategic Organizational Development Programs
2) Understanding of best practices and requirements for design and implementation of Strategic Organizational Development Programs.
c. FACTOR 3 – Past Performance
The offeror shall submit a narrative description of their past performance in providing similar products over the past three (3) years. The offeror shall demonstrate it has acceptable past performance in providing products of the same or similar scope, size, and complexity of this solicitation scope of work. The offeror shall describe projects in sufficient detail for the Government to perform an evaluation of the offeror’s past performance. At a minimum, the offeror shall provide 3 projects with the following information:

In addition to the above, the offeror may also include performance recognition documents received within the last three years, such as awards, award fee determinations, customer letters of commendation, and any other forms of performance recognition. Additionally, the Government may review any other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the Past Performance Information Retrieval System (PPIRS), including Contractor Performance Assessment Reporting System (CPARS), using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror’s proposal, inquiries of owner representative(s), Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Reporting System (eSRS), and any other known sources not provided by the offeror.
d. FACTOR 4 – PRICE
The offeror shall submit a complete price proposal for the line items identified in the solicitation.
The Government will evaluate the proposed price for reasonableness.
