CENSUS FIELD ASSESSMENT SERVICES

B.1

TASK ORDER TYPE

This is Firm Fixed Price contract for services.

B.2

FUNDING

Funds for the services will be obligated at the time of task order award. The Contractor will only be paid for effort that has been authorized by the Government and performed in accordance with the Task Order specifications.

B.3

PRICE

In consideration of the Contractor’s full performance of the work identified through Section C.3.1.1, and in accordance with the terms of the task order, the U.S. Census Bureau will pay the Contractor a fixed price of $ (to be proposed) for the base period and all option periods as provided through Compensation and Payment Provisions. Contractor’s price includes any and all costs and expenses, direct and indirect, as well as any profit, fee, or any markups of any nature.

B.4

TRAVEL

Travel expenses incurred during the contract performance shall be paid on a cost-reimbursement basis. The total travel cost incurred during the Base Period shall not exceed the following respective amount authorized:

C.1

STATEMENT OF WORK/SPECIFICATIONS

The Contractor shall furnish the necessary personnel, materials, equipment, services and facilities (except as otherwise specified) to perform the following Statement of Work/Specifications.

C.2

BACKGROUND

The U.S. Census Bureau serves as the leading source of quality data about the people and economy of the United States. It is the largest statistical agency of the Federal Government. The Census Bureau conducts numerous surveys and censuses to collect, process, and disseminate demographic and economic statistics. This data provides benchmarks to measure, understand, anticipate, and respond to changes in the nation’s social and economic conditions.

The U.S. Census Bureau 2020 Census Directorate is responsible for planning and execution of the 2020 decennial census, the largest peacetime operation of the federal government. The U.S. Census Bureau is researching modern and cost efficient methods to conduct the 2020 census. The 2020 census is being completely reengineered to take better advantage of technology, management systems, administrative records and other changes to significantly improve the quality of operations, and to save costs to the taxpayers.

C.3

OBJECTIVE / SCOPE OF WORK

The objective of this contract is to provide advisory services in evaluating the reengineered 2020 decennial census design in the field. The advisory services includes an assessment of the 2016 Census test in Houston and Los Angeles, an assessment of the 2016 Address Canvassing test, an assessment of the 2017 Census test, an assessment of the 2018 End-to-end test, and a decennial census readiness review of each of the six regional offices in 2017 and in 2018.

The contractor shall assess effectiveness of the training for enumerators and local supervisors of operations in the newly designed field enumeration operation in each of the test sites. In addition, the contractor shall assess the effectiveness of the technology, as it is enhanced and improved each year and the effectiveness of the remote census field management during each test from the local census office and the regional census center.

The contractor shall provide for guidance and advice to senior leadership at the Census Bureau on census field tests, field operations, the staffing span of control in operations, the partnership program, field geography operations and evaluation of other special field and office operations as required by Census Bureau leadership.

C.4

SPECIFIC TASKS

C.4.1 Task 1 – Evaluation of Field Operations (managing and in-field operations) and their continued improvement

The activity spans the entirety of the contract life cycle.

Through observing and assessing the performance of remote management of and in-field operations in selected locations during each of the planned census tests, the contractor shall recommend methods for improving performance during the next scheduled test throughout the testing life cycle. Specifically, the contractor shall:

· Observe and assess the performance of census enumerators and supervisors in selected locations during the 2016 Census test, the 2017 Census test, and the 2018 End-to-end test. The contractor shall evaluate the reengineered census field and office operations flows and processes to identify areas of weakness, areas that need to be improved, areas that cause issues/problems for the field enumerators and field supervisors, and other areas that need to be enhanced/improved. The contractor shall provide a written report containing the collected observations and recommendations to the Census Bureau management.

· Observe and assess office staff in the selected Regional Office/Regional Census Center who will conduct remote management of the 2016 Census test, the 2017 Census test, and the 2018 End-to-end test. The contractor shall evaluate the reengineered census office operations flow and processes to identify areas of improvement before the 2020 census occurs. The contractor shall provide a written report containing the collected observations and recommendations to the Census Bureau management.

· Additionally, throughout all tests, the contractor shall assess the effects of the changes in the reengineered census operations in the field and office operations within the current organizational culture that operates in the Census Bureau’s Field Division, and in the Regional Offices. The contractor shall provide a written report containing the collected observations and recommendations to the Census Bureau management.

· The contractor shall attend and participate in meetings and debriefings about the 2016 Census test, the 2017 Census test, and the 2018 End-to-end test as requested. The contractor shall provide Census Bureau management with necessary documentation for use during these meetings. This documentation may include formal reports on findings and recommendations, planning and scheduling documents, and specific research reports as determined by the Census Bureau management.

C.4.2 Task 2 – Evaluation of the 2016 Address Canvassing Test This activity occurs during the Base Year of the contract.

· The 2016 Address Canvassing Test is unique from other tests with its emphasis on geographic and address listing considerations.

· The contractor shall observe and assess census field staff performance conducting the Address Canvassing test in the fall of 2016. The contractor shall evaluate geographic field canvassing training sessions, procedures, the ease of field listing, ease of using the technology to list housing units, ease of adding new units, deleting units and making changes to unit addresses and/or descriptions. The contractor shall provide a written report containing the collected observations and recommendations to the Census Bureau management.

· The contractor shall attend and participate in meetings and debriefings about the 2016 Address Canvassing test as requested. The contractor shall provide Census Bureau management with necessary documentation for use during these meetings. This documentation may include formal reports on Provide ad hoc guidance and assessment of census operations through documentation and written analysis of tasks identified by senior leadership. This documentation may include formal reports on findings and recommendations, planning and scheduling documents, and specific research reports as determined by the Census Bureau management.

C.4.3 Task 3 - Evaluate Decennial Census Readiness of each of the Six Regional Offices

This activity occurs in Option Years 1 and 2 of the contract.

· The contractor shall visit each of the six Regional Offices in early 2018 and early 2019 and assess decennial census readiness of each Regional Office. The contractor shall evaluate the management staff on board, the plans to staff key positions, outreach efforts planned in the region for the next two plus years, and recruiting and staffing plans for enumerators.

· The contractor shall also evaluate the space/leasing concerns for office space for all Local Census Offices, and plans to target difficult (hard to count) areas in the region for enumeration (i.e., American Indian Reservations, Island areas, linguistically isolated areas, Colonia’s, etc.) and identify any issues/concerns/challenges moving toward the 2020 census.

· The contractor shall provide a written report containing the collected observations, concerns and recommendations to the Census Bureau management.

· The contractor shall attend meeting with 2020 leadership to present findings and discuss concerns and recommendations going forward.

C.4.4 Task 4 – Provide Executive Guidance and Advice to the 2020 Leadership Team

The activity spans the entirety of contract life cycle.

· The contractor shall provide guidance and advice to the Census Bureau management. Guidance shall be specifically relating to different aspects about the planning of census field operations: regional census center operations, staffing needs in field operations at Census Bureau headquarters and in the six regions, space leasing of regional and local office space, field recruiting operations, regional and headquarters partnership programs, regional decennial geographic operations, special place operations, enumeration of special and difficult population groups, field safety issues, field administrative issues (onboarding, payroll, personnel, EEO operations, etc.) as well as other activities encompassed in the field operations management structure. The contractor shall attend/ participate in scheduled conference calls, email communications and prepare reports as requested by the Census

· The contractor shall assess the 2016, 2017 and 2018 field operations planning efforts. The contractor shall evaluate the reengineered census field operations to identify areas of improvement before 2020 Decennial census activities occur. The contractor shall provide a written report containing the collected observations and recommendations to the Census Bureau management.

· The contractor will attend and participate in scheduled meetings with 2020 census leadership, including monthly briefings. Attend and participate in meetings as requested by Census Bureau management with internal stakeholders and external stakeholders and advisors (i.e. National Academy of Science, Government Accountability Office, etc.), to describe field observations from the different census tests. The contractor shall provide to the Census Bureau management necessary documentation as requested by the Census Bureau for use during the meetings. This documentation may include formal reports on findings and recommendations, planning and scheduling documents, and specific research reports as determined by the Census Bureau management.

· The contractor will provide ad hoc guidance and assessment of census operations through oral reporting, documentation and written analysis of tasks identified by senior leadership. This documentation may include formal reports on findings and recommendations, planning and scheduling documents, staffing documents, and other specific research reports as determined by the Census Bureau management.

C.5

ESSENTIAL SKILLS

Principal Consultant - The Contractor shall provide a full-time, Principal Consultant. This position is designated as key personnel through Section H.10. The Principal Consultant shall be responsible for the overall operation and management of the required services and shall act as a central point of contact with the Government.

The Principal Consultant shall possess the following sets of skills:

· Knowledge and have a depth of experience in decennial census operations including field operations, special place operations, non-response follow-up, address listing and canvassing, partnership activities, decennial communications activities, decennial recruiting and staffing, field geography, and Regional Census Center operations.

· Advanced skill level using graphics, spreadsheet, project management, and word processing software such as: Microsoft Office Suite: Visio, Access, Word Power Point, Publisher, Project, and Excel.

· Skilled at writing, reviewing, and editing professional documents, such as training materials, presentations, memoranda, etc.

C.6.

PLACE OF PERFORMANCE

The place of performance for this requirement will be at the contractor’s facility and at Census Bureau Field locations as required.

C.7 TRAVEL REQUIREMENTS

Additional support and special projects within the scope of this contract may involve travel. The Contractor shall perform necessary travel as directed and approved by the Contracting Officer’s Representative (COR). All travel shall be performed in accordance with Government travel rules and reimbursement in accordance with Federal Travel Regulations (FTR) in place at the time of travel occurrence.

Travel shall not be undertaken without prior consent of the and written approval of the COR.. Requests for travel must include the following information:

i) Name of traveler,

ii) Dates of travel,

iii) Destination(s)

iv) Purpose of travel,

v) Estimated transportation costs,

vi) Estimated lodging expense,

vii) Estimated meals and incidental expenses, and

viii) Other expenses.

The Government will reimburse travel expenses in accordance with applicable provisions of the FTR. Unless authorized by the Contracting Officer, reimbursement of lodging, meals and incidental expenses will not exceed the applicable rates set forth in the FTR for the travel destinations.

C.9

C.10 PERSONNEL SECURITY/ SUITABILITY CLEARANCE REQUIREMENTS

All contract personnel who will have access to U.S. United States United States Census Bureau data or have access to a United States United States Census Bureau site shall have a Census Bureau approved background investigation prior to gaining access to the Census Bureau. Census Bureau approved background investigations may include the Applicant Name Check, the National Agency Check and Inquiry (NACI), Special Agreement Check (OFI-86C), and/or other Census Bureau approved previous investigation(s). These requirements also pertain to contractor project supervisors, contractor management officials, and other contract personnel who plan to visit a United States United States Census Bureau site or access Census Bureau data.

Once the Contracting Officer or his/her designee receives a favorable pre-employment report from the OSY, upon issuance of a Census Bureau Contractor badge, and prior to access of a United States United States Census Bureau facility, the contract employee shall be required to complete the Census Bureau form BC-1759, Application for Special Sworn Status, shall take the Census Bureau Oath of Non-disclosure of the data, and shall be subject to penalties prescribed in Title 13, United States Code, Section 214. This requirement also pertains to contract project supervisors, contract management officials, and other contract personnel who may come into contact with T13 data.

Should the Contracting Officer or designee receive an unsuitable report on any contract employee as a result of processing the required forms, or should an existing employee under this contract become unsuitable or unfit for assigned duties in this regard, the Contractor shall be advised by the Government that such employee cannot be assigned to work or continue to work under the contract. The Contractor shall immediately remove any such employee and begin the process to replace him/her with a suitable substitute.

Potential contract employees who have previously had their suitability determined may not need to submit forms, pending verification to the Census Bureau by the prior Government agency or unless one (1) calendar year or more has elapsed since they last started work under a Census Bureau or General Services Administration contract. These potential contract employees shall, however, submit, in lieu of Census Bureau required paperwork and prior to Census Bureau employment, a statement on the prior agency’s letterhead that they have a current suitability determination. In addition to being submitted on the respective agency's letterhead, the statement shall also list the following: Full Name, Social Security Number, Date of Birth, and a Point-of-Contact, including an up-to-date telephone number, contract number(s), and performance dates for contracts on which they have or are currently participating, which required such a determination.

The U.S. Government conducts background investigations to establish that applicants are suitable for the job. Census Bureau approved background investigations may include the Applicant Name Check, the National Agency Check and Inquiry (NACI), Special Agreement Check (OFI-86C) and/or other Census Bureau approved previous investigations. They will be required to complete the following:

· Personal Identification Verification (PIV) Online Training

· I-9 Form, Employment Eligibility Verification

· SF-85, Questionnaire for Non-Sensitive Positions

· Fingerprints

· OF-306, Declaration for Federal Employment D.1 Payment of Postage and Fees All postage and fees related to submitting information, including forms, reports, etc., to the Contracting Officer (CO) or the Contracting Officer's Representative (COR) shall be paid by the contractor.

D.2 Marking All information submitted to the CO or the COR shall clearly indicate the Task Order number and for which the information is being submitted.

D.3 Packing and Shipping Material shall be packed for shipment in such a manner that will ensure acceptance by common carriers and safe delivery at the destination. Containers and closures shall comply with the Interstate Commerce Commission regulations, Uniform Freight Classification Rules, or regulations of other carriers as applicable to the mode of transportation. All items are to be packed for domestic shipment to comply with standards and practices of the industry to ensure safe delivery without mars, scratches, dents or other damages. Shipping containers shall be plainly and substantially marked to show the Task Order number and a brief description of contents.

D.4 CAR 1352-247-70 Packing for Domestic Shipment (Mar 2000) Material shall be packed for shipment in such a manner that will ensure acceptance by common carriers and safe delivery at destination. Containers and closures shall comply with the Interstate Commerce Commission regulations, Uniform Freight Classification rules, or regulations of other carriers as applicable to the mode of transportation.

(a) The Contracting Officer or the duly authorized representative will accept services provided under this contract.

(b) The place of acceptance will be performed at the COR’s location through Section G.1.2.

E.4 Deliverable Acceptance criteria

All contractor-produced documents and documentation (‘work products’) identified through Section F shall meet the following general acceptance criteria. Final inspection and acceptance of all work performed, reports and other deliverables will be performed at the place of delivery by the Census Bureau’s COR.

The COR will inspect draft and final work products and deliverables within an agreed-to schedule after receipt for completeness, accuracy, appropriateness and format and return them to the Contractor for correction or augmentation as required. If corrections are required, the contractor shall make corrections and resubmit work product or deliverable within an agreed-to schedule after receipt of rejected deliverable from the Government. Final acceptance will be provided by the COR in writing to the Contractor after final approval.

· Accuracy – Work products and deliverables shall be accurate in presentation, technical content, and adherence to accepted elements of style as described through government-provided standards.

· Technical Content - Work products shall provide expert comments on procedures, specifications and data review.

· Clarity ( Work Products shall be unambiguous and relevant. Any/all diagrams shall be easy to understand and be relevant to the supporting narrative.

· Consistency to Requirements ( All work products must satisfy the requirements of this request for solution.

· Format ( Work products shall be submitted in hard copy (where applicable) and in electronic form using the Census Bureau’s standard word processing software (currently Microsoft 2010).

· Completeness ( Work products shall be comprehensive and entirely developed as described through government-provided standards.

F.3 DELIVERABLES

The contractor shall provide reports and/or briefings as required through all areas of the requirement including but not limited to the following:

F.3.1 Monthly Activity Reports - The contractor shall submit a monthly activity report, which shall include a narrative summary of the contractor’s performance during the preceding month. The summary shall address daily operations and progress and include, at a minimum, the following information:

It is the expectation of the government that observations from field and office procedures will be reported on a monthly basis through this report. Additionally, the contractor shall list the meetings and debriefings attended through the reporting period and the topics covered in these meetings/debriefings. The contractor shall note the supporting documentation provided at these meetings /debriefings: formal reports, planning and scheduling documents and/or research reports.

The contractor shall deliver the status report via email to the COR by the due date. The contractor shall submit the first report to the COR at the completion of the monthly period in which services were performed.

After the delivery of the first report, the COR will notify the contractor of any changes or corrections that are required. The COR will make a final determination on the Contractor's report format. Once approved, the contractor shall follow the approved format on a monthly basis. Any deviations/changes must be approved by the COR.

F.3.2 Activity 1, 2, 3 & 4 Reports - The contractor shall provide the reports identified above in Activity 1, 2, 3, and 4. Each report will contain summary observations and finding on the following topics that are relevant to the observations and assessments of the areas identified as relevant to each activity:

· Field and Office staff training

· Field and Office staff operations procedures

· Field and Office Supervision procedures

· Remote Management

· Remote Office Operations

· Remote Analytics tools and techniques

· Geographic field canvassing techniques

· Address Listing Procedures

· Regional Office readiness

· Regional Office Space/Leasing Concerns

· Outreach efforts, including targeting of hard-to-enumerate areas

· Staffing assessments

The contractor shall identify in the reports issues/concerns and areas of improvements in the above relevant topics.

The government reserves the right to change or add topics to the content of the reports on each report.

F.3.3 Additional Documentation – The contractor shall provide documents as requested to support discussions at meetings. The documentation may include additional reports (see below), planning and scheduling documents, other documents to be identified.

F.3.4 Advisory Reports - The contractor will provide advisory report(s) when requested by the government. Topics included but not limited to the following:

· Planning of census field operations
· special place operations
· regional census center operations
· enumeration of special and difficult population groups
· staffing needs in field operations at Census Bureau headquarters and regions
· field administrative issues

WORK PRODUCTS AND DELIVERABLES ACCEPTANCE CRITERIA

All contractor-produced documents and documentation (‘work products’) shall meet the following general acceptance criteria. Final inspection and acceptance of all work performed, reports and other deliverables, will be performed at the place of delivery by the Census Bureau’s COR and lead personnel within the Census Bureau’s Manufacturing and Construction (MCD) Division:

· Accuracy – Work products and deliverables shall be accurate in presentation, technical content, and adherence to accepted elements of style as described through government-provided standards.

· Clarity ( Work Products shall be unambiguous and relevant. Any/all diagrams shall be easy to understand and be relevant to the supporting narrative.

· Consistency to Requirements ( All work products must satisfy the requirements of this statement of work.

· Format ( Work products shall be submitted in hard copy (where applicable) and in electronic form using the Census Bureau’s standard word processing software (currently Microsoft 2010).

· Completeness ( Work products shall be comprehensive and entirely developed as described through government-provided standards.

· All contractor-produced documents and documentation (‘work products’) shall meet the following general acceptance criteria. Final inspection and acceptance of all work performed, reports and other deliverables, will be performed at the place of delivery by the Census Bureau’s COR.

Significant deficiencies are findings by reviewing officials of serious omissions, inaccuracies, noncompliance with legal requirements and standards, and failures to adhere to review protocols and accepted procedures. Examples include, but are not limited to the following:

· Omission of required documents.

· Documents that do not conform to approved standards for content and format.

· Review packages that are not organized.

· Documents with material errors or inadequacies.

· Review packages with record of required reviews and approvals.

F.6 Contractor Performance Evaluations

a. The Government will conduct annual and final performance evaluations in accordance with FAR Subpart 42.15, Contractor Performance Information. In addition to the evaluation, the Government may conduct interim evaluations.

b. All performance evaluations must be completed by the COR and submitted to the CO. The CO will submit the completed evaluation to the Contractor for comment. The Contractor will have 30 days in which to respond. The CO and Contracting Officer Representative will consider any comments provided by the Contractor.

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

F.8 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor prior to contract expiration provided that the Government gives the Contractor a preliminary written notice of its intent to extend prior to the first day of the option period. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years.

CONTRACT MANAGEMENT

Notwithstanding the Contractor's responsibility for total management responsibility during the performance of the contract, the administration of the contract will require maximum coordination between the Government and the Contractor during performance of the contract.

G.1.1

CAR 1352.201-70 CONTRACTING OFFICER’S AUTHORITY (APR 2010)

The Contracting Officer is the only person authorized to make or approve any changes in any of the requirements of this contract, and, notwithstanding any provisions contained elsewhere in this contract, the said authority remains solely in the Contracting Officer. In the event the contractor makes any changes at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the Task Order terms and conditions, including price.

G.1.2 CAR 1352.201-72 Contracting Officer’s Representative (APR 2010)

(b) The responsibilities and limitations of the COR are as follows:

(1) The COR is responsible for the technical aspects of the contract and serves as technical liaison with the contractor. The COR is also responsible for the final inspection and acceptance of all deliverables and such other responsibilities as may be specified in the contract.

(2) The COR is not authorized to make any commitments or otherwise obligate the Government or authorize any changes which affect the contract price, terms or conditions. Any contractor request for changes shall be referred to the Contracting Officer directly or through the COR. No such changes shall be made without the express written prior authorization of the Contracting Officer. The Contracting Officer may designate assistant or alternate COR(s) to act for the COR by naming such assistant/alternate(s) in writing and transmitting a copy of such designation to the contractor.

G.2 CAR 1352.237-74 Progress reports (Apr 2010) The contractor shall submit, to the Government, a progress report in accordance with the deliverable schedule. The contractor shall deliver progress reports that summarize the work completed during the performance period, the work forecast for the following period, and state the names, titles and number of hours expended for each of the contractor’s professional personnel assigned to the contract, including officials of the contractor. The report shall also include any additional information--including findings and recommendations -- that may assist the Government in evaluating progress under this contract. The first report shall include a detailed work outline of the project and the contractor’s planned phasing of work by reporting period.

G.3.

Travel The Census Bureau anticipates minimal travel is required. Travel shall not be undertaken without prior written approval from the COR. Requests for travel must include the following information:

· Name of traveler,

· Dates of travel,

· Destination(s),

· Purpose of travel,

· Estimated transportation costs,

· Estimated lodging expense,

· Estimated meals and incidental expenses, and

· Other expenses.

The Government will reimburse travel expenses in accordance to the applicable Federal Travel Regulations (FT) provisions at the time of travel occurrence. No G&A fee or profit may be charged nor paid on travel and per diem.

G.6 Procedures For Invoicing The Federal Register, Page 52591, Volume 64, No. 188, dated September 29, 1999, requires that submitted invoices must include specific information in order for the Government to make payment. Additionally, the U.S. Census Bureau has supplemented these requirements. Contractors may use Standard Form 1034 – Public Voucher for Purchases and Services Other than Personal (Part 53 of the Federal Acquisition Regulation under FAR 53.301-1034) or they may submit a company generated voucher. However, no matter what type of voucher is submitted, it must contain the information described below.

· Name and Address of Contractor

· Contact Name, Title and Telephone Number

· Government Task Order number

· Date of the Invoice

· Invoice Number, Account Number, or any other identifying number agreed to by the order (At a minimum there must be an invoice number)

· Include the Actual date when services were performed or goods delivered.

· Include the Period of Performance on all invoices.

· Description – Including, for example, contract line/subline number, price, and quantity of goods and services rendered.

· Invoice Total for the Current Month

· Invoice Total to Date

· Funds Remaining

· Percent of Allocated Funds Invoiced to Date

Invoices, which are submitted to an incorrect office, or which do not contain the information specified above, will be returned to the Contractor for corrections. The final invoice under this contract shall be marked “FINAL.” IT IS THE CONTRACTOR’S RESPONSIBILITY FOR ENSURING THE VOUCCHERS ARE DELEIVERED TO THE FINANCE DIVISION. THE CO AND COR ARE NOT RESPONSIBLE FOR ENSURING THE ADVANCED COPIES OF THE VOUCHERS ARE PROVIDED TO THE FINANCE DIVISION.

H.1 CAR 1352.208-70 RESTRICTIONS ON PRINTING & DUPLICATING (APR 2010)

(a) The contractor is authorized to duplicate or copy production units provided the requirement does not exceed 5,000 production units of any one page or 25,000 production units in the aggregate of multiple pages. Such pages may not exceed a maximum image size of 10-3/4 by 14-1/4 inches. A "production unit" is one sheet, size 8-1/2 x 11 inches (215 x 280 mm), one side only, and one color ink. Production unit requirements are outlined in the Government Printing and Binding Regulations.

(b) This clause does not preclude writing, editing, preparation of manuscript copy, or preparation of related illustrative material as a part of this contract, or administrative duplicating/copying (for example, necessary forms and instructional materials used by the contractor to respond to the terms of the contract).

(c) Costs associated with printing, duplicating, or copying in excess of the limits in paragraph (a) of this clause are unallowable without prior written approval of the Contracting Officer. If the contractor has reason to believe that any activity required in fulfillment of the contract will necessitate any printing or substantial duplicating or copying, it shall immediately provide written notice to the Contracting Officer and request approval prior to proceeding with the activity. Requests will be processed by the Contracting Officer in accordance with FAR 8.802.

(d) The contractor shall include in each subcontract which may involve a requirement for any printing, duplicating, and copying in excess of the limits specified in paragraph (a) of this clause, a provision substantially the same as this clause, including this paragraph (d).

H.2 CAR 1352.209-72 RESTRICTIONS AGAINST DISCLOSURE (APR 2010)

(a) The contractor agrees, in the performance of this contract, to keep the information furnished by the Government or acquired/developed by the contractor in performance of the contract and designated by the Contracting Officer or Contracting Officer’s Representative, in the strictest confidence. The contractor also agrees not to publish or otherwise divulge such information, in whole or in part, in any manner or form, nor to authorize or permit others to do so, taking such reasonable measures as are necessary to restrict access to such information while in the contractor’s possession, to those employees needing such information to perform the work described herein, i.e., on a “need to know” basis. The contractor agrees to immediately notify the Contracting Officer in writing in the event that the contractor determines or has reason to suspect a breach of this requirement has occurred.

(c) The contractor agrees that it will not disclose any information described in subsection (a) to any person unless prior written approval is obtained from the Contracting Officer. The contractor agrees to insert the substance of this clause in any consultant agreement or subcontract hereunder.

H.3 CAR 1352.209-73 COMPLIANCE WITH THE LAWS (APR 2010)

The contractor shall comply with all applicable laws, rules and regulations which deal with or relate to performance in accord with the terms of the contract.

H.4 CAR 1352.209-74 ORGANIZATIONAL CONFLICT OF INTEREST (APR 2010)

(a) Purpose. The purpose of this clause is to ensure that the contractor and its subcontractors:

(1) Are not biased because of their financial, contractual, organizational, or other interests which relate to the work under this contract, and

(2) Do not obtain any unfair competitive advantage over other parties by virtue of their performance of this contract.

(b) Scope. The restrictions described herein shall apply to performance or participation by the contractor, its parents, affiliates, divisions and subsidiaries, and successors in interest (hereinafter collectively referred to as “contractor”) in the activities covered by this clause as a prime contractor, subcontractor, co-sponsor, joint venturer, consultant, or in any similar capacity. For the purpose of this clause, affiliation occurs when a business concern is controlled by or has the power to control another or when a third party has the power to control both.

(c) Warrant and Disclosure. The warrant and disclosure requirements of this paragraph apply with full force to both the contractor and all subcontractors. The contractor warrants that, to the best of the contractor’s knowledge and belief, there are no relevant facts or circumstances which would give rise to an organizational conflict of interest, as defined in FAR Subpart 9.5, and that the contractor has disclosed all relevant information regarding any actual or potential conflict. The contractor agrees it shall make an immediate and full disclosure, in writing, to the Contracting Officer of any potential or actual organizational conflict of interest or the existence of any facts that may cause a reasonably prudent person to question the contractor’s impartiality because of the appearance or existence of bias or an unfair competitive advantage. Such disclosure shall include a description of the actions the contractor has taken or proposes to take in order to avoid, neutralize, or mitigate any resulting conflict of interest.

(d) Remedies. The Contracting Officer may terminate this contract for convenience, in whole or in part, if the Contracting Officer deems such termination necessary to avoid, neutralize or mitigate an actual or apparent organizational conflict of interest. If the contractor fails to disclose facts pertaining to the existence of a potential or actual organizational conflict of interest or misrepresents relevant information to the Contracting Officer, the Government may terminate the contract for default, suspend or debar the contractor from Government contracting, or pursue such other remedies as may be permitted by law or this contract.

(e) Subcontracts. The contractor shall include a clause substantially similar to this clause, including paragraphs (f) and (g), in any subcontract or consultant agreement at any tier expected to exceed the simplified acquisition threshold. The terms “contract,” “contractor,” and “Contracting Officer” shall be appropriately modified to preserve the Government’s rights.

(f) Prime Contractor Responsibilities. The contractor shall obtain from its subcontractors or consultants the disclosure required in FAR Part 9.507-1, and shall determine in writing whether the interests disclosed present an actual, or significant potential for, an organizational conflict of interest. The contractor shall identify and avoid, neutralize, or mitigate any subcontractor organizational conflict prior to award of the contract to the satisfaction of the Contracting Officer. If the subcontractor’s organizational conflict cannot be avoided, neutralized, or mitigated, the contractor must obtain the written approval of the Contracting Officer prior to entering into the subcontract. If the contractor becomes aware of a subcontractor’s potential or actual organizational conflict of interest after contract award, the contractor agrees that the Contractor may be required to eliminate the subcontractor from its team, at the contractor’s own risk.

(g) Waiver. The parties recognize that this clause has potential effects which will survive the performance of this contract and that it is impossible to foresee each circumstance to which it might be applied in the future. Accordingly, the contractor may at any time seek a waiver from the Head of the Contracting Activity by submitting such waiver request to the Contracting Officer, including a full written description of the requested waiver and the reasons in support thereof.

H.5 CAR 1352.209-75 TITLE 13 AND NON-DISCLOSURE REQUIREMENTS (APR 2010)

The Census Bureau’s data are protected by Title 13 of the United States Code. The contractor may not use Title 13 data for any purpose other than the intended purpose for which it is supplied or obtained. All contractor personnel who will have access to Title 13 data must take an oath and complete the Census Bureau Form BC-1759 (Special Sworn Status) that requires nondisclosure of Title 13 data. An authorized Census employee or a Notary Public must administer the oath of nondisclosure.

SEQ CHAPTER \h \r 1H.6 CAR 1352.231-71 DUPLICATION OF EFFORT (APR 2010) The contractor hereby certifies that costs for work to be performed under this contract and any subcontract hereunder are not duplicative of any costs charged against any other Government contract, subcontract, or other Government source. The contractor agrees to advise the Contracting Officer, in writing, of any other Government contract or subcontract it has performed or is performing which involves work directly related to the purpose of this contract. The contractor also certifies and agrees that any and all work performed under this contract shall be directly and exclusively for the use and benefit of the Government, and not incidental to any other work, pursuit, research, or purpose of the contractor, whose responsibility it will be to account for it accordingly.
