C.1 STATEMENT OF WORK

STATEMENT OF WORK

DEFENSE ADVANCED RESEARCH PROJECTS AGENCY (DARPA)

STRATEGIC TECHNOLOGY OFFICE (STO)

OFFICE-WIDE SCIENTIFIC ENGINEERING AND TECHNICAL ASSISTANCE (SETA) SUPPORT

1. Mission: The Defense Advanced Research Projects Agency’s (DARPA) Strategic Technology Office (STO) is focused on technologies that enable fighting as a network to increase military effectiveness, cost leverage, and adaptability.

STO's mission areas include: Battle Management, Command and Control (BMC2); Communications and Networks; Intelligence, Surveillance, and Reconnaissance (ISR); Electronic Warfare (EW); Positioning, Navigation, and Timing (PNT); and Foundational Strategic Technologies and Systems.

2. Support Requirements: STO requires SETA support in developing the office strategy, developing programs to implement this strategy, and in executing these programs. Technical support must be of sufficient caliber to enable SETA personnel to work collaboratively with STO’s Government Management Personnel (GMP), Program Managers (PMs), and other PM SETAs in executing these tasks. Administrative support must be of sufficient caliber to maintain an efficient and professional office environment while facilitating the efforts of STO’s GMP and PMs. All contractor personnel employed under the resulting contract will be subject to a contractor provided, Government approved, Organizational Conflict of Interest Mitigation Plan. All services described in this SOW shall be nonpersonal services, and the contractor shall not perform inherently governmental activities.

3. Structure of Support/Tasks: STO requires SETA support to GMP for the following tasks:

3.1. Leadership of SETA services and management of SETA contract: STO requires strong leadership that will contribute to program, and overall office success. This leadership must support the development of the office strategy and help with identification of new program opportunities and their subsequent planning. SETA contract management requires development and execution of an effective management plan to ensure the highest possible quality for all tasks, personnel, and actions performed under the contract. The support provided to STO under the SETA contract must be proactive with SETA personnel taking the initiative in discovering opportunities, uncovering problems, and recommending solutions. The Government estimates, at a minimum, that it will require approximately one man-year to provide this support. Examples of such support include but are not limited to:

3.1.1. Supporting the development of the annual STO strategy and preparation of the strategy briefing. This includes identification of national security challenges as well as technical opportunities in the STO core competency areas.

3.1.2. Leading the Technical (see 3.2.1), Planning and Execution (see 3.2.2), Administrative Functions (see 3.3), Contracting/Procurement Assistance (see 3.4), Presentation Support (see 3.5), and Subject Matter Expert (SME) (see 3.6) teams in performing the support/tasks referenced in paragraph 3.1.

3.1.3. Supporting the development of new programs, including the preparation of new start briefings, with particular focus on assisting new program managers prior to the assignment of program SETA personnel.

3.1.4. Supporting program reviews, to help ensure programs are meeting their technical and financial objectives.

3.1.5. Supporting the development of the annual review and Congressional program review briefings.

3.1.6. Administering, managing and having the necessary authorities over all SETA personnel, including consultants and sub-contractors, with unfettered access to actual services performed and hours billed.

3.1.7. Providing STO management insight into status and issues concerning the performance of all services provided under the resulting contract.

3.1.8. Proactive, strategic planning to optimize support provided under the resulting contract in order to ensure STO is efficient and adaptive in executing its mission. In particular, the contractor shall employ proactive business process improvement to identify unnecessary administrative efforts and to propose more efficient and effective approaches.

3.1.9. Developing a SETA team that effectively balances necessary management discipline and controls with maximum support to and minimum burden imposed upon STO’s GMP and PMs.

3.1.10. Orienting and providing training to all new and existing personnel employed under the resultant contract on a continuous basis to ensure that services are provided efficiently and seamlessly and to ensure global awareness of new applicable processes, procedures and policies.

3.1.11. At the beginning of performance under this contract, delivering a plan for transition of Office-wide SETA Support services from the previous contract without interrupting or affecting the quality of services. This plan will be provided on the first day of performance and will be updated weekly and submitted to STO for up to 8 weeks. The contractor should assume that there is at least 14 days available at the beginning of performance for meeting with the previous contractor, which would include receipt of turnover books, training on processes, procedures and legacy systems, scheduled calendar events, as well as any other tasks required to provide continuity to STO operations. If the resulting contractor is the current contractor, the plan will be tailored to adapt to any new personnel, processes, or procedures that are in the resulting contractor’s proposal.

3.1.12. At the end of this contract, developing and delivering a plan for transition of Office-wide SETA Support services to a new contractor without interrupting or affecting the quality of services. This plan will be due sixty (60) days prior to the end of the period of performance and include timeframes for meeting with the follow-on contractor, development of turnover books, training on processes, procedures and legacy systems, scheduled calendar events, as well as any other tasks required to provide continuity to STO operations.

3.2. Program Control: STO requires support on all matters concerning technical/programmatic progress, issues/problem resolution, performance, scheduling, cost, resources, security and other related matters. This includes the monitoring of programs from cradle, (i.e. its early planning stages), to grave (i.e. through transition). For example, during the program planning phase, STO requires the ability to track key progress indicators to include, at a minimum, briefing development status, studies status, and contract solicitation status. During the program execution phase for example, STO requires the ability to set up processes to track execution details at an individual performer contract level. This may include, at a minimum, the collection, analysis, and continuous monitoring of monthly performer contractor technical and financial reports for each and every program in STO; as well as the collection, analysis, and continuous monitoring of corresponding commitment and obligations phase plan projections. Throughout the process, the coordination and cooperation among these various support disciplines is paramount. The contractor must clearly demonstrate how these various support disciplines will collaborate with one another to deliver a comprehensive approach to program control where data calls that may require the gathering of detailed programmatic information can be quickly and easily accessed by the Government. The Government estimates, at a minimum, it will require a total of twelve and a half man-years to provide support required to accomplish the sub tasks identified below. Examples of such sub taskings include, but are not limited to:

3.2.1. Technical Support Sub Task (The Government estimates that this sub task will require approximately five and a half man-years of technical support).

3.2.1.1. Strategic planning, with development of those technical, financial and programmatic materials necessary to execute STO programs, based on legislation, DoD guidance, DoD science and technology thrusts, DoD advanced technology demonstration priorities, and Defense Science Board recommendations to verify emerging technical growth areas for future STO investment within the timeframe requested.

3.2.1.2. Via Subject Matter Expert (SME) panels, conduct military needs analyses and technical assessments of efforts by industry, universities, and the military laboratories to determine feasibility of current and planned STO efforts within the timeframe requested.

3.2.1.3. Providing technical support for the implementation of the strategic plan to evaluate the status and impact of the STO portfolio. This may include the establishment of tiger teams to conduct red team analysis and provide post-test/experiment analysis as needed.

3.2.1.4. Assisting with the transition of technologies to include the identification of technical user requirements according to the parameters and timelines required by the requestor.

3.2.1.5. Providing technical writing support to the specifications and within the timelines requested.

3.2.1.6. Planning, arranging and hosting of meetings and conferences within the timeframe requested.

3.2.1.7. Attending and providing material/logistical support at meetings and conferences according to the parameters and timelines requested.

3.2.1.8. Investigate areas of opportunity, establish best practices, and identify methods (i.e. tradeshows, conferences, publications) to promote DARPA/STO to the research community. A goal of this subtask will be to help bolster the identification process of DARPA/STO PM candidates for recruiting purposes.

3.2.1.9. Drafting and updating an overarching strategic plan for STO. The strategic plan will include appropriately phased schedules and milestones, tasks to be accomplished and a prioritized resource allocation list. All items in the plan will be fully integrated and dependencies will be clear.

3.2.1.10. Creation/maintenance/tracking/support of taskings and actions to execute STO wide and DARPA wide special projects, events, and meetings.

3.2.2. Planning and Execution Sub Task (The Government estimates that this sub task will require, at a minimum, approximately seven man-years of program analyst support).

3.2.2.1. Creation/maintenance/tracking of templates, collaborative databases and documents to track program planning status and execution according to DARPA and STO guidelines.

3.2.2.2. Creation/maintenance/tracking/support to execute Broad Agency Announcements (BAA's) and other key contract documents to include Source Selection documentation in accordance with DARPA guidelines to maintain accurate, auditable records.

3.2.2.3. Creation/maintenance/tracking/support to execute Program Approval Documents (PAD's) and other DARPA internal documentation in accordance with DARPA guidelines to maintain accurate, auditable records.

3.2.2.4. Creation/maintenance/tracking of STO program planning status documentation including schedules showing planned milestones and events in accordance with DARPA guidelines to maintain accurate, auditable records.

3.2.2.5. Creation/maintenance/tracking /support to execute STO seedlings in accordance with DARPA guidelines to maintain accurate, auditable records.

3.2.2.6. Creation/maintenance/tracking/support to execute STO Small Business Innovation Research/Small Business Technology Transfer (SBIR/STTR) research efforts in accordance with DARPA guidelines to maintain accurate, auditable records.

3.2.2.7. Creation/maintenance/tracking/support to execute budget documentation such as Research and Development Descriptive Summaries (RDDS)in accordance with DARPA guidelines to maintain accurate, auditable records.

3.2.2.8. Creation/maintenance/tracking/support to execute program baseline analyses and assessments. These program base lining efforts will include the collection of initial program proposals, plans, work breakdown structures, milestone schedules, cost, and other documentation necessary to deliver comprehensive program planning documents that, in conjunction with reports described in this SOW, will be delivered to assess what actions are necessary to bring programs into technical, schedule and cost compliance.

3.2.2.9. Creation/maintenance/tracking/support to execute cost and/or performance analyses and management reporting procedures; refinement analyses of computer-based program tracking and reporting techniques;

data collection, documentation, and presentation materials to report the status of STO's contracted efforts.

This task will include monthly collection and analysis of technical and cost reports from all STO funded contracts, which, in conjunction with other reports and analyses required by this SOW, will be compiled with baseline information, analyzed and delivered to STO management to be used to assess what actions are necessary to bring programs into technical, schedule and cost compliance. This task shall be done in accordance with DARPA/STO guidelines and in the time frame requested.

3.2.2.10. Creation/maintenance/tracking/support to execute financial management, processing procurement requests and other related documents) and working with other organizations and support contractors in gathering and compiling documentation and required materials to support the requests in order to provide program execution oversight and monitoring the status of funding within the specified timeframe.

3.3. Administrative Functions: STO requires the performance of administrative tasks to support all aspects of the STO mission execution. Software applications expected to be used include but are not limited to various Microsoft Office applications (Word, Excel, PowerPoint, Outlook, Visio, Project, etc.) and use of Government provided systems such as the Defense Travel System (DTS) and the Defense Agencies Initiative (DAI). The Government estimates, at a minimum, it will take approximately five man-years to provide support required to accomplish the tasks identified below. Examples of such support include but are not limited to:

3.3.1. Administrative support to high ranking Government executives.

3.3.2. Establishing and maintaining Government schedules.

3.3.3. Greeting and escorting visitors in accordance with DARPA guidelines.

3.3.4. Preparing, reviewing, production and finalizing correspondence and briefing materials to include copying and binding of large briefings and/or reports within the time frame requested.

3.3.5. Distributing incoming/outgoing correspondence.

3.3.6. Answering telephones/e-mails and maintaining messages.

3.3.7. Preparing and coordinating travel for DARPA/STO’s GMP and PMs in accordance with DARPA guidelines.

3.3.8. Comprehensive archive management, including compilation, retention, logging, indexing, retrieval, and storage of correspondence, presentation and financial files. In addition to hardcopy document archiving, electronic copies of briefings, final reports, technical papers, and other documents will be placed on internal DARPA networks and other mass media in compatible file formats to be accessed by DARPA/STO computers.

3.3.9. Organize, support logistically, and host DARPA-sponsored meetings and conferences to include providing meeting and conference spaces, displays and/or exhibit materials, posters, placards, and presentation articles.

3.3.10. Process requests and track the status of DARPA Information Technology Directorate (ITD) equipment/services.

3.3.11. Tracking and management of office tasks and suspenses.

3.4. Contracting/Procurement Assistance: STO requires support for procurements and contract administration. The Government estimates, at a minimum, that it will require approximately three and a half man-years to support this effort. This support will directly assist the DARPA Contracts Management Office and other assigned Government offices with administration of contractual actions on behalf of STO. Examples of such support include but are not limited to:

3.4.1. Support of pre-procurement, and post-award processes to ensure that all actions are in accordance with legal requirements, customer specifications and governing regulations.

3.4.2. Provide assistance with contract administration.

3.4.3. Review of documentation to assist in the authorization for direct work in accordance with contractual specifications.

3.4.4. General contractual and legal expertise in support of technology tasks within the timeframe requested.

3.4.5. Continual monitoring and review of contractual performance for conformance to original proposal and the terms and conditions and in accordance with the FAR/DFARS and DARPA instructions.

3.4.6. Preparation of special reports and analyses, contract and financial program documents within the parameters and timeframe requested.

3.5. Presentation Support: STO requires support in preparing briefings, in providing superior graphics and web assistance to develop, update, and maintain a variety of visual aids, including text, animations, illustrations, and videos for highly technical programs and concepts. All products shall be Government property. Products receive high visibility within DoD and throughout the entire research and development community. The Government estimates, at a minimum, that it will require, approximately two and a half man-years to support this effort. Examples of such support include but are not limited to:

3.5.1. Develop and maintain standard STO presentation templates in Microsoft Power Point (versions 2007, 2010 and 2013). These templates must adhere to STO presentation guidelines. Provide support to STO’s GMP and PMs and other support contractor personnel in applying these templates.

3.5.2. Work with technical personnel to quickly understand technical concepts and to prepare presentation material that accurately and clearly conveys these concepts.

3.5.3. Producing 2-D and 3-D illustrations and animations, scanned and edited photographs, images, drawings, and charts to include quickly and efficiently producing high-quality (color, and black & white) viewgraphs, and paper in acceptable media formats within the time frame requested.

3.5.4. Produce posters and videos of industrial trade show and conference quality according to the parameters and guidelines (to include timeframes) of the requestor.

3.5.5. Serve as the webmaster for the STO web pages in both the internal and external DARPA websites, in accordance with DARPA Instructions and guidance.

3.5.6. Produce models representative of products/concepts being developed by STO in the time frame requested.

3.6. Business/Financial Management Support: DARPA STO PMs require business/financial management (BFM) support that is provided directly and specifically to programs which they manage. This support must be of superior quality to ensure that program resources are maximized while program schedules are adhered to. The level of effort of this support will be dependent upon the number of PMs and the number and complexity of the programs to be supported. It is estimated that the level of effort would not exceed approximately eight man years in the base year, ten man years in the first option year, and twelve man years in the final three option years. Support tasks include but are not limited to:

3.6.1. Strategy Support. Assist in strategic planning, with development of technical, financial, and programmatic materials necessary to assist the STO PM in the development and execution of programs

3.6.2. Program Initiation and Source Selection. Assist in the preparation, drafting, and coordination of Source Selection preparation documents such as Scientific Review Memorandum, Broad Agency Announcements, and Justifications for Other than Full and Open Competitions in accordance with Federal Acquisition Regulations (FAR) and DARPA policies and guidelines. Assist in preparation, organization, and execution of Proposer's Day Conferences or Workshops to include providing web services to enable web-based conference registration as requested. Assist in receipt, tracking, and processing of proposals for source selection activities. Assist in planning and organizing of Scientific Review Boards as requested. Assist in the preparation of Source Selection Documentation in compliance with DARPA Instructions and guidelines. Assist in preparation of program documentation including Program Approval Documents (PADs), Memorandum of Agreements (MOAs), Security Classification Guides (SCGs), and quad charts in compliance with DARPA Instructions and guidelines. Assist in preparation for and support of program meetings and conferences, to include program kick-offs and program reviews

3.6.3. Program Financial Execution and Program Tracking Support. Assist in performing financial management tasks to include the preparation, creation, and coordination of purchase requests using Defense Agency Initiative (DAI), the monitoring of obligation and expenditure rates for each contract, and developing and maintaining Phase/Expenditure Plans. Assist in collecting obligation documentation and invoices and insuring data is posted timely to appropriate accounting systems. Assist in preparation, maintenance, and tracking to execute program baseline and re-baseline analyses and assessments to include program plans, work breakdown structures, milestone schedules, cost and other documentation to assess necessary actions to assure programs are in technical, schedule and cost compliance. Assist in preparation, maintenance and tracking support to execute cost and performance analyses and management reporting procedures to report the status of contracted effort. Assist in preparation and maintenance of files for each program performer contract including: official correspondence, contracts, original proposal and any subsequent modifications, official guidance, invoices, and all reports or deliverables. Assist in preparation and maintenance of files to include all relevant Program Objective Memorandum (POM) initiatives, Research and Development Descriptive Summaries (RDDS), and other program presentations. Assist in comprehensive archive management, including compilation, retention, logging, indexing, retrieval and storage of correspondence, presentation and financial files including briefings, final reports, technical papers and other documents

3.7. Subject Matter Experts/Consultants. It is anticipated that STO will require subject matter experts/consultants on an unpredictable, as needed basis. The Government will identify specific requirements for these individuals, as needed, to provide specialized state-of-the-art technical and programmatic expertise for a widely diversified range of services to support emerging high payoff technologies. Timelines associated with fulfilling these emergent requests will be extremely important. The Government estimates, at a minimum, that it will require approximately two and a half man-years to support this effort. This support will include highly qualified, experienced, and educated individuals who will provide support on individual short term and finite projects

4. Personnel. The Government desires an optimized mixture of qualified personnel who meet or exceed the qualifications described in section 5 to accomplish the requirements described in the section titled "Description of Tasks". To ensure that dedicated personnel are continuously provided, the Contractor must appoint and identify individuals that will serve as a key core group of personnel and as non-key personnel. The contractor shall demonstrate that the core group of key personnel fully supports the management structure and approach employed by the contractor. All key personnel will be located on-site at DARPA and be dedicated 100% to STO. At a minimum, by task area, key personnel will include:

4.1. Leadership of SETA services and management of SETA contract: One full-time on-site Program Manager

4.2. Program Control (Technical/Planning/Execution): At a minimum, three Technical Experts and five Program Analysts.

One of these personnel will also be designated as a Deputy Program Manager.

4.3. Administrative Functions: Two Administrative Assistants, and one Administrative Assistant dedicated to high ranking Government executives.

4.4. Contracting/Procurement Assistance: At a minimum, two Contracting/Procurement Specialists.

4.5. Presentation Support: Two presentation / graphics specialists.

4.6. Business/Financial Management Support: At a minimum, two Program Analysts.

4.7. Subject Matter Experts/Consultants: The Government will identify the necessity of designating these personnel as key at the time the requirement is identified.

5. Experience and Education. The Contractor will ensure that, at a minimum, all personnel meet, and appointed key personnel exceed the following education and/or experience requirements:

5.1. Program Manager (PM).

5.1.1. Experience. This senior level individual will lead the overall SETA effort in support of STO as described above, working closely with STO management to help define STO’s program of research. In addition, this individual will manage the SETA contract, allocating resources and setting schedules to accomplish program objectives.

Experience working within a DoD research and development program office is essential. A minimum of ten years of experience as a manager providing support to cutting edge research and development programs is required. The ten years’ experience must include managing personnel with similar personnel qualifications to those listed in this SOW. At least five years of this experience must be in managing Government contracts with comparable in size and complexity to this STO SETA effort (in the capacity as an industry or Government program manager). The PM must be capable of planning, directing, and coordinating the work activity of all personnel involved in all aspects of the contract and to integrate problem resolution into ongoing work without loss of work force efficiency.

Demonstrated work experience in collateral, special access and intelligence programs is required for any support provided to STO classified programs. Experience with security procedures, rules, and regulations is required.

5.1.2. Education. Requires a minimum of a Master's degree in a directly related technical (preferable) or business field.

At the discretion of the Government, specialized experience may be substituted in lieu of specific educational requirements.

5.2. Technical Expert.

5.2.1. Experience. At minimum, at five years of experience with demonstrated success in performing and/or support research programs in STO’s mission areas. Demonstrated work experience in collateral, special access and intelligence programs is required for any support provided to STO classified programs. Experience with security procedures, rules and regulations is required. Experience working in DoD is essential.

5.2.2. Education. Requires a minimum of a Master's degree in a directly related technical field. At the discretion of the Government, specialized experience may be substituted in lieu of specific educational requirements.

5.3. Program Analyst.

5.3.1. Experience. At minimum, at least two years of experience with demonstrated creativity, foresight, and mature judgment in anticipating and solving problems in financial, administrative and program management. Demonstrated work experience in collateral, special access and intelligence programs is required for any support provided to STO classified programs. Experience with security procedures, rules and regulations is required. Experience working in DoD is desirable; in a DoD research and development program office is more desirable.

5.3.2. Education. A Bachelor’s Degree, preferably in a relevant field, is highly desirable. At the discretion of the Government, specialized experience may be substituted in lieu of specific educational requirements.

5.4. Administrative Assistant.

5.4.1. Experience. Must possess a minimum of five years of experience with progressive responsibility in providing administrative support to high ranking Senior Executive or general officials within the DoD and have excellent professional rapport in dealing with the public and other high level officials. Superior interpersonal and organization skills are required. At least one administrative assistant must have demonstrated work experience in collateral, special access and intelligence programs in order to support STO classified programs. Experience with

Document Title security procedures, rules and regulations are required. Experience working in DoD is desirable; within a DoD research and development program office is more desirable; and within DARPA is most desirable.

5.4.2. Education. A Bachelor’s Degree, preferably in Business, is highly desirable. At the discretion of the Government, specialized experience may be substituted in lieu of specific educational requirements.

5.5. Contracting/Procurement Specialist.

5.5.1 Experience. At minimum, will possess at least five years of work experience within DoD with demonstrated knowledge of current contracting/procurement requirements, as required within the FAR. Experience working in DoD is desirable; in a DoD research and development program office is more desirable. Requires knowledge of federal, state, and local procurement procedures and regulations.

5.5.2 Education. A Bachelor's Degree is required; however, a Bachelor's Degree, with current contracting/procurement certification is most desirable. At the discretion of the Government, specialized experience may be substituted in lieu of specific educational requirements.

5.6. Presentation and Graphics Specialist.

5.6.1. Experience. A minimum of two years’ experience in preparing technical presentations. Strong ability to interface with technical personnel. Excellent communication skills. In-depth knowledge of PowerPoint and in preparing visual arts, including text and illustrations. Must be adept in state of the art computer generated graphics, including all current software packages, including Power Point. Experience in working with research and development programs in DoD is highly desirable.

5.6.2. Education. Bachelor’s degree in a scientific or engineering discipline is desirable but at a minimum must have the demonstrated ability to translate complex technical concepts into easily understood graphical representations. At the discretion of the Government, specialized experience may be substituted in lieu of specific educational requirements.

5.7. Subject Matter Experts/Consultants.

5.7.1. Experience. At minimum, 10 years of experience with demonstrated success in performing and/or support research programs in STO’s mission areas. Demonstrated work experience in collateral, special access and intelligence programs is required for any support provided to STO classified programs. Experience with security procedures, rules and regulations is required. Experience working in DoD is essential.

5.7.2. Requires a minimum of a Master's degree (PhD preferred) in a directly related technical field. At the discretion of the Government, specialized experience may be substituted in lieu of specific educational requirements.

6. Security Clearance Requirements for key Personnel. All personnel located on site or requiring routine access to DARPA spaces or networks will hold at least a Secret clearance. Minimum specific security clearance requirements for key personnel (other than Subject Matter Experts) are as follows:

6.1. Management/Administration of SETA contract, personnel, and overall effort: The primary person will possess a security clearance at the Top Secret level with a current SSBI.

6.2. Program Control (Planning/Execution): At a minimum, three Technical Experts and five Program Analysts personnel must hold a Top Secret level clearance with a current SSBI.

6.3. Administrative personnel: At a minimum, two administrative personnel must hold a Top Secret level clearance with a current SSBI.

6.4. Contracting/Procurement Specialist personnel: At least one contracting/procurement specialist must hold a Top Secret level clearance with a current SSBI.

6.5. Presentation Specialist personnel: Must hold a Top Secret level clearance with a current SSBI.

6.6. Business/financial Management Support: All personnel will hold at least a Secret clearance. At least two personnel must hold a Top Secret level clearance with a current SSBI.

6.7. Subject Matter Experts: All personnel will hold at least a Secret clearance. The specific level of Security clearance requirements above Secret will be determined on an as needed basis.

7. Subcontractors & Consultants. The Contractor may subcontract with other contractors to work together, by complementing each other's capabilities and to offer a total solution to meet STO's requirements. The Contractor may also employ services of

Document Title consultants in executing this effort. However, the use of subcontractors and consultants will be subject to the advance review and approval by STO, with final approval by the Contracting Officer. In the event subcontractors and/or consultants are utilized, the Contractor will be fully responsible for their performance. A report on the performance of subcontractors and/or consultants will be included as part of the monthly status report. These personnel will have the level of security clearance deemed appropriate by the Government.

8. Contractual Security. The Contractor must prepare and maintain a plan for the control and protection of classified and sensitive materials that it uses, generates, or stores in support of executing this order's requirements. The contractor shall comply with all security requirements contained in the DD Form 254 Contract Security Classification Specification of this contract and the terms and conditions set forth in the Security Requirements clause of FAR 52.204-2 incorporated by reference.

9. Location of Personnel and Facilities Requirements.

9.1. Location of Contractor Personnel and Facilities. Due to the necessity for quick responses and close coordination between DARPA and contractor personnel, all key personnel must be located on-site at DARPA and other contractor personnel must be located at a facility within a 15 minute walking distance from 675 North Randolph Street, Arlington, Virginia 22203- 2144 (DARPA's physical address). In addition, these facilities must include two conference rooms for use by DARPA that are cleared for classified use in accordance with Intelligence Community Directive (ICD) 705 standards. The first room, cleared for conducting meetings at the SECRET level, must have adequate space to accommodate 75 people. The second room, cleared for conducting meetings at the TOP SECRET SAP/SCI level, must have adequate space to accommodate 50 people. The contractor must prepare and maintain a plan for the control and protection of classified and sensitive materials that it uses, generates, or stores in support of executing the tasks under the contract.

10. DARPA Building Access. The Contractor must identify building access requirements for all key and non-key, (to include sub-contractors and consultants) personnel. Specifically, the Contractor will request building access approval for personnel working on-site requiring daily building access, personnel working off-site requiring frequent building access, and personnel working off-site requiring minimal building access. DARPA STO will sponsor badges for DARPA building access for those personnel requiring them. When contractor personnel no longer will support the contract that individual must properly check out of DARPA and return the badges.

11. Computer Equipment/Systems. The Contractor must identify specific requirements for computer accounts, Common Access Cards (CACs), hardware, software, and specific DARPA STO systems access for all key and non-key, (to include sub-contractors and consultants) personnel. STO will authorize systems access on an as needed basis. When contractor personnel will no longer support the contract, each individual contractor must properly check out of DARPA, close the accounts, and return the CAC and any equipment/software issued.

12. Government Furnished Property/Equipment (GFP/GFE). DARPA/STO will provide GFP/GFE to all on site personnel to support this award. The Contractor is subject to the requirements of DARPA Instruction 12, Property and Equipment Accountability for all GFP/GFE that is furnished. This applies if the Contractor is receiving GFE from DARPA as opposed to receiving them through purchases in their contract or from the company. Examples are computers, laptops, supplies, furniture, etc. Such property/equipment will be returned to the Government upon conclusion of the contract or as specified by the Contracting Officer, in writing. The Contractor will be required to report any deficiencies to the COR.

13. Contractor Travel. The Contractor must ensure that personnel are readily available to perform a minimal amount of official local and/or non-local travel in support of STO, as required. Travel requirements may include, but are not limited to, providing logistical and administrative support for special events (hosting and administering conferences/meetings, attending and staffing displays at tradeshows /exhibitions, etc.). Expenses related to travel must be identified and authorized by STO before travel commences.

13.1. For proposal purposes only, travel costs are not expected to exceed $305,000 per year.

13.2. For the purpose of the possibility of utilizing the 52.217-8 clause to extend the contract, travel is not expected to exceed $121,500 for the six (6) month extension period.

14. Other Direct Costs (ODC).

14.1. For proposal purposes only, ODCs are not expected to exceed $162,000 per year.

14.2. For the purpose of the possibility of utilizing the 52.217-8 clause to extend the contract, ODCs are not expected to exceed $81,000 for the 6-month extension period.

15. Coverage Requirement: STO’s operating hours should be assumed to be Monday through Friday from 7 AM through 6 PM, Eastern Standard Time. From 7 AM to 8 AM and from 5 PM to 6 PM each day, the contractor shall assure that at least one key

Document Title personnel from tasks 3.6, 4.2, 4.3 and 4.4 will be available. The Contractor shall ensure that the remaining key personnel are available to ensure maximum coverage for tasks 4.1 through 4.5 during 8 AM to 5 PM.

16. Monthly Reporting Requirement: The Contractor will report in writing on a monthly basis. This report shall accompany the corresponding monthly voucher and should reflect all charges represented in the voucher. The following items should be reported:

16.1. A narrative on work performed and progress made on all taskings levied under the resulting contract with attribution by name to who performed the work.

16.2. Any work or other charges that were incurred outside on the monthly reporting period must be reported under a separate section corresponding to the appropriate month.

16.3. An overall financial summary of the status of funding of the contract, its projected future financial requirements and an analysis of its performance against previous projections.

16.4. By name, the hours charged and cost charged to the Government of all persons employed under the resulting contract.

16.5. A listing of travel charged to include the name of the traveler, the purpose of the trip and the separate costs charged to the Government.

16.6. A listing of all ODCs, to include detailed information of what it was in support of and the cost charged, to the Government.

16.7. A report of the contractor's training accomplishments.

16.8. A report that outlines any concerns or potential problems/situations the Contractor is aware of that will affect the Contractor's performance under the contract.

17. Final Report Requirement: The Contractor will provide a final report thirty (30) days after the end of the period of performance, in writing to include the following items:

17.1. A narrative on work performed and progress made on all taskings levied under the resulting contract with attribution by name to who performed the work.

17.2. An overall financial summary of the status of funding of the contract and an analysis of its performance against previous projections.

17.3. By name, the hours charged and cost charged to the Government of all persons employed under the resulting contract.

17.4. A listing of travel charged to include the name of the traveler, the purpose of the trip and the separate costs charged to the Government.

17.5. A listing of all ODCs, to include detailed information of what it was in support of and the cost charged, to the Government.

17.6. A report of the contractor's training accomplishments.

17.7. A transition support status that outlines activities performed as described in section 3.1.11.
