Note: This MFR is only applicable to acquisitions under the Simplified Acquisition Threshold. Acquisitions using FAR Subpart 13.5 shall follow the special documentation requirements at FAR 13.501.

MEMORANDUM FOR RECORD

SUBJECT: Use of a Single Source below the Simplified Acquisition Threshold (SAT)

I. BACKGROUND

A. FAR 13.106-1(b)(1)(i) states for purchases not exceeding the simplified acquisition threshold, Contracting Officers may solicit from one source if the Contracting Officer determines that the circumstances of the contract action deem only one source reasonably available (e.g., urgency, exclusive licensing agreements, brand-name or industrial mobilization).

B. As required by FAR 13.106-3(b)(3)(i), this memorandum explains the absence of competition for this acquisition, as only one source will be solicited for this requirement (or for a portion of the requirement) and the requirement is not expected to exceed the simplified acquisition threshold.

The 388th Operations Support Squadron (OSS), Hill Air Force Base, Utah requires a compact, tactical, and highly mobile Special Access Program Facility (SAPF) shelter that can be mobilized in an abbreviated timeline and capable of supporting a small team of cyber, intel, and ops personnel involved in classified intelligence and F-35 secure communications operations in support of

Agile Combat Employment (ACE) operations. The SAPF required must contain the following characteristics.

-Lightweight (under 5K lbs).

-Occupies a single pallet position on a 463L cargo system.

-Provides a minimum of 160 sq ft when expanded and offers a functional workspace when not expanded.

-Can be air, rail, and ground transported.

-4-way forklift-able.

-Able to be set up by no more than 2 people in 15 minutes.

-Has an embedded Cipher lock for added physical security.

-Has ample room to brief up to 6 pilots while accommodating 2 mission planners and 2 intelligence personnel.

-Can be moved with casters or a tow bar.

-Can be utilized without the sides expanded.

-Must be able to operate at the SCI and SAP security levels

Market Research indicates that AAR Mobility Systems' ASSY Hardside Expandable Small Air Mobile Shelter (HESAMS) w/ Cipher Lock is the only product that is capable of meeting all of the necessary requirements. Given that the HESAMS already secured my other installations, with the first unit to use the HESAMS being the 187th Fighter Wing of the Alabama National Guard, it will create stability across other F-35 Installations in application and use. Furthermore, this shelter has proven to be a tactical solution for the ARC and will be essential in order to execute rapid relocation in support of Agile Combat Employment (ACE) operations. This acquisition is essential to the Government’s requirements, thereby precluding consideration of a product manufactured by another company. A determination by the contracting officer will be made that the anticipated cost to the Government will be fair and reasonable. To remove or overcome any barriers to competition before any subsequent acquisition for the supplies or services required in the future the government will review the specifications of the required trainer.

B. UNUSUAL AND COMPELLING URGENCY.

The supplies or services are of such unusual and compelling urgency that the Government would be seriously injured unless the agency is permitted to limit the number of sources from which it solicits bids or proposals. Urgent requirements are supplies or services that will result in a work stoppage, or are mission critical and the routine processing time would result in injury to the Government. The determination that the procurement for the above item/service is an urgent and compelling requirement is based on the following:

1. Date on which the requirement was first identified.

2. Required delivery date/period of performance.

3. Explanation of why delivery/commencement of services by the date mentioned above is required:

Requirement was identified in the Fall of 2022. Delivery is required no later than Summer 2023 in order to meet our upcoming deployment vulnerability window.

4. If appropriate, include any additional pertinent information.
