General Information:
Contra Costa County (County) is seeking proposals from qualified firms to supply auction services.

Proposals will not be accepted after the date and time stated above. Incomplete proposals or proposals that do not conform to the requirements specified herein will not be considered. Issuance of the RFP does not oblige the County to award a contract, nor is the County liable for any costs incurred by the proposer in the preparation and submittal of proposals for the subject work. The County retains the right to award all or parts of this contract to several proposers, to not select any proposers, and/or to re-solicit proposals. The act of submitting a proposal is a declaration that the proposer has read the RFP and understands all the requirements and conditions.

Section I: Introduction
A. Purpose The County is seeking proposals from qualified firms to provide auction services for used vehicles, construction equipment, and other items as described below in the Scope of Services, Section IV.
Background The Contra Costa County Fleet Services is responsible for the County’s fleet of over 1,600 County-owned vehicles and construction equipment. Fleet Services provides maintenance, repair, and the ultimate disposal of decommissioned vehicles and equipment that are no longer needed. The County is seeking an experienced firm to assist with the selling of used County vehicles, equipment, and other surplus items.
B. Period of Agreement The initial term of any contract awarded as a result of this RFP will be for three (3) years with the possibility of two (2) successive one-year renewals, upon the mutual agreement of the contractor and the County. The total contract term is not to exceed five (5) years.

D. Correspondence As of the issuance of this RFP, vendors are specifically directed not to contact any other County personnel with questions, or to schedule meetings, conferences or have technical discussions related to this RFP. Failure to adhere to this policy may result in disqualification of the vendor.
E. Addenda Knowledge All proposers shall acknowledge receipt of any amendments to this RFP event by returning a signed copy with the bid documents. Failure to acknowledge receipt of any amendments may render the proposal to be non-responsive (see attachment A).
Section II: Requirements & Qualifications
A. Proposer must have a minimum of five (5) years of experience providing auction services.
B. Proposer must have transport equipment.
C. Proposer shall possess the following licenses and insurance:
1. California auto dealer’s license
2. California auctioneer’s bond
3. California resale permit
4. California motor carrier permit
5. California business license (tax permit)
6. Auto and liability certificate of insurance
D. Proposer must meet all requirements established by the California Environmental Protection Agency Air Resources Board (CARB) for the sale of diesel-powered vehicles and equipment in the State of California.
Section III: Instructions to Proposers
A. Format Respondents shall submit proposals which are concise, and which specifically respond to the specifications posted in this RFP. Each proposal shall be submitted with a cover letter signed by an authorized person and the following documents:
a. Cover Letter – Signed by an authorized representative of the company
b. Proposal – within a maximum of 15 pages, no smaller than 12-point font, describe specific capabilities, experience, approaches and proposed methodologies that demonstrate a clear understanding of the nature of the work to be performed described in Section IV under Scope of work
c. Statement of Experience – See Exhibit A

B. Proposal Submission
a. Responses to this RFP must be submitted electronically through the BidNet Direct website – NO EXCEPTIONS

C. Customer References Respondents shall provide a minimum of three (3) references. (see Exhibit C). References must not be a Contra Costa County employee.
D. Licenses and Permits Respondents shall possess all licenses, registrations and permits required by the State of California and the County of Contra Costa. Such licenses and permits are to be submitted to the County with the proposal, or prior to the contract signing date.
E. Proposal Expenses Respondents shall be fully responsible for all costs incurred in the development and submission of this RFP.
F. Proposer Responsibility The proposer assumes sole responsibility for the complete effort required in submitting a proposal in response to this RFP. No special consideration will be given after proposals are opened because of a proposer’s failure to be knowledgeable about all the requirements of this RFP.
G. Interpretation Should any discrepancies, omissions, or doubt as to the meaning be found in the RFP specifications or requirements, the Respondent shall notify the County in writing through the BidNet Direct website. The County will send written instructions or addenda to all participants in the RFP process. The County shall not be responsible for oral interpretations.
H. Reservation The County reserves the right to do the following at any time and for its own convenience, at its sole discretion:
· To reject proposals without indicating any reasons for such rejection.
· Terminate this RFP and issue a new Request for Proposals anytime thereafter.
· Extend any or all deadlines specified in the RFP, including deadlines for accepting proposals by issuing an Addendum at any time prior to the deadline for receipt of responses to the RFP.
· Procure any deliverables specified in the RFP by other means.
· Disqualify any Respondent based on any real or perceived conflict of interest or evidence of collusion that is disclosed by the proposal or other data available to the County. Such disqualification is at the sole discretion of the County.
· Reject the proposal of any Respondent that is in breach of or in default under any other agreement with the County.
· Reject any Respondent deemed by the County to be non-responsive, unreliable, unqualified, or non-responsible.
I. Truth and Accuracy of Representation False, misleading, incomplete, or deceptively unresponsive statements in connection with a proposal shall be sufficient cause for rejection of the proposal.
J. Sub-Contract and Assignment The contract binds the heirs, successors, assigns and representatives of contractor. Prior written consent of the County, subject to any required state or federal approval, is required before the contractor may enter into subcontracts for any work contemplated under the contract, or before the contractor may assign the contract or monies due or to become due, by operation of law or otherwise.
K. Addenda No one is authorized to amend any of these documents in any respect by an oral statement or to make any representation or interpretation in conflict with their provisions. Any changes to these documents will be issued in writing via Addenda to be posted on BidNet Direct website.
L. Addenda Acknowledgement All addenda shall include an acknowledgement of receipt that must be returned. The addenda must be signed and attached to the final response. Failure to attach any addendum may result in the rejection of the response. See Attachment A.
M. Non-Collusion By submitting a signed proposal, the proposer certifies that there has been no collusion with any other proposer. Reasonable grounds for believing proposer has an interest in more than one proposal will result in rejection of all proposals in which the proposer has an interest. Any party to collusion may not be considered in future proposals for the same or similar work. See Exhibit D attached.
Section IV Scope of Services
GENERAL
Contractor will provide auction services for used County vehicles, construction equipment and other surplus items as listed below under “Services.”
This includes all technical and professional services, including the following:
· Labor
· Equipment
· Test equipment
· Tools
· Transportation
· Supervision
SERVICES
A. General Services Contractor will receive list of vehicles, equipment and surplus items scheduled to be picked up for auction with details including make, model, year, miles, and vehicle identification number. Contractor must pick up items within two (2) business days of receiving written notice from the County.
B. Auction Location Auction services shall be performed on the contractor’s property. No auction will be conducted on County property.
C. Online Auction Services Contractor’s auction services shall include an electric online commerce website. All items auctioned must be simultaneously listed on the electronic commerce website for sale where items may be bid on.
D. Frequency Auction services are provided on an as-need basis.
E. Pickup Location The contractor shall provide transportation at the County’s request from the following site to the auction site:

F. Storage
1. Contractor will store vehicles and equipment prior to the auction date within a secure and protected area. If an item doesn’t sell during an auction, contractor will store it free of charge until the next scheduled auction.
2. Contractor will provide long-term storage for confiscated vehicles held during legal process.
G. CARB Requirements The contractor will send copies of all CARB required Out-of-State Sales Verification and DMV required Release of Liability documents to the following address within 30 day of the completion of the sales transaction:

H. DMV Transfers Contractor will process all documents required by the DMV for transfer of title to buyer as necessary. Contractor must supply County with proper DMV documentation within (7) business days after a sale.
I. Advertisement Contractor will advertise auctions containing County vehicles and equipment at least once within fifteen (15) days of the auction, including all internet-based online auctions.
Advertisements must be in all the following formats:
1. Newspaper advertisements placed in at least four (4) major newspapers circulating the nine-county Bay Area and one major newspaper in the Sacramento metropolitan area.
2. Direct mailing to the Contractor' s active and prospective bidders (or email announcements for Internet -based auctions).
3. Auction announcements posted on the Contractor's auction Internet website.
4. At a minimum, this advertising will announce the date, place and time of the auction, and that the auction includes vehicles and equipment being sold on behalf of the County.
J. Individual Listings For auctions of County vehicles and equipment, the Contractor shall post an individual listing for each vehicle to be sold on their auction website.
These listings will be available for potential buyers to review within fifteen (15) days of the auction date. The listing will include the auction location, a general description of the vehicle, and at least eight (8) photographs showing the front, sides, rear, interior, and engine compartment of the vehicle.
At a minimum, the description will include the manufacturer, model, year, odometer or hour meter reading, and an indication of the vehicle's condition. The description will also include a summary of the vehicle' s major options.
K. All Sales Are Final All auction sales will be final, and all vehicles, equipment and miscellaneous equipment will be sold “as is" with no responsibility to the County for the condition of the vehicle, equipment or miscellaneous equipment after the sale.
L. Collection of Funds The contractor will collect funds and clear checks where applicable and deposit funds. Within fifteen (15) working days from the sale date, the contractor will deposit a certified check or cashier' s check, with entire amount bid less the auctioneer commission fees to the County.
M. Sales Reports The contractor shall provide a recap of sales, which includes a list of vehicles, equipment and miscellaneous equipment sold along with the following information:
I. Auction date
2. Contractor's lot number
3. County vehicle / equipment number
4. Vehicle / equipment manufacturer' s name
5. Vehicle / equipment identification / serial number
6. Selling price by vehicle / equipment
7. Amount of commission by vehicle / equipment
8. Transportation cost by vehicle / equipment
9. Cost of other services required by vehicle / equipment
10. Total selling price
11. Total commission
12. Total transportation charge
13. Total other charges
14. Net proceeds to the County
15. Buyer's fee, if applicable
N. Receipts The contractor will provide receipts (duplicate copies) for each item sold at auction in a form prescribed by the County. One (1) copy of the duplicate receipt goes to the buyer at the time funds are collected upon sale at auction, and the remaining duplicate receipt is delivered to the County within fifteen (15) working days from the date of sale.
The following disclaimer must be printed prominently on the receipt of sales slip:
“Any description of the item purchased contained in this receipt or in any brochure or other document is for the sole purpose of identifying the item and does not warrant the nature or quality of the item. The item is sold "as is", “where is", with all fault and without recourse against Contra Costa County. County of Contra Costa makes no warranty, guarantee or representation, express or implied; that the item is merchantable or fit for any purpose. County of Contra Costa does not know or have reason to know of any particular purpose for which the buyer requires this item and makes no warranty, guarantee or representation that the item will be fit for any particular purpose. The buyer is not relying in any way on County of Contra Costa' s skill, judgment or expertise in his/her purchase of the item. Buyer acknowledges that no warranty has arisen through trade custom or course of dealing with County of Contra Costa. Buyer further agrees that all disclaimers of warranty shall be construed liberally in favor of County of Contra Costa. No agent, employee or representative of County of Contra Costa has the authority to bind County of Contra Costa to any affirmation, representation, promise, warranty or guarantee concerning the item."
O. Diesel Engine Regulatory Language For sales of vehicles or equipment powered by diesel engines, the contractor will provide each buyer with the written Diesel Engine Regulatory Language. (See attachment C).
P. Compensation The County shall pay the contractor for services described, but will NOT pay the contractor for the following:
· Commission (selling fees) for motor vehicles, off road vehicles, miscellaneous property, and non-running vehicles.
· State of California vehicle safety inspection
· Smog services including:
1. Initial inspection
2. “Running monitors” testing
3. Retest inspection
· Title search and application for duplicate certificate of ownership
· Processing exempt license plates
· Report vehicle sales and prepare & submit “release of liability” form
· Air resources board non-compliant administration fee
· Standard auto wash
· Minor de-identification: remove County logos and unit numbers including those on top of vehicle/equipment
· Storage fees
Provided that the County will not pay the contractor for the services listed above, the contractor will charge vehicle purchasers a commission not to exceed fifteen percent (15%) of purchased price of the auctioned vehicle.
Section V: Evaluation and Selection Criteria
A. Selection Process All proposals received will be evaluated by an RFP Review Committee. The following criteria, not listed in the order of importance, will be used to determine which agency best meets the needs of the County. Proposals will be evaluated based on the following criteria:
· Proposer’s qualifications
· Proposer’s experience
· Key personnel
· Price proposal
· Client references
B. Best and Final Offer (BAFO) The County, at its sole discretion, may request a Best and Final Offer (BAFFO) from the finalists.
C. Award Agreement Upon completion of the review period, the County shall notify those proposers who will be considered for further evaluation and negotiation. All proposers so notified may be contacted for an interview and negotiate in good faith in accordance with direction from the County. Any delay caused by proposer's failure to respond to directions from the County may lead to a rejection of their proposal.
If the County determines, after further evaluation and negotiation, to award the agreement, a contract shall be sent to the successful proposer for signature. No proposal shall be binding until after the agreement is signed by authorized by representatives of both the proposer and the County.
D. Proposals are Public Records California Government Code Section 6250, the Public Records Act, defines a public record as any writing containing information relating to the conduct of the public’s business prepared, owned, used or retained by any state or local agency regardless of physical form or characteristics. The Public Records Act provides that public records shall be disclosed upon request and that any resident has a right to inspect any public record unless the document is exempted from disclosure.
Unless otherwise compelled by a court order, the County will not disclose any proposal while the County conducts its deliberative process in accordance with the procedures identified in this RFP. However, after the County either awards an agreement to a successful Proposer, or rejects all proposals, the County shall consider each proposal subject to the public disclosure requirements of the California Public Records Act. Each Proposer is hereby informed that, upon submittal of its proposal to the County in accordance with this RFP, the proposal becomes the property of Contra Costa County.
E. Protest
1. Protest Policy Any proposer who is aggrieved in connection with the solicitation or award of a contract may protest to the Purchasing Agent or Designee. The protest shall be submitted in writing to the Purchasing Agent or Designee, within five (5) business days after such aggrieved person or company knows or should have known of the facts given rise thereto. Failure to submit a timely protest shall bar consideration of a protest.
2. Grounds for Protest The protest shall state all grounds claimed for the protest and include supporting documentation. Failure to clearly state the grounds for the protest and provide supporting documentation shall be deemed a waiver of all protest rights.
3. Protest Procedures In the event a dispute arises concerning the proposal process prior to the award of the contract, the party wishing for a resolution of the dispute shall submit a request in writing to the Purchasing Services Manager in care of:

F. Notice of Intent to Award It is the intent of the County to award a contract as the result of this RFP to the highest ranked proposer(s). The County will notify the successful proposer in writing and post the results on the bidnetdirect.com website. Unsuccessful proposers will be notified via the bidnetdirect.com notification system. It is the responsibility of proposers to check their email notification and have an updated email address on file with bidnetdirect.com.
Selection VI: Billing and Invoicing
A. Payment Terms The contractor shall submit correct and complete invoice(s) to the County after deliverables have been accepted. Payment terms are Net 30 days, after receipt of correct invoice.

A. On-Road Diesel Engine Regulations:
The following regulatory requirements apply to On-Road Diesel Powered Vehicles over 14,000 Pounds GVWR.
· Inform buyer(s), in writing, that the vehicle being sold cannot be sold or operated within California unless the vehicle is in compliance with the BACT requirements of the Fleet Rule for Public Agencies and Utilities, Title 13, California Code of Regulations, section 2022 and 2022.1.
· Inform buyer(s), in writing, that the vehicle cannot be registered in California unless the vehicle is in compliance with BACT as specified in the latest adopted regulation version of the Fleet Rule for Public Agencies and Utilities regulation found at the California Environment Protection Agency Air Resources Board website: http://www.arb.ca.gov/msprog/publicfleets/publicfleets.htm
· Notify the buyer(s), in writing, to inform future buyers that the vehicle cannot be registered/ operated in California unless the vehicle is in compliance with the BACT requirements of the regulation as specified in the latest adopted regulation version of the Fleet Rule for Public Agencies and Utilities regulation found at the California Environment Protection Agency Air Resources Board website: http://www.arb.ca.gov/msprog/publicfleets/publicfleets.htm
· Obtain a written statement from the buyer(s) with the buyer' s contact information, such as name, address, and phone number.
· Obtain acknowledgement from the buyer(s) that the vehicle cannot be operated in California unless the vehicle meets the BACT requirements of the regulation as specified in the latest adopted regulation version of the Fleet Rule for Public Agencies and Utilities regulation found at the California Environment Protection Agency Air Resources Board website: http://www.arb.ca.gov/msprog/publicfleets/publicfleets.htm
· Provide the written statement of the buyer' s contact information and buyer' s signed acknowledgement of the regulation requirements to the Contra Costa County Public Works Department, Fleet Services Division, within 30 days of the sale of the vehicle(s).
· Provide the signed Out-of-State Sales Verification form to the Contra Costa County Public Works Department, Fleet Services Division, within 30 days of the sale of the vehicle (s).
B. Off -Road Diesel Engine Regulations:
· The following regulatory requirements apply to Off-Road Self-Propelled Diesel Fueled Vehicles 25 horsepower and above that were not designed to be driven on road.
· Inform buyer(s), in writing, that the vehicle or piece of equipment being sold may be subject to retrofit or accelerated replacement/repower regulation title 13, California Code of Regulations, section 2449(j) requirements as specified in the latest adopted version of the In Use Off-Road Diesel Regulation found at the California Environment Protection Agency Air Resources Board website at: http://www.arb.ca.gov/msprog/ordiesel/reglanquage.htm
· Inform the buyer(s), in writing on the bill of sale or sales invoice through the use of the following wording:
“Any person selling a vehicle with an engine subject to this regulation in California must provide the following disclosure in writing to the buyer on the bill of sale, "When operated in California, any off-road diesel vehicle may be subject to the California Air Resources Board In Use Off-Road Diesel Vehicle Regulation. It therefore could be subject to retrofit or accelerated turnover requirements to reduce emissions of air pollutants. · Provide vehicle data per section 2449(g)(1)(B), engine data per section (g)(1)(C), and VDECS data per section 2449 (g)(1)(D) of the California Code of Regulations as supplied by Contra Costa County Public Works Department, Fleet Services Division, to the buyer(s) at the time of the purchase of the vehicle or piece of equipment.
