The contract includes a four-year initial term beginning December 2, 2024, with an estimated end date of December 1, 2031, and includes three optional one-year renewals. The Implementation Phase is estimated at one year, followed by a three-year Operations and Maintenance period.

The price proposal must include all-inclusive costs for the Implementation Phase broken into four payment milestones (Requirements Approval, UAT completion, System Go-Live, and Certification), with 10% retainage held until CMS certification is achieved, plus transaction-based pricing for the Operations Phase. Offerors must submit labor rate cards for potential change orders and identify all labor categories for implementation and operations work. A $1,000,000 modification pool is included for addressing emerging requirements throughout the contract term. The contract requires offerors to demonstrate mandatory minimum qualifications including three years as prime contractor for similar healthcare entities, three years in Medicaid and Health and Human Services, previous successful state EVV implementation, three years of operations experience with similar solutions in federal/state compliance, completion of at least one CMS Operational Readiness Review or Certification Review, and a Project Manager with minimum three years EVV experience including two years in healthcare. Federal funding through Medicaid 90% FFP is available, with CMS Conditions for Enhanced Funding and MARS-E security standards applicable. SCDHHS will retain 10% of all Implementation and Operations funds until federal certification is awarded.

SCOPE OF SOLICITATION

ACQUIRE SERVICES (MODIFIED)

The State Fiscal Accountability Authority (SFAA), Office of State Procurement on behalf of the South Carolina Department of Health and Human Services (SCDHHS) is soliciting proposals from qualified offerors a solution for Services to provide specific management and administrative functions of an electronic visit verification (EVV) system and data aggregator to support SCDHHS in delivering and tracking services provided in the homes or other approved settings of Beneficiaries.

MAXIMUM CONTRACT PERIOD - ESTIMATED (MODIFIED)

Start date: 11/10/2025 12/02/2024 End date: 11/09/2032 12/01/2031. It is anticipated that this includes a four (4) year base term and three (3) one (1) year optional renewals. SCDHHS estimates a one (1) year implementation period and a three (3) year Operations & Maintenance (O&M) period. Dates provided are estimates only. Any resulting Contract will begin on the date specified in the notice of award. See clause entitled "Term of Contract - Effective Date/Initial Contract Period."

PROGRAM BACKGROUND AND VISION

Background SCDHHS is a cabinet agency of the South Carolina Governor’s Office and serves as the single state agency to administer the South Carolina Medicaid program. Medicaid is a medical assistance program for the needy administered by the states using state appropriated funds and federal matching funds within the provisions of Title XIX and Title XXI of the Social Security Act as amended. The comprehensive written commitment by SCDHHS, submitted under section 1902(a) of the Social Security Act, to administer or supervise the administration of the Medicaid Program in accordance with federal requirements is the South Carolina State Plan for Medical Assistance (State Plan).

SCDHHS currently administers eight (8) home and community-based services (HCBS) waivers, two (2) State Plan children’s programs (personal care and nursing), and the Home Health program. The SCDHHS Office of Waiver and Facility Services is the division responsible for administering the eight (8) HCBS waivers and State Plan children’s programs. This division also operates four (4) of the waiver programs.

Each waiver program offers a variety of services and not all waiver programs offer the same services. The majority of services are provided in the waiver Beneficiaries’ homes. Service delivery is provided through a large network of providers who are enrolled with SCDHHS. SCDHHS has a network of regional offices staffed with case managers, nurses, and service coordinators who are responsible for overseeing and monitoring the provision of care and authorizing services.

South Carolina was one of the first states to adopt a visit verification system. The state has used some form of visit verification since implementing its legacy visit verification solution, Care Call, in 2002. The Care Call solution only supported SCDHHS’ Community Long-Term Care (CLTC) providers. To address a variety of program issues with the Care Call system, and to add mobile app check-in and check-out functionality, SCDHHS procured the current EVV system, referred to as "AuthentiCare" by SCDHHS and system users, in 2018. The system was procured to document the provision of authorized care to the Beneficiaries for the authorized length of time using EVV with mobile check-in/check-out and Interactive Voice Response (IVR) capabilities. In-home workers were intended to utilize the EVV application on their mobile devices or call a toll-free number from a land line phone on arrival and again upon departure to document the location and time of care given. For Beneficiaries with no land line phone or data coverage, a quick response code (QR) card is used.

SCDHHS procured the AuthentiCare system to capture EVV data for the Department of Disabilities and Special Needs (DDSN), CLTC, and Home Health services. However, the AuthentiCare system only went live for CLTC providers. DDSN and Home Health providers were preparing to go-live with the AuthentiCare system when SCDHHS decided to postpone the go-live in December 2022 as the state assessed the administrative burden of the AuthentiCare solution on providers. Currently, only the CLTC providers use the AuthentiCare system to capture EVV data.

SCDHHS ORGANIZATION

Figure 1.4-1 shows the current project organization chart, including MES Modernization Program Leadership. This organization chart is accurate at the time of the release of this Solicitation. SCDHHS makes no assurances that the staff identified in the chart below or the organization structure will be as presented throughout the term of the Contract.

SCDHHS Director The Director is a Cabinet-level official appointed by the Governor and serves as the State Medicaid Director. Robert Kerr is the Director.

Chief of Staff The Chief of Staff serves as the Deputy Director of Programs and provides oversight to ensure the accuracy of SCDHHS needs as related to the waiver programs. Eunice Medina is the Chief of Staff.

Chief Information Officer (CIO) The CIO serves as the Deputy Director of Information Technology and provides oversight to ensure the accuracy of SCDHHS programmatic specific needs related to technology. Rhonda Morrison is the CIO.

Bureau Chief of Systems, Application Integration, and Development This Bureau Chief serves as liaison between the EVV contractors and SCDHHS to ensure LTL operational efficiencies and program requirements are met. Trey Fowler is the Bureau Chief of Systems, Application Integration, and Development.

DASH Program Director DASH Program Director manages EVV vendor through the design, development, and deployment activities to ensure the contractual requirements are met. Jimmy Earley is the DASH Program Director.

Bureau Chief of Policy This Bureau Chief provides oversight to ensure that policy and waiver program requirements are met. Margaret Alewine serves as Bureau Chief of Policy.

Bureau Chief of Managed Care This Bureau Chief provides oversight to ensure managed care program requirements are met. Scott Timmons is the Bureau Chief of Managed Care.

MEDICAID ENTERPRISE SYSTEM (MES) ARCHITECTURE

The SCDHHS MES Modernization Program is modernizing the existing Medicaid Management Information System (MMIS) into a collection of modules built on service-oriented architecture (SOA) principles. It is served by MES Core as the integration hub for the SCDHHS systems. Using this approach, SCDHHS intends to replace the legacy MMIS functions using a strategic, phased approach without disrupting daily Medicaid operations and data processing activities. The MES Core will integrate, manage, and distribute data across modular solutions, trading partners, and SCDHHS staff.

Trading Partners interact with the MES Core by consuming web services and file exchanges exposed by the Integration Hub. This allows MES Modernization solutions to securely exchange data to and from Trading Partners.

SCDHHS will provide flexibility for solution providers to integrate their solutions through clearly communicated architecture standards, expectations, and artifacts. At the same time, loose coupling across the enterprise allows SCDHHS to incrementally retire legacy components (as SCDHHS replaces legacy functionality), without impacting business operations or other components.

SCDHHS also relies on the Delivery of Automated Systems for Healthcare (DASH) Team, its internal Project Management Office (PMO), for MES Modernization Program oversight and organization. Additionally, SCDHHS will partner with an Independent Verification & Validation (IV&V) vendor to provide oversight for MES Modernization projects, including the EVV project.

INSTRUCTIONS TO OFFERORS - A. GENERAL INSTRUCTIONS

DEFINITIONS, CAPITALIZATION, AND HEADINGS (DEC 2015)

CLAUSE HEADINGS USED IN THIS SOLICITATION ARE FOR CONVENIENCE ONLY AND SHALL NOT BE USED TO CONSTRUE MEANING OR INTENT. EVEN IF NOT CAPITALIZED, THE FOLLOWING DEFINITIONS ARE APPLICABLE TO ALL PARTS OF THE SOLICITATION, UNLESS EXPRESSLY PROVIDED OTHERWISE.

AMENDMENT means a document issued to supplement the original solicitation document.

AUTHORITY means the State Fiscal Accountability Authority or its successor in interest.

BUSINESS means any corporation, partnership, individual, sole proprietorship, joint stock company, joint venture, or any other legal entity. [11-35-310(3)] CHANGE ORDER means any written alteration in specifications, delivery point, rate of delivery, period of performance, price, quantity, or other provisions of any Contract accomplished by mutual agreement of the parties to the Contract. [11-35-310(4)] CONTRACT See clause entitled Contract Documents & Order of Precedence.

CONTRACT MODIFICATION means a written order signed by the Procurement Officer, directing the Contractor to make Changes which the clause of the Contract titled "Changes," if included herein, authorizes the Procurement Officer to order without the consent of the Contractor. [11-35-310(9)] CONTRACTOR means the Offeror receiving an award as a result of this solicitation.

COVER PAGE means the top page of the original solicitation on which the solicitation is identified by number. Offerors are cautioned that Amendments may modify information provided on the Cover Page.

OFFER means the bid or proposal submitted in response this solicitation. The terms Bid and Proposal are used interchangeably with the term Offer.

OFFEROR means the single legal entity submitting the offer. The term Bidder is used interchangeably with the term Offeror. See bidding provisions entitled Signing Your Offer and Bid/Proposal as Offer to Contract.

PAGE TWO means the second page of the original solicitation, which is labeled Page Two.

PROCUREMENT OFFICER means the person, or his successor, identified as such on either the Cover Page, an amendment, or an award notice.

YOU and YOUR means Offeror.

SOLICITATION means this document, including all its parts, attachments, and any Amendments.

STATE means the Using Governmental Unit(s) identified on the Cover Page.

SUBCONTRACTOR means any person or entity you Contract with to perform or provide any part of the work.

US or WE mean the using governmental unit.

USING GOVERNMENTAL UNIT means the unit(s) of government identified as such on the Cover Page. If the Cover Page identifies the Using Governmental Unit as "Statewide Term Contract," the phrase "Using Governmental Unit" means any South Carolina Public Procurement Unit [11-35-4610(5)] that has submitted a Purchase Order to you pursuant to the Contract resulting from this solicitation. Reference the clauses titled "Purchase Orders" and "Statewide Term Contract."

WORK means all labor, materials, equipment, Services, or property of any type, provided or to be provided by the Contractor to fulfill the Contractor's obligations under the Contract. [02-2A003-3]

ADDITIONAL DEFINITIONS (SCDHHS)

ACTUAL OPERATIONAL START DATE is the actual date on which SCDHHS determines in its sole, but reasonable, discretion that the system is operational substantially as a whole.

BENEFICIARY(IES) means a qualified, enrolled recipient of Medicaid benefits.

BUSINESS PROPOSAL is the Price Proposal. Business Proposal, Price Proposal and Cost Proposal are used interchangeably.

DEFECT means any aspect of a Deliverable’s performance that does not meet its requirements. A Defect is logged when actual results do not match expected results during testing. Defects may also be referred to as Bugs.

DELIVERABLE(S) means those items identified in the Contract to be delivered by the Contractor to SCDHHS including, without limitation, the acquired items, hardware, Services, software, tangibles, and intangibles required hereunder.

KEY PERSONNEL means the Corporate Sponsor, Engagement Manager, Project Manager, and Technical Director required to be identified by name in Contractor’s Offer, any approved successor to such named individuals and any other individual and his/her approved successor designated in Contractor’s Offer as Key Personnel.

MEDICAID ENTERPRISE means the hardware, software and Services designed to meet the demands of South Carolina’s Medicaid members, stakeholders, and appropriate staff.

MILESTONES mean significant specific points along a project timeline. These points may be Major Deliverables, signal anchors, a need for external review, or input. In many instances, Milestones do not impact project duration. Instead, they focus on major progress points that must be reached to achieve success.

SERVICES mean the Services to be delivered by Contractor pursuant to the Contract Documents.

AMENDMENTS TO SOLICITATION (JAN 2004)

Notice regarding any award, cancellation of award, or extension of award will be posted at the location and on the date specified on the Cover Page or, if applicable, the most recent notice of extension of award. Should the contract resulting from this Solicitation have a total or potential value more than one hundred thousand dollars, such notice will be sent electronically to all Offerors responding to the Solicitation. Unless a written notice of intent to protest is timely filed pursuant to Section 11-35-4210(1)(b) or the award is otherwise suspended or canceled, the award will be effective on the calendar day (including weekends and holidays) immediately following the seventh business day after such notice is given. BID/PROPOSAL AS OFFER TO CONTRACT (JAN 2004)

By submitting Your Bid or Proposal, You are offering to enter into a Contract with the Using Governmental Unit(s). Without further action by either party, a binding Contract shall result upon final award. Any award issued will be issued to, and the Contract will be formed with, the entity identified as the Offeror on the Cover Page. CERTIFICATE OF INDEPENDENT PRICE DETERMINATION (MAR 2024)

GIVING FALSE, MISLEADING, OR INCOMPLETE INFORMATION ON THIS CERTIFICATION MAY RENDER YOU SUBJECT TO PROSECUTION UNDER SECTION 16-9-10 OF THE SOUTH CAROLINA CODE OF LAWS AND OTHER APPLICABLE LAWS.

(a) By submitting an offer, the offeror certifies that-

(1) The prices in this offer have been arrived at independently, without, for the purpose of restricting competition, any consultation, communication, or agreement with any other offeror or competitor relating to—

(i) Those prices;

(ii) The intention to submit an offer; or

(iii) The methods or factors used to calculate the prices offered.

(b) Offeror shall provide immediate written notice to the Procurement Officer if, at any time prior to Contract award, Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.

(c) If Offeror is unable to certify the representations stated in paragraphs (a)(1), Offer must submit a written explanation regarding its inability to make the certification. The certification will be considered in connection with a review of the Offeror's responsibility. Failure of the Offeror to furnish additional information as requested by the Procurement Officer may render the Offeror non-responsible.

(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.

DUTY TO INQUIRE (FEB 2015)

Offeror, by submitting an Offer, represents that it has read and understands the Solicitation and that its Offer is made in compliance with the Solicitation. Offerors are expected to examine the Solicitation thoroughly and should request an explanation of any ambiguities, discrepancies, errors, omissions, or conflicting statements in the Solicitation. Failure to do so will be at the Offeror's risk. All ambiguities, discrepancies, errors, omissions, or conflicting statements in the Solicitation shall be interpreted to require the better quality or greater quantity of work and/or materials, unless otherwise directed by amendment. Offeror assumes responsibility for any patent ambiguity in the Solicitation that Offeror does not bring to the State's attention. See clause entitled "Questions from Offerors." [02-2A070-2]

ETHICS CERTIFICATE (MAY 2008)

By submitting an offer, the Offeror certifies that the Offeror has and will comply with, and has not, and will not, induce a person to violate Title 8, Chapter 13 of the South Carolina Code of Laws, as amended (ethics act). The following statutes require special attention: Section 8-13-700, regarding use of official position for financial gain; Section 8-13-705, regarding gifts to influence action of public official; Section 8-13-720, regarding offering money for advice or assistance of public official; Sections 8-13-755 and 8-13-760, regarding restrictions on employment by former public official; Section 8-13-775, prohibiting public official with economic interests from acting on Contracts; Section 8-13-790, regarding recovery of kickbacks; Section 8-13-1150, regarding statements to be filed by consultants; and Section 8-13-1342, regarding restrictions on contributions by Contractor to candidate who participated in awarding of Contract. The state may rescind any Contract and recover all amounts expended as a result of any action taken in violation of this provision. If Contractor participates, directly or indirectly, in the evaluation or award of public Contracts, including without limitation, Change Orders or task orders regarding a public Contract, Contractor shall, if required by law to file such a statement, provide the statement required by Section 8-13-1150 to the Procurement Officer at the same time the law requires the statement to be filed. Offerors may submit more than one Offer, provided that each Offer has significant differences other than price. Each separate Offer must satisfy all Solicitation requirements. If this solicitation is an Invitation for Bids, each separate offer must be submitted or uploaded as a separate document and must clearly indicate that it is a separate offer. If this solicitation is a Request for Proposals, multiple offers may be submitted or uploaded as one document, provided that you clearly differentiate between each offer and you submit a separate cost proposal for each offer, if applicable. By submitting an Offer, Offeror represents that Offeror is not currently engaged in the boycott of a person or an entity based in or doing business with a jurisdiction with whom South Carolina can enjoy open trade, as defined in SC Code Section 11-35-5300. [02-2A083-1]

PRICING (MAR 2024)

(a) Fixed Price. If a fixed price is required, award will not be made on an Offer if the total possible price to the State cannot be determined. (b) Price Reasonableness: Any offer may be rejected if the Procurement Officer determines in writing that it is unreasonable as to price. S.C. Code Ann. Reg. 19-445.2070E. (c) Unbalanced Pricing. The State will analyze all offers with separately priced line items or subline items to determine if the prices are unbalanced. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more line items is significantly over or understated. The responsible procurement officer may reject an offer as unreasonably priced if she determines that unbalanced pricing increases performance risk (e.g., it is so unbalanced as to be tantamount to allowing an advance payment) or could result in payment of unreasonably high prices. PROTESTS (MAR 2024)

(a) If you are aggrieved in connection with the solicitation or award of the contract, you may be entitled to protest, but only as provided in Section 11-35-4210. To protest the solicitation or an amendment, your written protest must be received within fifteen Days of the date the applicable solicitation document is issued. To protest an award, (i) written notice of your intent to protest must be received within seven Business Days of the date the award notice is posted, and (ii) your actual written protest must be received within fifteen Days of the date the award notice is posted. Time periods are computed in accordance with Section 11-35-310(13) and the definitions for Day and Business Day. QUESTIONS FROM OFFERORS (MODIFIED)

(a) Any prospective Offeror desiring an explanation or interpretation of the solicitation, drawings, specifications, etc., must request it in writing. Questions regarding the original solicitation or any amendment must be received by the Procurement Officer no later than five (5) days prior to opening unless an earlier date is stated on the Cover Page. Label any communication regarding your questions with the name of the Procurement Officer, and the solicitation's title and number. Oral explanations or instructions will not be binding. [See R. 19-445.2042(B)] Any information given a prospective Offeror concerning a solicitation will be furnished promptly to all other prospective Offerors as an Amendment to the solicitation, if that information is necessary for submitting offers or if the lack of it would be prejudicial to other prospective Offerors. See clause entitled "Duty to Inquire." We will not identify you in our answer to your question. (b) The State seeks to permit maximum practicable competition. Offerors are urged to advise the Procurement Officer -- as soon as possible -- regarding any aspect of this procurement, including any aspect of the Solicitation that unnecessarily or inappropriately limits full and open competition. [See R. 19-445.2140] All questions must be submitted in writing and received by the Procurement Officer for this solicitation no later than date and time listed on Cover Page One.

REJECTION/CANCELLATION (JAN 2004)

RESPONSIVENESS/IMPROPER OFFERS (MAR 2024)

(a) Bid as Specified. Offers for supplies or Services other than those specified will not be considered unless authorized by the Solicitation.

(b) Multiple Offers. Offerors may submit more than one Offer, provided that each Offer has significant differences other than price. Each separate Offer must satisfy all Solicitation requirements. If this solicitation is an Invitation for Bids, each separate offer must be submitted as a separate document. If this solicitation is a Request for Proposals, multiple offers may be submitted as one document, if you clearly differentiate between each offer and you submit a separate Price Proposal for each offer, if applicable.

(c) Responsiveness. (a) Award will not be made on a nonresponsive offer. An offer is nonresponsive (i) if it does not constitute an unambiguous offer to enter into a contract with the State, or (ii) if it imposes conditions inconsistent with, or does not unambiguously agree to, the solicitation’s material requirements. (b) Bid as Specified. Offers for supplies or services other than those specified will not be considered unless authorized by the Solicitation. (d) Price Reasonableness: Any offer may be rejected if the Procurement Officer determines in writing that it is unreasonable as to price. [R. 19-445.2070]

(e) Unbalanced Bidding. The State may reject an Offer as nonresponsive if the prices bid are materially unbalanced between line items or subline items. A bid is materially unbalanced when it is based on prices significantly less than cost for some work and prices which are significantly overstated in relation to cost for other work, and if there is a reasonable doubt that the bid will result in the lowest overall cost to the State even though it may be the low evaluated bid, or if it is so unbalanced as to be tantamount to allowing an advance payment.

(f) Do not submit bid samples or descriptive literature unless expressly requested. Unsolicited bid samples or descriptive literature will not be examined or tested, will not be used to determine responsiveness, and will not be deemed to vary any of the provisions of the solicitation.
