(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e) (1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c) and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. 52.216-18 ORDERING (Oct 1995)
(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from December 1, 2016 through November 30, 2017.
(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) If mailed, a delivery order or task order is considered “issued” when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.
512.216-19 ORDER LIMITATIONS (Oct 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $2,500, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor --
(1) Any order for a single item in excess of $1,500,000.
(2) Any order for a combination of items in excess of $1,500,000; or
(3) A series of orders from the same ordering office within 30 calendar days that together call for quantities exceeding the limitation in subparagraph (b)(1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph
(b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within two (2) calendar days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.
52.216-22 INDEFINITE QUANTITY (Oct 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the “maximum.” The Government shall order at least the quantity of supplies or services designated in the Schedule as the “minimum.”
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after November 30, 2017.
TASK ORDER CONTRACT OMBUDSMAN
FAR 16.505(b)(6) states “the head of the agency shall designate a task order contract and delivery order contract ombudsman who shall be responsible for reviewing complaints from contractors on task order contracts and delivery order contracts. The ombudsman shall review complaints from the contractors and ensure that all contractors are afforded a fair opportunity to be considered consistent with the procedures in the contract. The ombudsman shall be a senior agency official who is independent of the contracting officer and may be the agency’s competition advocate.”

AUTHORIZED ORDERING OFFICIALS
Any warranted USDA wide or NRCS Contracting Officer that possesses sufficient warrant authority, may award firm fixed price task orders against this contract. Task orders shall be issued in writing on the Optional Form 347 – Order for Supplies or Services (OF 347).
Task orders may be administered by a Contracting Officer other than the awarding contracting officer.
52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.
52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years.

452.216-74 CEILING PRICE (FEB 1988)
The ceiling price of this contract is $2,000,000 per year. The contractor shall not make expenditures or incur obligations in the performance of this contract which exceed the ceiling price specified herein, except at the Contractor’s own risk.
452.216-73 MINIMUM AND MAXIMUM CONTRACT AMOUNTS (FEB 1988)
During the period specified in FAR clause 52.216-18, ORDERING, the Government shall place orders totaling a minimum of $2,500 but not in excess of $2,000,000 per year.
452.224-70 CONFIDENTIALITY OF INFORMATION (FEB 1988)
(a) Confidential information, as used in this clause, means --
(1) information or data of a personal nature, proprietary about an individual, or
(2) information or data submitted by or pertaining to an organization.
(b) In addition to the types of confidential information described in (a)(1) and (2) above, information which might require special consideration with regard to the timing of its disclosure may derive from studies or research, during which public disclosure of primarily invalidated findings could create an erroneous conclusion which might threaten public health or safety if acted upon.
(c) The Contracting Officer and the Contractor may, by mutual consent, identify elsewhere in this contract specific information and/or categories of information which the Government will furnish to the Contractor or that the Contractor is expected to generate which is confidential. Similarly, the contracting Officer and the Contractor may, by mutual consent, identify such confidential information from time to time during the performance of the contract. Failure to agree will be settled pursuant to the "Disputes" clause.
(d) If it is established that information to be utilized under this contract is subject to the Privacy Act, the Contractor will follow the rules and procedures of disclosure set forth in the Privacy Act of 1974, 5 U.S.C. 552a, and implementing regulations and policies, with respect to systems of records determined to be subject to the Privacy Act.
(e) Confidential information, as defined in (a)(1) and (2) above, shall not be disclosed without the prior written consent of the individual, institution or organization.
(f) Written advance notice of at least 45 days will be provided to the Contracting Officer of the Contractor's intent to release findings of studies or research, which have the possibility of adverse effects on the public or the Federal agency, as described in (b) above. If the Contracting Officer does not pose any objections in writing within the 45 day period, the contractor may proceed with disclosure.
Disagreements not resolved by the Contractor and Contracting Officer will be settled pursuant to the "Disputes" clause.
(g) Whenever the Contractor is uncertain with regard to the proper handling of material under the contract, or if the material in question is subject to the Privacy Act or is confidential information subject to the provisions of this clause, the Contractor shall obtain a written determination from the Contracting Officer prior to any release, disclosure, dissemination, or publication.
(h) The provisions of paragraph (e) of this clause shall not apply when the information is subject to conflicting or overlapping provisions in other Federal, State or local laws.
52.232-39 UNENFORCEABILITY OF UNAUTHORIZED OBLIGATIONS (JUN 2013)
(a) Except as stated in paragraph (b) of this clause, when any supply or service acquired under this contract is subject to any End User License Agreement (EULA), Terms of Service (TOS), or similar legal instrument or agreement, that includes any clause requiring the Government to indemnify the Contractor or any person or entity for damages, costs, fees, or any other loss or liability that would create an Anti- Deficiency Act violation (31 U.S.C. 1341), the following shall govern:
(1) Any such clause is unenforceable against the Government.
(2) Neither the Government nor any Government authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the EULA, TOS, or similar legal instrument or agreement. If the EULA, TOS, or similar legal instrument or agreement is invoked through an “I agree” click box or other comparable mechanism (e.g., “click-wrap” or “browse-wrap” agreements), execution does not bind the Government or any Government authorized end user to such clause.
(3) Any such clause is deemed to be stricken from the EULA, TOS, or similar legal instrument or agreement.
(b) Paragraph (a) of this clause does not apply to indemnification by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures.
452.237-75 RESTRICTIONS AGAINST DISCLOSURE (FEB 1988)
(a) The Contractor agrees, in the performance of this contract, to keep all information contained in source documents or other media furnished by the Government in the strictest confidence. The Contractor also agrees not to publish or otherwise divulge such information in whole or in part in any manner or form, or to authorize or permit others to do so, taking such reasonable measures as are necessary to restrict access to such information while in the Contractor's possession, to those employees needing such information to perform the work provided herein, i.e., on a "need to know" basis. The Contractor agrees to immediately notify in writing, the Contracting Officer, named herein, in the event that the Contractor determines or has reason to suspect a breach of this requirement.
(b) The Contractor agrees not to disclose any information concerning the work under this contract to any persons or individual unless prior written approval is obtained from the Contracting Officer. The Contractor agrees to insert the substance of this clause in any consultant agreement or subcontract hereunder.
EARLY EXERCISE OF OPTIONS (NRCS, 2007)
Under this contract, the exercising of options is not bound by the annual option periods. The Government may choose to exercise options earlier than as stated in the contract if the maximum capacity will be exceeded prior to the end of a contract period. The Contracting Officer shall provide the Contractor written notification when options will be exercised early.
PROVISIONS & ADDENDA
ADDENDA TO 52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2015)
(a) To assure a thorough and fair evaluation of the proposal(s), the offeror must follow the instructions contained herein. The proposal(s) must be complete and respond directly to the requirements of this solicitation. This section provides general guidance for preparing proposals as well as specific instructions on format and content of the proposal. Each volume shall be complete in itself. Unless otherwise specified, any form of presentation, such as narrative, pictures, tables, graphs, schematics, logic, and other functional block diagrams may be used to provide a concise description of information.
(b) For purposes of this requirement, the nation has been divided into four regions. Orders may be issued for administrative support services at any NRCS office within the contracted region(s).
Offerors may bid on a single region or multiple regions. Offerors bidding on multiple regions are required to submit a separate proposal for each individual region. Each response shall consist of four (4) separate parts;
(1) PART I – EXECUTIVE SUMMARY AND CONTRACT DOCUMENTATION
(a) Part I shall not exceed ‘10 pages’ for the Executive Summary, and ‘number of pages as needed’ for the contract documentation. A page is defined as each face of an 8.5 x 11-inch page containing information (excludes blank pages, title pages, table of contents, tabs, dividers, glossaries, and indices). Page margins shall be a minimum of 1- inch each for the top, bottom, and sides and text type shall be Times New Roman or Arial, no smaller than 12 point with normal proportional spacing. Text lines will be no less than single-spaced.
(b) The purpose of the Executive Summary is to provide Government evaluators with a clear and concise introduction to the content and structure of the Offeror's entire proposal, including significant risks, and to highlight any key or unique features, excluding cost/price.
(c) The summary should provide the Offeror's overall approach and supporting rationale for the performance/management of the government's requirements. Offerors shall provide an Organizational Chart or the Offeror's proposed performance structure that defines the functional relationships, areas of responsibility, and lines of control/authority among the organizational elements, including proposed subcontractors and/or teaming members.
For planned subcontractors/teaming members, to include other small businesses, the Offeror shall identify the contractor and provide a brief description of the work expected to be performed and/or basis for selecting them.
(d) Format and Specific Content: The format of the Executive Summary is at the discretion of the Offeror. Within the Executive Summary, the Offeror shall state that the proposal is valid for 180 days and identify those personnel authorized to negotiate on behalf of the company along with their telephone number, e-mail address, fax number, and mailing address. The offeror shall also provide the person to contact in the event the Offeror is awarded a contract (provide at a minimum, contact's name, title, phone number, and e-mail address).
(e) The offeror is required to include the following Contract Documentation in a clearly marked, separate section of Part I.
1) The company/division's street address, county and facility code; CAGE code;
DUNS code; size of business; and labor surplus area designation. This same information must be provided if the work for this contract will be performed at any other location(s).
2) Complete the necessary fill-ins and certifications in provisions and in the on-line Representations and Certifications at www.sam.gov. Return the provision FAR 52.212-3, Offeror Representations and Certifications- Commercial Items, along with the proposal. For other provisions and clauses in the solicitation, the offeror is required to submit the pages that require an offeror fill-in.
3) The date of the Offeror's Affirmative Action Plan, expiration date, and the name and address of the cognizant U.S. Department of Labor, Office of Federal Compliance Programs Office.
4) In accordance with FAR Subpart 22.805, preaward clearances for contracts and subcontracts of $10 million or more are required unless the contractor is listed in Office of Federal Contract Compliance Programs (OFCCP) National Preaward Registry (http://www.dol-esa.gov/preaward/). The CO is required to obtain clearance from the appropriate OFCCP regional office prior to contract award. If the Offeror is already listed in OFCCP's National Preaward Registry (http://www.dol- esa.gov/preaward/) a verification of the registry entry should be submitted.
5) Verification of submittal date of the Offeror's most recent Federal Contractor Veterans Employment Report VETS-100 Report (Reference
FAR 22.1303).
6) Identification of any actual or potential Organizational Conflict of Interest that may require the Offeror and/or subcontractors/teaming partners to submit a mitigation plan for consideration by the CO during the proposal period. A mitigation plan, if required, shall be evaluated by the CO IAW FAR 9.5.
(2) PART II – TECHNICAL CAPABILITY
(a) Part II shall not exceed ’10 pages;’ pages as defined in Part I (a).
(b) The purpose of the Technical Capability Volume is to provide the government the ability to evaluate the management and technical approach of the Offeror to perform the government’s requirements. The Offeror's technical capability shall provide as specifically as possible the actual methodologies and system that will be used to accomplish/satisfy the government's requirements. Offerors shall demonstrate a clear and concise approach to meet the requirements.
(c) The technical capability proposal shall not include price information, classified http://www.sam.gov/ http://www.sam.gov/ http://www.sam.gov/ information, or "For Official Use Only" information. For each planned subcontractor/teaming member, provide a brief description of the capability the subcontractor/teaming member will provide and/or work that they will perform.
(d) Format and Specific Content: The Technical Capability volume shall be organized according to the following general outline:

(e) This volume should demonstrate to the Government, the Offeror's ability to (1) effectively and efficiently transition resources and personnel at the time of task order (TO) award, (2) establish required viable management processes and structures, and
(3) ensure full continuity of mission support and contract performance on the required TO start date. The plan shall describe your process/procedure for the formal transition period beginning at task order award.
(3) PART III – PAST PERFORMANCE
(a) Part III shall not exceed ‘6 pages’ for past performance information. Questionnaires are not included in page count; pages as defined in Part I (a).
(b) Past Performance Survey/Questionnaire: The government will evaluate the quality and extent of offeror’s performance deemed relevant to the requirements of this solicitation. The government will use information submitted by the offeror and other sources such as other Federal government offices, state and municipal offices, and commercial sources, to assess performance. Provide a list of no more than three (3), of the most relevant contracts performed for Federal agencies and commercial customers within the last five years. Relevant contracts include: administrative services similar to the requirements of the PWS. The evaluation of past performance information will take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to the current acquisition. However, subcontractor, and predecessor company information will not be considered as highly as past performance information for the principal offeror.
Furnish the following information for each contract referenced:

If no Past Performance is available the offeror shall not be evaluated favorably or unfavorably on past performance.
(c) If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent past/present performance information on previous teaming arrangements with same partner. If this is a first time joint effort, each party to the arrangement must provide a list of past and present relevant contracts.
(d) Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent.
Provide with the proposal a letter from all subcontractors that will perform major or critical aspects of the requirement, consenting to the release of their past performance information to the prime contractor.
(4) PART IV – PRICE PROPOSAL AND AMENDMENTS
(a) Part IV shall not exceed ’5 pages’ as defined in Part I (a).
(b) The offeror’s proposal must demonstrate and clearly describe an effective and efficient cost/price approach for accomplishing stated requirements. Failure to comply with the requirements for price information may result in an adverse assessment of a proposal and reduce or eliminate its chance of being selected for award. When an offeror fails to furnish cost/price information required by the solicitation, the government may utilize comparable price information from other sources for purposes of completing its evaluation. Under these circumstances, the offeror bears full responsibility for any adverse evaluation impact which may result from its failure to furnish information required by the solicitation.
(c) The format of the Cost/Price volume shall be as follows:

1) Offerors must complete the Standard Form (SF) 1449. Complete blocks 12, 17a, 30a, 30b, and 30c. In doing so, the offeror accedes to the contract terms and conditions as written in the solicitation and attachments.
2) Offerors must complete Attachment 2- Price Proposal Worksheet in its entirety. The proposed rates shall be fully burdened labor rates (including profit). 3) Task orders placed for an area with lower or higher SCA rates than the Washington DC Wage Determination shall be adjusted accordingly by the difference in SCA wage rate(s) for the locations/positions required.
(e) Instructions for Part IV, Section (II) Estimating System/Methodology
1) Provide narrative to explain your basis of estimate and to support proposed rates. Include significant pricing considerations and all assumptions made.
2) Where estimates are based upon past experience, identify the past experience, explain how the past experience relates to the current effort (including similarities and differences), and explain how cost/price data available from the past experiences was adapted to the current effort.
3) The offeror shall indicate in this section the extent to which its proposed labor rates represent a discount from the firm’s standard rates.

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(i) Technical Capability to meet the Government requirement;

(iii) Price.

Technical and past performance, when combined, are significantly more important than cost or price.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
