(3) A series of orders from the same ordering office within 15 days that together call for quantities exceeding the limitation in subparagraph (1) or (2) above.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph

(b) above.

(d) Notwithstanding paragraphs (b) and (c) above, the Contractors shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 3 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

FAR 52.216-22 INDEFINITE QUANTITY (OCT 1995)

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided that the Contractor shall not be required to make any deliveries under the contract after 31 December 2014.

TASK ORDER PROCEDURES

This clause defines the process by which Fair Opportunity for Award will be afforded; Task Orders (TO) will be processed and priced; and a TO will be awarded. Additionally, it defines the role of Ombudsman at the USDA Forest Service’s Washington Office.

Please Note: Careful attention should be paid to those areas in which the procedures/processes/ provisions changes due to use of a different contract type/pricing methodology.

(a) FAIR OPPORTUNITY TO BE CONSIDERED:

1. One or more Task Orders (TOs) may be issued during the performance period of this contract. The Contracting Officer's (CO) decision to issue an order to particular awardees shall be based on the criteria stated below. In accordance with the Federal Acquisition Streamlining Act (FASA) and FAR 16.505(b), the

FORESTRY SERVICES

REFERENCE NO. OF DOCUMENT BEING CONTINUED

AG-9A28-S-09-0035

PAGE

CO will give each awardee a "fair opportunity" to be considered for each order in excess of $2,500 unless one of the conditions in paragraph (2) below applies.

2. Exceptions to Fair Opportunity for Consideration: Awardees will not be given a fair opportunity to be considered for requirements which are expected to exceed $2,500 when the Contracting Officer determines one of the following conditions apply:

A. The agency need for the services is so urgent that providing such opportunity would result in unacceptable delays;

B. Only one such awardee is capable of providing such services required at the level of quality required because the services ordered are unique or highly specialized;

C. The order must be issued on a sole-source basis in the interest of economy and efficiency as a logical follow-on to a task order already issued under the contract, provided that all awardees were given fair opportunity to be considered for the original order; or

D. It is necessary to place an order to satisfy a minimum guarantee.

(b) Selection Criteria For Awarding Task Order.

The Government will evaluate the task order offers against the following selection criteria: (a) relevant past performance on completed task order, (b )availability, and (3) price where, when combined, all non-price factors are less important than price.

Evaluation of past performance will be based on each awardees original past performance data until such a time that they have completed at least two tasks. Then the original contract offer will be disregarded for current performance reports received on task orders performed under this contract. In addition, individual task order selection criteria may include other factor(s) relevant to the particular task order. The order of importance for the factors will be identified on each individual requirement.

(c) Offer Process

1. A warranted Contracting Officer within the Northern Province must issue any task order exceeding $2,500.00. The Contracting Officer will issue a TO quote request to all contractors. The TO quote request will include a due date for offer submission and a Statement of Work (SOW) which includes a detailed description of work to be accomplished, a listing of the deliverables required, and additional data as appropriate. The TO offer request will also include specific instructions for the submission for offers, the selection criteria factors, the factors’ order of importance, and other information deemed appropriate

2. Awardees under the Basic Contract will generally be allowed ten working days to prepare and submit offers.

However, more or less time may be necessary based on the requirements. The due date shall be set forth in each TO quote request. If an awardee is unable to perform a requirement, the awardee may “NO BID” the TO quote request. All “NO BIDS” shall include a brief statement as to why the awardee is unable to perform (i.e., Conflict of Interest). While no mandatory requirement exists for the submission of an offer, firms consistently declining to submit offers for reasons of availability may jeopardize their ability to receive future TO awards.

3. Technical Offers. A task order request MAY include the demand for any or all of the following information depending upon the complexity of the project:

* Technical Approach

* Key Personnel utilized

FORESTRY SERVICES

REFERENCE NO. OF DOCUMENT BEING CONTINUED

AG-9A28-S-09-0035

PAGE

* Quantities/hours of personnel by labor categories

* Quantities/hours of equipment by specific type

* Other Direct Costs (ODCs) (e.g. material not provided by the Government, mobilization, etc.)

* Performance Work Schedule

* Use of Government Property

* Necessary flagging requirements

Technical offer information will be streamlined to no more than 5 pages; excluding any Safety Plan augments and the Performance Work Plan Schedule. Offers shall not merely restate TO PWS requirements.

4. Price Quotes. A written price quote will always be required on the face of each Task Order form.

Completing the form with an authorized signature will, in most cases, represent the sum of a firm’s price quote. Pricing will only be provided to the Contracting Officer.

5. Clarification of Offer: Offers will be evaluated in accordance with selection criteria set forth in the TO offer request. If necessary, during the evaluation of offers the Government may contact an awardee with questions concerning their offer

6. The Contracting Officer, reserves the right to withdraw a task order at any time with a valid reason.

7. TO Issuance: Task orders may be issued verbally, by facsimile, or by electronic commerce methods.

However, all task orders must be finalized in writing and provided to the Contracting Officer with the appropriate signatures and agreed upon pricing for stated pay items. All contractors receiving a Basic award are to maintain an email address in order to receive task orders from the Contracting Officer.

8. Unauthorized Work: The Contractor is not authorized to commence performance prior to issuance of a signed TO and Notice to Proceed or verbal approval provided by the CO to begin work.

9. Task Funding Restrictions: No unfunded tasks are authorized under this contract.

(d) Ombudsman Description. In accordance with FAR 16.505(a)(6), no protest under FAR subpart 33.1 is authorized in connection with CO decisions regarding fair opportunity or the issuance of a TO under this contract, except for a protest on the grounds that a TO increases the scope, period, or maximum value of the contract. The Ombudsman will review complaints from the contractors and ensure that all contractors are afforded a fair opportunity to be considered consistent with the procedures in the contract. Complaints to the USDA Forest Service Ombudsman must be forwarded to:

Laurie Lewandowski Assistant Director for Policy & Systems and the Competition Advocate Acquisition Management 1621 N Kent Street, Suite 707 RPE Arlington, VA 22209 Phone (707) 605-4573 Facsimile (703) 605-5100

Required services are common stand exams; layout; boundary designations; cruise designs; timber marking; timber cruising; and area determination. These activities will be performed for the preparation of the following management activities; construction of strategic defensible fuel profile zones (DFPA), group selection units (GS), Mastication units (MEC), non commercial thinning units (bio-mass), and commercial thinning units (sawlogs) and prescribed fire units (RX).

Stand Exam data Collection (CSE)

Gathering resource data by conducting field investigations, such as stand examinations and compiling data into reports (electronic and hardcopy), which may be used by the Forest Service in the NEPA planning process. Plots will be established across all types of terrain across thousands of acres, as identified in each task order. The protocol Common Stand Exam (CSE) can be found at www.fs.fed.us/emc/nris/products/fsveg/indexs.html within their respective User Guides.

Data Collection Levels

There are three stand examination data collection levels the level of data collection will be identified on the task order.

The data provided by the Contractor to the Forest Service shall be in a format that will load into the current version of CSE. This will be accomplished by using the data collection form and /or using the CSE program for data recorders. Data recording procedures will be covered at the pre-work meeting.

Layout

Projects are located on slopes generally less than 55% with occasionally steeper areas. Vegetation types will range from brush fields to heavily timbered wild stands over all aspects and elevations.

Layout is described as locating the units using the contract maps and aerial photographs depicting the approximate locations of units and then determining the boundaries of the cutting units on the ground. The contract map illustrates the cutting units’ approximate location and proposed harvest system.

Contractor will be required to choose the appropriate harvest system for each unit. (ie. tractor, skyline, or helicopter).

Use of skyline yarding, topography is determined favorable to obtain one end log suspension from existing roads or identified short temporary spur roads. A slope profile analysis will be conducted on any planned skyline corridor where external yarding distance limitations and adequate deflection can not be readily determined from proposed setting locations. Identified intermediate supports, sufficient anchors, tail-holds will be identified on the skyline units and placed on the sketch map.
