U.S. DEPARTMENT OF AGRICULTURE (USDA)
FOOD SAFETY & INSPECTION SERVICE (FSIS)
Performance Based Work Statement (PBWS) Consultative Services
B.1 GENERAL
The work will be performed in accordance with all Sections of this PBWS
B.2 ORDER TYPE
The contractor will perform the effort required by this PBWS on a Firm-Fixed-Price (FFP) basis for base period CLINs 0001-0002 and option periods CLINS 1001-1002, 2001-2002, and 3001- 3002, with a cost-type CLIN for cost reimbursement travel. The base period award shall be for a period of 12 month after award followed by three (3) option periods of 12 months each.
B.3 SERVICES AND PRICES/COSTS
Long distance travel is defined as travel over 50 miles. Local travel will not be reimbursed.
Travel will be required for each on site visit performed. All Federal travel regulations shall apply. The travel budget for this contract is $2,500.
This order will be awarded on a Performance-Based, Firm Fixed Price (FFP) basis for all labor.
The contractor will produce monthly reports that will summarize work performed during the previous month’s reporting period. The monthly report will document performance over the month and provide evidence that the contractor is successfully meeting all requirements of this
PBWS.
The Firm Fixed Price Contract Line Item Numbers (CLINs) will be invoiced and paid upon delivery and acceptance of the deliverables. The monthly deliverable shall be the monthly reports that provide evidence of successful execution of all requirements that were assigned to the contractor by the Contracting Officers Representative (COR) during that reporting period.

C.1 BACKGROUND
Food Safety and Inspection Services (FSIS) is the division of the United States Department of Agriculture (USDA) that has been delegated the authority to exercise the functions of the Secretary of Agriculture as provided in the Federal Meat Inspection Act (FMIA) (21 U.S.C. 601 et seq.), the Poultry Products Inspection Act (PPIA) (21 U.S.C. 451, et seq.), and the Egg Products Inspection Act (EPIA) (21 U.S.C. 1031-1056). These statutes provide that FSIS is public health agency responsible for ensuring that the nation’s commercial supply of meat, poultry, and egg products are safe, wholesome, unadulterated, and properly labeled and packaged. Minimizing the public health impacts from contaminated foods requires rapid Government response and intervention, which in turn requires that threats be identified as quickly and as definitively as possible and addressed.
C.2 SCOPE OF WORK
The purpose of this requirement is to establish a firm fixed price contract for facilitation and consultant support services for USDA, FSIS, Office of the Administrator (OA). The USDA/FSIS/OA is located at 1400 Independence Ave, SW, Room 331-E, Washington, DC 20250. Consultant services are needed to assist FSIS with food safety regulatory issues, evaluation of programs, and audits.
C.3 TASKS: FACILITATION AND CONSULTANT SERVICES
As required by the COR, the Contractor shall advise FSIS with food safety regulatory issues. As required by the COR, in addition, using its specific expert knowledge of the Federal food safety sector, the contractor will assist FSIS in addressing food safety issues as they might arise.
The Contractor shall provide consultative services to FSIS/OCFO and FSIS/OA supporting the following:
C.3.1: Evaluation
C.3.1.1: Development, integration, and execution of an integrated FSIS analysis and evaluation agenda o Identify and define high-priority policy, program, or process evaluation topics o Discerning the most appropriate methods to assess the program, policy, or process efficacy associated with evaluation topics
C.3.1.2: Identification of ways for the agency to help build approaches for monitoring and evaluation of program administration
C.3.1.3: Assessment of the quality and timeliness of analyses and evaluations conducted within and across FSIS offices in a manner that can best inform decision-making
C.3.1.4: Market Research of potential industry experts and leaders for data collection activities associated with evaluations, such as structured interviews, focus groups, or surveys.
C.3.2: Audit
C.3.2.1: Guidance and technical comments on draft response content or problem-solving approaches or both, for audits that are particularly complex or high-sensitivity/high-visibility.
D.1 DELIVERABLES MEDIA
The contractor shall provide electronic copies of each deliverable. Electronic copies shall be delivered via email attachment or other media by mutual agreement of the parties. The electronic copies shall be compatible with MS Office products or other applications as appropriate and mutually agreed to by the parties.
E.1 PLACE OF INSPECTION AND ACCEPTANCE
Inspection and acceptance of all work performance, reports, and other deliverables under this contract, shall be performed by the FSIS COR at FSIS offices in the Washington DC Metropolitan area.
E.2 SCOPE OF INSPECTION
All deliverables will be inspected for content, completeness, accuracy, and conformance to contract requirements by the COR. Inspection may include validation of information or software through the use of automated tools, testing, or inspections of the deliverables, as specified in the PBWS. The scope and nature of this inspection will be sufficiently comprehensive to ensure the completeness, quality, and adequacy of all deliverables.
The Government requires a period NTE 15 workdays after receipt of final deliverable items for inspection and acceptance or rejection.
F.1 PERIOD OF PERFORMANCE
Upon contract award, Contractor onboarding and required security clearance activities shall begin immediately following contract award.
The Period of Performance (PoP) of this Task Order consists of a twelve month Base period to begin upon contract award, and three (3), one-year Options.
F.2 PLACE OF PERFORMANCE:
The services shall be performed at an offsite location, using government issued equipment (laptop and phone), with travel to Washington, DC as required by the COR.
F.3 SCHEDULE AND DELIVERABLES
The Contractor shall adhere to the following schedule and deliverable requirements. The Contractor will perform facilitation and consultation services over the course of 12 months for 12 months after award, and as exercised by the Government 3 optional 12 month periods. All electronic versions shall be in applicable Microsoft Office 2003/2007 products. All deliverables will be delivered electronically via email to the CO, the COR, and FSIS/OA.

G.1 CONTRACTING OFFICER’S REPRESENTATIVE (COR)
The CO will appoint a COR in writing through a COR Appointment Letter that will be provided to the contractor upon award.
The COR is not authorized to change any of the terms and conditions, scope, schedule, and price of the Contract. Changes in the scope of work will be made only by the CO by properly executed modifications to the Contract.

G.2 ELECTRONIC INVOICING AND PAYMENT REQUIREMENTS (April 2013)
Effective May 6, 2013, all payment requests are required to be submitted electronically through the U.S. Department of the Treasury’s Invoice Processing Platform (IPP).
“Payment Request” means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions – Commercial Items included in commercial item contracts. The Contractor must use the IPP website to register, access, and use IPP for submitting requests for payment. G. 4 TRAVEL
Local travel of 50 miles or less will not be reimbursed. Long distance travel is defined as travel over 50 miles. Annual long distance travel Not To Exceed (NTE) ceiling prices are included in this contract as a ‘plug in’ figure and contractors are not required to provide supporting documentation for long distance travel in their Proposals. The contractor will be reimbursed for long distance travel, provided advance Government authorization and approval was obtained in writing from the COR. The contractor may invoice monthly on the basis of cost incurred for travel.
H.1 GOVERNMENT FURNISHED SERVICES / SUPPLIES:
FFSIS will provide reasonable office space for the Contractor to accomplish these tasks, as determined to be needed by the COR.
FSIS will provide reasonable access to relevant internal documentation including but not limited to reports, memos, Standard Operating Procedures (SOP’s) etc. as determined to be required by the COR.
FSIS will provide the contractor with one FSIS-issued laptop and phone as determined to be required by the COR.
H.2 CONTRACTOR RESPONSIBILITIES
The Contractor is responsible for the work performance of all personnel. The Contractor shall contact the COR to obtain proper security clearances and Government identification if necessary.
The Contractor shall participate in FSIS meetings related to the efforts described in this Performance Based Work Statement as determined to be needed by the COR to fulfill the duties described.
The Contractor is responsible for any local travel costs associated with this effort within the Washington DC metropolitan area and defined as 50 miles or less.

The Contractor shall provide timely notification to the COR when programmatic or project based risks are evident.
H.3 INTELLECTUAL PROPERTY RIGHTS
The existence of any patent, patent application or other intellectual property right that encumbers any deliverable must be disclosed in writing on the cover letter that accompanies the delivery. If no such disclosures are provided, the data rights provisions in FAR 52.227-14 apply.
I.1 AGRICULTURE ACQUISITION REGULATION (AGAR) CLAUSES
I.1.2 AGAR 452.209- 71 ASSURANCE REGARDING FELONY CONVICTION
OR TAX DELINQUENT STATUS FOR CORPORATE APPLICANTS
(a) This award is subject to the provisions contained in the Agriculture, Rural Development, Food and Drug Administration, and Related Agencies Appropriations Act, 2012, P.L. No. 112-55, Division A, Sections 738 and 739 regarding corporate felony convictions and corporate federal tax delinquencies. Accordingly, by accepting this award the contractor acknowledges that it - (1) does not have a tax delinquency, meaning that it is not subject to any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, and (2) has not been convicted (or had an officer or agent acting on its behalf convicted) of a felony criminal violation under any Federal or State law within 24 months preceding the award, unless a suspending and debarring official of the United States Department of Agriculture has considered suspension or debarment of the awardee, or such officer or agent, based on these convictions and/or tax delinquencies and determined that suspension or debarment is not necessary to protect the interests of the Government.
(b) lf the awardee fails to comply with these provisions; USDA Food Safety and Inspection Service may terminate this contract for default and may recover any funds the awardee has received in violation of sections 738 or 739.
I.2 FOOD SAFETY AND INSPECTION SERVICE (FSIS) CLAUSES
I.2.1 UNAUTHORIZED PERFORMANCE OF SERVICES (MAY 2011)
(a) No personal services shall be performed under this contract. No Contractor employee will be directly supervised by the Government. All individual employee assignments, and daily work direction, shall be given by the applicable employee supervisor. If the Contractor believes any Government action or communication has been given that would create a personal services relationship between the Government and any Contractor employee, the Contractor shall promptly notify the Contracting Officer of this communication or action.
(b) The Contractor shall not perform any inherently Government actions under this contract. No Contractor employee shall hold him or herself out to be a Government employee, agent, or representative. No Contractor employee shall state orally or in writing at any time that he or she is acting on behalf of the Government. In all communications with third parties in connection with this contract, Contractor employees shall identify themselves as Contractor employees and specify the name of the company for which they work.
(c) The Contractor shall ensure that all of its employees working on this contract are informed of the substance of this clause. Nothing in this clause shall limit the Government's rights in any way under any other provision of the contract, including those related to the Government's right to inspect and accept the services to be performed under this contract. The substance of this clause shall be included in all subcontracts at any tier.
I.2.2 RELEASE OF SENSITIVE INFORMATION (FEB 2007)
(a) As used in this clause, "sensitive information" refers to information, not currently in the public domain, that the Contractor has developed at private expense, that may embody trade secrets or commercial or financial information, and that may be sensitive or privileged.
(b) In accomplishing management activities and administrative functions, U.S. Department of Agriculture (USDA), Food Safety and Inspection Service (FSIS) rely heavily on the support of various service providers. To support FSIS activities and functions, these service providers, as well as their subcontractors and their individual employees, may need access to sensitive information submitted by the Contractor under this contract. By submitting this proposal or performing this contract, the Contractor agrees that FSIS may release to its service providers, their subcontractors, and their individual employees, sensitive information submitted during the course of this procurement.
(c) (1) The Contractor shall identify any sensitive information submitted in support of this proposal or in performing this contract. For purposes of identifying sensitive information, the Contractor may, in addition to any other notice or legend otherwise required, use a notice similar to the following: Mark the title page with the following legend: This proposal or document includes sensitive information that FSIS shall not disclose outside the Agency and its service providers that support management activities and administrative functions. To gain access to this sensitive information, a service provider's contract must contain the clause entitled "Access to Sensitive Information". Consistent with this clause, the service provider shall not duplicate, use, or disclose the information in whole or in part for any purpose other than to perform the services specified in its contract. This restriction does not limit the Government's right to use this information if it is obtained from another source without restriction. The information subject to this restriction is contained in pages [insert page numbers or other identification of pages]. Mark each page of sensitive information the Contractor wishes to restrict with the following legend:
Use or disclosure of sensitive information contained on this page is subject to the restriction on the title page of this proposal or document.
(2) The Contracting Officer shall evaluate the facts supporting any claim that particular information is "sensitive." This evaluation shall consider the time and resources necessary to protect the information in accordance with the detailed safeguards mandated by the clause entitled "Access to Sensitive Information". However, unless the Contracting Officer decides, with the advice of Legal Counsel, that reasonable grounds exist to challenge the Contractor's claim that particular information is sensitive; FSIS and its service providers and their employees shall comply with all of the safeguards contained in paragraph (d) of this clause.
(d) To receive access to sensitive information needed to assist FSIS in accomplishing management activities and administrative functions, the service provider must be operating under a contract that contains the clause entitled "Access to Sensitive Information". This clause obligates the service provider to do the following:
(1) Comply with all specified procedures and obligations, including the Organizational Conflicts of Interest A voidance Plan, which the contract has incorporated as a compliance document.
(2) Utilize any sensitive information coming into its possession only for the purpose of performing the services specified in its contract.
(3) Safeguard sensitive information coming into its possession from unauthorized use and disclosure.
(4) Allow access to sensitive information only to those employees that need it to perform services under its contract.
(5) Preclude access and disclosure of sensitive information to persons and entities outside of the service provider's organization.
(6) Train employees who may require access to sensitive information about their obligations to utilize it only to perform the services specified in its contract and to safeguard it from unauthorized use and disclosure.
(7) Obtain a written affirmation from each employee that he/she has received and will comply with training on the authorized uses and mandatory protections of sensitive information needed in performing this contract.
(8) Administer a monitoring process to ensure that employees comply with all reasonable security procedures, report any breaches to the Contracting Officer, and implement any necessary corrective actions.
(e) This clause does not affect FSIS's responsibilities under the Freedom of Information Act.
(f) The Contractor shall insert this clause, including this paragraph (g); suitably modified to reflect the relationship of the parties, in all subcontracts that may require the furnishing of sensitive information.
I.2.3 ACCESS TO SENSITIVE INFORMATION (FEB 2007)
(a) As used in this clause, "sensitive information" refers to information that a contractor has developed at private expense, or that the Government has generated that qualifies for an exception to the Freedom of Information Act, which is not currently in the public domain, and which may embody trade secrets or commercial or financial information, and which may be sensitive or privileged.
(b) To assist the U.S. Department of Agriculture (USDA), Food Safety and Inspection Service (PSIS) in accomplishing management activities and administrative functions, the Contractor shall provide the services specified elsewhere in this contract.
(c) If performing this contract entails access to sensitive information, as defined above, the Contractor agrees to:
(1) Utilize any sensitive information coming into its possession only for the purposes of performing the services specified in this contract, and not to improve its own competitive position in another procurement action.
(2) Safeguard sensitive information coming into its possession from unauthorized use and disclosure.
(3) Allow access to sensitive information only to those employees that need it to perform services under this contract.
(4) Preclude access and disclosure of sensitive information to persons and entities outside of the Contractor's organization.
(5) Train employees who may require access to sensitive information about their obligations to utilize it only to perform the services specified in this contract and to safeguard it from unauthorized use and disclosure.
(6) Obtain a written affirmation from each employee that he/she has received and will comply with training on the authorized uses and mandatory protections of sensitive information needed in performing this contract.
(7) Administer a monitoring process to ensure that employees comply with all reasonable security procedures, report any breaches to the Contracting Officer, and implement any necessary corrective actions.
(d) The nature of the work on this contract may subject the Contractor and its employees to a variety of laws and regulations relating to ethics, conflicts of interest, corruption, and other criminal or civil matters relating to the award and administration of government contracts.
Recognizing that this contract establishes a high standard of accountability and trust, the government will carefully review the Contractor's performance in relation to the mandates and restrictions found in these laws and regulations. Unauthorized uses or disclosures of sensitive information may result in termination of this contract for default, or in debarment of the Contractor for serious misconduct affecting present responsibility as a government contractor.
(e) The Contractor shall include the substance of this clause, including this paragraph
(f); suitably modified to reflect the relationship of the parties, in all subcontracts that may involve access to sensitive information.
I.2.4 LEGAL HOLIDAYS (DEC 2008)
(a)The Federal Government observes the following days as holidays.

(b) In addition to the days designated above as holidays, the Government may observe additional days in accordance with 5 USC 6103.
I.2.5 CONTRACT CLAUSES
FAR 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 7 days before the end of the period of performance.
FAR 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT
(MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days prior to the expiration of the contract; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 60 months.

This contract incorporated one or more clauses by reference, with the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available. Also, the full text of a clause may be accessed electronically at www.acquisition.gov.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the
Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in paragraphs (i) through (vii) of this paragraph in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—
(i) 52.219-8, Utilization of Small Business Concerns (May 2004) (15 U.S.C. 637(d)(2) and
(3)), in all subcontracts that offer further subcontracting opportunities. If the subcontract (except subcontracts to small business concerns) exceeds $550,000 ($1,000,000 for construction of any public facility), the subcontractor must include 52.219-8 in lower tier subcontracts that offer subcontracting opportunities.
