AGAR 452.237-74 Key Personnel (FEB 1988)
(a) The Contractor shall assign to this contract the following key personnel: Crew Leader.
(b) During the first ninety (90) days of performance, the Contractor shall make no substitutions of key personnel unless the substitution is necessitated by illness, death, or termination of employment. The Contractor shall notify the Contracting Officer within 15 calendar days after the occurrence of any of these events and provide the information required by paragraph (c) below. After the initial 90-day period, the Contractor shall submit the information required by paragraph (c) to the Contracting Officer at least 15 days prior to making any permanent substitutions.
(c) The Contractor shall provide a detailed explanation of the circumstances necessitating the proposed substitutions, complete resumes for the proposed substitutes, and any additional information requested by the Contracting Officer. Proposed substitutes should have comparable qualifications to those of the persons being replaced. The Contracting Officer will notify the Contractor within 15 calendar days after receipt of all required information of the decision on substitutions. The contract will be modified to reflect any approved changes of key personnel.

(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement.
Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)
(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c) and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—

WEST CARSON COMMON STAND EXAM
1. GENERAL SPECIFICATIONS
A. Scope of Contract The intent of this contract is to secure service for the installation and measurement of common stand exam plots on the Carson Ranger District, Humboldt-Toiyabe National Forest. The Forest Service proposes to contract for technical forestry services to conduct the field phase of a stand exam project. The stand exam will provide the Government with natural resource information for forested and other lands at an intensity required for management decisions. There are two types of data collection levels, quick plots, to be used in aspen areas and intensive surveys, to be used in conifer areas.
Work under this contract includes the following:
1. Using GPS for locating and monumenting (i.e., flagging) common stand exam plots within each unit. GPS unit must be capable of differential correction.
2. Taking photographs of the plots in each of the cardinal directions (i.e., N, E, S, W).
3. Conducting and collecting Common Stand Exam (CSE) data within each plot.
4. Providing data in hard copy (paper form) and electronic format (i.e., Windows PC Exam Software and/or Portable Data Recorder)
There are two types of exams included:
Intensive – to be completed in areas generally containing vegetation dominated by conifer species. There are 235 plots of this type. Collection shall include completion of setting form, sample design, plot data, large and small tree data, vegetation composition, ground surface cover and down woody material using Brown’s protocol. Intensive exams collects accurate tree measurements to tight tolerance standards.
Quick Plot – to be completed in areas generally containing aspen vegetation. There are 401 plots of this type.
Collection shall include completion of setting form, sample design, plot data, large and small tree data, vegetation composition, ground surface cover and down woody material using Brown’s protocol. Trees may be grouped by species, 2-inch diameter, and/or heights on the large and small plots. Diameters are taken to the nearest 2-inches.
The Contractor shall provide everything--including, but not limited to, all equipment, supplies, transportation, labor, and supervision--necessary to complete the project, except for that which the contract clearly states is to be furnished by the Government.
B. Project Location and Description The project is located on the Carson Ranger District, Humboldt-Toiyabe National Forest. The project is located in Alpine County, California, in the area around Woodfords, California, approximately 30 miles south of Carson City, Nevada. The legal description is: T10N, R18E, sections 1, 2, 11, 12, 13, 14, 24, 25, 26;
T10N, R19E, sections 3, 4, 5, 6, 7, 8, 9; T11N, R18E, sections 12, 13, 24, 25, 26; T11N, R19E, sections 17, 18, 19, 20, 29, 31. Mount Diablo Meridian. Detailed project maps and aerial imagery and .kml files showing the location of the stands are available upon request from technical contact.
C. Boundaries Project boundaries may be identified by the included maps and GIS shapefiles furnished by the Government and physical features shown on the stand and vicinity maps (see Attachments). Boundaries will also be made available in GIS format (shapefiles).
D. Accessibility The project work site is best accessed by a four wheel drive vehicle. Foot travel is required to navigate to each plot. Maps and photos may indicate that a road goes to the plot locations, however, vehicle access may be difficult or restricted. Stand locations may necessitate that the Contractor walks to the stand or acquire some other means of travel. Off highway vehicles are not permitted off of designated trails and roads systems on the Humboldt-Toiyabe National Forest.
E. Maps Maps showing the general vicinity and/or general work areas are included in Section J. Maps are general in nature and are not to be considered as definitively identifying locations. More specific maps shall be provided to successful contractor. In cases where exam areas are behind locked gates, the Contractor shall be provided access and shall close and lock gates after entering or leaving.
F. Camping and Housing Camping is not permitted in US Forest Service campgrounds. Contractor [ X] will [ ] will not be permitted to camp elsewhere on US Forest Service land. Camping on Forest Service land is not a right; permission may be revoked for failure to comply with the terms of the permit. (See also Section J, Camping Permit Compliance).
2. TECHNICAL SPECIFICATIONS
The technical specifications are based on the overall composition and condition of the stand, and are intended to be guidelines for achieving a high quality final product in a professional manner. Contractor is expected to use knowledge to identify and adjust to variations within the stand.
Collected data shall be submitted in hardcopy (paper form) and electronic format. Data may be collected using EXAMS software on the Personal Data Recorder (PDR) or on paper and entered into the ExamsPC software on a personal computer. Submitted plot cards shall be readable for future data entry and will be rejected if not in a readable condition.
The Contractor shall successfully run the electronic data through the Pre-load Audit program (compatible with Microsoft Office 2013) to clean the data. The Contractor’s electronic data generated from the EXAMS software shall successfully transmit to the U.S.F.S. FSVeg System using the computer equipment at the Carson Ranger District.
1. Locating and Monumenting Plots Plots have been identified and located through the government’s GIS System, ArcMap. Plots have been placed on a grid across land areas or stands that are to be sampled through common stand exam (CSE) plots. Some plots have been adjusted within the grid to re-locate off roads, non-sample areas and locations that fall immediately between delineated stands. The Government will provide the Contractor with topographic maps and aerial photo prints on which the plot locations are identified and the unit boundaries are delineated.
Unit/plot GIS shapefiles will also be provided.
a. Utilizing GPS that can be differentially corrected, navigate to the plot as designated in the provided shapefile.
Establish the plot center utilizing GPS to determine closest approximate location.
b. Use a global positioning system (GPS) unit to determine the plot latitude and longitude of all plots.
c. Plot Latitude: This is the plot latitude as measured by a Global Positioning System (GPS). All Latitude values will be positive (North assumed). Degrees must be from 18‐71 inclusive, minutes must be from 0‐59 inclusive and seconds must be from 0‐59.99 inclusive.
d. Plot Longitude: This is the plot longitude as measured by a Global Positioning System (GPS). All Longitude values will be positive (West assumed). Degrees must be from 44‐172 inclusive, minutes must be from 0‐ 59 inclusive and seconds must be from 0‐59.99 inclusive.
e. Plot Center shall be identified by a pin flag with a pink 4 inch by 5 inch flag. Place pin flag securely in the earth to prevent movement of plot center. Location, Site and Plot number shall be written on the pin flag with an indelible black ink, felt tip marker.
f. Hang white attention flags at or above eye level at the nearest available location to plot center. If attention flagging cannot be hung within visual range of plot center, distance and azimuth to plot center shall be written on the attention flagging with a black indelible ink marker.
2. Photographs Four digital photographs shall be taken at each plot. These photographs shall be taken from plot center in the four cardinal directions. The location, site, plot number and photo direction (north, south, east, west) shall be recorded on the enclosed photograph id form (Exhibit 13) and included in the photograph. Each photo is expected to show the vegetation and ground conditions from plot center to approximately 66 feet out from the plot. Digital photos will be provided in an electronic format.
3. Recording Instructions This section describes the forms, and the fields within each form, to be completed. Five site trees in each stand will be documented in the intensive exams; these five site trees will be random distributed throughout the stand.
Site trees will be documented on the Tree Data form. No site trees will be documented in the Quick Plot exams.
Stand exam plot installation and data collection shall comply with Common Stand Exam Field Guide, Region 4, February 2014. Detailed information and lists of valid codes for each data field are found in the Region 4 CSE Field Guide and Appendicies (see Government Furnished Property) and is available at the following web site:

Tatum aids reflecting most current coding will be provided at the pre-work meeting. If the contract specifications differ from the Region 4 CSE Field Guide and Appendices, the contract specifications shall have precedent.
A. Setting Form The Setting Form shall be used to record stand measurements, stand comments, sample point locations (site sketch and traverse notes), as well as design parameters and references.

B. Sample Design The Contractor shall record the basal area factor (BAF), fixed plot size, and number of plots installed on the sample design form and examination level included in the exhibits.
The Contractor shall determine the BAF. A minimum of 5.0 standing trees per plot (greater than 5.0 inches DBH) average must be obtained on the variable plot for the stand. For BAF, allowable factors are 10, 20, and

H. Electronic Data
The Contractor shall provide data to the Government in electronic format on a CD-R disk. Each block of work that is submitted will have an accompanying electronic data file, in the .pdr format.
The .pdr format is a sequential binary file that can only be read by the EXAMS PC or EXAMS CE software program. The government will provide the most recent version of the EXAMS PC/CE software to the contractor for data entry and electronic file creation. The contractor is responsible for providing the computer hardware and operating system necessary for running the PDR software (Windows 7 environment). The ExamsPC data entry program runs on computers with the Windows 95/98/2000/XP operating systems. This software may not work with Windows Vista or Windows 7. This may require data to be recorded on paper forms in the field and then entered into the ExamsPC program prior to delivery to the Government.
The file naming convention for the .pdr files submitted for each batch of completed work will be agreed upon at the pre-work meeting.
For a listing of PDRs that support this software, see Section G – Government Furnished Property. Data must be readable by the Government’s IBM/DELL/HP personal computers. No adjustments will be made due to program errors that result in data errors or loss of data. A printout listing all settings and plots contained in each submitted data file shall also be provided.
3. INSPECTION AND ACCEPTANCE
All stands may be assigned to a block as agreed to by the Contracting Officer (CO) or as designated in this contract. Blocks will contain no less than 50 plots and a maximum of 15 stands/100 plots (whichever is greater), or as agreed to by the CO. The initial inspection may be done on less than 50 plots, if requested by Contractor.
The Contractor shall submit stands in designated blocks with respective record sheets and electronic data. Each block shall be completed and accepted before beginning work on another block. The CO shall authorize any amendment to block assignments or completion of blocks one at a time.
A. Quality Control Plan The Contractor shall conduct inspections on all units in accordance with his/her Quality Control Plan (QCP).
The Contractor’s Quality Control Plan shall be submitted and accepted by the Government prior to any work starting.
B. Compliance Inspection The CO shall, by formal review, determine if the specified progress and methods of work are being carried out.
Failure to comply with specified work standards may be cause for termination of the Contractor's right to proceed in accordance with FAR 52.249-8, Default (Fixed Price Service).
C. Inspection of Work The Government shall inspect the site examinations to determine compliance with contract specifications and to provide a basis for payment. The Contractor shall submit completed site information within seven (7) days after completion of each block to the CO.
Completed work, paper forms, photographs and electronic data will be turned in for inspection in blocks.
Inspection shall only be made on completed stands. An inspection block will contain a minimum of 50 plots and a maximum of 15 stands/100 plots (whichever is greater), and must consist of complete stands (unless stated otherwise in contract). All stands within a block must be contiguous, if not already designated by the Government on the Site List. Within each block, at least 10% of the plots shall be selected for inspection to determine if the prescribed work standards have been met. This shall constitute the minimum sample plot inspection for determining satisfactory performance. Pass-fail inspection for compliance to other work standards and procedures shall be performed on all blocks.
The Government shall make the initial inspection of each block of completed stands within 10 calendar days without cost to the Contractor. No charge shall be made for the first rework inspection on the Contractor's first work block that fails. Thereafter, any reinspection required due to the Contractor reworking a block shall be at the Contractor's expense (actual damages).
D. Determination of Acceptable Work Inspection, as stated above, shall be performed by the Government for evaluation of contract specification compliance. Three procedures shall be used for determination of acceptable or unacceptable work.
1. Pass-fail check of specified standards and procedures for each block.
Site examinations deficient in the following specifications are unacceptable on a "pass-fail" basis and shall be returned to the Contractor with the entire block for rework. The determination of noncompliance with these items may be made during the office edit or during field inspection. Many of the following items appear on the Inspection Point Score Calculation Form included in the exhibits. The following will not be accepted:
a. All completed forms, photographs and electronic data not submitted to the Forest Service in a timely manner after Contractor completion.
b. Forms that are illegible or cannot be reproduced on a copying machine.
c. Electronic data that cannot be read by Government computers.
d. Stands failing to meet minimum tree/plot averages (if specified) when a lower BAF/fixed plot size could be selected, except when the BAF/plot size is specified.
e. Stands having plots not within acceptable distance of plot location on DOQ; or where plot location bias is evident.
f. Stands having less than the prescribed number of sample plots examined.
g. Stands that have a sample plot center outside the stand boundary as identified on the stand map.
h. Any sample plot center which cannot be located because of improper plot center labeling or because of improper reference point labeling, or for any other reason attributable to noncompliance with specifications.
i. Stands with less than the minimum number of site and/or growth trees (as specified for intensive plots).
j. Stands submitted with incomplete information on any form, paper or electronic. This includes Remarks and the Stand Sketch Map and Traverse Notes.
k. Any form with inaccurate stand location and stand number data.
l. Stands where government supplied information is incompletely or inaccurately transcribed onto the forms.
m. Stands which have plots not evenly distributed throughout the stand, if the Government has not prelocated plots.
n. Stands with an error or incomplete information in a field designated “Unacceptable” in the Point Value column (A) on the Point Score Calculation Form (See Attachments).
o. Stands where sample plots are established within a roadway as defined above.
p. Stands where sample plots are located too close to the stand boundary as follows:

2. Point deduction for each deficient entry or procedure on an inspection site Acceptable tolerance levels for individual measurements are shown on the Point Score Calculation Form located in the exhibits. Any item or measurement indicated by inspection to be outside these tolerance levels shall be assigned a point deduction. Point deductions shall be calculated separately for each form. An inspection/payment block may fail based on an individual form score or on the total form score calculation.
The number of errors for each field for the entire inspection/payment block is recorded in column 'B', "Number of Errors". The Point Deduction, column 'C', is calculated by multiplying the number of errors, column B, by the "Point Value", column 'A'. The Point Deductions are then totaled at the bottom of column 'C' in the "Total Deductions" field (D). This is then divided by the number of stands, plots, or tree data records inspected (E) to calculate the "Form Score" (F). Field (E) is the number of stands, plots, or tree data records actually inspected for that Form.
3. Error trend If during inspection of selected plots or review of submitted data, the Government determines an error trend is occurring in the information being recorded by the Contractor, the Government shall notify the Contractor of the findings. If the same trend continues in future inspection blocks, the blocks will be returned for rework even if the blocks have passing inspection scores. Errors are subject to point deductions.
E. Rework of Unacceptable Work If reworked and reinspected site data blocks fail during the first reinspection, no further rework shall be allowed for that block, unless approved by the CO. The Government reserves the right to require unacceptable blocks, as defined under Section E., to be reworked. Upon written notification by the CO that a block is unacceptable, the Contractor may be required to complete and submit rework before beginning work on another block. The Government shall specify rework requirements for each unacceptable block. In the case of data errors, the Government can require that they be corrected. In the case of plot location problems, the Government may require that the plots be relocated and measured.
1. Correction of Data Errors:
a. Pass-fail failures require correction of errors throughout the block.
b. Point deduction failures require:
For failure due to a Form Score: Correct individual items or measurements in the Form that failed. (I.e. if Tree Form fails, then only that form would need to be reworked). This may require revisiting all stands and sample plots in the block
For failure due to a Total Score: Correct all items and measurements on all forms.
