(a) Pricing. Offerors shall complete all pricing below in the Schedule of Items. Offeror’s need not submit pricing for CLINS X.e –X.g of each CLIN (1.e, 1.f, 1.g, 2.e, 2.f, 2.g ……15.e, 15.f, 15.g). Minimum Order quantity is avionics upgrades to four (4) SD3-60 Sherpa aircraft. Maximum quantity is avionics upgrades to fifteen (15) aircraft plus any additional maintenance on the aircraft required during the upgrade.

Optional equipment specified in sub-CLINs x.b-x.e are not guaranteed to be ordered. Credit items X.f and X.g will be credited to total price of the Upgrade in CLIN X.a provided the offered trades in prices are determined to be fair and reasonable by the Government.

B.2 SCOPE

(a) The objective of this solicitation and any resulting contract is for the development installation, and certification of an integrated flight deck and avionics system on four (4) to fifteen (15) SD3-60 Sherpa aircraft in accordance with the requirements of this contract. The contractor shall develop a fully FAA Certified avionics suite meeting the requirements identified in this solicitation/contract.

(b) The Contractor will be required to perform all scheduled maintenance on the aircraft while in their possession. The Contractor will be responsible for all FAA flight test and company test flight requirements for the completion of the STC. The Contractor will be required to perform unscheduled maintenance in accordance with the requirements of this contract.

B.3 CERTIFICATION AND AUTHORIZATION REQUIREMENTS FOR AVIONICS UPGRADE

(a) The Contractor shall be the holder of a valid FAA Part 145 Repair Station Certificate with the appropriate ratings for the work to be performed under this contract.

(b) The Contractor shall possess and maintain ISO 9001 Certification throughout the duration of the contract.

(c) The STC shall be developed by the holder of a FAA Organization Designated Authorization (ODA) with the authority to issue the Supplemental Type Certificates (STC).

(d) The Contractor shall maintain a Drug and Alcohol Program which complies with the procedures set forth in 49 CFR Part 40.

B.4 GOVERNMENT PROVIDED AIRCRAFT

(a) The Government will deliver each aircraft to the Contractor’s facility to support the avionics upgrade and the Government will be responsible for removal of the aircraft from the facility upon completion of the upgrade.

(b) The aircraft will be certified to 14 CFR Part 25 as transport category prior to delivery to the contractor.

(c) The following Government Property is anticipated to be furnished to the Contractor as Government Furnished Property (GFP) under the contract.

Equipment included on the trade-in list in Section D, Exhibit D.1 and D.2 may be used to support this requirement. Should the Contractor elect to use any of the items identified in the exhibit, those items must be identified during the award and included in the awarded contract.

B.5 TECHNICAL REQUIREMENTS

(a) Aircraft shall be modified in accordance with the requirements of this contract, federal regulations and equipment manufacturer’s instructions. A new STC, or revision to an existing STC, shall be developed and approved under the authority of the ODA and incorporate all aspects of the alteration. In either case, the government shall approve all options, configurations, layouts, finishes and labeling prior to the work being accomplished. Subsequent aircraft shall be modified in accordance with the STC developed under this contract. Any deviations from this STC will be approved by the Government and the STC shall be revised.

(b) All existing avionics, flight instruments and engine instruments shall be removed. All associated wiring, connectors, circuit breakers, coaxes, antennas, trays and ancillary equipment shall also be removed. If the existing autopilot is to be kept, the servos and mounts may remain installed; however, the system shall be completely rewired.

(c) The Contractor shall perform an evaluation of the aircraft electrical system. The results of that evaluation shall be provided to the Government and the Government shall be advised of all discrepancies.

(d) The Contractor shall remove existing instrument panels. The Contractor shall provide drawings and samples of new instrument panels for Government approval of the configuration, finish and labeling. Following approval, new instrument panels shall be fabricated and installed.

Panels are to be finished and labeled with durable material that will withstand harsh operating environments.

(e) The Contractor shall provide and install an integrated flight deck and avionics system that is approved by the FAA via Supplemental Type Certificate which includes a minimum of the following systems.

(1) Pilot and Copilot Primary Flight Displays (PFD)

(2) Dual Attitude Heading and Reference Systems capable of operating in Alaska

(3) Dual Air Data Systems. RVSM is not required.

(4) Digital Engine and Fuel Instruments

(5) Multi-Function Display (MFD)

(6) Dual WAAS FMS/GPS certified for LPV approaches

(7) Dual VOR/Localizer/Glideslope/Marker Beacon

(8) One DME

(9) One Mode-S Diversity Transponder with antennas on top and bottom of the aircraft

(10) TCAS

(11) 1090ES ADS-B out

(12) TAWS A

(13) Radar Altimeter

(14) Weather Radar

(15) Angle of Attack (AOA)

(16) Automated Flight Following compatible with aff.gov. This system shall be approved by the government prior to installation.

(17) TSO-C126 or newer 406MHz ELT

(18) Cabin Public Address system (PA)

(19) Dual VHF-AM Radios operating from 118-136.975MHz. High power radios (16W or greater) are not acceptable without prior approval and appropriate filtering to prevent interference between radios.

(20) One Technisonic TDFM-9000 FM radio with remote control head (RC-9000). The radio shall be installed in the instrument panel and accessible to the pilot and copilot.

The remote head shall be installed at the spotter position in the aft cabin forward of the aft left door. The radio shall be configured in accordance with Technisonic Project Number P90103. All programming equipment and software delivered with the radio shall be provided to the government.

(21) Antennas shall be properly spaced to eliminate interference, crosstalk or open squelch when using any combination of radios. If required, appropriate filtering shall be installed.

(22) Digital Tactical Audio Control and Intercom System meeting the following requirements.

(i) The audio system shall be free of distortion, hum, noise, and crosstalk

(ii) All cockpit and cabin positions shall use this system

(iii) Two identical audio controllers for the pilot and copilot and two identical audio controllers for the mission coordinator and spotter shall be installed. The mission coordinator position shall be located at the forward center cabin.

The spotter position shall be located forward of the aft left cabin door. Final locations must be approved by the government.

(iv) Warning audio shall be provided to the pilot, copilot and mission coordinator

(v) Navigation audio is not required at the spotter or mission coordinator position

(vi) Audio controllers must have laser etched, or equivalent quality, custom labels. Radio positions shall be labeled as Com 1, Com 2, FM 1, FM 2, FM 3, FM 4 and PA.

(vii) Audio panel annunciation must default to full bright when dimmers are off.

(viii) Compatible with 600 Ohm earphones and general aviation microphones

(ix) Controls for the pilot and copilot to each independently select and adjust headset volume for each installed receiver

(x) Receive audio automatically enabled for the selected transmitter

(xi) Simultaneous transmit from each position using separate radios or PA

(xii) Transmit indication on each audio controller while transmitting

(xiii) Communications audio provided to all headset positions

(xiv) Intercom (ICS) with Push-To-Talk (PTT) capability at all positions

(xv) ICS Hot mic and VOX capability at all positions

(xvi) Cockpit ICS isolation mode activating an indicator light. ICS call buttons at aft crew positions must activate a tone for the pilot and copilot

(xvii) Individual cockpit speakers for the pilot and copilot

(xviii) ICS and radio PTT switches on both control yokes. These may be combined switches.

(xix) Pilot and copilot powered BOSE and JJ033/JJ034 headset jacks separated by no more than four inches

(xx) Oxygen mask microphone connections for the pilot and copilot

(xxi) Cabin positions must each have a U92 B/U headset jack with an adjacent switch for radio/ICS push-to-talk and a 6-pin connector compatible with Alpine Aerotech AAL280-011-001A drop cords.

(xxii) An assistant spotter position shall be located on the right side of the aircraft opposite the spotter and use the spotter’s audio controller.

(xxiii) An additional headset position, with intercom only, shall be located approximately mid-cabin on the left side and use the spotter’s or mission coordinator’s audio controller. The spotter’s controller is preferred.

(xxiv) Headset connections for the spotter, assistant spotter and mid cabin position shall be located on the cabin overhead. Final locations shall be approved by the government.

(23) Three Mid-Continent TA102, or equivalent, dual USB charging ports. One each on the pilot and copilot angled panel outboard of the instrument panel (current audio switching locations) and one adjacent to the mission coordinator audio panel.

(24) One Hobbs meter, to record flight time, controlled by the weight-on-wheels switch

(f) The following components must be from the same manufacturer to constitute an integrated flight deck.

(1) Multi-Function Display (MFD)

(g) The spotter’s audio controller and RC-9000 must be in a location usable with the aft left door open.

(h) The flight deck and avionics shall be interfaced with the autopilot system regardless of whether the autopilot is a new or existing system.

(i) The pilot and copilot shall have the ability to disable TAWS or inhibit ALL TAWS alerts during parachuting and firefighting operations. These operations are excepted from TAWS requirements by 14 CFR 91.223(d). TAWS will not be disabled outside of these operations and must remain active when the cargo ramp and aft left cabin door are closed regardless of crew selection. This system shall be approved by the government. The contractor shall keep the government informed of any expected delays due to the incorporation of this system.

(j) All circuit breakers installed shall be new, MIL-Spec, trip-free, and push-pull style. Circuit breaker panel layouts shall be approved by the government prior to installation.

(k) All instruments shall be internally lit if available. All switches and instruments shall have appropriate lighting for use at night

(l) The Caution and Warning Panel (CWP) shall retain the existing format and location other than changing labels and colors as required by the STC.

(m) All instrument panel mounted switches and annunciators shall be dead-face, LED lighted and ¾ inch square (e.g., Vivisun “Type B” for the CWP and “Type S” for all others, or equivalents). Exceptions may be granted with prior approval from the government. The switches and annunciators shall follow the existing dimmer system controlled by the Bright/Dim/Test switch on right side panel 11P. All switch legends shall be white and always lit.

The layout and color of switches and annunciators shall be approved by the government.

(n) All antennas shall be new, compatible with their respective systems, rated for this aircraft and installed using industry best practices. Mounting locations for removed antennas shall be patched, sealed and painted to match the aircraft when the location will not be reused.

(o) Detailed wiring diagrams and system block diagrams shall be provided for the interface of all equipment installed under this STC. Diagrams shall include wire numbers for ease of identification and troubleshooting. These diagrams shall match the final aircraft configuration.

A custom set of diagrams encompassing the entire installation is required. Generic manufacturer’s drawings are not acceptable.

(p) All wiring shall be marked at least every six inches along the entire length of the wire with the numbers corresponding to the wiring diagrams. Laser wire marking is required. All wiring shall be new and meet manufacturer specifications. This includes yoke and audio wiring.

Shielded wiring shall be used for all audio wires and wherever specified by the system manufacturer. Audio low connections shall use a dedicated conductor and not the wire shield.

Audio wires shall have shields grounded at one end only. All shield terminations and splices shall use MIL-spec environmentally sealed terminations. All coax cables shall be RG-142 or RG-400 unless specific cables are required by the system manufacturer. Coax cables shall be marked at each connector identifying the system and, when applicable, the specific connection (e.g., Com 1, Nav Ant and TCAS J1). All terminal blocks shall be Amphenol M81714 type junction modules using the appropriate mounting rails. All terminal blocks shall be accurately labeled and correspond to the system wiring diagrams.

(q) All wiring shall be installed with adequate service loops to allow equipment to be easily removed and provide connector access for troubleshooting. Equipment installed in the instrument panels shall have connectors that extend at least three inches past the instrument panel without the need to access wire bundles or the area behind the panel. Specific locations may be exempted from this requirement in the instrument panel if wires may interfere with flight controls, but prior government approval is required.

(r) The aircraft shall be weighed after the alteration in accordance with the manufacturer’s instructions and a complete equipment list shall be provided in accordance with Section B-8.

(s) The contractor shall certify the aircraft as tolerant to Transmitting Portable Electronic Devices (T-PEDs) for all phases of flight in accordance with RTCA/DO-307 and revise the aircraft flight manual to show compliance.

B.6 OPTIONAL EQUIPMENT

(a) The following equipment may be offered under this solicitation, however, once offered and accepted the requirements contained in this paragraph are requirements of the contract.

(1) TCAS II v7.1. TCAS II V7.1 shall be integrated into the solution in accordance B.5(e)

(2) Synthetic Vision. Synthetic Vision shall be provided on both the Pilot and Copilot

PFD.

(3) UAT ADS-B In. ADS-B FIS-B weather data shall be displayed on an MFD.

(4) Autopilot. The autopilot must be a three axis system fully interfaced with the integrated flight deck and avionics. At a minimum it must include heading, navigation and approach modes and altitude preselect, capture and vertical navigation. The system must be approved for LPV coupled approaches.

B.7 PARTS AND MATERIAL

(a) All parts and materials used in aircraft maintenance, the Development of the STC and in the installation of the STC into the aircraft shall be provided by the Contractor unless included on the parts inventory attached or included as part of the delivered aircraft. All parts and components, other than Government provided parts, shall be new and shall include manufacturer’s warranty.

(b) Parts, components, and materials utilized shall be approved by the Federal Aviation Administration and/or the Aircraft Manufacturer. All parts and components shall be accompanied with proper documentation such as FAA Form 8130-3, manufacturer’s tag, work order or acceptable maintenance release. Documentation shall identify total time in service if a life-limited part and time since overhaul if applicable.

(c) Parts, components, and materials removed from the aircraft and replaced shall remain the property of the Government until the Contracting Officer authorizes their disposition in writing as an exchange item or scrap in accordance with FAR 52.245-1 Government Property. Items not authorized for disposition will be released to the Government. The Contractor shall identify, for the benefit of the Contracting Officer, those items that the Contractor believes to be the cause of a failure or malfunction.

B.8 DELIVERABLES

(a) The Contractor shall create and submit, for Government approval, a Schedule of Completion with milestones and decision points for required government input.

(b) The Contractor shall submit a weekly progress report to the Contracting Officer and the Contracting Officer’s Representative which details the work completed during the previous week, status of the projects to the approved schedule of completion, updates to the Schedule of Completion, and outlining any concerns about the project. Progress Reports shall be due Monday mornings prior to 10:00 am MT and shall be based on the prior week’s efforts.

(c) Prior to installation of any system on the aircraft, the contractor shall submit, for Government approval, examples of finish and labeling.

(d) The Contractor shall submit drawings for instrument panel layout, circuit breaker layout, annunciator configuration, cabin avionics locations and the TAWS disable system for government approval prior to installation or incorporation.

(e) The following items shall be provided by the contractor no later than the time of final inspection, prior to acceptance of the initial aircraft, and following any revisions. These shall cover all of the installed systems. Documents shall be provided electronically in PDF format and as a paper copy.

(1) A Copy of the STC and other FAA Approval Documents

(2) Supporting Engineering Drawings

(3) Detailed Wiring Diagrams

(4) Maintenance Manuals

(5) Illustrated Parts Breakdown

(f) The following shall be provided by the contractor with each aircraft no later than the time of final inspection and prior to acceptance by the government. Documents shall be provided electronically in the format listed and as a paper copy. The contractor shall develop weight and balance and equipment list forms in Excel with the same layout as the original aircraft documents.

(g) Documents provided to the Forest Service, including manuals and diagrams, become the property of the Government and must have no proprietary statements or restrictions for use.

This does not include STC ownership or rights outside of the aircraft modified under this contract. Electronic documents shall have no restrictions for copying, printing or extracting pages. Forms required in Excel must have no editing restrictions or password protection.

B.9 INSURANCE REQUIREMENTS

(a) The Contractor shall be liable and responsible for Government property in their possession.

At a minimum, the Contractor shall provide insurance coverage of a sufficient amount to cover the replacement cost of the Government aircraft ($8,000,000).

(b) The Contractor shall provide a qualified pilot to perform flights. The Contractor shall indemnify and hold the Government harmless from any and all losses, including damage to the Government aircraft furnished under this contract while in the possession of the Contractor.

B.10 AIRCRAFT INSPECTION

An Aircraft Condition and Inspection Report shall be completed and signed by both the Government and the Contractor upon initial delivery of the aircraft and upon completion of services prior to acceptance by the Government. The report shall include a detailed description of the condition of the aircraft at the time of delivery. The same report shall be used prior to the time the aircraft is tendered for acceptance to the Government to ensure that the Government property provided has been returned. The initial report created when the aircraft is delivered shall be documented in writing and provided to the Contracting Officer within 7 days of delivery of the aircraft. The final report shall be submitted with the invoice at the time the aircraft is tendered for acceptance. The Contractor shall allow Government personnel access to the facility and/or aircraft during working hours at all times the aircraft is in their possession.

B.11 MAINTENANCE

(a) Scheduled Maintenance

Prior to aircraft delivery, the government will provide the contractor with the aircraft status and a list of scheduled maintenance projected due while in their possession. A task order will be negotiated based on the rates provided in Section B.1. for all maintenance required under the contract. The time required to complete scheduled maintenance must be included in the delivery schedule for the aircraft.

(b) Unscheduled Maintenance

The contractor shall notify the government immediately upon discovery of any aircraft discrepancies. The contractor shall provide a quote for repair based on the rates provided in Section B.1. All repairs must be approved and a task order issued prior to beginning work. Approval of additional work shall be at the discretion of the government.

(c) Maintenance Certification Requirements.

(1) The contractor shall hold an FAA Certified Repair Station with appropriate ratings for the individual make and model of aircraft, engine, propeller, rotor, appliance, or component part to be maintained.

(2) The contractor(s) must possess and maintain FAA privileges for the return to service of the aircraft or related parts or appliance in accordance with 14 CFR 145.201 and/or 14

CFR 65.95.

(3) All maintenance must be performed and recorded in accordance with 14 CFR Parts 39, 43, 91 and 145.

(4) Component manufacturers instructions and manuals supplements to those instructions and manuals, applicable FAA Airworthiness Directives, and service instructions considered mandatory by the aircraft or component manufacturer shall also be adhered to unless otherwise ordered by the Contracting Officer.

(5) The Contractor may have agreements with other appropriately rated facilities (subcontractors) for the performance of maintenance on those items that the Contractor is not rated. The Government shall approve any subcontracted service prior to the Contractor's obtaining that service.

(d) Maintenance Technical Requirements

(1) The Contractor’s maintenance facility must be a permanent hanger that is environmentally controlled, secure from unauthorized persons, and capable of completely housing the type aircraft appropriate to the maintenance to be performed.

(2) All maintenance shall be performed in accordance with the applicable Federal Aviation Regulations. The Government operates their aircraft in accordance with 14 CFR Part 91 and Forest Service Policy.

(3) The Contractor shall have current manuals, technical data, calibrated special tools, and appropriately trained personnel required to perform the services ordered.

(4) The contractor shall be responsible for the proper execution and disposition of all FAA and USFS required maintenance records. Aircraft records shall be maintained in accordance with AC43-9C or later revision.

(5) Scheduled Inspections shall be accomplished in accordance with the inspection program provided by the government.

(6) The contractor shall submit a detailed invoice, maintenance status record and/or document copies to the COR in a timely manner following maintenance. This information shall be properly documented, signed and is to include; copies of any new weight and balance revisions, FAA form 337 and other supporting documentation as required.

(e) Maintenance Reports and Records

(1) The Government shall provide current historical records to the Contractor at the time that maintenance is performed and upon delivery to the Contractor(s) of the Government furnished property (aircraft parts and accessories) to be managed.

(2) The Contractor shall enter in the historical records all Airworthiness Directives, Manufacturers Service Bulletins or other modifications, and all significant maintenance actions accomplished.

(3) The Contractor shall further record whether such modifications were performed under company specifications, FAA specifications or engineering order, or by replacement of parts due to normal attrition.

(4) The Contractor shall record as “previously complied with” all Modification and Service Bulletins that have been found to be previously accomplished but not recorded and the specific method or action that shows compliance.

(5) All maintenance performed shall be recorded in accordance with Federal Aviation Regulations Part 43 and Federal Aviation Regulations Part 91, including aircraft time-in-service and hour- meter readings.

(6) All repairable parts or components removed for replacement shall be identified and documentation attached, as to the aircraft removed from, date and aircraft time when removed, the part condition or reason removed and part total time and cycles, time since last overhaul as applicable if a life-limited part.

B.12 TRADE IN EQUIPMENT

Credit for equipment shall be based on fair market value.

(1) Equipment removed from the aircraft remains the property of the government unless agreed to at the time of award or via modification to the contract. All credits will be applied to the upgrade cost for the aircraft from which it was removed. A list of aircraft equipment is provided in Exhibit D.1. Credit for equipment which is not listed in the exhibit may be approved at a price mutually agreed to by the contractor and the government at any time via modification. The Contractor shall provide an itemized list with unit prices for the equipment they are offering to purchase that is currently installed in the aircraft. The total price offered for the equipment shall be entered into the Schedule of Items in B.1 under item X.f ( where X = CLIN).

(2) Exhibit D.2 contains a list of surplus equipment received from the Army that is currently not installed in the aircraft. Any credit for this equipment is in addition to credit for removed aircraft equipment. The Contractor shall provide an itemized list with unit prices for the equipment offered. The total price offered for the equipment shall be entered into the Schedule of Items in B.1 under item X.g (where X= CLIN).

B.13 TRAINING

(a) The Contractor shall provide training to one aircrew (2 crewmembers) per upgrade. The training shall be designed with flight crewmember safety and mission effectiveness in mind. At a minimum, the training shall be eight hours in length and cover the following topics:

(1) Ground School

(2) Operation of the systems installed

(3) Programming

(4) Approaches

(5) Preflight Checklists

(6) In Flight Operations

(7) Post Flight shut down

SECTION C

CONTRACT CLAUSES

C.1 CONTRACT TERMS AND CONDITIONS - COMMERCIAL ITEMS (FAR 52.212-4)(DEC 2014)

(a) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights—

(1) Within a reasonable time after the defect was discovered or should have been discovered; and

(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.

(b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C. 3727). However, when a third party makes payment (e.g., use of the Government wide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.

(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.

(d) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes. Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at FAR 52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.

(e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference.

(f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.

(g) Invoice.

(1) The Contractor shall submit an original invoice and three copies (or electronic invoice, if authorized) to the address designated in the contract to receive invoices. An invoice must include—

(i) Name and address of the Contractor;

(ii) Invoice date and number;

(iii) Contract number, contract line item number and, if applicable, the order number;

(iv) Description, quantity, unit of measure, unit price and extended price of the items delivered;

(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on Government bill of lading;

(vi) Terms of any discount for prompt payment offered;

(vii) Name and address of official to whom payment is to be sent;

(viii) Name, title, and phone number of person to notify in event of defective invoice; and

(ix) Taxpayer Identification Number (TIN). The Contractor shall include its TIN on the invoice only if required elsewhere in this contract.

(x) Electronic funds transfer (EFT) banking information.

(A) The Contractor shall include EFT banking information on the invoice only if required elsewhere in this contract.

(B) If EFT banking information is not required to be on the invoice, in order for the invoice to be a proper invoice, the Contractor shall have submitted correct EFT banking information in accordance with the applicable solicitation provision, contract clause (e.g., 52.232-33, Payment by Electronic Funds Transfer—System for Award Management, or 52.232-34, Payment by Electronic Funds Transfer—Other Than System for Award Management), or applicable agency procedures.

(C) EFT banking information is not required if the Government waived the requirement to pay by EFT.

(2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C.

3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR Part 1315.

(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.

(i) Payment.—

(1) Items accepted. Payment shall be made for items accepted by the Government that have been delivered to the delivery destinations set forth in this contract.

(2) Prompt payment. The Government will make payment in accordance with the Prompt Payment Act (31 U.S.C. 3903) and prompt payment regulations at 5 CFR Part 1315.

(3) Electronic Funds Transfer (EFT). If the Government makes payment by EFT, see 52.212-5(b) for the appropriate EFT clause.

(4) Discount. In connection with any discount offered for early payment, time shall be computed from the date of the invoice. For the purpose of computing the discount earned, payment shall be considered to have been made on the date which appears on the payment check or the specified payment date if an electronic funds transfer payment is made.
