Required Qualifications:

o An accredited IHE with history or social science departments, or digital humanities and media programs.

o State or Regional programs/agencies that serves as an educational service center for curriculum and teacher professional development o Nonprofit history or humanities organization or foundation with a demonstrated background in curriculum design and professional development.

52.211-13 - Time Extensions. (SEP 2000)

Time extensions for contract changes will depend upon the extent, if any, by which the changes cause delay in the completion of the various elements of construction. The change order granting the time extension may provide that the contract completion date will be extended only for those specific elements related to the changed work and that the remaining contract completion dates for all other portions of the work will not be altered. The change order also may provide an equitable readjustment of liquidated damages under the new completion schedule. (End of clause)

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -

Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the

Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) of this paragraph in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause-

B - Supplies or Services/Prices

Bidders shall provide a price proposal, which shall include all efforts to complete the SOW requirements. Bidders must submit pricing for base and all option periods. Costs shall be broken down into the major component areas of the SOW as follows:

Cost to recruit the 18 teachers and cadre and manage a professional development program as described in the SOW. This includes meetings with the ABMC COR and workshops along with the web based teacher professional development program as described in the “Contractor Shall” section of the SOW.

Cost to operate the 12-day field study in Calif., HI, and the Philippines as described in the “Contractor Shall” section of the SOW.

Costs to support the participating teachers as they present a professional development workshops and conferences as described in the “Contractor Shall” section of the SOW.

Cost to produce the web based resources teaching resources as outlined in the

“Outcome/Deliverables” section of the SOW.

Costs to monitor, evaluate and if necessary revise the materials produced as part of this contract as described in the “Outcome/Deliverables” section of the SOW.

Costs to explore emerging technologies and their application to this project.

Any other costs not already described that the bidder feels are necessary to enumerate.

(a) The Contracting Officer is the only individual authorized to enter into or terminate this contract, modify any term or condition of this contract, waive any requirement of this contract, or accept nonconforming work.

(b) The Contracting Officer will designate a Contracting Officer's Representative (COR) at time of award. The COR will be responsible for technical monitoring of the contractor's performance and deliveries. The COR will be appointed in writing, and a copy of the appointment will be furnished to the Contractor. Changes to this delegation will be made by written changes to the existing appointment or by issuance of a new appointment.

(c) The COR is not authorized to perform, formally or informally, any of the following actions:

(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;

(2) Waive or agree to modification of the delivery schedule;

(3) Make any final decision on any contract matter subject to the Disputes Clause; (4) Terminate, for any reason, the Contractor's right to proceed;

(5) Obligate in any way, the payment of money by the Government. (d) The Contractor shall comply with the written or oral direction of the Contracting Officer or authorized representative(s) acting within the scope and authority of the appointment memorandum.

The Contractor need not proceed with direction that it considers to have been issued without proper authority. The Contractor shall notify the Contracting Officer in writing, with as much detail as possible, when the COR has taken an action or has issued direction (written or oral) that the Contractor considers to exceed the COR's appointment, within 3 days of the occurrence. Unless otherwise provided in this contract, the Contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.

(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph (d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.

(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the

COR.

(g) Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the Contractor's risk. (End of clause)

(a) The contractor shall not require employees or subcontractors seeking to report fraud, waste, or abuse to sign or comply with internal confidentiality agreements or statements prohibiting or otherwise restricting such employees or subcontractors from lawfully reporting such fraud, waste, or abuse to a designated investigative or law enforcement representative of a Federal department or agency authorized to receive such information.

(b) The contractor shall notify employees that the prohibition and restrictions of any internal confidentiality agreements covered by this clause are no longer in effect.

(c) The prohibition in paragraph (a) of this clause does not contravene requirements applicable to

Standard Form 312, Form 4414, or any other form issued by a Federal department or agency governing the nondisclosure of classified information.

(d) (1) In accordance with section 743 of Division E, Title VII, of the Consolidated and Further

Continuing Resolution Appropriations Act, 2015 (Pub. L. 113235), use of funds appropriated (or otherwise made available) under that or any other Act may be prohibited, if the Government determines that the contractor is not in compliance with the provisions of this clause.

(a) Definitions.

Common parent, as used in this provision, means that corporate entity that owns or controls an affiliated group of corporations that files its Federal income tax returns on a consolidated basis, and of which the offeror is a member.

Taxpayer Identification Number (TIN), as used in this provision, means the number required by the Internal Revenue Service (IRS) to be used by the offeror in reporting income tax and other returns.

The TIN may be either a Social Security Number or an Employer Identification Number.

(b) All Offerors must submit the information required in paragraphs (d) through (f) of this provision to comply with debt collection requirements of 31 U.S.C. 7701(c) and 3325(d), reporting requirements of 26 U.S.C. 6041, 6041A, and 6050M, and implementing regulations issued by the IRS. If the resulting contract is subject to the payment reporting requirements described in Federal

Acquisition Regulation (FAR) 4.904, the failure or refusal by the offeror to furnish the information may result in a 31 percent reduction of payments otherwise due under the contract.

(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror non-responsible.

(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.

(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. This definition is intended to cover products that are marketed as copiers or upgradeable digital copiers (UDCs).

(2) Digital duplicator-A commercially available imaging product that is sold in the market as a fully automated duplicator system through the method of stencil duplicating with digital reproduction functionality. The unit is capable of being powered from a wall outlet or from a data or network connection. This definition is intended to cover products that are marketed as digital duplicators.

(3) Facsimile machine (fax machine)-A commercially available imaging product whose primary functions are scanning hard-copy originals for electronic transmission to remote units and receiving similar electronic transmissions to produce hard-copy output. Electronic transmission is primarily over a public telephone system but also may be via computer network or the Internet.

The product also may be capable of producing hard copy duplicates. The unit is capable of being powered from a wall outlet or from a data or network connection. This definition is intended to cover products that are marketed as fax machines.

(4) Mailing machine-A commercially available imaging product that serves to print postage onto mail pieces. The unit is capable of being powered from a wall outlet or from a data or network connection. This definition is intended to cover products that are marketed as mailing machines.

(5) Multifunction device (MFD)-A commercially available imaging product, which is a physically integrated device or a combination of functionally integrated components, that performs two or more of the core functions of copying, printing, scanning, or faxing. The copy functionality as addressed in this definition is considered to be distinct from single- sheet convenience copying offered by fax machines. The unit is capable of being powered from a wall outlet or from a data or network connection. This definition is intended to cover products that are marketed as MFDs or multifunction products.

(6) Printer-A commercially available imaging product that serves as a hard-copy output device and is capable of receiving information from single-user or networked computers, or other input devices (e.g., digital cameras). The unit is capable of being powered from a wall outlet or from a data or network connection. This definition is intended to cover products that are marketed as printers, including printers that can be upgraded into MFDs in the field.

(7) Scanner-A commercially available imaging product that functions as an electro- optical device for converting information into electronic images that can be stored, edited, converted, or transmitted, primarily in a personal computing environment. The unit is capable of being powered from a wall outlet or from a data or network connection. This definition is intended to cover products that are marketed as scanners.

(b) Under this contract, the Contractor shall deliver, furnish for Government use, or furnish for Contractor use at a Federally controlled facility, only imaging equipment that, at the time of submission of quotes and at the time of award, was EPEAT(R) bronze-registered or higher.

QUOTE PREPARATION INSTRUCTIONS

GENERAL INFORMATION / INSTRUCTIONS / QUOTE EVALUATION PROCESS

The Government will evaluate eligible quotes in accordance with the criteria described herein. The government will make award to the Offerors whose quote represents the best value in terms of experience and past performance, technical approach and price/cost as prescribed in Section M of the solicitation. Within the best value continuum, the government will employ a tradeoff analysis of price and non-price factors in evaluating the quotes submitted. The basis for the award under this solicitation is the Best Value, Tradeoff Process.

1. Offerors shall submit documentation illustrating their approach for satisfying the requirements of this solicitation. Quotes must be clear, concise, coherent, and prepared in sufficient detail for effective evaluation of the offeror’s quote against the evaluation criteria.

Offerors submitting quotes for this project should limit submissions to data essential for evaluation of quotes so that a minimum of time and monies will have been expended in preparing information required herein. Unnecessarily elaborate brochures or other presentations beyond those sufficient to present a complete and effective response to the solicitation are not desired.

However, in order to be effectively and equitably evaluated, the quotes must include information sufficiently detailed to clearly address all evaluation factors. Quote layout may be provided in offeror’s choice of format.

2. Offerors are required to submit a two part quote package that shall consist of a Technical Quote (Volume I) addressing experience, past performance and technical approach, and a Price Quote (Volume II) addressing cost.

3. The government reserves the right to utilize past performance information retrieved from any federal past performance information collection system, to include, but not limited to:

The ABMC shall evaluate each eligible quote. Quotes shall be evaluated to determine the degree and extent to which the requirements and objectives set forth in the solicitation have been met or satisfied. No assumptions will be made by ABMC regarding areas not addressed or defined in the Offeror’s written documentation provided to the Government for evaluation. Each quote shall be evaluated based upon the extent to which requirements have been considered, defined and satisfied, rating each quote strictly in accordance with its content. . Price analysis shall be performed in order to assess price realism, reasonableness and fairness / affordability, as well as to assess the probable risk level associated with the proposed pricing.

M - EVALUATION FACTORS FOR AWARD

GENERAL INFORMATION

Offerors are reminded to include their best technical and price terms in their initial offer and not to automatically assume that they will have an opportunity to participate in discussions or be asked to submit a revised offer. The Government may make award to a conforming quote without discussions, if deemed to be within the best interest of the Government. Bidders are required to submit 2 documents: a written Technical Proposal (Bidder's format), and a Price Proposal

(Bidder's format).

EVALUATION FACTORS

1. Experience & Past Performance.

This factor will be used to evaluate the Offeror’s most recent and relevant experience and performance in accomplishing the type of work required by this solicitation. To be considered relevant, projects submitted must be similar in scope, magnitude and complexity to the requirements of this solicitation. To be considered recent, projects submitted must be on-going, or must have been completed within the past five years. This factor will also be used to evaluate how well an offeror has performed on previous projects of similar scope, magnitude and complexity, and is an indicator of the likelihood of completion of new projects in terms of time, cost, and quality of work.

2. Technical Approach This factor will be evaluated as to the Offeror’s ability to perform and satisfy all contractual requirements of the solicitation. Responses to this factor must discuss the Offeror’s technical understanding of the project work requirements, and the commitment to accomplish all work in accordance with the solicitation requirements, and all project schedule requirements. The submitted quote must clearly describe / demonstrate / address the Offeror’s approach.

3. Price / Cost This factor will be used to evaluate quote for price realism, reasonableness, and fairness / affordability, and to assess the probable risk level associated with the proposed pricing. It will also be used as an indicator as to whether the offeror has a sound understanding of the overall contract requirements.

VOLUME I - TECHNICAL PROPOSAL (Page count not to exceed - 40)

EXPERIENCE & PAST PERFORMANCE

1. EXPERIENCE

Prior experience information must be relevant and recent regarding an Offeror’s actions under previously awarded contracts. Relevant experience is defined as contracts similar in size, scope, complexity, and contract type. Recent experience is defined as currently on-going, or completed within the past five years of the solicitation close date. The offeror shall submit documentation on at least three, but no more than five contracts of similar scope, magnitude and complexity as the requirements of this solicitation. The submitted contracts must be currently on-going, or completed within the past five years of this solicitation’s close date. Provide the number, title, and description, of the contract. Provide award date, and overall contract performance period, including base and number of option periods if any. The offeror may include contracts completed by predecessor companies, or previous teaming arrangements. The offeror must provide references and their contact information for each contract submitted as experience. At a minimum, reference information shall include name, address, and current telephone number (verified by offeror). In addition, the same contact information must be provided for the contracting officer (or functional equivalent). At least one, but no more than three references in addition to the contracting officer must be provided for each contract.

2. PAST PERFORMANCE

Past performance will be evaluated to assess the relative risks associated with the Offeror’s likelihood of success in performing the solicitation’s requirements as indicated by the Offeror’s record of past performance. Evaluation of past performance will be based on consideration of all available relevant facts and circumstances. It will include an assessment of the Offeror’s overall commitment to customer satisfaction and will include conclusions of informed judgment.
