2. Nature and/or Description of the Action Being Processed:
This request is for the renewal of the VA LNO’s subscription to VisualDx. Procurement for access to VisualDx will be accomplished through the establishment of a new standalone firm fixed price contract following the procedures in Federal Acquisition Regulations (FAR) Parts 12 and Part 13.5.
FAR13.5 Simplified Procedures for Certain Commercial Items: This procurement is for an electronic subscription in accordance with FAR 13.5 Simplified Procedures for Certain Commercial Items and specifically FAR 13.501 Special Documentation Requirements, where acquisitions conducted under Simplified Acquisition Procedures are exempt from the requirements of FAR Part 6, but still require a justification using the format of FAR 6.303-2.
3. Description of Supplies/Services Required to Meet the Agency’s Needs:
The Department of Veterans Affairs (VA) Veterans Health Administration (VHA) requires an existing commercial off the shelf web based VisualDX Point of Care Dermatology Diagnostic Clinical Decision Support Product to be made available throughout the VHA healthcare system. This product will directly affect patient care by providing caregivers access to multiple tools. VisualDX provides access nationwide to standard knowledge based clinical information resources. Addtionally, VisualDX offers point-of-care dermatology specific clinical-decision-support for all users.
The total estimated value of the proposed action is $6,653,512.00 (inclusive of options).

FAR 13.5 Simplified Procedures for Certain Commercial Items: The authority for applying the Simplified Procedures for Commercial Items of FAR 13.5 is 41 U.S.C. 1901 and is implemented by for restricting competition on this procurement via FAR 13.106-1(b)(2).
5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority):
VisualDx is a unique system that combines images and knowledge to assist healthcare providers by providing timely, patient-relevant, visual knowledge at the point-of-care. Created by Logical Images, Inc., the VisualDx visual diagnostic decision support system leverages the objective knowledge within a picture by linking the unique visual presentation of the patient to the relevant features within the image. Logical Images, Inc. d/b/a VisualDx has been awarded a U.S. patent for the VisualDx diagnostic process and system, U.S. Patent No. 8,538,770 (issued Sep. 17, 2013).
VisualDx captures the variation in disease presentation, providing clinicians with the finely detailed images relevant to their patient's differential diagnosis, not just the "classic severe case" typically seen in books. Thousands of images covering the different manifestations of each disease are in the system, and the most relevant diagnoses and images are always on top.
Also included is an in-depth disease knowledgebase, which for each diagnosis includes a disease synopsis, what to look for, best tests, pearls of wisdom from physician experts, differential diagnosis and pitfalls, recommended therapy, reporting information and much more.

Since 2010 the VA has purchased the Point of Care Dermatology Diagnostic Clinical Decision Support Tool VisualDx either directly from its publisher Logical Images or through a BOA reseller of the product.

The cost for the base year and each of the three options on the IGCE is $1,663,378.00. This is a price increase of approximately 1.5% from the government paid price during FY 2017. This price increase is below industry standards for similar procurements. Furthermore there is no anticipated increase in price from the base period and subsequent option periods. Based on the price of the IGCE and a comparison to historical prices, the anticipated cost to the government will be fair and reasonable.
7. Description of the Market Research Conducted and the Results, or a Statement of the Reasons
Market Research Was Not Conducted:
A Request for Information (RFI)/ Sources Sought (SS) (36E77618Q9140) was posted to FedBizOps (FBO.gov) on April 10th, 2018 with a response closing date of April 25th, 2018. This publication

Revision 06 Date: 08/30/2017 stated, while not an official solicitation, that any responsible source who believed it was capable of meeting the requirement could submit a capability statement to the government point of contact.
Market research was conducted April 10th, 2018 on the GSA e-Library under schedule 76- Publication Media/SIN 760-3 Editorial, Publishing, and Library Media Services. This was done to reach out to industry and further publicize SS 36E77618Q9138. There are a total of eleven (11) vendors under this schedule. These businesses were sent an email which contained a link to FBO.gov SS 36E77618Q9140.
A search was conducted April 10th, 2018 to locate small business concerns via the Small Business Associations (SBA) website SBA.gov utilizing NAICS code 511210 and the keyword “dermatology”.
This keyword was used to target applicable small business concerns within the appropriate NAICS code for this procurement. The search resulted in fifteen (15) small business concerns. These businesses were sent an email which contained a link to FBO.gov SS 36E77618Q9140.
Per the Department of Veteran Affairs Acquisition Regulation (VAAR) 810.002 and Veterans First Contracting Program (VFCP 2016) deviation the Vendor Information Page (VIP) at www.vetbiz.gov was queried April 10th, 2018 to locate verified SDVOSB and VOSB concerns utilizing NAICS Code 511210. The search resulted in three hundred and twenty-eight (328) business results. These businesses were sent an email which contained a link to FBO.gov SS 36E77618Q9140.
These actions resulted in five (5) vendors responding to the governments FBO SS 36E77618Q9140.
The businesses are listed below along with their verified socioeconomic category. These responses were sent to the Program Manager for a capability determination on each response. The Program Manager determined that only one business, VisualDx (Logical Images), was capable of meeting the governments needs as described in the SOW within sources sought 36E77618Q9140.

Search the Vendor Information Pages (VIP) database at https://www.vip.vetbiz.gov/ and document findings to ensure compliance with 38 U.S.C. 8127’s “Rule of Two.” VA must set aside procurements for VOSBs when market research determines that two or more VOSBs are able to meet the procurement requirements at a fair and reasonable price that offers the best value to the United States. NOTE: A determination of price fair and reasonableness does not have to be done during market research phase BUT is required prior to contract award.

This publication stated, while not an official solicitation, that any responsible source who believed it was capable of meeting the requirement could submit a capability statement to the government point of contact. (Attachment 1 – FBO posting)
Market research was conducted April 10th, 2018 on the GSA e-Library under schedule 76- Publication Media/SIN 760-3 Editorial, Publishing, and Library Media Services. This was done to reach out to industry and further publicize SS 36E77618Q9138. There are a total of eleven (11) vendors under this schedule. These businesses were sent an email which contained a link to FBO.gov SS 36E77618Q9140. (Attachment 2 – GSA Search & E-mail)
A search was conducted April 10th, 2018 to locate small business concerns via the Small Business Associations (SBA) website SBA.gov utilizing NAICS code 511210 and the keyword “dermatology”. This keyword was used to target applicable small business concerns within the appropriate NAICS code for this procurement. The search resulted in fifteen (15) small business concerns. These businesses were sent an email which contained a link to FBO.gov SS 36E77618Q9140. (Attachment 3 – SBA Search and E-mail)
Per the Department of Veteran Affairs Acquisition Regulation (VAAR) 810.002 and Veterans First Contracting Program (VFCP 2016) deviation the Vendor Information Page (VIP) at www.vetbiz.gov was queried April 10, 2018 to locate verified SDVOSB and VOSB concerns utilizing NAICS Code 511210. The search resulted in three hundred and twenty-eight (328) business results. These businesses were sent an e-mail which contained a link to FBO.gov SS 36E77618Q9140. These actions resulted in five (5) vendors responding to the governments FBO SS 36E77618Q9140. The businesses are listed below along with their verified socioeconomic category. The government point of contact for Logical Images has stated that they will no longer be allowing VisualDx to be purchased through resellers. The business has also stated they will now require a license agreement to be signed by the VA Contracting Officers. The VA does not sign license agreements per OGC’s advice on similar procurements. Informed Logical Images a VA Contracting Officer will not sign the license agreement, and agreed to have OGC review the document.
6. RECOMMENDATION:
Market Research has indicated that VisualDx (Logical Images) is the only source that can meet the Government’s requirements. Based upon the results of the market research detailed in this memorandum and the history of this acquisition, it is the Contracting Officer’s discretion to request a quote from VisualDx (Logical Images) in accordance with FAR Part 13 and FAR Part 12.
