B.2 SCOPE OF WORK
2.1 Project Requirements
a. The contractor shall be responsible for providing all labor, supervision, materials, tools, supply, and equipment needed for the relocation of the 80’ x 40’ blue shade structure located at the south end of the Temple VA facility and reinstall it between Buildings 47E and 46E. Requirement will also include pouring a 4” concrete pad under the structure once assembled in new location.
b. Place of Performance: Central Texas Veterans Health Care Facility in Temple, 1901 Veterans Memorial Drive, Temple, Texas 76504.
c. The contractor shall be familiar with all the terms, conditions, and requirement herein contained. All work must comply with federal, state, and local regulations.
d. The project shall be completed in less than 30 days once the work has started.
2.2 Work Specifications
a. The contractor shall be responsible for providing all labor, materials, and equipment needed for the performance of this service.
b. The Contractor shall fence off the work area and provide appropriate signage.
c. The Contractor will be required to disassemble the 80’ x 40’ shade structure from the south end of the facility and reassemble between Buildings 47E and 46E.
d. Disassemble of shade structure will require removal of concreted support poles and all debris will be required to be hauled off.
e. Footing / post base for the shade structure new location will need to meet manufactures specification. Concrete piers on corner posts, 92” deep by 42” in diameter.
f. Approximately 44’ x 84’ concrete slab with 3/8” minimal rebar under new shade structure location.
g. Shade structure currently has electrical lighting and will need to be disassembled and reused when structure is reassembled.
h. At the end of each workday, the contractor shall clean-up all work areas.
i. Contractor will contact the primary or alternate Government Point of Contact (POC) seven days prior to start of the work.

2.4 General Information and Site Visit
a. The Government will host a site visit on Monday, July 24, 2023 at 10:00 PM. The POC for this site visit is Chad Sortor, email: chad.sortor@va.gov, phone: 254-743-2296 ext.
42296. All participants will meet Mr. Sortor at Building 46E, the VA Engineering Building.
b. It is Contractor’s responsibility to field verify all site conditions prior to placing a quote for this job.
c. The contractor shall be responsible for the verification of all requirements for this project and all field measurements/conditions that must be verified.

d. Any discrepancies between field conditions, project documents, and this SOW shall be immediately brought to the Contracting Officer’s attention.
e. The installation will be done during the work week during normal working hours unless other wised noted by the Government POC. Working hours can be altered to prevent interruption of Veteran care.
f. Any other days, not address in the SOW, will need to be scheduled with Government POC to work if needed to satisfy this contract.
g. The contractor’s supervisor shall always be available to address any needs, the VA COR/Alternative COR may have during the Period of Performance which is 30 days from start to finish.

2.6 Government Work Days
a. Government Holidays: The Government hereby provides notice and Contractor hereby acknowledges receipt that Government personnel observe the listed days as holidays:
New Year's Day January 1st Martin Luther King's Birthday Third Monday in January Washington’s Birthday Third Monday in February Memorial Day Last Monday in May Juneteenth June 19th Independence Day July 4th Labor Day First Monday in September Columbus Day Second Monday in October Veterans Day November 11th Thanksgiving Day Fourth Thursday in November Christmas December 25th
b. In addition to the days designated as holidays, the Government observes the following days:
1) Any other day designated by Federal Statute
2) Any other day designated by Executive Order
3) Any other day designated by the President’s Proclamation
c. It is understood and agreed between the Government and the Contractor that observance of such days by Government personnel shall not otherwise be a reason for an additional period of performance, or entitlement of compensation. In the event the Contractor's personnel work during the holiday, they may be reimbursed by the Contractor, however, no form of holiday or other premium compensation will be reimbursed either as a direct or indirect cost, other than their normal compensation for the time worked.
2.7 Codes and Standards
a. The project shall be in accordance with the latest Uniform Building Code (UBC), National
Fire Protection Associate (NFPA) standard, Uniform Federal Accessibility Standard (UFAS), VA Specifications and Standards, and local facility requirements. In the event there is a conflict between any of the standards/codes, the more stringent standard/code shall apply.

b. The contractor shall provide all applicable safety signage and barricades applicable to OSHA, VHA and DOD regulations. Contractor shall comply with VHA DIRECTIVE 2004- 012 and all VA Center Policy Memorandums, including but not limited to the following:
1) Protection of patients, visitors, and employees from traumatic injury, as well as occupational and facility–associated infections.
2) Compliance with OSHA and State construction safety regulations. Construction contracts require that the general contractor’s on-site “competent person” have completed the OSHA 30-hour construction worker course and that all other general and sub-contractor’s workers have completed the OSHA 10-hour construction worker course or other relevant competency training. The determination for training is based on the project hazards and complexity, State and Federal regulations and VA requirements. Verification of completion of training will be required prior to performing work.
3) Compliance with EPA and State environmental regulations.
2.8 Safety Requirement
a. Prior to performing any work, the contractor will be required to submit a safety plan in accordance with OSHA and VA Regulations.
b. The safety plan shall include, but not limited to the following:
1) Safety and Health Policy (i.e. company policy)
2) Safety and Health Objectives (i.e. company goals, procedures, etc.)
3) Job Site Inspections (i.e. safety inspection/potential hazards/prevention, etc.)
4) Contractor Safety Administrator (i.e. competent person/safety officer)
5) Personal Protective Equipment (i.e. head, hearing, and eye protection, footwear, clothing, gloves, etc.)
6) Safety Rules (i.e. rules applicable to the work/task being performed, equipment, ladders, confined spaces, open flame, etc.)
7) Job Safety Training (i.e. OSHA, safety meetings, etc.)

• 10 Hour OSHA Construction Safety Course – all others
8) Safety Discipline (i.e. correction of violations, etc.)
9) Hot Work Permit (i.e. responsibilities, procedures, etc.)

11) Written Hazard Communication Program (i.e. responsibilities, procedures, list of hazards, MSDS).
2.9 Site Conditions
a. The work covered by these specifications are mostly buildings that are occupied some way fashion or form.
b. All work must be coordinated with the Government POC.
c. The contractor shall leave no area unsecured or unsafe at the end of the day.
d. The contractor shall always keep the premises as clean as possible and free from an accumulation of waste materials and rubbish.
e. It shall be the contractor’s responsibility to field verify all existing conditions and dimensions prior to bid.
f. All materials removed shall be disposed of offsite by the contractor.
g. Proper Personal Protective Equipment (PPE) must be worn when working in these conditions.

2.11 Safety Inspections
a. On a weekly basis, the VA will conduct a safety inspection of the work area. This inspection includes, but is not limited to the following:
1) Means of Egress
• Fire/Smoke Doors unlocked, free of obstructions.
• Means of Egress (includes Exits) free of obstructions and clearly marked.
2) Housekeeping and Traffic Control
• Trash and debris are removed promptly and transported outside the construction area.
• Floor mats and dust tack mats are located at the entrance to construction area.
• Tools and equipment are properly stored.
• Signs installed to restrict patient access (doors locked as needed).
• Dust control measures are in place.
• Barriers are in place and properly sealed.
3) Clothing
• PPE is available and properly worn.
• Clothing is relatively dust free with the construction area and patient areas.
2.12 Warranty Period
a. Contractor must provide one (1) year warranty on parts and labor.
b. Warranty period does not start until VA COR signs off on the project.

(d) Comptroller General Examination of Record. C.3 52.246-25 LIMITATIONS OF LIABILIYY-SERVICE (FEB 1977)
(a) Except as provided in paragraphs (b) and (c) of this clause, and except to the extent that the Contractor is expressly responsible under this contract for deficiencies in the services required to be performed under it (including any materials furnished in conjunction with those services), the Contractor shall not be liable for loss of or damage to property of the Government that-
(1) Occurs after Government acceptance of services performed under this contract; and
(2) Results from any defects or deficiencies in the services performed or materials furnished.
(b) The limitation of liability under paragraph (a) of this clause shall not apply when a defect or deficiency in, or the Government’s acceptance of, services performed or materials furnished results from willful misconduct or lack of good faith on the part of any of the Contractor’s managerial personnel. The term "Contractor’s managerial personnel," as used in this clause, means the Contractor’s directors, officers, and any of the Contractor’s managers, superintendents, or equivalent representatives who have supervision or direction of-
(1) All or substantially all of the Contractor’s business;
(2) All or substantially all of the Contractor’s operations at any one plant, laboratory, or separate location at which the contract is being performed; or
(3) A separate and complete major industrial operation connected with the performance of this contract.
(c) If the Contractor carries insurance, or has established a reserve for self-insurance, covering liability for loss or damage suffered by the Government through the Contractor’s performance of services or furnishing of materials under this contract, the Contractor shall be liable to the Government, to the extent of such insurance or reserve, for loss of or damage to property of the Government occurring after Government acceptance of, and resulting from any defects and deficiencies in, services performed or materials furnished under this contract.

The Contractor shall not make reference in its commercial advertising to Department of Veterans Affairs contracts in a manner that states or implies the Department of Veterans Affairs approves or endorses the Contractor’s products or services or considers the Contractor’s products or services superior to other products or services.
C.5 VAAR 852.219-73 VA NOTICE OF TOTAL SET-ASIDE FOR CERTIFIED
SERVICE-DISABLED VETERAN-OWNED SMALL BUSINESSES (JAN 2023)
(DEVIATION)
(a) Definition. for the Department of Veterans Affairs, ‘‘Service-disabled Veteran-owned small business concern or SDVOSB’’:
(1) Means a small business concern—
(i) Not less than 51 percent of which is owned by one or more service-disabled Veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled Veterans or eligible surviving spouses (see VAAR 802.201, Surviving Spouse definition);
(ii) The management and daily business operations of which are controlled by one or more service-disabled Veterans (or eligible surviving spouses) or, in the case of a service-disabled Veteran with permanent and severe disability, the spouse or permanent caregiver of such Veteran;
(iii) The business meets Federal small business size standards for the applicable North American Industry Classification System (NAICS) code identified in the solicitation document;
(iv) The business has been certified for ownership and control pursuant to 38 U.S.C. 8127, 13 CFR 128, and is listed as certified in the SBA certification database at https://veterans.certify.sba.gov/; and
(v) The business agrees to comply with VAAR subpart 819.70 and Small Business Administration (SBA) regulations regarding small business size, government contracting, and the Veteran Small Business Certification Program at 13 CFR parts 121, 125, and 128.
(2) The term ‘‘Service-disabled Veteran’’ means a Veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
(3) The term ‘‘small business concern’’ has the meaning given that term under section 3 of the Small Business Act (15 U.S.C. 632).
(4) The term ‘‘small business concern owned and controlled by Veterans with service-connected disabilities’’ has the meaning given the term ‘‘small business concern owned and controlled by service-disabled veterans’’ under section 3(q)(2) of the Small Business Act (15 U.S.C. 632(q)(2)).
(5) The term “SDVOSB participant” or certified SDVOSB means a small business that has been certified in the SBA Veteran Small Business Certification Program and listed in the SBA certification database (see 13 CFR 128.102).
(b) General. In order for a concern to submit an offer and be eligible for the award of an SDVOSB set-aside or sole source contract, the concern must qualify as a small business concern under the size standard corresponding to the NAICS code assigned to the contract and be listed as an SDVOSB participant in the SBA certification database as set forth in 13 CFR 128.

(1) Offers received from entities that are not certified SDVOSBs and listed in the SBA certification database at the time of offer shall not be considered.
(2) Any award resulting from this solicitation shall be made to a certified SDVOSB listed in the SBA certification database who is eligible at the time of submission of offer(s) and at the time of award.
(3) The requirements in this clause apply to any contract, order or subcontract where the firm receives a benefit or preference from its designation as an SDVOSB, including set-asides, sole source awards, and evaluation preferences.
(c) Representation. Pursuant to 38 U.S.C. 8127(e), only certified SDVOSBs listed in the SBA certification database are considered eligible to receive award of a resulting contract. By submitting an offer, the prospective contractor represents that it is an eligible and certified SDVOSB as defined in this clause, 13 CFR 121, 125, and 128, and VAAR subpart 819.70.
(d) Agreement/LOS certification. When awarded a contract action, including orders under multipleaward contracts, an SDVOSB agrees that in the performance of the contract, the SDVOSB shall comply with requirements in VAAR subpart 819.70 and SBA regulations on small business size, and government contracting programs at 13 CFR part 121 and part 125, including the non-manufacturer rule and limitations on subcontracting (LOS) requirements in 13 CFR 121.406(b) and 13 CFR 125.6. For the purpose of limitations on subcontracting, only certified SDVOSBs listed in the SBA certification database (including independent contractors) shall be considered eligible and/or ‘‘similarly situated’’ (i.e., a firm that has the same small business program status as the prime contractor). An otherwise eligible firm further agrees to comply with the required LOS certification requirements in this solicitation (see 852.219–75 or 852.219–76 as applicable). These requirements are summarized as follows:
(1) Services. In the case of a contract for services (except construction), the SDVOSB prime contractor will not pay more than 50% of the amount paid by the government to the prime for contract performance to firms that are not certified SDVOSBs listed in the SBA certification database (excluding direct costs to the extent they are not the principal purpose of the acquisition and the SDVOSB/ VOSB does not provide the service, such as airline travel, cloud computing services, or mass media purchases). When a contract includes both services and supplies, the 50 percent limitation shall apply only to the service portion of the contract.
(2) Supplies/products.
(i) In the case of a contract for supplies or products (other than from a non-manufacturer of such supplies), the SDVOSB prime contractor will not pay more than 50% of the amount paid by the government to the prime for contract performance, excluding the cost of materials, to firms that are not certified SDVOSBs listed in the SBA certification database. When a contract includes both supply and services, the 50 percent limitation shall apply only to the supply portion of the contract.
(ii) In the case of a contract for supplies from a non-manufacturer, the SDVOSB prime contractor will supply the product of a domestic small business manufacturer or processor, unless a waiver as described in 13 CFR 121.406(b)(5) has been granted. Refer to 13 CFR 125.6(a)(2)(ii) for guidance pertaining to multiple item procurements.
(3) General construction. In the case of a contract for general construction, the SDVOSB prime contractor will not pay more than 85% of the amount paid by the government to the prime for contract performance, excluding the cost of materials, to firms that are not certified SDVOSBs listed in the SBA certification database.
(4) Special trade construction contractors. In the case of a contract for special trade contractors, no more than 75% of the amount paid by the government to the prime for contract performance, excluding the cost of materials, may be paid to firms that are not certified SDVOSBs listed in the SBA certification database.
(5) Subcontracting. An SDVOSB subcontractor must meet the NAICS size standard assigned by the prime contractor and be certified and listed in the SBA certification database to count as similarly situated. Any work that a first tier SDVOSB subcontractor further subcontracts will count towards the percent of subcontract amount that cannot be exceeded. For supply or construction contracts, the cost of materials is excluded and not considered to be subcontracted. When a contract includes both services and supplies, the 50 percent limitation shall apply only to the portion of the contract with the preponderance of the expenditure upon which the assigned NAICS is based. For information and more specific requirements, refer to 13
CFR 125.6.
(e) Required limitations on subcontracting compliance measurement period. An SDVOSB shall comply with the limitations on subcontracting as follows:

(f) Joint ventures. A joint venture may be considered eligible as an SDVOSB if the joint venture complies with the requirements in 13 CFR 128.402 and the managing joint venture partner makes the representations under paragraph (c) of this clause. A joint venture agrees that, in the performance of the contract, the applicable percentage specified in paragraph (d) of this clause will be performed by the aggregate of the joint venture participants.
(g) Precedence. The VA Veterans First Contracting Program, as defined in VAAR 802.101, subpart 819.70, and this clause, takes precedence over any inconsistencies between the requirements of the SBA Veteran Small Business Certification Program and the VA Veterans First Contracting Program.
(h) Misrepresentation. Pursuant to 38 U.S.C. 8127(g), any business concern, including all its principals, that is determined by VA to have willfully and intentionally misrepresented a company’s SDVOSB status is subject to debarment from contracting with the Department for a period of not less than five years (see VAAR 809.406–2 Causes for Debarment).

In the case of a contract for general construction, the contractor will not pay more than 85% of the amount paid by the government to it to firms that are not certified SDVOSBs listed in the SBA certification database as set forth in 852.219–73 or certified VOSBs listed in the SBA certification database as set forth in 852.219–74. Any work that a similarly situated certified SDVOSB/VOSB subcontractor further subcontracts will count towards the 85% subcontract amount that cannot be exceeded. Cost of materials are excluded and not considered to be subcontracted.
(iii) [X] Special trade construction contractors. In the case of a contract for special trade contractors, the contractor will not pay more than 75% of the amount paid by the government to it to firms that are not certified SDVOSBs listed in the SBA certification database as set forth in 852.219–73 or certified VOSBs listed in the SBA certification database as set forth in 852.219–
74. Any work that a similarly situated certified SDVOSB/VOSB subcontractor further subcontracts will count towards the 75% subcontract amount that cannot be exceeded. Cost of materials are excluded and not considered to be subcontracted.
(2) The offeror acknowledges that this certification concerns a matter within the jurisdiction of an Agency of the United States. The offeror further acknowledges that this certification is subject to Title 18, United States Code, Section 1001, and, as such, a false, fictitious, or fraudulent certification may render the offeror subject to criminal, civil, or administrative penalties, including prosecution.
(3) If VA determines that an SDVOSB/ VOSB awarded a contract pursuant to 38 U.S.C. 8127 did not act in good faith, such SDVOSB/VOSB shall be subject to any or all of the following:
(i) Referral to the VA Suspension and Debarment Committee;
(ii) A fine under section 16(g)(1) of the Small Business Act (15 U.S.C. 645(g)(1)); and
(iii) Prosecution for violating 18 U.S.C. 1001.
(b) The offeror represents and understands that by submission of its offer and award of a contract it may be required to provide copies of documents or records to VA that VA may review to determine whether the offeror complied with the limitations on subcontracting requirement specified in the contract. Contracting officers may, at their discretion, require the contractor to demonstrate its compliance with the limitations on subcontracting at any time during performance and upon completion of a contract if the information regarding such compliance is not already available to the contracting officer. Evidence of compliance includes, but is not limited to, invoices, copies of subcontracts, or a list of the value of tasks performed.
(c) The offeror further agrees to cooperate fully and make available any documents or records as may be required to enable VA to determine compliance with the limitations on subcontracting requirement.
