This solicitation is for the procurement of maintenance and repair services on Hologic ThinPrep equipment.

The Government intends to award a Firm Fixed-Price contract with a base year and four (4) option years to the Lowest Price Technically Acceptable offer, provided by a responsible offeror, at a fair and reasonable price.

B.2 STATEMENT OF WORK

Scope:

The STVHCS has a need for preventative service and maintenance for (1) TP5000 (SN: 91688H18D0), (1) TP2000 (SN: 03157604A0) currently housed in the Cytology Laboratory of Pathology & Laboratory Medicine Service at Audie L. Murphy VA Hospital. Due to the proprietary nature of the instrumentation, it is essential that only Certified Hologic Field Service Engineer’s (FSE) work on the Hologic Instrumentation.

Contractor Service Program should include at minimum:

Onsite repair.

On-site application service upon request during normal working hours.

Certified Hologic Field Service Engineer or Authorized Hologic FSE All replacement parts (No third party or OEM.

All Labor, travel and expenses for unscheduled visits.

One yearly scheduled preventative maintenance onsite repair.

All applicable instrument shipping charges.

24/7 Toll Free Hotline with same day response.

Emergency repair with 24 hours from time of request.

If both instrumentations are down, same day repair.

Repairs will occur during normal working hours 8am to 5pm, Monday-Friday.

Preventative Maintenance 1 time per year (Parts included)

Location This service and maintenance will be used on the (1) TP5000 (SN: 91688H18d0), (1) TP2000 (SN:

03157604A0) currently housed in the Cytology laboratory located in the Pathology and Laboratory Medicine Service’s San Antonio Laboratories of the STVHCS.

Period of Performance Base: 12/1/2020-11/30/2021 Option 1: 12/1/2021-11/30/2022 Option 2: 12/1/2022-11/30/2023 Option 3: 12/1/2023-11/30/2024 Option 4: 12/1/2024-11/30/2025

Deliverables/Supplies As needed service and maintenance on the (1) TP5000 (SN: 91688H18d0), (1) TP2000 (SN:

03157604A0) currently housed in the Cytology Laboratory of Pathology & Laboratory Medicine Service at Audie L. Murphy VA Hospital.

Government Inherent Functions:

Contractor shall not perform inherently governmental functions. This includes, but is not limited to, determination of agency policy, determination of Federal program priorities for budget requests, direction and control of government employees, selection or non-selection of individuals for Federal Government employment including the interviewing of individuals for employment, approval of position descriptions and performance standards for Federal employees, approving any contractual documents, approval of Federal licensing actions and inspections, and/or determination of budget policy, guidance, and strategy.

General Duties, Requirements, and Expectations:

1. Be professionally competent to handle required duties.

2. Work with staff to ensure safety measures are in place and documented.

3. Services provided under the terms of this contract are required to be in compliance with the

American Association of Blood Banks (AABB) and College of American Pathologists (CAP) accreditation policies and all applicable Federal, State and Government laws required by the Veteran’s Healthcare System and VHA Handbook 1106.1.

Information Systems Officer, Information Protection:

The contractor will not have access to VA Desktop computers, nor will they have access to online resources belonging to the government while conducting services. If removal of equipment from the VA is required, any memory storage devices, such as hard drives, solid state drives and non-volatile memory units will remain in VA control and will not be removed from VA custody.

Privacy Officer:

The contractor will not have access to Patient Health Information (PHI), nor will they have the capability of accessing patient information during the services provided to the VA.

Records Manager:

There will be no federal records created, maintained, used or dispositioned with this contract; regardless of format [paper, electronic, etc.] or mode of transmission [e-mail, fax, etc.].

The C&A requirements do not apply, and a Security Accreditation Package is not required.

*Routine Tasks, other than those performed during preventative maintenance visits, covered in the Operator/User's Manuals, such as cleaning and maintenance.

* Supply Items (including, but not limited to, those items listed in the Package Insert or Manual as "Materials Required but not Provided", Bleach, Squirt Bottles, Paper Towels, and other such items that are needed for general use but not specifically by the equipment) and consumables.

(d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 10 days.

(d) Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the Contractor to protect proprietary information as required by FAR 9.505-4, Obtaining access to proprietary information, paragraph (b). The Contractor is required to cooperate fully and make available any records as may be required to enable the Contracting Officer to assess the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.

I. Basis of Award The Government intends to award a contract resulting from this solicitation to the responsible offeror whose quote conforming to the solicitation meets or exceeds the requirement at the lowest price, Lowest Price Technically Acceptable (LPTA). The quotes will be evaluated based on the evaluation factors listed below. The technical acceptability will be evaluated on an "acceptable" or "unacceptable" basis. The lowest price contractor will first be evaluated. If determined to be technically “unacceptable,” the next lowest price response will be evaluated, and so on, until an offer is determined to be “acceptable.” The following areas will be evaluated:

1. Technical Acceptability (acceptable/unacceptable)

2. Price

Factor 1: Technical Acceptability – The contractor shall provide a written statement addressing each of the following items. The written statement must describe each point and must provide enough detail to determine minimum qualifications.

a. Description of Specifications: Provide a listing of specifications meeting the specifications contained in B.2 Statement of Work.

b. Letter of Authorization: Provide a letter of authorization, if not the Original Equipment

Manufacturer (OEM), stating that offeror is authorized to perform the required services for this contract.

c. Past Performance: Contractor must have, at minimum, a “Satisfactory” past performance in providing services on similar or related equipment.

Factor 2: Price – Contractor shall complete B.3 Price/Cost Schedule. The schedule may be altered, or an alternate schedule used where appropriate in order to express quote detail.

E.3 52.204-24 REPRESENTATION REGARDING CERTAIN TELECOMMUNICATIONS AND

VIDEO SURVEILLANCE SERVICES OR EQUIPMENT (AUG 2020)

The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it “does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument’’ in the provision at 52.204–26, Covered Telecommunications Equipment or Services—Representation, or in paragraph (v) of the provision at 52.212–3, Offeror Representations and Certifications–Commercial Items.

(a) Definitions. As used in this provision— Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause 52.204–25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Prohibition. (1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115–232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system.

Nothing in the prohibition shall be construed to—

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements;

or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115–232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment…
