B.2 LIMITATIONS ON SUBCONTRACTING-- MONITORING AND COMPLIANCE (JUN 2011)

This solicitation includes FAR 52.219-14 Limitations on Subcontracting. Accordingly, any contract resulting from this solicitation will include this clause. The contractor is advised in performing contract administration functions, the CO may use the services of a support contractor(s) retained by VA to assist in assessing the contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to contractor's offices where the contractor's business records or other proprietary data are retained and to review such business records regarding the contractor's compliance with this requirement. All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the contractor's business records or other proprietary data reviewed or obtained in the course of assisting the CO in assessing the contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs. Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the contractor to protect proprietary information as required by FAR 9.505-4, obtaining access to proprietary information, paragraph (b). The contractor is required to cooperate fully and make available any records as may be required to enable the CO to assess the contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.

1. Submission - In accordance with VAAR Clause 852.232-72 Electronic Submission of Payment Requests, all invoices shall be submitted electronically. A copy of all invoices shall be provided to the contracting POC identified in section B.1.

B.5 PERFORMANCE WORK STATEMENT (PWS)

Department of Veterans Affairs (VA) Executive Protection Vehicles

1.0 SCOPE OF CONTRACT:

1.1 The contractor shall lease four (4) black in color Chevrolet Suburban’s to the Department of Veterans Affairs (VA). The period of performance will be one 12-month base, plus four (4) 12-month options.

1.2 Due to the intended use of these sport utility vehicles (SUV) they cannot have sunroofs.

1.3 The vehicles must be manufactured in accordance with all Department of Transportation, Interstate Commerce Commission Regulations, and Federal Motor Vehicle Safety Standards.

1.4 The vehicles will be new with less than 100 miles on the odometer. Vehicles will be in excellent physical condition and mechanically sound, with no visible leaks, or signs of damage.

2.0 PERIOD OF PERFORMANCE:

2.1 The required date of delivery is March 12, 2018.

2.2 The vehicles shall be available for the Government’s pickup on the delivery schedule date, which at such time, the term of the initial base year (1st-year) lease shall begin.

3.0 PLACE OF PERFORMANCE:

3.1 The Contractor shall have the vehicles available for pickup by VA staff at the Contractor’s facility in any location within 50 miles of Washington, DC Metropolitan Area.

3.2 The vehicle will be garaged at VA Central Office Washington D.C (designated parking garage).

4.0 CONTRACT TYPE: Firm-Fixed Price

5.3 Estimated Mileage

5.3.1 Mileage per year is estimated at 15,000.

5.3.2 Excess mileage charge must be documented.

6.0 SPECIFIC TASKS:

6.1 Vehicles will meet Government requirements. Pre-delivery inspection of all vehicles will be conducted by the Government prior to acceptance.

6.2 The Contractor shall invoice the Government monthly in arrears.

6.3 The Contractor shall maintain manufactures vehicle warranty on all vehicles and notify the Government of any recalls.

7.0 INSURANCE COVERAGE:

7.1 The Department of Veterans Affairs is self-insured.

8.0 ACCIDENT DAMAGES:

8.1 In case of an accident where the cost of repair is less than the cost of replacing the vehicle and requires the repair of the leased vehicle, the Government representative shall notify the contractor and Contracting Officer of the accident.

8.2 The Government shall obtain repair cost from at least three (3) repair facilities approved by the Contractor. The Government will only select repair facilities authorized by the contractor to make the repairs. The Contractor agrees to accept repairs made by an authorized repair facility as complete, and agrees to release any demand or claim against the Government on all repairs made when the leased vehicle is returned to the contractor upon expiration of the contract.

8.3 In case of an accident where the cost of repair is greater than the cost of replacing the damaged vehicle, compensation for the value of the damaged vehicle will be paid to the contractor for the purchase price of the vehicle, less the depreciated value, per Kelly Blue Book Value, during the lapsed contract period.

9.0 MAINTENANCE:

9.1 Scheduled Maintenance

9.1.1 The Government shall provide all scheduled maintenance on all vehicles leased under this contract.

9.1.2 The Contractor shall submit a written preventative maintenance inspection schedule, in English, prior to the commencement of work. The schedule shall be in accordance with (IAW) manufacturer’s mileage intervals.

9.1.3 The Government shall replace consumed oils, parts, and components identified in the periodical inspection. This includes, but is not limited to, tires and batteries.

9.2 Unscheduled Maintenance

9.2.1 The contractor shall repair any defects on the leased vehicle caused by vehicle malfunction(s) at no cost to the Government within (5) working days of receiving notice of defect from the COR.

9.2.2 The contractor is responsible for all towing and towing cost to/from the maintenance facility if the leased vehicle is inoperable due to mechanical malfunctions/failure.

9.2.3 The contractor shall provide a replacement vehicle of equal size, style and color for any automobile leased hereunder that requires maintenance or repairs for which the contractor is responsible when such maintenance or repairs cannot be completed within forty-eight (48) hours. The replacement vehicle shall be provided within forty-eight (48) hours of the contractor receiving notice from the COR and be provided at no additional charge to the Government.

9.2.4 The Government shall furnish fuel for the normal daily operations of the vehicles.

10.0 CONTRACTING OFFICER’S REPRESENTATIVE:

10.1 The Contracting Officer Representative (COR) shall be the technical point of contact for all work related requirements.

10.2 The COR does not have authorization to change, alter, or remove any requirements stated in the performance work statement. The Contracting Officer is the only government-authorized person to change the performance work statement or any resultant contract.

11.0 QUALITY CONTROL:

11.1 The Government shall periodically evaluate the contractor’s performance by appointing a representative(s) to monitor performance to ensure services are received.

ADDENDUM to FAR 52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL ITEMS

The following clauses are incorporated into 52.212-4 as an addendum to this contract:

C.1 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 15 days.

C.2 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 15 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.

C.4 VAAR 852.203-70 COMMERCIAL ADVERTISING (JAN 2008)

The bidder or offeror agrees that if a contract is awarded to him/her, as a result of this solicitation, he/she will not advertise the award of the contract in his/her commercial advertising in such a manner as to state or imply that the Department of Veterans Affairs endorses a product, project or commercial line of endeavor.

C.5 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (NOV 2012)

(a) Definitions. As used in this clause—

(1) Contract financing payment has the meaning given in FAR 32.001.

(2) Designated agency office has the meaning given in 5 CFR 1315.2(m).

(3) Electronic form means an automated system transmitting information electronically according to the Accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests.

(4) Invoice payment has the meaning given in FAR 32.001.

(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.

(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.

(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:

(1) VA’s Electronic Invoice Presentment and Payment System. (See Web site at http://www.fsc.va.gov/einvoice.asp.)

(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI). The X12 EDI Web site (http://www.x12.org) includes additional information on EDI 810 and 811 formats.

(d) Invoice requirements. Invoices shall comply with FAR 32.905.

(e) Exceptions. If, based on one of the circumstances below, the contracting officer directs that payment requests be made by mail, the contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office. Submission of payment requests by mail may be required for:

(1) Awards made to foreign vendors for work performed outside the United States;

(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;

(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;

(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or

(5) Solicitations or contracts in which the VA designated agency office does not have electronic invoicing capability as described above.

C.6 VAAR 852.237-70 CONTRACTOR RESPONSIBILITIES (APR 1984)

The contractor shall obtain all necessary licenses and/or permits required to perform this work. He/she shall take all reasonable precautions necessary to protect persons and property from injury or damage during the performance of this contract. He/she shall be responsible for any injury to himself/herself, his/her employees, as well as for any damage to personal or public property that occurs during the performance of this contract that is caused by his/her employees fault or negligence, and shall maintain personal liability and property damage insurance having coverage for a limit as required by the laws of the District of Columbia. Further, it is agreed that any negligence of the Government, its officers, agents, servants and employees, shall not be the responsibility of the contractor hereunder with the regard to any claims, loss, damage, injury, and liability resulting there from.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. (a) Any protest filed by an interested party shall:

(1) Include the name, address, fax number, and telephone number of the protester;

(2) Identify the solicitation and/or contract number;

(3) Include an original signed by the protester or the protester's representative and at least one copy;

(4) Set forth a detailed statement of the legal and factual grounds of the protest, including a description of resulting prejudice to the protester, and provide copies of relevant documents;

E.7 GENERAL INSTRUCTIONS:

In addition to the information provided in FAR Clause 52.212-1 Instructions to Offerors –Commercial Items, the following instructions to offerors apply:

(a) All quotes shall be submitted in accordance with the following instructions, which establish the acceptable minimum requirements for the format and content of the quote.

(b) Your quote must stipulate that it is predicated upon all the terms and conditions of this RFQ and signed by an official authorized to bind your organization. In addition, it must contain a statement to the effect that it is firm for a period of at least 30 days from the date of receipt by the Government.

(c) Quote shall be submitted electronically via email to Anthony.Zibolski@va.gov before the date and time that quote is due. All quotes shall reference 36C10X18Q0041 in the email subject line.

(d) All questions regarding this solicitation shall be submitted via email on or Wednesday, December 6th at 4:30 PM Eastern Standard Time (EST) to Anthony.Zibolski@va.gov. Only written questions will be accepted. It is requested that all questions be combined into one Microsoft Word document. The email subject line shall reference 36C10X18Q0041.

(e) Quotes not submitted directly to Anthony.Zibolski@va.gov, or received after the due date/time may not be considered. The email system will not accept file sizes that exceed 5MB. It is the contractor’s responsibility to submit all parts of their quote no later than the date and time specified in the RFQ.

(f) Quote Files: The submission shall be clearly indexed and logically assembled. Each volume shall be clearly identified and shall begin at the top of a page. All pages of each volume shall be appropriately numbered and identified by the complete company name, date and solicitation number in the header and/or footer.

All files will be submitted as a Microsoft Excel (.xls/.xlsx), Microsoft Word (.doc/.docx), or Acrobat (.pdf) file or compatible as indicated in the table. Page size shall be no greater than 8 1/2" x 11". The top, bottom, left and right margins shall be a minimum of one inch each. Font size shall be no smaller than 12-point. Times New Roman fonts are required. Characters shall be set at no less than normal spacing and 100% scale. Tables and illustrations may use a reduced font size not less than 8-point and may be landscape. Line spacing shall be set at no less than single space. Each paragraph shall be separated by at least one blank line. Page numbers, company logos, and headers and footers may be within the page margins ONLY, and are not bound by the 12-point font requirement. Footnotes to text shall not be used.

(g) File Packaging: Do not compress (zip) quote files. VA Network Security Operations Center (NSOC) has temporarily blocked email attachments with the “.zip” extension as a mitigation measure against the ongoing world-wide ransomware event impacting many organizations. During this time, .zip file extensions will be permanently stripped from email traffic, and will not be recoverable. Due to VA email file size restrictions, offerors are encourage to logically separate their quote into separate emails. If this is necessary, offerors should attempt to contain complete volume within single email transmissions (and not split volumes). Offerors are encouraged to review and ensure that sufficient bandwidth is available on their end of the transmission.

(h) Content Requirements: All information shall be confined to the appropriate file. The offeror shall confine submissions to essential matters, sufficient to define the quote and provide an adequate basis for evaluation. Offerors are responsible for including sufficient details, in a concise manner, to permit a complete and accurate evaluation of each quote.

(k) Attachments are required to be in PDF (unencrypted) or MS Word formats only.

(l) The use of hyperlinks in quotes is prohibited. Any quote that fails to comply with all solicitation instructions may be considered non-responsive and may not be accepted or considered for award. All information shall be confined to the appropriate volume. Offerors are responsible for including sufficient details, in a concise manner, to permit a complete and accurate evaluation of each quote.

E.7.1 VOLUME I –TECHNICAL CAPABILITY

The technical volume shall demonstrate the ability to meet the requirements in the solicitation, to include the following:

(a) The offeror shall demonstrate successful, recent (within the past three years), and relevant (i.e. experience in providing services similar in size, scope, and complexity) as described in the Performance Work Statement (PWS). The document shall include a point of contact for each location.

(b) Planned approach for performing the tasks associated with the PWS. This should include vehicle description with sufficient detail for the government to evaluate whether the vehicles being offered will meet all PWS requirements.

(c) System for Award Management (SAM): In accordance with FAR 4.1102, Prospective contractors shall be registered in the SAM database prior to award of a contract or agreement.

E.7.2 VOLUME II –PRICE

(a) Quoters shall submit a completed Price Schedule (Section B.4 Price/Cost Schedule). Quoters may also, within the one page narrative, detail any discounts or other relevant pricing information.

(b) Quoters shall include signed amendment(s) (SF 30s), if any, in the Price volume. An authorized official of the prime contractor shall sign the SF 1449, amendment(s) and all certifications requiring signature. Additionally, any proposed terms and conditions and/or assumptions upon which the quote is predicated shall be included in the Price volume.

(c) Quoters are hereby advised that any quote- imposed terms and conditions and/or assumptions which deviate from the Government’s material terms and conditions established by the solicitation, may render the offeror’s quote unacceptable, and thus ineligible for award.
