About this file

This is Addendum No. 2 dated August 1, 2025, issued by the Louisville and Jefferson County Metropolitan Sewer District (MSD) for the Pond Creek Flood Pump Station Water Line Project under Contract No. 17290 with Budget ID No. F25281. The project involves construction services for a water line project with an estimated cost between $400,000 and $500,000, requiring installation of a 4" meter near the connection of a new 6" line to an existing 16" line. The addendum addresses five contractor questions regarding various project requirements, with bid opening scheduled for August 19, 2025. All bidders must acknowledge receipt of this addendum by submitting it with their bid package, as proposals will not be accepted without this acknowledgment.

The project is subject to MSD's Supplier Diversity Minority and Woman Business Enterprise (M/WBE) Program requirements, with subcontracting goals applicable to construction contracts valued at $200,000 or above, and no waiver will be granted despite the limited scope of work. The project qualifies for tax exemptions as outlined in the Information for Bidders document, and only the building tie-in portion requires a licensed plumber according to local codes. Contractors must demonstrate Good Faith Efforts through a 10-indicator point system if M/WBE goals cannot be met, including comprehensive documentation of outreach efforts to certified firms. MSD does not provide functionality to pre-qualify or streamline M/WBE subcontractor selection, placing the responsibility on prime bidders to vet and negotiate with potential minority and women-owned business partners.

ADDENDUM NO. 2

BIDDING REQUIREMENTS AND

CONTRACT DOCUMENTS for the

CONSTRUCTION of the POND CREEK

FLOOD PUMP STATION WATER LINE

PROJECT, LOUISVILLE AND JEFFERSON

COUNTY METROPOLITAN SEWER

DISTRICT LOUISVILLE, KENTUCKY

Date: August 1, 2025

Project: Pond Creek Flood Pump Station Water

Line Project

Contract No: 17290

Budget ID No.: F25281

To all Plan holders and/or Prospective Bidders:

The following clarifications, changes, additions and/or deletions are hereby made a part of the Bidding

Requirements and Contract Documents for the construction of the Pond Creek Flood Pump Station Water

Line Project, as fully and completely as if the same were fully set forth therein:

CLARIFICATIONS/REVISIONS

QUESTION NO. 1:

Due to the limited number of scopes of work to be performed and materials to be purchased, as well as the majority of scopes of work being self-performed by the Contractor, would MSD consider waiving the M/WBE participation requirements for this particular project?

ANSWER NO. 1:

The INVITATION TO BID states that the construction cost estimate for this project is between

$400,000.00 and $500,000.00 for Construction Services. Per the Supplier Diversity Minority and

Woman Business Enterprise Program Policy and Procedures Manual, section 4.B. Construction

Subcontracting Goal, the subcontract goal shall be established on construction contracts valued at or above $200,000.00. As such, a waiver will not be granted. Please refer the Contractor to the Supplier

Diversity Minority and Woman Business Enterprise Program Policy and Procedures Manual, section 7.

Good Faith Efforts and section 8. Determination of Good Faith Efforts for more information.

QUESTION NO. 2:

Will this project be tax exempt?

ANSWER NO. 2:

Please refer the Contractor to the INFORMATION FOR BIDDERS document, section 25. TAXES AND

EXEMPTIONS.

QUESTION NO. 3:

Will work on the customer side of the meter (from back side of meter to building connection) require a licensed plumber?

ANSWER NO. 3:

A 4” meter should be installed near the connection of the new 6” line to the existing 16” line. The only aspect of the project that will require a licensed plumber is the tie-in to the building according to local codes.

QUESTION NO. 4:

What are acceptable minimum requirements for "GOOD FAITH EFFORTS" and can you please give examples?? Often time qualified Minority contractors have the ability to perform the work needed to complete the project but they cannot meet the scheduling requirements and deadlines do to their current workloads and labor short falls, which put another layer of complications on achieving the minimum requirements with the current MBE goals.

ANSWER NO. 4:

In accordance with the MSD Supplier Diversity Minority and Woman Business Enterprise Program Policy and Procedures Manual (MBE/WBE Program), Section 7 – Good Faith Efforts and Section 8 –

Determination of Good Faith Efforts, outline and describe in detail the Goods Faith Efforts (GFE) requirements. The GFE will be determined on a point system as reflected in Indicators 1 through 10. The

MSD prime bidder shall be required to submit the forms required, if the MBE/WBE goals will not be met, and include all documentation of its MBE/WBE outreach efforts with its bid or proposal. Failure to submit required documentation may cause a bid to be rejected as non-responsive. Outreach and GFE include, but are not limited to, the sections thoroughly outlined in detail in the MBE/WBE Program policy. The 10 Indicators are required components to show and demonstrate the GFEs, that collectively define what constitutes an acceptable and comprehensive demonstration of good faith efforts. The components are standards and apply uniformly across all MSD projects that are subject to the MBE/WBE Program participation goals. As referenced in the MBE/WBE Program policy, prime bidders must provide supporting documentation for each applicable effort. Examples of acceptable documentation, include but are not limited to the following:

outreach log, subcontracting quotes, copies of correspondence with certified firms, meeting attendance records, follow up communication, and evidence of schedules flexibility efforts when feasible.

Regarding your example, where a qualified minority contractor may be unable to meet project scheduling requirements due to workload and labor shortage. It is important that the prime contractor still documents all outreach attempts and communication. This includes showing that the certified firm was contacting in the time manner providing adequate information about the scope of work and schedule offering reasonable time to respond and if applicable providing a written explanation from the MBE/WBE regarding their unavailability. This documentation can be submitted as part of your GFEs to demonstrate the prime contractor’s attempt to engage a certified firm despite the current capacity limitation. MSD encourages you to look for other qualified MBE/WBE subs to work on the project that are available to work. Finally, please follow the required outlines provided in the GFE section of the manual and submit completed and thorough documentation.

QUESTION NO. 5:

Is it possible for the Supplier Diversity program to add a layer within the portal for qualified MBEs who are interested in bidding a portion and can meet suggested timelines and want to perform a piece of the project as a subcontractor to check some sort of box which allows the GC the streamline interested contractors?

ANSWER NO. 5:

MSD does not have the capacity to add this functionality in the MBE/WBE Program nor does determine if

MBE/WBE businesses are qualified. It is the prime bidders responsibility to vet potential MBE/WBE firms and gauge their respective level of interest via project discussion and negotiations in regard to them performing and completing work on our projects as subs.

All bidders shall acknowledge receipt and acceptance of this Addendum No. 2 by submitting this

Addendum with the bid package. Bid Form submitted without acknowledgment of this Addendum will be considered unresponsive.
