INSTRUCTIONS TO OFFERORS

This is a combined synopsis/solicitation for commercial services under N40085-22-Q-2996. The procurement is prepared and conducted in accordance with the format presented in FAR Subpart 12.6 and 13.106-1, as well as supplemented with additional information included in this notice.

Historical Data: A Sources Sought notice, Pre-Solicitation Synopsis notice, and Solicitation were posted for this requirement under N50085-22-Q-2501 from August 2021 through May 2022.

This announcement constitutes the only solicitation; proposals are being requested and no other written solicitation will not be issued.

ROICC Camp Lejeune intends to award a Firm-Fixed Price contract for a price that is not subject to an adjustment on the basis of the contractor’s cost experience in performing the contract. This contract type places upon the contractor maximum risk and full responsibility for all cost and resulting profit or loss. It provides maximum incentive for the contractor to control costs and perform effectively and imposes a minimum administrative burden upon the contracting parties.

The Request for Quotation (RFQ) is incorporated with provisions and clauses are those in effect through Federal Acquisition Circular 2022-07, effective August 10, 2022. Contract type is a Firm-Fixed Price (FFP) contract for a one-time service only.

Set-Aside - This acquisition is 100% Total Small Business set-aside. The applicable NAICS code is 561730, Landscaping Services, with a size standard of $8 Million.

Contract Term: The Contractor shall provide all labor, management, supervision, tools, material, and equipment required to perform services in accordance with the statement of work. All work must be completed within 210 days of contract award.

SAM Registered: Offerors must be registered in the System for Award Management at https://SAM.gov, and have current Cage codes, Unique Entity Identifier (UEI) numbers, Exclusion status, and Representations and Certifications status.

VETS 4212: Offerors must have a Veteran’s Employment and Training Service report for the current filing cycle online at http://www.dol.gov. (If applicable)

Proposal Submission: The provision at 52.212-1, Instructions to Offerors—Commercial, applies to this acquisition and a statement regarding any addenda to the provision. Offerors are to include a completed copy of the provision at 52.213-3, Offeror Representations and Certifications—Commercial Items, with their offer.

A complete proposal will consist of the following items completed, signed (if applicable) and returned:

• Price Proposal

The price proposal shall be submitted separately but at the same time as the non-cost/price proposal. Any non-cost/price information in the price proposal will not be considered. Likewise, any price information in the non-cost/price proposal will not be considered.

ADDITIONAL INFORMATION TO BE SUBMITTED WITH PRICE PROPOSAL PACKAGE:

RESPONSIBILITY DETERMINATION INFORMATION – In order to be eligible for award, the offeror must be determined responsible in accordance with FAR Part 9, specifically 9.104-1, General Standards. In a separate tab, the offeror shall provide the following information in the price proposal package:

1. One (1) signed bank reference demonstrating adequate financial resources. If offeror’s firm has a line of credit – provide information on how many figures offeror can borrow against the line of credit (i.e.

medium 6 figures – exact line of credit is not required).

2. Description of offeror’s facilities and equipment.

3. Although required to be submitted with offeror’s price proposal, this information will not be evaluated as part of the price proposal. This information is the basis of your firm’s responsibility determination should your firm be considered for award.

• Any Amendments, signed

• Non-price evaluation factor information including technical, past performance, and safety

Evaluation of Proposals: In order to determine the most advantageous offer to the Government, in accordance with FAR 12.602 – Streamlined Evaluation of Offers and FAR 13.106-2 Evaluations of Quotations or Offerors, the Contracting Officer is not required to list the relevant importance of the evaluation factors. 52.212-2 Evaluation— Commercial Items, is applicable to this solicitation.

• Evaluation Factors:

The solicitation requires the evaluation of price and the following technical factors:

Factor 1 – Technical Experience Factor 2 – Past Performance Factor 3 – Safety

The distinction between technical experience and past performance is technical experience pertains to the types of work and volume of work completed by a contractor that are comparable to the types of work covered by this requirement, in terms of size, scope, and complexity. Past performance relates to how well a contractor has performed.

Basis of Evaluation and Submittal Requirements for each Factor.

Price:

Code. Provide point of contact for the offeror. Offer price is the total of Contract Line Item Numbers (CLIN) 0001.

• Copy of the Online Representations and certifications Application at the following website:

http://SAM.gov, and completed in this solicitation.

Basis of Evaluation: The Government will evaluate price based on the total price. Total price consists of the basic requirements to include all ELIN items. Analysis will be performed by one or more of the following techniques to ensure a fair and reasonable price:

1. Comparison of proposed prices received in response to the RFQ.

2. Comparison of proposed prices with the Independent Government Estimate (IGE).

3. Comparison of proposed prices with available historical information.

4. Comparison of market survey results.

A price that is found to be either unreasonably high or unrealistically low in relation to the proposed work may be indicative of an inherent lack of understanding of the solicitation requirements and may result in the overall proposal being considered unacceptable.

Factor #1 Technical Experience

Solicitation Submittal Requirements: Provide information on at least two (2) projects within the past 5 years, similar to this solicitation, for which the offeror has experience performing as the contractor.

Included should be a brief description of the work and the dollar value of the contract. Information on work performed on other military installations is highly encouraged. Response shall be provided on Attachment A (Technical Experience Form).

Basis of Evaluation: Offeror shall be evaluated on their experience performing similar work within the past five (5) years. Your proposal shall provide, at a minimum, the information listed on the Technical Experience Form provided under Attachment A:

NOTE: FAILURE TO PROVIDE ALL THE ABOVE INFORMATION FOR EACH MAY

RESULT IN AN UNACCEPTABLE RATING FOR THIS FACTOR.

The offeror shall be the prime contractor on all projects submitted for this factor. The Government will not evaluate projects performed by parent, affiliate, subsidiary, sister or any other company with a similar relationship to the offeror. All projects submitted which are outside of the specified 5-year period shall not be evaluated. Quotations/Proposals that submit projects performed on Marine Corps Base Camp Lejeune may be evaluated higher.

Factor 2, Past Performance

Solicitation Submittal Requirements: For each project listed under Factor 1, the offeror shall provide a completed Past Performance Questionnaire, Attachment B. Offerors may also include additional Past Performance information.

Notes:

1. The assessment of past performance information is separate from the responsibility determination required under FAR Subpart 9.1.

2. Offerors without a record of relevant past performance or for whom information on past performance is not available will not be evaluated favorably or unfavorably on past performance but will be evaluated with a “Neutral” rating.

Basis of Evaluation: If a completed CPARS evaluation is available for the projects listed under Factor 1, Technical Experience, it shall be submitted with the proposal. If there is not a completed CPARS evaluation, the Past Performance Questionnaire (PPQ) included in the solicitation is provided for offeror to submit to the client for each project the offeror includes in its proposal for Factor 1, Technical Experience.

Evaluation of past performance will often be subjective. The evaluation of past performance will include the contractor’s history of reasonable and cooperative behavior, commitment to customer satisfaction, record of conforming to applicable law and industry standards, quality of workmanship, record of recommending and/or implementing innovative approaches and/or technologies; record of controlling costs; safety performance record, and adherence to schedules.

Offers which lack relevant past performance history will receive a "No Rating" for this factor. Any offeror’s proposal which has no relevant past performance history, while rated neutral, may not represent the most advantageous proposal to the Government and thus, may not be competitive when compared to proposals of other offerors.

In addition to the above, the Government may review any other sources of information in evaluating past performance. While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate, and complete past performance information rests with the offeror.

Factor 3 Safety

Solicitation Submittal Requirements: The offeror shall submit the following information:

(1) The Offeror shall submit the following information: The Days Away from Work, Restricted Duty, or Job Transfer (DART) Rate; and Total Case Rate (TCR) for the specified five (5) Calendar Years (CY), as well as a safety narrative, as described further below. Any fatalities experienced within this 5-year timeframe must be explained in detail, to include root cause and corrective actions.

Basis of Evaluation: 1. DART Rate: Submit five (5) previous complete calendar years’ [CY2017, CY2018, CY2019, CY2020, and CY2021] worth of data (not an overall average). If the Offeror has no DART rate, for any year, affirmatively state so and explain why.

a. DART cases include injuries or illnesses resulting in death, days away from work, and/or restricted work or transfer to another job days beyond the day of injury/illness.

b. Calculation of DART rate: Multiply the total number of DART cases by 200,000, and then divide by the number of employee labor hours worked.

The Government is seeking to determine that the Offeror has consistently demonstrated a commitment to safety and that the Offeror plans to properly manage and implement safety procedures for itself and its subcontractors. The Government will evaluate the Offeror’s overall safety record, the Offeror’s plan to select and monitor subcontractors, and any innovative safety methods that the Offeror plans to implement for this procurement

SCOPE OF WORK

ATTACHMENT J-1503050-01

Landscaping and Vegetation Clearing Services at Marine Corps Air Station New-River, Jacksonville, NC.

The contractor shall provide all material, labor, equipment and supervision required to accomplish the following:

General description:

The Contractor shall cut and mulch in place all vegetation including any trees in the approximately 46 acres on New River Air Station as shown in the attached site plan in 4 locations and as described in this scope of work. Upon completion all areas shall be finished so that any future mowing can be performed with a brush / bush hog mower without damage to the mowing equipment.

LOCATIONS:

Areas 1 & 2: Located on the south side of AS4111 multi-level parking garage.

Area 3: Located inside the flight line fence starting at AS3003 and ending at the perimeter fence.

Area 4: Located on the south west side of Perimeter Road outside of the flight line perimeter fence nearest the CALA area (NOTE; CALA is actually inside the perimeter fence and is a reference for location only). Detailed requirements and specifications for all locations:

The Contractor shall;

a. Mulch in place all live or dead trees. Any tree stumps shall be mulched down to no higher than existing grade height or lower. Note; See Special Instructions

b. Mulch in place, all heavy vegetation, brush, understory, vines, branches, high grass, tall weeds etc. so that future maintenance can take place using finish deck mowers.

c. Trees and vegetation that is reduced to mulch can be left in place but not in piles or windrows. Evenly distribute or spread out the mulch on the ground in the vicinity the material was cut.

d. All vegetation residing in drainage ditches shall be mulched in place. Water shall be able to flow properly through the drainage ditches and culverts without being obstructed.

e. Trees may be removed off base by the Contractor for recycling as not to be wasted therefore saving wear and tear on equipment and fuel which will dramatically reduce this project’s carbon footprint.

f. Any established areas surrounding the project areas such as ditches, grass that is regularly mowed, concrete curbing, etc. that is damaged by heavy equipment and vehicles used within this project shall be repaired by the Contractor at the Contractor’s expense. Grounds damage includes but is not limited to ruts, holes, gouges, scrapes, scratches, broken concrete, tire tracks, etc.

Wet Area Guidelines:

Although the work identified herein does not occur in designated Wetlands, there are sensitive “wet areas” where the contractor shall take special precautions. The contractor shall follow the below guidelines when working in wet areas aboard Camp Lejeune, NC:

1. Do not use track machinery in wet areas. Use machinery equipped with high flotation tires or placed on mats to minimize rutting of the soil.

2. If necessary to move cut vegetation, trees, or brush, vegetation shall be picked up (not pushed) into windrows provided this activity does not result in more than a de minimus (incidental) discharge or redeposit of excavated material.

3. Chipping or mulching of vegetation is acceptable provided the biomass (chips) does not impede or divert natural drainage patterns or fill wetlands.

4. Burning of wood is not permitted.

5. Do not push or drag trees or vegetation so that the soil is disturbed or scraped. Special permitting is required for these actions and is not allowed under this contract.

6. All work shall be conducted during dry periods to minimize disturbance to natural wetland contours and elevations.

7. Trees, vegetation, and brush shall be cut / mulched to the ground, but not pulled or dug up to minimize disturbance of the soil.

Special Instructions:

1. The contractor shall coordinate the work schedule and access to the work areas with the Government Point of Contact (POC), Brian Geller at 449-4550. Work areas shall be cleaned up and debris disposed of properly on a daily basis. No equipment or material shall be stored on the work site without specific permission from the Government

POC.

2. Note; Trees to be removed in this project may be taken off base by the Contractor for recycling as not to be wasted therefore saving wear and tear on mulching equipment while at the same time reducing fossil fuel consumption along with diesel emissions output which will dramatically reduce this project’s carbon footprint therefore combatting global warming.

3. The measurements given in this SOW are for planning purposes only. The contractor is responsible for taking all measurements prior to submitting a bid for this contract.

52.204-24 REPRESENTATION REGARDING CERTAIN TELECOMMUNICATIONS AND VIDEO

SURVEILLANCE SERVICES OR EQUIPMENT (NOV 2021)

The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services-- Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications- Commercial Products and Commercial Services. The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services" in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.

(a) Definitions. As used in this provision-

Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Prohibition.

(1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.

115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to--

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.

115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to--

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services."

(d) Representations. The Offeror represents that--

(1) It [ ___ ] will, [ ___ ] will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation. The

Offeror shall provide the additional disclosure information required at paragraph (e)(1) of this section if the Offeror responds "will" in paragraph (d)(1) of this section; and

(2) After conducting a reasonable inquiry, for purposes of this representation, the Offeror represents that--

It [ ___ ] does, [ ___ ] does not use covered telecommunications equipment or services, or use any equipment, system, or service that uses covered telecommunications equipment or services. The Offeror shall provide the additional disclosure information required at paragraph (e)(2) of this section if the Offeror responds "does" in paragraph (d)(2) of this section.

(e) Disclosures.

(1) Disclosure for the representation in paragraph (d)(1) of this provision. If the Offeror has responded "will" in the representation in paragraph (d)(1) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment--

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the original equipment manufacturer (OEM) or a distributor, if known);

(B) A description of all covered telecommunications equipment offered (include brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and

(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(ii) For covered services--

(A) If the service is related to item maintenance: A description of all covered telecommunications services offered (include on the item being maintained: Brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); or

(B) If not associated with maintenance, the Product Service Code (PSC) of the service being provided; and explanation of the proposed use of covered telecommunications services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(2) Disclosure for the representation in paragraph (d)(2) of this provision. If the Offeror has responded "does" in the representation in paragraph (d)(2) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment--

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the OEM or a distributor, if known);

52.204-25 PROHIBITION ON CONTRACTING FOR CERTAIN TELECOMMUNICATIONS AND VIDEO

SURVEILLANCE SERVICES OR EQUIPMENT (NOV 2021)

(a) Definitions. As used in this clause--

Backhaul means intermediate links between the core network, or backbone network, and the small subnetworks at the edge of the network (e.g., connecting cell phones/towers to the core telephone network). Backhaul can be wireless (e.g., microwave) or wired (e.g., fiber optic, coaxial cable, Ethernet).

Covered foreign country means The People's Republic of China.

Covered telecommunications equipment or services means--

(1) Telecommunications equipment produced by Huawei Technologies Company or ZTE Corporation (or any subsidiary or affiliate of such entities);

(2) For the purpose of public safety, security of Government facilities, physical security surveillance of critical infrastructure, and other national security purposes, video surveillance and telecommunications equipment produced by Hytera Communications Corporation, Hangzhou Hikvision Digital Technology Company, or Dahua Technology Company (or any subsidiary or affiliate of such entities);

(3) Telecommunications or video surveillance services provided by such entities or using such equipment; or

(4) Telecommunications or video surveillance equipment or services produced or provided by an entity that the Secretary of Defense, in consultation with the Director of National Intelligence or the Director of the Federal Bureau of Investigation, reasonably believes to be an entity owned or controlled by, or otherwise connected to, the government of a covered foreign country.

Critical technology means--

(1) Defense articles or defense services included on the United States Munitions List set forth in the International Traffic in Arms Regulations under subchapter M of chapter I of title 22, Code of Federal Regulations;

(2) Items included on the Commerce Control List set forth in Supplement No. 1 to part 774 of the Export Administration Regulations under subchapter C of chapter VII of title 15, Code of Federal Regulations, and controlled--

(i) Pursuant to multilateral regimes, including for reasons relating to national security, chemical and biological weapons proliferation, nuclear nonproliferation, or missile technology; or

(ii) For reasons relating to regional stability or surreptitious listening;

(3) Specially designed and prepared nuclear equipment, parts and components, materials, software, and technology covered by part 810 of title 10, Code of Federal Regulations (relating to assistance to foreign atomic energy activities);

(4) Nuclear facilities, equipment, and material covered by part 110 of title 10, Code of Federal Regulations (relating to export and import of nuclear equipment and material);

(5) Select agents and toxins covered by part 331 of title 7, Code of Federal Regulations, part 121 of title 9 of such Code, or part 73 of title 42 of such Code; or

(6) Emerging and foundational technologies controlled pursuant to section 1758 of the Export Control Reform Act of 2018 (50 U.S.C. 4817).

Interconnection arrangements means arrangements governing the physical connection of two or more networks to allow the use of another's network to hand off traffic where it is ultimately delivered (e.g., connection of a customer of telephone provider A to a customer of telephone company B) or sharing data and other information resources.

Reasonable inquiry means an inquiry designed to uncover any information in the entity's possession about the identity of the producer or provider of covered telecommunications equipment or services used by the entity that excludes the need to include an internal or third-party audit.

Roaming means cellular communications services (e.g., voice, video, data) received from a visited network when unable to connect to the facilities of the home network either because signal coverage is too weak or because traffic is too high.

Substantial or essential component means any component necessary for the proper function or performance of a piece of equipment, system, or service.

(b) Prohibition.

(1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.

115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. The Contractor is prohibited from providing to the Government any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system, unless an exception at paragraph (c) of this clause applies or the covered telecommunication equipment or services are covered by a waiver described in FAR 4.2104.

(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.

115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract, or extending or renewing a contract, with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system, unless an exception at paragraph (c) of this clause applies or the covered telecommunication equipment or services are covered by a waiver described in FAR 4.2104. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract.

(c) Exceptions. This clause does not prohibit contractors from providing--

(1) A service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(2) Telecommunications equipment that cannot route or redirect user data traffic or permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(d) Reporting requirement.

(1) In the event the Contractor identifies covered telecommunications equipment or services used as a substantial or essential component of any system, or as critical technology as part of any system, during contract performance, or the Contractor is notified of such by a subcontractor at any tier or by any other source, the Contractor shall report the information in paragraph (d)(2) of this clause to the Contracting Officer, unless elsewhere in this contract are established procedures for reporting the information; in the case of the Department of Defense, the Contractor shall report to the website at https://dibnet.dod.mil. For indefinite delivery contracts, the Contractor shall report to the Contracting Officer for the indefinite delivery contract and the Contracting Officer(s) for any affected order or, in the case of the Department of Defense, identify both the indefinite delivery contract and any affected orders in the report provided at https://dibnet.dod.mil.

(2) The Contractor shall report the following information pursuant to paragraph (d)(1) of this clause:

(i) Within one business day from the date of such identification or notification: The contract number; the order number(s), if applicable; supplier name; supplier unique entity identifier (if known); supplier Commercial and Government Entity (CAGE) code (if known); brand; model number (original equipment manufacturer number, manufacturer part number, or wholesaler number); item description; and any readily available information about mitigation actions undertaken or recommended.

(ii) Within 10 business days of submitting the information in paragraph (d)(2)(i) of this clause: Any further available information about mitigation actions undertaken or recommended. In addition, the Contractor shall describe the efforts it undertook to prevent use or submission of covered telecommunications equipment or services, and any additional efforts that will be incorporated to prevent future use or submission of covered telecommunications equipment or services.

(e) Subcontracts. The Contractor shall insert the substance of this clause, including this paragraph (e) and excluding paragraph (b)(2), in all subcontracts and other contractual instruments, including subcontracts for the acquisition of commercial products or commercial services.

52.204-26 COVERED TELECOMMUNICATIONS EQUIPMENT OR SERVICES--REPRESENTATION (OCT

2020)

(a) Definitions. As used in this provision, “covered telecommunications equipment or services” and "reasonable inquiry" have the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for “covered telecommunications equipment or services”.

(c) Representations.

(1) The Offeror represents that it [ ___ ] does, [ ___ ] does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument.

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

The following factor are equally important, such as (i) technical capability of the item offered to meet the Government requirement; (ii) price; (iii) past performance (see FAR 15.304); and include them in the relative order of importance of the evaluation factors, such as in descending order of importance.)

Technical and past performance, when combined, are equally important.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.216-24 LIMITATION OF GOVERNMENT LIABILITY (APR 1984)

(a) In performing this contract, the Contractor is not authorized to make expenditures or incur obligations exceeding

200.00 dollars.

(b) The maximum amount for which the Government shall be liable if this contract is terminated is 200.00 dollars.

52.219-6 NOTICE OF TOTAL SMALL BUSINESS SET-ASIDE (NOV 2020)

(a) Definition. Small business concern, as used in this clause--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the size standards in this solicitation.

(2) Affiliates, as used in paragraph (a)(1) of this clause, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.

(b) Applicability. This clause applies only to--

(1) Contracts that have been totally set aside for small business concerns; and

(2) Orders set aside for small business concerns under multiple-award contracts as described in 8.405-5 and 16.505(b)(2)(i)(F).

(c) General. (1) Offers are solicited only from small business concerns. Offers received from concerns that are not small business concerns shall be considered nonresponsive and will be rejected.

(2) Any award resulting from this solicitation will be made to a small business concern.

52.219-14 LIMITATIONS ON SUBCONTRACTING (SEP 2021)

(a) This clause does not apply to the unrestricted portion of a partial set-aside.

(b) Definition. Similarly situated entity, as used in this clause, means a first-tier subcontractor, including an independent contractor, that--

(1) Has the same small business program status as that which qualified the prime contractor for the award (e.g., for a small business set-aside contract, any small business concern, without regard to its socioeconomic status); and

(2) Is considered small for the size standard under the North American Industry Classification System (NAICS) code the prime contractor assigned to the subcontract.

(c) Applicability. This clause applies only to--

(1) Contracts that have been set aside for any of the small business concerns identified in 19.000(a)(3);

(2) Part or parts of a multiple-award contract that have been set aside for any of the small business concerns identified in 19.000(a)(3);

(3) Contracts that have been awarded on a sole-source basis in accordance with subparts 19.8, 19.13, 19.14, and 19.15;

(4) Orders expected to exceed the simplified acquisition threshold and that are--

(i) Set aside for small business concerns under multiple-award contracts, as described in 8.405-5 and 16.505(b)(2)(i)(F); or

(ii) Issued directly to small business concerns under multiple-award contracts as described in 19.504(c)(1)(ii);

(5) Orders, regardless of dollar value, that are--

(i) Set aside in accordance with subparts 19.8, 19.13, 19.14, or 19.15 under multiple-award contracts, as described in 8.405-5 and 16.505(b)(2)(i)(F); or

(ii) Issued directly to concerns that qualify for the programs described in subparts 19.8, 19.13, 19.14, or 19.15 under multiple-award contracts, as described in 19.504(c)(1)(ii); and

(6) Contracts using the HUBZone price evaluation preference to award to a HUBZone small business concern unless the concern waived the evaluation preference.

(d) Independent contractors. An independent contractor shall be considered a subcontractor.

(e) Limitations on subcontracting. By submission of an offer and execution of a contract, the Contractor agrees that in performance of a contract assigned a North American Industry Classification System (NAICS) code for--

(1) Services (except construction), it will not pay more than 50 percent of the amount paid by the Government for contract performance to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 50 percent subcontract amount that cannot be exceeded. When a contract includes both services and supplies, the 50 percent limitation shall apply only to the service portion of the contract;

(2) Supplies (other than procurement from a nonmanufacturer of such supplies), it will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities.
