(viii) FAR 52.212-1, Instructions to Offerors-Commercial Items (JAN 2017) applies to this acquisition.

Offeror’s response must clearly indicate the capability to meet all specifications and requirements in the Statement of Work. Offeror shall not simply rephrase or restate the Government's requirements, but shall provide its rationale explaining how the Offeror’s approach will meet the RFP requirement. Responses that do not meet the specifications and requirements specified in this RFP will be determined non-responsive and will not be evaluated further.

Offerors shall submit the following:

FACTOR I – TECHNICAL (limited to 50 pages):

A. Technical Capabilities: At a minimum, Offeror shall propose an approach that meets the requirements set forth in the Statement of Work (Attachment A). Offeror shall present in detail the technical approach, methodologies, technologies, and/or techniques that will be applied in meeting the Government requirement as described in the SOW.

Offeror shall also provide warranty information, delivery date for equipment, training details and methodologies for upgrading the current EDS system. Brochures may be provided. However, brochures are not substitutes for not fully addressing the technical requirement. Simply stating “contractor will comply” or “equipment complies” is not a clear response. Failure to provide all specifications and equipment capabilities may deem the offer unacceptable.

B. Test Sample Report: Offerors shall submit a non-disclosure agreement (Attachment B) in order to receive instructions for test conditions for BEP sample (Attachment C) to gladys.wilks@bep.gov and anjanee.taylor@bep.gov by no later than 1:00pm Eastern, Tuesday, 12 June 2018. Offeror will be provided a BEP sample in which the proposed SEM shall be used to test conditions. Offeror’s test sample report shall include an in-depth analysis of their test results in accordance with the test conditions instructions. Analysis shall include all test conditions results, variables, operating ranges, working distance, resolutions, magnifications, and values used. Report shall also include photomicrographs as well as operational parameters of image generation and image recording. No image post-processing shall be applied. Offeror will be required to provide TIFF images along with Test Sample Report. Offeror may submit images on a CD/DVD. Please note that CD/DVD must arrive by the due date and time stated in the solicitation.

FACTOR II – PAST PERFORMANCE

The Government will assess the Offeror’s capability to perform under this contract by evaluating Offeror’s Past Performance on previous same or similar contracts. Offerors should reference their most recent and relevant projects for consideration for past performance. Recent is defined within the last five (5) years. Relevant is defined as work mailto:gladys.wilks@bep.gov mailto:anjanee.taylor@bep.gov

4 | Combined Synopsis/Solicitation 2031ZA18R00017 similar in size, scope, and complexity to the work identified in the SOW. Offerors must identify at least three (3) Federal, State, Local, or Commercial contracts that demonstrate recent and relevant experience. Offerors shall provide the following information:

1. Project Title

2. Description of the Project

3. Contract Number

4. Type of Contract

5. Contract Amount

6. Contract role (Prime or Subcontractor)

7. Point of Contact’s name, address, phone number and email address

8. Contracting Officer’s name, address, telephone number and email address

9. Current status, e.g. completed and/or in progress, start and estimated completion dates

10. A brief narrative of why your firm believes this reference is relevant to the proposed tasks.

Past Performance Questionnaire Form The Offeror shall forward the Past Performance Questionnaire Form (Attachment D) to each reference identified in the proposal for the prime and any key teaming partner(s). The Offeror shall ensure the references’ contact information is current and accurate. Offeror shall ensure the assessor is properly notified and given adequate time to complete their assessment. The Government reserves the right to contact any number of references and use sources other than those provided by the Offeror to obtain information related to past performance and prior experience. The Offeror shall ensure that the assessor(s) complete the Past Performance Questionnaire. The BEP should receive at least one

(1) Past Performance Questionnaires from the assessor(s) by the proposal due date and time via email to gladys.wilks@bep.gov and anjanee.taylor@bep.gov.

BEP may contact those references during the evaluation process to verify relevant experience and the level of performance. The BEP may, at its discretion, obtain and evaluate information from sources other than those provided by the Offeror such as those found in Past Performance Information Retrieval System (PPIRS).

FACTOR III – PRICE (no page limitation): Offeror shall submit a firm fixed price for all items identified in Section (v) above. Offeror shall provide all personnel, equipment, tools, materials, supervision, and other non-personnel services necessary for the delivery, installation, and associated services for the SEM and EDS upgrades. The contractor shall provide a full break down of all prices.

(ix) FAR 52.212-2, Evaluation—Commercial Items (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

FACTOR I – TECHNICAL CAPABILITIES

Proposals will be evaluated on the Offeror’s ability to fulfill the contract based on:

(1) The Offeror’s demonstrated understanding of, and ability to oversee and carry out, the objectives, scope, tasks and other requirements of the SOW and to perform at a level that meets or exceeds the BEP’s requirements.

(2) The proposal will be evaluated to determine whether the Offeror’s methods and approach to meeting the solicitation requirements provide the Government with a high level of confidence of successful completion within the required delivery schedule.

(3) The Government shall evaluate the report to evaluate the Offeror’s Test Sample Report done by the Offeror in order to validate that the proposed SEM can demonstrate performance and capabilities stated in the Statement of Work (Attachment A) and Test Conditions for BEP Sample (Attachment B). Offeror shall ensure that report is complete and includes an in-depth analysis of their test results.

FACTOR II – PAST PERFORMANCE

Offeror’s description of its past performance, questionnaire(s) completed by their clients, and information developed by the Government, will be used to develop a performance relevancy and confidence level. The Government will evaluate the offeror's record of past and current performance to ascertain the probability of successfully performing the required efforts of the SOW. The Past Performance evaluation establishes a performance relevancy and confidence assessment by combining the ratings.

Past performance history not specifically related to providing any of the equipment and the services in this solicitation will not be considered relevant information for the purpose of determining the performance confidence rating. Past performance will be evaluated on how well the Offeror, as well as any proposed major subcontractors, performed the contracts/work referenced in the Offeror’s proposal. Past performance will also evaluate overall contract/work performance as it relates to quality, schedule, management and cost control.

The Government reserves the right to obtain past performance information from any and all sources including Contractor Performance Assessment Reporting System (CPARS), Past Performance Information Retrieval System (PPIRS), and sources outside the Government, regardless of whether such information has been referenced or provided by the Offeror. The

6 | Combined Synopsis/Solicitation 2031ZA18R00017

Government also reserves the right to contact references and points of contact provided by the Offeror and otherwise verify statements and representations made in the Offeror’s proposal.

The Government will determine which past performance data is most relevant. Past performance information obtained independently of the Offeror’s proposal may be more relevant than past performance information submitted by the Offeror. It is incumbent upon the Offeror to explain the relevance of the references provided. Offerors are reminded that while the Government may elect to consider data obtained from other sources, the burden of providing thorough and complete past performance source data, including the return of questionnaires, rests with the Offerors.

Absent any recent and relevant past performance history or when the performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned, the offeror will be assigned an "Unknown Confidence/Neutral Relevancy" rating and its proposal will not be evaluated either favorably or unfavorably on past performance. The Offeror will be provided the opportunity to address adverse past performance information for which the Offeror has not already had the opportunity to comment.

FACTOR III – PRICE

The Government will evaluate price to determine fair and reasonableness using FAR 13.106-3, techniques. Price evaluation will be based on the completeness, the accuracy, and reasonableness of the proposed prices to ensure that the Contractor understands the scope of work included in the solicitation. For the price data to be complete, the Contractor must provide all the data necessary to support proposed pricing. The objective of the price analysis is to ensure that the final agreed-to price is fair and reasonable. As such, the Government will use any combination of the proposal analysis techniques stipulated under FAR Subpart 13.106-3 to aid in the price evaluation process.

BASIS FOR AWARD:

The Government will conduct a tradeoff best value analysis using the factors listed in Section

(ix) of the solicitation. In determining which proposal provides the best value to the Government, Technical is significantly more important than Past Performance and Price. Past Performance is more important than Price. When combined, Technical and Past Performance are more important than Price. Based upon the results of the integrated assessment of the Technical, Past Performance and Price proposals, the Government may make an award to other than the lowest-priced offeror or the offeror with the highest technical rating if the source selection official determines that to do so would result in the best value to the Government.

A final rating of no less than “Acceptable” must be achieved for Technical and no less than “Satisfactory Confidence” (or “Neutral Confidence” where there is no relevant past performance information available) for Past Performance in order for an award to be made.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that

7 | Combined Synopsis/Solicitation 2031ZA18R00017 an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer mailed, or otherwise, furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award. (End of provision)

(x) FAR 52.212-3 Offeror Representation and Certifications-Commercial (NOV 2017)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) website located at https://www.sam.gov/portal. (i) Taxes are considered delinquent if both of the following criteria apply:

(A) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(ii) Examples.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. §362 (the Bankruptcy Code).
