CDC Library Subscriptions

In accordance with the Statement of Work in Section D below, the contractor shall provide any and all labor, equipment, supplies, services, permits, and licenses necessary for the renewal of approximately 900 journal, book, and database subscriptions in online and/or print formats and for the payment of publisher invoices for orders placed on behalf of the CDC Library. (See List 1 attached.)

Orders for subscriptions will be placed between January 2018 and January 2022.

Notes:

1. Award will be made on the basis of FFP with Economic Price Adjustment. The Contract Line Items (CLINs) above will reflect a ceiling, Not-to-Exceed, total contract amount. The list of awarded titles, periodicals, journals, publications, etc., and the corresponding prices per year will be included as an attachment to the contract.

2. Prices under this contract will be adjusted with a contract modification each year IAW/FAR 52.216-2 Economic Price Adjustment -- Standard Supplies. Notwithstanding this clause, the Contractor shall notify the Contracting Officer of the increases or decreases in the established contracts prices by no later than November 1 of each year for List 1 (i.e., January start date subscriptions) and by March 1 of each contract year for List 2 (i.e., June start date subscriptions).

3. The Minimum guaranteed amount per contract will be $1000, which will also constitute the Government's obligation under the resulting contract(s).

4. The total period of performance will be 60 consecutive months starting in Jan 1, 2018 and ending in December 31, 2022. Title subscriptions will be ordered by placing individual delivery orders against the resulting indefinite delivery/indefinite quantity contract (s). See Ordering in Section C below. All requirements for delivery orders will be competed among contract holders who have the required subscription(s) available in their contracts. Award will be made to the lowest price offeror, except in the case of a tie, where small businesses will be favored over large.

5. Payment for delivery orders placed against the contract will be made per title ordered and after the contractor submits evidence of payment to the publisher of the title(s) ordered for the CDC with his/her request for payment.

6. To ensure payment, invoice must reference the Contract No. ______, DUNS, and Tax ID Number.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—

52.216-1 -- Type of Contract.

The Government contemplates award of a Firm-fixed with Economic Price Adjustment, ID/IQ contract.

52.216-2 Economic Price Adjustment -- Standard Supplies (Jan 1997)

(a) The Contractor warrants that the unit price stated in the Schedule for Lists 1 and List 2 are not in excess of the Contractor’s applicable established price in effect on the contract date for like quantities of the same item. The term “unit price” excludes any part of the price directly resulting from requirements for preservation, packaging, or packing beyond standard commercial practice. The term “established price” means a price that --

(1) Is an established catalog or market price for a commercial item sold in substantial quantities to the general public; and

(2) Is the net price after applying any standard trade discounts offered by the Contractor?

(b) The Contractor shall promptly notify the Contracting Officer of the amount and effective date of each decrease in any applicable established price. Each corresponding contract unit price shall be decreased by the same percentage that the established price is decreased. The decrease shall apply to those items delivered on and after the effective date of the decrease in the Contractor’s established price, and this contract shall be modified accordingly.

(c) If the Contractor’s applicable established price is increased after the contract date, the corresponding contract unit price shall be increased, upon the Contractor’s written request to the Contracting Officer, by the same percentage that the established price is increased, and the contract shall be modified accordingly, subject to the following limitations:

(1) The aggregate of the increases in any contract unit price under this clause shall not exceed 10 percent of the original contract unit price.

(2) The increased contract unit price shall be effective --

(i) On the effective date of the increase in the applicable established price if the Contracting Officer receives the Contractor’s written request within 10 days thereafter; or

(ii) If the written request is received later, on the date the Contracting Officer receives the request.

(3) The increased contract unit price shall not apply to quantities scheduled under the contract for delivery before the effective date of the increased contract unit price, unless failure to deliver before that date results from causes beyond the control and without the fault or negligence of the Contractor, within the meaning of the Default clause.

(4) No modification increasing a contract unit price shall be executed under this paragraph (c) until the Contracting Officer verifies the increase in the applicable established price.

(5) Within 30 days after receipt of the Contractor’s written request, the Contracting Officer may cancel, without liability to either party, any undelivered portion of the contract items affected by the requested increase.

(d) During the time allowed for the cancellation provided for in subparagraph (c)(5) of this clause, and thereafter if there is no cancellation, the Contractor shall continue deliveries according to the contract delivery schedule, and the Government shall pay for such deliveries at the contract unit price, increased to the extent provided by paragraph (c) of this clause.

(End of Clause Ordering

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from January 1, 2018 through December 31, 2022.

(b) Every Year, delivery orders will be competed among contract holders. Contract holders may improve their prices each time a request for Offer of a delivery order is sent.

(c) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(d) If mailed, a delivery order or task order is considered “issued” when the Government emails a signed order. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

Fair opportunity

The Government will give every awardee a fair opportunity to be considered for a delivery order exceeding $3,500 unless one of the following statutory exceptions applies:

(a) The agency need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays.

(b) Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized.

(c) The order must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order.

(d) It is necessary to place an order to satisfy a minimum guarantee.

(e) For orders exceeding the simplified acquisition threshold, a statute expressly authorizes or requires that the purchase be made from a specified source.

(f) In accordance with section 1331 of Public Law 111-240 (15 U.S.C. 644(r)), contracting officers may, at their discretion, set aside orders for any of the small business concerns identified in 19.000(a)(3). When setting aside orders for small business concerns, the specific small business program eligibility requirements identified in part 19 apply.

CDC Delivery Order Ombudsman The ombudsman reviews complaints from contractors and ensure they are afforded a fair opportunity to be considered, consistent with the procedures in the contract. 52.216-19 Order Limitations (Oct 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $1,000.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor --

(1) Any order for a single item in excess of $300,000.00;

(2) Any order for a combination of items in excess of $500,000.00; or

(3) A series of orders from the same ordering office within 30 days that together call for quantities exceeding the limitation in subparagraph (b) (1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 10 days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 Indefinite Quantity (Oct 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the “maximum.” The Government shall order at least the quantity of supplies or services designated in the Schedule as the “minimum.”

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after expiration of the contract on December 31, 2022.

Contracting Officer (Jul 1999)

(a) The Contracting Officer is the only individual who can legally commit the Government to the expenditure of public funds. No person other than the Contracting Officer can make any changes to the terms, conditions, general provisions, or other stipulations of this contract.

(b) No information, other than that which may be contained in an authorized modification to this contract, duly issued by the Contracting Officer, which may be received from any person employed by the United States Government, or otherwise, shall be considered grounds for deviation from any stipulation of this contract.

(End of Clause) Contracting Officers Representative (COR) Technical Guidance (Sep 2009)

Performance of the work hereunder shall be subject to the technical directions of the designated COR for this contract.

As used herein, technical directions are directions to the Contractor which fill in details, suggests possible lines of inquiry, or otherwise completes the general scope of work set forth herein. These technical directions must be within the general scope of work, and may not alter the scope of work or cause changes of such a nature as to justify an adjustment in the stated contract price/cost, or any stated limitation thereof. In the event that the Contractor feels that full implementation of any of these directions may exceed the scope of the contract, he or she shall notify the originator of the technical direction and the Contracting Officer in a letter separate of any required report(s) within two (2) weeks of the date of receipt of the technical direction and no action shall be taken pursuant to the direction. If the Contractor fails to provide the required notification within the said two (2) week period that any technical direction exceeds the scope of the contract, then it shall be deemed for purposes of this contract that the technical direction was within the scope. No technical direction, nor its fulfillment, shall alter or abrogate the rights and obligations fixed in this contract.

The Government COR is not authorized to change any of the terms and conditions of this contract. Changes shall be made only by the Contracting Officer by properly written modification(s) to the contract.

The Government will provide the Contractor with a copy of the delegation memorandum for the COR. Any changes in COR delegation will be made by the Contracting Officer in writing with a copy being furnished to the Contractor.

Pursuant to the current HHS annual appropriations act, except for normal and recognized executive-legislative relationships, the Contractor shall not use any HHS contract funds for (i) publicity or propaganda purposes; (ii) the preparation, distribution, or use of any kit, pamphlet, booklet, publication, radio, television or video presentation designed to support or defeat legislation pending before the Congress or any State legislature, except in presentation to the Congress or any State legislature itself; or (iii) payment of salary or expenses of the Contractor, or any agent acting for the Contractor, related to any activity designed to influence legislation or appropriations pending before the Congress or any State legislature.

(End of clause) Electronic and Information Technology Accessibility (Section 508)

Section 508 of the Rehabilitation Act of 1973 (29 U.S.C. 794d), as amended by the Workforce Investment Act of 1998, and the Architectural and Transportation Barriers Compliance Board Electronic and Information (EIT) Accessibility Provisions (36 CFR part 1194), require that, unless an exception applies, all EIT products and services developed, acquired, maintained, or used by any Federal department or agency permit:

(1) Federal employees with disabilities to have access to and use information and data that is comparable to the access and use of information and data by Federal employees who are not individuals with disabilities; and

(2) Members of the public with disabilities seeking information or services from a Federal agency to have access to and use of information and data that is comparable to the access and use of information and data by members of the public who are not individuals with disabilities.

Accordingly, any contractor submitting a proposal/quotation/bid in response to this solicitation must demonstrate compliance with the established EIT accessibility provisions. In order to facilitate the Government’s evaluation to determine whether EIT products and services proposed meet applicable Section 508 accessibility standards, offerors must prepare an HHS Section 508 Product Assessment Template, in accordance with its completion instructions, and provide a binding statement of conformance. The purpose of the template is to assist HHS acquisition and program officials in determining that EIT products and services proposed support applicable Section 508 accessibility standards. The template allows contractors or developers to self-evaluate their products or services and document in detail how they do or do not conform to a specific Section 508 standard. Instructions for preparing the HHS Section 508 Product Assessment Template may be found at http://508.hhs.gov.

Respondents to this solicitation must also provide any additional detailed information necessary for determining applicable Section 508 standards conformance, as well as for documenting EIT products and/or services that are incidental to the project, which would constitute an exception to Section 508 requirements. If a contractor claims its products and/or services, including EIT deliverables such as electronic documents and reports, meet applicable Section 508 standards in its completed HHS Section 508 Product Assessment Template, and it is later determined by the Government – i.e., after award of a contract/order, that products and/or services delivered do not conform to the described accessibility in the Product Assessment Template, remediation of the products and/or services to the level of conformance specified in the contractor’s Product Assessment Template will be the responsibility of the Contractor at its expense.

B. Other requirements The Paperwork Reduction Act of 1995 (PRA): Offerors should be advised that any activities involving information collection (i.e., posing similar questions or requirements via surveys, questionnaires, telephonic requests, focus groups, etc.) from 10 or more non-Federal entities/persons, including States, are subject to PRA requirements and may require CDC to coordinate an Office of Management and Budget (OMB) Information Collection Request clearance prior to the start of information collection activities. This would also include information sent to or obtained by CDC via forms, applications, reports, information systems, and any other means for requesting information from 10 or more persons; asking or requiring 10 or more entities/persons to keep or retain records; or asking or requiring 10 or more entities/persons to disclose information to a third-party or the general public.

Privacy Issues

While the Privacy Act is not applicable, the appropriate security controls and Rules of Behavior should be incorporated to protect the confidentiality of information, proprietary, sensitive, and Personally Identifiable Information (PII) the Contractor may come in contact with during the performance of this contract.

Evaluation of Contractor Performance Utilizing CPARS

In accordance with FAR 42.15, the Centers for Disease Control and Prevention (CDC) will review and evaluate contract performance. FAR 42.1502 and 42.1503 requires agencies to prepare evaluations of contractor performance and submit them to the Past Performance Information Retrieval System (PPIRS). The CDC utilizes the Department of Defense (DOD) web-based Contractor Performance Assessment Reporting System (CPARS) to prepare and report these contractor performance evaluations. All information contained in these assessments may be used by the Government, within the limitations of FAR 42.15, for future source selections in accordance with FAR 15.304 where past performance is an evaluation factor.

The CPARS system requires a contractor representative to be assigned so that the contractor has appropriate input into the performance evaluation process. The CPARS contractor representative will be given access to CPARS and will be given the opportunity to concur or not-concur with performance evaluations before the evaluations are complete. The CPARS contractor representative will also have the opportunity to add comments to performance evaluations.

The assessment is not subject to the Disputes clause of the contract, nor is it subject to appeal beyond the review and comment procedures described in the guides on the CPARS website. Refer to: www.cpars.gov for details and additional information related to CPARS, CPARS user access, how contract performance assessments are conducted, and how Contractors participate. Access and training for all persons responsible for the preparation and review of performance assessments is also available at the CPARS website.

The contractor must provide the CDC contracting office with the name, e-mail address, and phone number of their designated CPARS representative who will be responsible for logging into CPARS and reviewing and commenting on performance evaluations. The contractor must maintain a current representative to serve as the contractor representative in CPARS. It is the contractor’s responsibility to notify the CDC contracting office, in writing (letter or email), when their CPARS representative information needs to be changed or updated. Failure to maintain current CPARS contractor representative information will result in the loss of an opportunity to review and comment on performance evaluations.

Notwithstanding provision at 52.212-1, Instructions to Offerors—Commercial, the following Instructions for submission of Offers apply:

Offerors shall submit their offers on the basis of Firm-Fixed Price by midnight, November 28, 2017.

Offers shall be submitted electronically (via e-mail) in MS Word or MS Excel files to boh9@cdc.gov . The following format is required as e-mail subject: The RFP No: 2018-N-67329.KT.doc or .xls (Where “2018-N-67329 is the respective RFP No. and “KT” are the first two letters of the respective Contractor's name; and “.doc” and “.xls” are the format extensions.)

Offerors are responsible for providing accurate and complete information for evaluation. (Failure to do so may rule the offer unacceptable.) Proposal shall be submitted in two severable parts as follows:

i. Part I - The Technical Proposal:

Technical Approach: Offerors shall include a discussion of their technical approach addressing, at a minimum, (1) their capability for providing the subscriptions specified in Statement of Work (SOW) and (2) how the offeror plans to comply with each of the requirements specified in the SOW.

Experience: Offerors shall provide in a format similar to Attachment No. 5, Experience/Past Performance Matrix, a list of contracts performed within the past 5 years to show their experience managing same or similar work that is comparable in technical complexity to this requirement.

In the event there are electronic transmission problems, the following steps shall be taken:

i. CDC receives the electronic file timely, but cannot access it. The offeror will be contacted and may be allowed to fax in the portions that cannot be accessed.

ii. Facsimile Offers are not authorized. Technical inquiries shall be e-mailed to boh9@cdc.gov. Telephone inquiries will not be honored.

iii.

Offeror sends electronic file, but receives error message indicating e-mail problems at CDC. Fax in a cover sheet indicating transmission difficulties, and the Contract Specialist will contact the Offeror.

Part II - The Business Proposal:

Offerors are required to propose firm-fixed prices on a 12 month basis, i.e., from January to December 2018, List 1, and from May 1, 2018 to May 30, 2019, List 2. See list of titles in attachments in No. 3. Prices for each title offered shall be inclusive of rates and fees as described in Attachment No. 1, Statement of Work. Orders to be placed against the resulting ID/IQ contracts will made be on the basis of FFP per subscription title.

Because the prices for the list of titles required by this solicitation, including journals books, and databases have historically varied from year to year, for estimating purposes, the Government will apply a percentage increase to the prices every 12 months (i.e., after the first 12 months of the contract) as an inflation factor to determine the total estimated contract price, i.e., the contract(s) ceiling amount. Offerors are asked to utilize the preliminary list of titles to be provided as an attachment to the solicitation for the proposed pricing schedule. The prices offered shall be inclusive of all fees and services as required by the SOW.

Past Performance: Past performance is one indicator of the Offeror’s ability to perform the contract successfully. The government will evaluate different customers’ opinions about how well (quality) the offeror has satisfied their requirements. Offerors shall provide, as part of their proposal, a list of clients or former clients for whom they have performed the same or similar work to the one required by this solicitation during the past five years. Offerors shall do this in the same Experience/Past Performance Matrix provided for Experience above.

Offerors are advised that we will publicize amendments to solicitations in the same manner as the initial synopsis and solicitation. No hard copy of the solicitation will be mailed. No telephone calls will be honored. All inquiries shall be submitted via email to boh9@cdc.gov before the due date for receipt of Offers.
