Offerors may claim business confidentiality protection if the records qualify as trade secrets under Utah Code 13-24-2(4) or as commercial or non-individual financial information meeting specific criteria regarding competitive injury and relative public interest. Any offeror making a business confidentiality claim must include a concise supporting statement explaining why the materials warrant protection. Under Utah Code 63G-2-309(1)(b), MIDA will notify offerors if claimed protected records are classified as public documents, and pursuant to Utah Code 63G-2-309(1)(c), offerors assume liability for indemnifying MIDA and its staff against claims resulting from denial of access to records claimed as confidential.

Appendix B: Claim of Business Confidentiality
Pursuant to the Utah Government Records Access and Management Act, Utah Code § 63G-2-309, the Offeror listed below (“Offeror”) submits this written claim for business confidentiality. Offeror claims that the records attached to this form and/or listed below and provided to the Military Installation Development Authority (“MIDA”), or its programs, are protected records and should be considered confidential and classified as protected records.

NOTE:
1. Pursuant to Utah Code § 63G-2-309(1)(b), MIDA will notify Offeror if a record claimed to be protected is classified as a public document.
2. Pursuant to Utah Code § 63G-2-309(1)(c), a person who makes a claim of business confidentiality under
Utah Code § 63G-2-309(1), shall protect, defend, and indemnify the government entity that retains the record, and all staff and employees of the governmental entity from and against any claims, liability, or damages resulting from or arising from a denial of access of a record as a protected record on the claim of business confidentiality.
