Instructions to Offerors
Solicitation No.: 1645DC-18-R-00002 Issuing Office: Mine Safety and Health Administration, Acquisition Management Division, 201 12th St South, Arlington, VA 22202 Submission Instructions: All responsible sources must submit a proposal through direct email to the Contract Specialist by the closing date and time stated. All questions must be submitted in writing only via e-mail and by the due date and time indicated.
REQUIREMENT
This is a requirement for a laboratory Partial Flow Diesel Particle Matter (DPM) measurement system for the measurement of particulate emissions from diesel engines, in accordance with the provided Statement of Work (SOW) (Attachment I) and Detailed
Specifications (Attachment II). This acquisition is being conducted pursuant to Federal Acquisition Regulation (FAR) Part 9, 12, and
13.
The Government intends to award a Firm-Fixed Price contract with delivery, installation, and training to be completed within 180 days from date of contract award. Offerors are requested to submit proposals in accordance with the estimated level of effort to provide the supply and services outlined in the Statement of Work.
This requirement is not set-aside but small businesses offerors capable of providing the product and services desired should include their small business classification in their proposal.
CONTRACT TYPE
The resulting contract will be firm-fixed priced.
INSTRUCTIONS
1. Each proposal shall be clearly marked with the SF 1449 solicitation number located in Box [5] of the form and the offeror’s name.
2. Offerors are required to submit their quotes as direct emails to the Contract Specialist.
3. Quotes shall contain numbered pages.
4. The offeror shall provide detailed, itemized pricing within each CLIN’s total price that each individual item’s price by manufacturer part number and the offeror’s part number (if applicable), a description of the item, units, unit prices, and subtotals for each CLIN.
5. Offerors must identify any discounts offered.
6. The product must comply with any indicated CFRs stated in the Statement of Work/Detailed Specifications.

PROPOSAL SUBMISSION
Offerors shall submit proposals to the attention of the Contract Specialist, Ozge Tek, via e-mail at tek.ozge@dol.gov on or before
April 20, 2018 by 5:00PM ET.

Documents will not be downloaded from external websites. Data shall be compatible with Microsoft Vista and Microsoft Office
Suite 2007. The minimum font is Calibri, 11 point, or equivalent, excluding graphics and tables which may use a font size smaller.
Proposals will be printed in grayscale.
Offerors are notified that proposals not received by the date and time specified in this RFP will not be considered.
Proposals shall be sectioned into three volumes as set forth below. Each volume shall be clearly marked with the volume number, the solicitation number, and the offeror’s name, address, CAGE code, and point of contact information (name, title, phone number, and e-mail address). Proposals shall include the solicitation number and offeror’s name on all pages. Offerors shall submit each volume as a separate document file. Volumes 1 shall be submitted in PDF. Volume 2 may be submitted as a Word document or a PDF. Volume 3 shall be submitted in Microsoft Office Excel or PDF format. For submission purposes, it is acceptable for all three volumes to be sent in the same e-mail.
Offerors planning to utilize another company’s services for any part of this requirement must submit Subcontracting Plans with their proposal. Any subcontracting requires an active registration for both parties in SAM.gov.
INSTRUCTIONS FOR VOLUME SUBMISSION
Volume 1: Technical Capability (not more than 30 pages, not including graphical displays). The offeror’s technical response to the RFP must fully address their technical capability in providing the requisite product and services to fulfill this Contract successfully in order for the Government to make a determination of technical acceptance.
Volume 1 should include information regarding (1) Taxpayer Identification Numbers (TIN) and Dun and Bradstreet Numbers (DUNS) for all subcontractors, (2) A subcontracting plan if offeror has a subcontractor to provide this product/service, and (3) a statement whether the offeror and any subcontractors are currently registered and updated in the System for Award Management (SAM.gov) on the first page.
Volume 2: Relevant Past Performance (no page limit).
Volume 2 shall include references for recently completed (last three years) or ongoing efforts of similar nature, size and scope, to the contemplated Purchase Order utilizing the Past Performance Evaluation Document (Attachment III). This shall be completed by the relevant Government agency or private entity where previous contracts were performed. The undersigned will verify the information with the provided point of contact for the previous customer. If information cannot be verified with reasonable attempts, it will be considered Neutral. If an Offeror has no relevant past performance information, please provide the following statement in Volume 2 of your proposal: "No Past Performance information available".
The Government reserves the right to utilize past performance information other than the information submitted with the quotes received in conducting the evaluation. An offeror without a record of relevant past performance or for whom information on past performance is not available will be considered Neutral. The Offeror shall furnish, and the Government will consider, past performance information regarding predecessor companies or subcontractors that will perform major or critical aspects of the requirement. Past Performance will be utilized both as an evaluation factor and in making a responsibility determination as per FAR Part 9. The Government will request an explanation from any offerors with negative past performance.
Volume 3: Pricing (not more than 5 pages total).
The offeror must provide firm-fixed pricing for the work to be performed for this requirement. A detailed breakdown of pricing is required for this product. While the SF 1449 Solicitation form will display CLIN 0001 as the entire system, offerors are encouraged to provide a breakdown of system component pricing in this volume of their proposal.
EVALUATION CRITERIA FOR AWARD (BEST VALUE)
A Purchase Order will be awarded to the company determined to represent the best value to the MSHA. Best value will be determined based on the evaluation of proposals using the following evaluation factors:
TECHNICAL: Technical Capability. The Government will evaluate each offeror’s Technical Capability to determine their capacity to meet all the requirements outlined in the SOW & Detailed Specifications. The offeror must clearly document that the product and services offered meet the expectations identified in the requirements of the SOW. The offeror’s technical capability will be rated as: Outstanding, Good, Satisfactory, Marginal, or Unsatisfactory. The technical approach will receive an additional rating of risk such as: High Risk, Moderate Risk, or Low Risk.
PAST PERFORMANCE: All instances of past performance will be first evaluated for relevance to the requirements. All instances of past performance evaluated as relevant will be further evaluated for timeliness and accuracy of performance and overall customer satisfaction. Past performance information provided by previous customers that cannot be verified after reasonable attempts at contact will not be considered for evaluation purposes. Past Performance Evaluation Documents provided past the proposal due date will not be considered for evaluation purposes. The past performance ratings are displayed on the Past
Performance Evaluation Document as: Outstanding, Good, Acceptable, Unacceptable, or Neutral. All past performance evaluations will also receive ratings of: Relevant, Partially Relevant, or Irrelevant.
PRICE: The total price for the requirement will be evaluated for overall price reasonableness. An unbalanced, unrealistic, or incomplete price proposal may be grounds for eliminating a proposal from competition. The Government will evaluate proposed prices for reasonableness using price analysis techniques.
Award of the contract resulting from this Request for Proposal will be made to the Offeror who is deemed responsible in accordance with Federal Acquisition Regulation (FAR), whose proposal conforms to the solicitation requirements, and whose proposal represents the best value offer to the Government.
Award will be made on an all or none basis. Award shall be made to a single contractor.

PRODUCT AND SERVICE CERTIFICATION REQUIREMENTS
The offeror shall only quote new equipment and not refurbished or gray-market products in response to this RFP. For products, unless otherwise specified, offeror warrants that the products are new and in their original box(es). If software is provided or included, offeror shall, upon request, provide buyer with a copy of the End User License Agreement. Full manufacturer warranties will be provided and none of these products will have a negative impact on the warranties of associated system components.
SPECIAL NOTICE AND AGREEMENT REGARDING EULA/TOS
Information technology products and services are often subject to product or license agreements, sometimes referred to as End User License Agreements (EULA), Terms of Service (TOS), or other similar legal instruments or agreements. Many of these agreements contain indemnification clauses that are inconsistent with Federal law and unenforceable, but which could create a http://www.howto.gov/web-content/requirements-and-best-practices/checklists/long#security violation of the Anti-Deficiency Act (31 U.S.C. 1341) if agreed to by the Government.
Therefore, by submitting a quotation the offeror shall agree that the inclusions of any Limitation of Liability, Indemnification, and any other terms or clauses that conflict with Federal law or regulation in any EULA or TOS are NULL AND VOID. The offeror agrees that any EULA/TOS clauses conflicting with Federal law or regulation and are not agreed to by the Government if included with the submission of a quotation and included in any resulting order.

52.204-8 Annual Representations and Certifications (JAN 2018)
(a)(1) The North American Industry Classification System (NAICS) code for this acquisition is 334516 – Analytical Laboratory
Instrument Manufacturing.
(2) The small business size standard is 1000.
(3) The small business size standard for a concern which submits an offer in its own name, other than on a construction or service contract, but which proposes to furnish a product which it did not itself manufacture, is 500 employees.
(b)(1) If the provision at 52.204-7, System for Award Management, is included in this solicitation, paragraph (d) of this provision applies.
(2) If the provision at 52.204-7 is not included in this solicitation, and the offeror is currently registered in the System for Award
Management (SAM), and has completed the Representations and Certifications section of SAM electronically, the offeror may choose to use paragraph (d) of this provision instead of completing the corresponding individual representations and certifications in the solicitation. The offeror shall indicate which option applies by checking one of the following boxes:

52.209-7 Information Regarding Responsibility Matters (JUL 2013)
(a) Definitions. As used in this provision-
“Administrative proceeding” means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.
“Federal contracts and grants with total value greater than $10,000,000” means-
(1) The total value of all current, active contracts and grants, including all priced options; and
(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).
“Principal” means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

52.212-3 Offeror Representation and Certifications—Commercial Items (NOV 2017)
The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at http://www.sam.gov/portal. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs
(c) through (u) of this provision.
(a) Definitions. As used in this provision-- “Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127.
It automatically qualifies as a women-owned small business eligible under the WOSB Program.
“Forced or indentured child labor” means all work or service—
(6) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or
(7) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—
(1) PSC 5510, Lumber and Related Basic Wood Materials;
(2) Product or Service Group (PSG) 87, Agricultural Supplies;
(3) PSG 88, Live Animals;
(4) PSG 89, Subsistence;
(5) PSC 9410, Crude Grades of Plant Materials;
(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
(8) PSC 9610, Ores;
(9) PSC 9620, Minerals, Natural and Synthetic; and
(10) PSC 9630, Additive Metal Materials.
“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
(3) Consist of providing goods or services to marginalized populations of Sudan;
(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
(5) Consist of providing goods or services that are used only to promote health or education; or
(6) Have been voluntarily suspended.
Sensitive technology—
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
“Service-disabled veteran-owned small business concern”—
(1) Means a small business concern—
(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).
“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--
(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--
(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and
(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
“Subsidiary” means an entity in which more than 50 percent of the entity is owned—
(1) Directly by a parent corporation; or
(2) Through another subsidiary of a parent corporation.
“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.
“Veteran-owned small business concern” means a small business concern—
(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
(2) The management and daily business operations of which are controlled by one or more veterans.
“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
“Women-owned small business concern” means a small business concern --
(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and
(2) Whose management and daily business operations are controlled by one or more women.
“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127),” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.
