I. GENERAL INFORMATION TO OFFEROR(S)
The United States Department of Agriculture (USDA), Farm Production and Conservation Business Center (FPAC-BC), Acquisition Division (AD) invites you to submit your quote in accordance with the attached Performance Work Statement (PWS). The relevant quote will be evaluated for the purpose of establishing a firm-fixed price contract with an anticipated base period of 12 months and four 12-month option periods, in support of Natural Resources Conservation Service (NRCS), Conservation Planning Programs Division. Your company is requested to provide a quote based on this letter and the attached performance work statement.
II. Basis For Award
This request for quote (RFQ)does not commit the Government to pay any costs incurred in the submission of any proposal or in making necessary studies for the preparation thereof, nor does it commit the Government to procure or contract for said services. The Contracting Officer is the only individual who can commit the Government to the expenditure of public funds in connection with this proposed procurement.
The Government POC will provide a receipt showing the time and date of delivery.

The solicitation number 12FPC221Q0061 is being issued as a Request for Quote (RFQ). This requirement is a 100% total small business set-aside, utilizing the acquisition procedures at FAR Part 13.106-2 Evaluation of quotations. FAR Part 15 procedures do not apply to this RFQ.
Your quote shall exhibit your complete and best effort as the Government reserves the right to award without discussions.

IV. 52.212-1 -- Instructions to Offerors -- Commercial Items (Sep 2021)
(a) North American Industry Classification System (NAICS)
The North American Industry Classification System (NAICS) code is 541611 (Administrative Management and General Management Consulting) and the Product Service Code (PSC) is R699 (Administrative Support Services). These will be the basis for providing a Firm-Fixed Price CLIN quotation. In accordance with FAR Part 13.5, Simplified Procedures for Certain Commercial Items.
System for Award Management (SAM) and Payment Information All Contractors must be registered in the System for Award Management, or SAM prior to award of a Federal Contract. However, due to the need to promptly award a contract after receipt of quotes, registration in SAM, to include completion of the Representations and Certifications, and having a status of “Active” is required BEFORE submitting a quote. For information regarding registration visit www.sam.gov The Government will make payment in accordance with the Prompt Payment Act, FAR 52.232-25. The USDA requires the Contractor to submit certain information through SAM.gov in order to facilitate electronic funds transfer (EFT) payment for deliveries or performance.
V. GENERAL INSTRUCTIONS TO OFFERORS
The Offeror shall submit documentation illustrating their approach for satisfying the requirements of this RFQ.
Proposals must be clear, coherent, and prepared in sufficient detail.
Proposals shall be clearly indexed and logically assembled. Each section shall be appropriately numbered and clearly identified with the date, company name, and RFQ number in the header and/or footer.
Proposals submitted in response to this RFQ shall be in PDF format.
A. Page Limitations
Except as otherwise stated herein, the total page count for all volumes of the quote should not exceed 10 pages total. Any quotes received that exceed 10 pages will be removed from consideration for award. The cover page, and table of contents will be additional to the proposal page requirement; the glossary of abbreviations & acronyms, if provided, do not count against page count limitations.
B. Proposal Instructions
The quote shall be accompanied by a cover letter prepared on the company’s letterhead stationery. The cover letter shall identify all enclosures being transmitted and shall be used only to transmit the proposal and shall include no other information. The first or title page shall be in accordance with FAR 52.215-1, paragraph (c)(2).
The Offeror is expected to examine the entire RFQ and ensure that their quote is complete and the best offer upon submission. As award may be made without discussions, The Quoter is not to expect or assume that opportunities to address any deficiencies, such as incomplete information, will be given. The Government reserves the right to award with or without discussions.
VI. 52.212-2 Evaluation – Commercial Items (Oct 2014)
The Government intends to evaluate quotations and issue a firm-fixed-price contract based on the initial quotations received, utilizing simplified acquisition procedures of FAR Part 13 13.106-2 Evaluation of quotations. FAR Part 15 procedures do not apply to this RFQ.
The Government will evaluate all quotes in accordance with the factors and criteria established in the solicitation using a combined Adjectival and Confidence Ratings. The criteria below provide the basis upon which each evaluation will be based and are intended to ensure that the evaluation will be a structured process employing equitable measures. Quotes will be evaluated under the Best Value Continuum. Award will be made to the responsible quoter whose quote represents the best value to the Government and is considered to be the most advantageous to the Government, price and other factors considered.
The Government may award to other than lowest priced quoter or the highest technically rated quoter utilizing trade-offs. The importance of price in the evaluation will increase with the degree of equality among quotation of the non-price factors.
When conducting the evaluation, the Government may use data included by quoters in their quotes. The Government reserves the right to use data obtained from other sources while conducting its evaluation. Each quoter is responsible for ensuring that the information provided is thorough, accurate, and complete.
Quotes must address each of the factors listed below.

Technical Capability/Qualifications and Past Performance are equally important and when they are combined, ey are more important than Price.
Factor 1.: Technical Capability and Qualifications:
Vendor is responsible for having a current knowledge of requirements of conservation easement valuation to perform project coordination.
Required: Provide Resumes of key personnel reflecting knowledge of requirements and confirmation of.
Evaluation Criteria/Methodology:
• Ratings will be based on knowledge and skill to analyze and interpret the effects of unstable social, economic, and political trends on property values.
• Knowledge of tax, real estate, and agricultural laws and regulations to determine their effect on property values.
• Knowledge of Uniform Standards of Professional Appraisal Practice (USPAP), Uniform Appraisal Standards for Federal Land Acquisitions (UASFLA), appraisal review procedures and practices to study the information, recommendations, and logic of conclusions in appraisal reports prepared by contracted appraiser services.
• Work experience of a similar nature, scope, complexity, and difficulty to that which will be performed under the prospective contract contemplated by this Request for Quotations (RFQ). The quoter shall address the amount of experience in performing similar requirements including experience working directly with government, project management, and what infrastructure and the resources the offeror has in place and will bring to performing this contract.
• The proposal shall include resume for key personnel the contractor proposes to use for this project.
• Quoter must meet the General Experience. Incumbent must have or previously had (within the last 3 years) a certified general license in one or more State(s) and have education from accredited colleges, universities or professional appraisal organization that specialize in agricultural and rural agricultural techniques, methodology and education. Organization must provide education associated with an accredited colleges, universities or professional appraisal organization that specialize in agricultural, rural agricultural and conservation easement techniques, methodology and education.
• Must show experience with conservation easements, Uniform Standards of Professional Appraisal Practice (USPAP), Uniform Appraisal Standards for Federal Land Acquisitions (UASFLA), and appraisal review procedures.
• Comprehensive knowledge of and skill in applying a wide range of appraisal concepts, principles, practices and techniques in order to determine market value of real and chattel property.
Factor 2.: Past Performance:
Subfactor 2 Past Performance:
2:1: Quoters shall submit three (3) relevant past performance assessments for prime/teaming partners with previous contract experience and should list and summarize their performance on similar or related contracts currently in progress or completed within the last three (3) years. In determining whether past performance information is relevant or not relevant, consideration will be given to contracts of similar project complexity, scope, type, and schedule. Provide the following information for each contract, delivery order, purchase order, and/or subcontract:
(A) Name of Contracting Activity
(B) Contract Number
(C) Contract Type
(D) Total Contract Value
(E) Description of Contract Work to include Date of Contract and Period of Performance.
(F) Contracting Officer (or equivalent) Name and Telephone No.
(G) Program Manager (or equivalent) Name and Telephone No. (if applicable)
(H) Contracting Officer’s Representative (or equivalent) Name and Telephone Number.
(I) Administrative Contracting Officer (or equivalent) Name and Telephone Number (if different from (F)).
(J) List of teaming partners and first-tier subcontractors (if applicable).
If applicable, the offeror may provide information on both problems encountered and corrective actions taken to resolve those problems on the contracts, delivery orders, purchase orders and/or subcontracts identified. The offeror should not provide general information on their performance on the identified contracts, delivery orders, purchase orders and/or subcontracts. General performance information will be obtained from the references provided by the offeror.
Evaluation Criteria/Methodology: Ratings will be based on depth and breadth of experience. This evaluation will result in an assessment of the quoter’s probability of meeting the solicitation requirements, based on prior experience.
Subfactor 2 - Technical Approach There is a 5-page limit for Technical responses.

2.2.1 Subfactor 1: Project Management
Submission Requirements: Statement of project management capability that would assure timely completion and shipment of all work by or before the required delivery schedule. Statement should include detailed description of planned approach, procedures, management techniques, capacities, and specialized equipment and processes to be used in performance of the work.
Evaluation Criteria/Methodology: The contractor’s project management capability shall be evaluated to assure timely completion and shipment of all work by or before the required delivery schedule. Resources available for project and their technical ability to meet the requirements. Sub-items to be evaluated, if applicable, include detailed description of planned approach, procedures, management techniques, capacities, and specialized equipment and processes to be used in performance of the work.
2.2.2 Subfactor 2: Quality Control Plan
Submission Requirements: Detailed statement on Contractor quality control system that will ensure all contract materials submitted for inspection are in compliance with contract specifications.
Evaluation Criteria/Methodology: Evaluation of contractor quality control system that will ensure all contract materials submitted for inspection are in compliance with contract specifications.
Quoters are advised that the Government may use all data provided by the Quoter in this quote and data obtained from other sources, including, but not limited to, other USDA contracts and information from Government repositories (e.g., CPARS, PPIRS, etc.). Past Performance information on contracts not listed by the quoter, or that of planned subcontractors, may also be evaluated. The Government may contact references provided by the quoter, as well as any other source it identifies, and information received may be used in the evaluation.
Factor 3: PRICE
Submission Requirements: Utilize the Pricing Sheet provided and input unit prices in the designated areas for base product and applicable optional products. There is no page limitation for pricing submissions.
Evaluation Criteria/Methodology: The Government anticipates that adequate price competition will establish a fair and reasonable price. However, if the Government does not receive adequate price competition, it will evaluate price quotes to ensure price reasonableness of the services being provided to the Government, considering the specific terms and conditions and relevant practices. Each price quote will be evaluated but will not be assigned a rating.
The evaluation of the price quote will include accuracy, completeness, and reasonableness, In the event of a mathematical error, the unit price takes precedence over the extended price.
1.1 Adjectival Ratings
Adjectival Rating Definition Exceptional Quote/Offer contains no deficiencies and fully addresses all aspects of the criteria and demonstrates an excellent approach/solution and understanding of the requirements. Many strengths exist, far outweighing any weaknesses. The highest quality of contract performance is anticipated with very low risk.
Very Good Quote/Offer contains no deficiencies; fully addresses all aspects of the criteria and demonstrates a very effective approach/solution and understanding of the requirements. Some weaknesses may exist; however, the weaknesses, if any, are outweighed by strengths. A high quality of contract performance is anticipated with low risk.
Satisfactory Quote/Offer contains no deficiencies; addresses all aspects of the criteria and demonstrates an adequate approach/solution and understanding of the requirements. Strengths and weaknesses are offsetting or will have little or no impact on contract performance. A quality contract performance is anticipated with an acceptable amount of risk.
Marginal Quote/Offer may contain deficiencies; fails to address all of the criteria and does not demonstrate an adequate approach/solution or understanding of the requirements. One or more weaknesses exist which are not offset by strengths.
Contract performance is anticipated with high risk.
Unsatisfactory Quote/Offer contains many deficiencies and does not address all aspects of the criteria and/or does not present evidence demonstrating an adequate approach/solution and understanding of the requirements. Many weaknesses and/or omissions exist creating an unacceptable risk.

1.5 Quote/Proposal Metrics
When identifying the merits of a quote/proposal the following three terms shall be utilized along with the definitions.
Narrative Element Definition Strength A significant, outstanding, or exceptionally positive aspect of a Quote/Offer.
Weakness Any aspect of a Quote/Offer increasing the potential for problems and issues with regard to contract performance. The Quote/Offer provides a minimally acceptable response to the Government’s requirements. The response leaves the evaluator with uncertainty as to the understanding of the work, capability to successfully perform the work, or capability to effectively manage the work effort.
Deficiency A material failure of a Quote/Offer to meet a Government requirement or a combination of significant weaknesses in a Quote/Offer increasing the risk of unsuccessful contract performance to an unacceptable level.
The “Submit Invoice-to” address for USDA orders is the Department of Treasury’s Invoice Processing Platform (IPP). The contractor must follow the instructions on how to register and submit invoices via IPP as prescribed in the previous communications from USDA and Treasury. All invoices are to be submitted via the electronic Invoice Processing Platform. QUOTE SUBMISSION GUIDELINES
The quote should be submitted in two sections: Technical Approach and Past Performance in Volume I and the Pricing in Volume II.
2. The quote shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The quote shall not exceed 10 pages using Microsoft Word format, single sided pages (includes past performance information). Font size shall be no less than 12-point, but text for tables and figures may be as small as 9-point.
3. The offeror shall make a clear statement in the quote documentation that the quote can be considered valid for ninety (90) calendar days. In compliance with FAR Subpart 4.8 (Contract Files), the Government will retain one copy of all unsuccessful quotes. Unless the offeror requests otherwise, the Government will destroy extra copies of such unsuccessful quotes.
4. Elaborate brochures or documentation, binding, detailed artwork, or other embellishments are unnecessary and are not desired.

This RFQ shall not be considered direction to proceed with the subject effort, nor a promise of future direction to proceed. Contractors are solely responsible for this RFQ’s submission costs.

FAR 52.212-4 -- Contract Terms and Conditions -- Commercial Items (Oct 2018) Gives the government authority to adequately maintain oversight and requires the government to withhold payment if services and/or supplies are not acceptable. To ensure that the government receives value for its dollar, the Contracting Officer’s Representative (COR) assigned to the procurement shall perform oversight.
52.217-8 Option to Extend Services (Nov 1999) The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

(a) Definitions. As used in this clause–
“Covered contractor information system” means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.
“Federal contract information” means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public websites) or simple transactional information, such as necessary to process payments.
“Information” means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on National Security Systems Instruction (CNSSI) 4009).
“Information system” means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).
“Safeguarding” means measures or controls that are prescribed to protect information systems.
(b) Safeguarding requirements and procedures.
(1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:
(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems).
(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.
(iii) Verify and control/limit connections to and use of external information systems.
(iv) Control information posted or processed on publicly accessible information systems.
(v) Identify information system users, processes acting on behalf of users, or devices.

(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.
(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.
(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.
(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.
(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems.
(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.
(xii) Identify, report, and correct information and information system flaws in a timely manner.
(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.
(xiv) Update malicious code protection mechanisms when new releases are available.
(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.
(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order 13556.
(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial items, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.

As prescribed in 17.208(g), insert a clause substantially the same as the following:
Option to Extend the Term of the Contract (Mar 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 60 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days unless a different number of days is inserted] before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 60 months
