1 Foreign Agricultural Services (FAS) Solicitation Number 12FPC219R0013
(i) This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.
(ii) This solicitation number 12FPC219R0013 is issued as a Request for Proposal (RFP), and the acquisition procedures at FAR Part 12 and 13 are being utilized. A firm fixed price contract to include a base period of one year from the date of award and two one-year option periods, is contemplated. The Government plans to make award without negotiations.
(iii) This solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2019-03 and July 12, 2019 which can be found at http://www.acquisition.gov/far/index.html under the current FAR section.
(iv) This is a full and open competition solicitation. The applicable NAICS code is 519130 –
Internet Publishing and Broadcasting and Web Search Portals, which has a size standard of 1,000 Employees. For more information on size standards visit http://www.sba.gov/size.

(vi) Description of Requirement. The attached Statement of Work (SOW) provides a detailed description of the services.
(vii) Date(s) and Place(s) of Delivery and Acceptance. The subscription will available to the USDA employees for a one year period of time.
(viii) The provision at 52.212-1, Instructions to Offerors—Commercial, applies to this acquisition.
The provision is tailored as listed below, and the following addenda also apply.

After the evaluation of quotes, the Contracting Officer may negotiate final terms with one or more quoters of the Government’s choice before issuing any purchase order. The Contracting Officer will not negotiate with any quoters other than those of the Government’s choice and will not use the formal source selection procedures described in FAR Part 15.”

(h) rewrite paragraph to simply state that the government reserves the right to issue multiple purchase orders for different line items when advantageous to the government and use the term “quotes” instead of “offers”; and

a. System for Award Management (SAM) Registration
Due to the need to promptly award a contract after receipt of proposals, registration in SAM, to include completion of the Representation and Certifications, and having a status of “Active” is required BEFORE submitting a quote.
b. Technical Proposal and Past Performance Information
Quoters should submit a written narrative that thoroughly addresses the evaluation factors listed in Section (ix) below. The narrative should be supported by evidence that gives credibility to the statements made by the quoter and in turn gives the Government enough information to understand and give confidence in what the quoter is stating.
The quoter should provide past performance information as stated in the evaluation factors listed in Section (ix) below. The narrative and past performance information is limited to a total of 25 pages.
c. Price Proposal
The quoter shall provide a subscription price for the base year and each option period.
Quoters shall utilize Attachment 2 to this solicitation to submit pricing quotations.

Quoters shall submit the technical/past performance and the price proposal by email to sharla.goforth@usda.gov by the response time listed in the announcement on FedBizOpps.
(ix) FAR provision 52.212-2, Evaluation-Commercial Items applies to this solicitation.
a. The Government will award a contract resulting from this solicitation to the responsible quoter whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The factors below shall be used to evaluate offers. The tradeoff process evaluation methodology will be followed. The Quoter’s response to the following factors in descending order of importance will be used to evaluate quotes.
i. Quality/Technical (Prior Experience) Factor Provide a brief summary of your company’s experience in providing similar services, addressing the content and functionality addressed in the Statement of Work. Provide documentation that your company has the experience providing a Foreign Trade Data Subscription through a maintained data server or API, sufficient to demonstrate your comprehension and understanding of the services required. Provide the full list of countries that will be available on your database, including HS level and the available data for each country (monthly, annual, length of historical data series).
ii. Quality/Technical (Management Capability) Factor Provide a brief summary of your company’s capability of providing “live” customer support via telephone and email with an initial response within 24 hours. Provide a brief description of your company’s user training plan to include beginning training and periodic updates, users manuals, and documentation. Provide a summary of your capability in developing and maintaining product and country groups and customized user accounts.
iii. Quality/Technical (Past Performance) Factor Provide at least three recent and relevant past performance references. The following information must be provided for each reference: name of entity, address, contact name, contract number, and email address. Quoters with no past performance information will be rated neutrally and will not be looked upon favorably or unfavorably. The Government may contact some or all of the past performance references provided.
iv. Price Factor The overall cost to the FAS is an important factor, but for this acquisition is not the most important factor. It will be more important to ensure that the FAS is contracting with a firm that has demonstrated experience and capability of providing the services as per the attached Statement of Work.
Technical factors and past performance, when combined, are significantly more important when compared to price.
b. Options – The Government will evaluate quotes for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that a quote is unacceptable if the option prices are significantly unbalanced.
Evaluation of options shall not obligate the Government to exercise the option(s).

(x) Offerors are required to complete the provision at 52.212-3, Offeror Representations and
Certifications—Commercial Items. This must be completed at SAM.gov and the registration in an “Active” status.
(xi) The clause at 52.212-4, Contract Terms and Conditions—Commercial Items, applies to this acquisition and addenda are not attached.

52.204-20, Predecessor of Offeror (Jul 2016)
(a) Definitions. As used in this provision-- “Commercial and Government Entity (CAGE) code” means--
(1) An identifier assigned to entities located in the United States and its outlying areas by the Defense Logistics Agency (DLA) Contractor and Government Entity (CAGE) Branch to identify a commercial or government entity, or
(2) An identifier assigned by a member of the North Atlantic Treaty Organization (NATO) or by the NATO Support and Procurement Agency (NSPA) to entities located outside the United States and its outlying areas that DLA Commercial and Government Entity (CAGE) Branch records and maintains in the CAGE master file. This type of code is known as a NATO CAGE (NCAGE) code.
“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.
“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

52.209-7, Information Regarding Responsibility Matters (Oct 2018)
(a) Definitions. As used in this provision— “Administrative proceeding” means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceeding at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.
“Federal contracts and grants with total value greater than $10,000,000” means—
(1) The total value of all current, active contracts and grants, including all priced options;
and
(2) The total value of all current, active orders including all priced options under indefinite-delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple-award Schedules).
“Principal” means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

52.209-11, Representation by Corporations Regarding Delinquent Tax Liability or a Felony Conviction under any Federal Law (Feb 2016)
(a) As required by sections 744 and 745 of Division E of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. L 113-235), and similar provisions, if contained in subsequent appropriations acts, the Government will not enter into a contract with any corporation that--
(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or
(2) Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless an agency has considered suspension or debarment of the corporation and made a determination that this action is not necessary to protect the interests of the Government.

4I-52.233-70, Protests to the Agency
(a) An agency protest filed with the contracting officer shall be sent to the contracting officer’s mailing address or email address listed in the solicitation. The contractor should contact the contracting officer to verify the mailing or email address prior to delivering a protest.
(b) The independent review of a contracting officer’s decision regarding a protest described at FAR 33.103(d)(4) is not available as an alternative to consideration of the protest by the contracting officer. An independent review is available only as an appeal of the contracting officer’s decision on a protest. An appeal must be filed within 10 calendar days of the protestor’s receipt of the contracting officer’s decision, otherwise the appeal will be deemed untimely and not considered. The appeal must be directed to the Operations Branch Chief but sent to the contracting officer.

Clauses 52.204-21, Basic Safeguarding of Covered Contractor Information Systems (Jun 2016)
(a) Definitions. As used in this clause-- “Covered contractor information system” means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.
“Federal contract information” means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public Web sites) or simple transactional information, such as necessary to process payments.
“Information” means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on National Security Systems Instruction
(CNSSI) 4009).
“Information system” means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).
“Safeguarding” means measures or controls that are prescribed to protect information systems.
(b) Safeguarding requirements and procedures.
(1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:
(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems).
(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.

(iii) Verify and control/limit connections to and use of external information systems.
(iv) Control information posted or processed on publicly accessible information systems.
(v) Identify information system users, processes acting on behalf of users, or devices.
(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.
(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.
(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.
(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.
(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems.
(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.
(xii) Identify, report, and correct information and information system flaws in a timely manner.
(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.
(xiv) Update malicious code protection mechanisms when new releases are available.
(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.
(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order 13556.
(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial items, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.

The Government will evaluate equally, as regards time of delivery, offers that propose delivery of each quantity within the applicable delivery period specified above. Offers that propose delivery that will not clearly fall within the applicable required delivery period specified above, will be considered nonresponsive and rejected. The Government reserves the right to award under either the required delivery schedule or the proposed delivery schedule, when an offeror offers an earlier delivery schedule than required above. If the offeror proposes no other delivery schedule, the required delivery schedule above will apply.

(b) Attention is directed to the Contract Award provision of the solicitation that provides that a written award or acceptance of offer mailed, or otherwise furnished to the successful offeror, results in a binding contract. Therefore, the offeror should compute the time available for performance beginning with the actual date of award, rather than the date the written notice of award is received from the Contracting Officer through the ordinary mails. However, the Government will evaluate an offer that proposes delivery based on the Contractor’s date of receipt of the contract or notice of award by adding
(1) five calendar days for delivery of the award through the ordinary mails, or
(2) one working day if the solicitation states that the contract or notice of award will be transmitted electronically. (The term “working day” excludes weekends and U.S. Federal holidays.) If, as so computed, the offered delivery date is later than the required delivery date, the offer will be considered nonresponsive and rejected.
52.217-8, Option to Extend Services (Mar 2000) The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 calendar days.

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 calendar days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 calendar days before the contract expires. The preliminary notice does not commit the Government to an extension.
