Modification of solicitation 12639523Q0047 is for Ivermectin Treated Corn. The U.S.
Department of Agriculture (USDA) Animal and Plant Health Inspection Services (APHIS) Cattle Fever Tick Eradication Program (CFTEP) intends to put out a solicitation for bulk/bagged Ivermectin treated corn which will be fed to the wild deer population on appropriate properties in south Texas for the purpose of controlling cattle fever ticks.
The government intends to award a temporary award for a firm-fixed price, based on ordering period as a result of the amended solicitation.
In order for a contractor to have a complete package, the following must be submitted to the Contracting Officer before solicitation close date to be considered acceptable:
1. Signed SF1449 Form
2. Filled out Price Schedule. Alternate price schedules will not be allowed. Please read through price schedule notes. Fill out all highlighted areas on the price schedule. Incomplete price schedules will not be considered for award.
3. A copy of active SAM registration
4. Technical Capabilities Statement. Should address the following at minimum:
Capability to store Ivermectin used for the treated corn Cleaning method for corn kernels Mixing method intended to use for combining corn and ivermectin How the corn will be delivered
5. Three Past Performance references with contract numbers with this agency or similar scope of work with federal/state/local entities. If there are no past performance information available, please indicate on quote.

Price Schedule Notes The quantities as listed in the “Schedule of Items” are estimated requirements for this contract period. The Government estimates, but does not guarantee, the volume of purchases under this contract. The USDA, APHIS attempts to be as accurate as possible when providing estimated quantities, however, actual quantities required may vary from the quantities listed.
Other than the minimum contract amount stated in AGAR clause 452.216-73. Pricing/ton shall take into account cost for shipping to all locations listed in Section 7 of the statement of work.
Due to the instability and fluctuation in the market pricing of corn, the contract includes the clause at FAR 52.216-2 Economic Price Adjustment. The line item pricing can be increased or decreased depending on the market conditions. Any change in the unit pricing will be evaluated, negotiated and incorporated into the contract via a modification prior to the start of the production. The only fluctuation allowed in the contract pricing is the cost of corn. Labor, delivery, profit, etc. will not be a factor in changing the contract pricing as these are fixed costs throughout the contract period.
Contractor may only submit a request for price adjustments annually at the anniversary date of the contract award. The Contractor will be required to provide adequate supporting documentation including competitive pricing index, cost breakdowns, and supplier quotes to request any pricing changes. The formula that will be used to make changes to prices (increases and decreases) is below:
Cost of Corn + Other Cost (labor, delivery, profit, etc.) = unit price
* labor, delivery, profit, etc. will remain fixed throughout the contract period and is based on cost as supplied to the government in response to this solicitation.

Statement of Work Bulk Ivermectin-Treated Corn
USDA APHIS CFTEP
1. Background
The U.S. Department of Agriculture (USDA) Animal and Plant Health Inspection Services (APHIS) Cattle Fever Tick Eradication Program (CFTEP) requires bulk Ivermectin treated corn, which will be fed to the wild deer population on appropriate properties in south Texas for the purpose of controlling cattle fever ticks. The treated corn will be used only during the non-deer season, February through July.
The USDA APHIS intends to award a temporary award a period of performance not to exceed 31 May 2023.

3. Requirements The contractor shall provide double-clean yellow whole kernel corn and treat the corn with Ivermectin on an as needed basis. Corn shall be re-cleaned, twice cleaned or other very clean whole kernel yellow corn to not contain appreciable dust, dirt, cob fragments or other fines.
The Contractor shall use government provided equipment for the mixing and processing of the corn. See section 6 for list of government furnished equipment. The USDA will provide the contractor with Ivermectin in bulk for mixing. The Contractor is responsible for storing unused Ivermectin at their facility for use as needed. The contractor is required to notify USDA when Ivermectin is running low.
The contractor shall supply:
• Double-clean yellow whole kernel corn
• Labor for mixing the corn per government provided formulation
• Ivermectin-treated bulk corn is delivered by the semi load,

4. The formulation of treated corn Double Clean corn shall be formulated using an alcohol-based pour-on formulation of Ivermectin to produce a homogeneous concentration of approximately 10 mg of Ivermectin active ingredient (AI) per pound of corn. The ivermectin product should be titrated using a metered drip system into the corn bin while mixing. The corn should be sampled prior to delivery for laboratory confirmation of ivermectin concentration.
The contractor shall submit samples through FedEx from each ton of treated product to the National Veterinary Services Lab (NVSL), Ames, Iowa, for testing before delivery to the five sites to ensure that Ivermectin levels are within the specified range. All sample shipment expenses are paid for by the CFTEP. This is the established system between the CFTEP and NVSL. (Further instructions will be provided for shipping through FedEx upon award). Two (2) one-pound samples of corn for every 10 tons of corn mixed shall be taken at the beginning and the end of the bagging process to be submitted to NVLS. NVSL sample submission tests are then faxed to the CFTEP Main Office within one week.
5. Government Furnished Facility or Property Separate equipment is required by the Food and Drug Administration to ensure that there is no cross contamination of product available for sale to the public. The USDA shall provide a metering device for Ivermectin treatment of the corn.
Government-provided equipment will be delivered by the government to the contractor after contract award. The equipment shall be returned by the contractor (through delivery other methods) to government once contract has ended. (d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.216-2 Economic Price Adjustment- standard Supplies. (NOV 2021)
(a) The Contractor warrants that the unit price stated in the Schedule for CLIN 1 is not in excess of the Contractor’s applicable established price in effect on the contract date for like quantities of the same item. The term "unit price" excludes any part of the price directly resulting from requirements for preservation, packaging, or packing beyond standard commercial practice.
The term "established price" means a price that-
(1) Is an established catalog or market price for a commercial product sold in substantial quantities to the general public; and
(2) Is the net price after applying any standard trade discounts offered by the Contractor.
(b) The Contractor shall promptly notify the Contracting Officer of the amount and effective date of each decrease in any applicable established price. Each corresponding contract unit price shall be decreased by the same percentage that the established price is decreased. The decrease shall apply to those items delivered on and after the effective date of the decrease in the Contractor’s established price, and this contract shall be modified accordingly.
(c) If the Contractor’s applicable established price is increased after the contract date, the corresponding contract unit price shall be increased, upon the Contractor’s written request to the Contracting Officer, by the same percentage that the established price is increased, and the contract shall be modified accordingly, subject to the following limitations:
(1) The aggregate of the increases in any contract unit price under this clause shall not exceed 40% percent of the original contract unit price.
(2) The increased contract unit price shall be effective-
(i) On the effective date of the increase in the applicable established price if the Contracting Officer receives the Contractor’s written request within 10 days thereafter; or
(ii) If the written request is received later, on the date the Contracting Officer receives the request.
(3) The increased contract unit price shall not apply to quantities scheduled under the contract for delivery before the effective date of the increased contract unit price, unless failure to deliver before that date results from causes beyond the control and without the fault or negligence of the Contractor, within the meaning of the Default clause.
(4) No modification increasing a contract unit price shall be executed under this paragraph (c) until the Contracting Officer verifies the increase in the applicable established price.
(5) Within 30 days after receipt of the Contractor’s written request, the Contracting Officer may cancel, without liability to either party, any undelivered portion of the contract items affected by the requested increase.
(d) During the time allowed for the cancellation provided for in paragraph (c)(5) of this clause, and thereafter if there is no cancellation, the Contractor shall continue deliveries according to the contract delivery schedule, and the Government shall pay for such deliveries at the contract unit price, increased to the extent provided by paragraph (c) of this clause.

52.216-18 Ordering. (Aug 2020)
(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from Feb. 2022 through Jan. 2028.
(b) All delivery orders or task orders are subject to the terms and conditions of this contract.
In the event of conflict between a delivery order or task order and this contract, the contract shall control.
(c) A delivery order or task order is considered "issued" when—
(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;
(2) If sent by fax, the Government transmits the order to the Contractor's fax number; or
(3) If sent electronically, the Government either—
(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or
(ii) Distributes the delivery order or task order via email to the Contractor's email address.
(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.
52.216-19 Order Limitations. (Oct 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $1000 the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor-
(1) Any order for a single item in excess of 1500 tons
(2) Any order for a combination of items in excess of 1500 tons
(3) A series of orders from the same ordering office within 30 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.
(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 5 days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

55.216-22 Indefinite Quantity (Oct 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum." The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum."
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor’s and Government’s rights and obligations with respect to that order to the same extent as if the order were completed during the contract’s effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after Jan. 2028.

52.245-1 Government Property. (Sep 2021)
(a) Definitions. As used in this clause-
Cannibalizemeans to remove parts from Government property for use or for installation on other Government property.
Contractor-acquired property means property acquired, fabricated, or otherwise provided by the Contractor for performing a contract, and to which the Government has title.
Contractor inventory means-
(1) Any property acquired by and in the possession of a Contractor or subcontractor under a contract for which title is vested in the Government and which exceeds the amounts needed to complete full performance under the entire contract;
(2) Any property that the Government is obligated or has the option to take over under any type of contract, e.g., as a result either of any changes in the specifications or plans thereunder or of the termination of the contract (or subcontract thereunder), before completion of the work, for the convenience or at the option of the Government; and
(3) Government-furnished property that exceeds the amounts needed to complete full performance under the entire contract.
Contractor’s managerial personnel means the Contractor’s directors, officers, managers, superintendents, or equivalent representativeswho have supervision or direction of-
(1) All or substantially all of the Contractor’s business;
(2) All or substantially all of the Contractor’s operation at any one plant or separate location; or
(3) A separate and complete major industrial operation.
Demilitarization means rendering a product unusable for, and not restorable to, the purpose for which it was designed or is customarily used.
Discrepancies incident to shipment means any differences (e.g., count or condition) between the items documented to have been shipped and items actually received.
Equipment means a tangible item that is functionally complete for its intended purpose, durable, nonexpendable, and needed for the performance of a contract. Equipment is not intended for sale, and does not ordinarily lose its identity or become a component part of another article when put into use. Equipment does not include material, real property, special test equipment or special tooling.
Government-furnished property means property in the possession of, or directly acquired by, the Government and subsequently furnished to the Contractor for performance of a contract. Government-furnished property includes, but is not limited to, spares and property furnished for repair, maintenance, overhaul, or modification. Government-furnished property also includes contractor-acquired property if the contractor-acquired property is a deliverable under a cost contract when accepted by the Government for continued use under the contract.
Government property means all property owned or leased by the Government. Government property includes both Government- furnished and Contractor-acquired property. Government property includes material, equipment, special tooling, special test equipment, and real property. Government property does not include intellectual property and software.
Loss of Government property means unintended, unforeseen or accidental loss, damage or destruction to Government property that reduces the Government’s expected economic benefits of the property. Loss of Government property does not include purposeful destructive testing, obsolescence, normal wear and tear or manufacturing defects. Loss of Government property includes, but is not limited to-
(1) Items that cannot be found after a reasonable search;
(2) Theft;
(3) Damage resulting in unexpected harm to property requiring repair to restore the item to usable condition; or
(4) Destruction resulting from incidents that render the item useless for its intended purpose or beyond economical repair.
Material means property that may be consumed or expended during the performance of a contract, component parts of a higher assembly, or items that lose their individual identity through incorporation into an end item. Material does not include equipment, special tooling, special test equipment or real property.
Nonseverable means property that cannot be removed after construction or installation without substantial loss of value or damage to the installed property or to the premises where installed.
Precious metals means silver, gold, platinum, palladium, iridium, osmium, rhodium, and ruthenium.
Production scrap means unusable material resulting from production, engineering, operations and maintenance, repair, and research and development contract activities.
Production scrap may have value when re-melted or reprocessed, e.g., textile and metal clippings, borings, and faulty castings and forgings.
Property means all tangible property, both real and personal.
Property Administrator means an authorized representative of the Contracting Officer appointed in accordance with agency procedures, responsible for administering the contract requirements and obligations relating to Government property in the possession of a Contractor.
Property records means the records created and maintained by the contractor in support of its stewardship responsibilities for the management of Government property.
Provide means to furnish, as in Government-furnished property, or to acquire, as in contractor-acquired property.
Real property See Federal Management Regulation 102-71.20 (41 CFR 102-71.20).
Sensitive property means property potentially dangerous to the public safety or security if stolen, lost, or misplaced, or that shall be subject to exceptional physical security, protection, control, and accountability. Examples include weapons, ammunition, explosives, controlled substances, radioactive materials, hazardous materials or wastes, or precious metals.
Unit acquisition cost means-
(1) For Government-furnished property, the dollar value assigned by the Government and identified in the contract; and
(2) For contractor-acquired property, the cost derived from the Contractor’s records that reflect consistently applied generally accepted accounting principles.
(b) Property management. (1) The Contractor shall have a system of internal controls to manage (control, use, preserve, protect, repair, and maintain) Government property in its possession. The system shall be adequate to satisfy the requirements of this clause. In doing so, the Contractor shall initiate and maintain the processes, systems, procedures, records, and methodologies necessary for effective and efficient control of Government property. The Contractor shall disclose any significant changes to its property management system to the Property Administrator prior to implementation of the changes. The Contractor may employ customary commercial practices, voluntary consensus standards, or industry-leading practices and standards that provide effective and efficient Government property management that are necessary and appropriate for the performance of this contract (except where inconsistent with law or regulation).
(2) The Contractor’s responsibility extends from the initial acquisition and receipt of property, through stewardship, custody, and use until formally relieved of responsibility by authorized means, including delivery, consumption, expending, sale (as surplus property), or other disposition, or via a completed investigation, evaluation, and final determination for lost property. This requirement applies to all Government property under the Contractor’s accountability, stewardship, possession or control, including its vendors or subcontractors (see paragraph (f)(1)(v) of this clause).
(3) The Contractor shall include the requirements of this clause in all subcontracts under which Government property is acquired or furnished for subcontract performance.
(4) The Contractor shall establish and maintain procedures necessary to assess its property management system effectiveness and shall perform periodic internal reviews, surveillances, self assessments, or audits. Significant findings or results of such reviews and audits pertaining to Government property shall be made available to the Property Administrator.
(c) Use of Government property. (1) The Contractor shall use Government property, either furnished or acquired under this contract, only for performing this contract, unless otherwise provided for in this contract or approved by the Contracting Officer.
(2) Modifications or alterations of Government property are prohibited, unless they are-
(i) Reasonable and necessary due to the scope of work under this contract or its terms and conditions;
(ii) Required for normal maintenance; or
(iii) Otherwise authorized by the Contracting Officer.
(3) The Contractor shall not cannibalize Government property unless otherwise provided for in this contract or approved by the Contracting Officer.
(d) Government-furnished property. (1) The Government shall deliver to the Contractor the Government-furnished property described in this contract. The Government shall furnish related data and information needed for the intended use of the property. The warranties of suitability of use and timely delivery of Government-furnished property do not apply to property acquired or fabricated by the Contractor as contractor-acquired property and subsequently transferred to another contract with this Contractor.
(2) The delivery and/or performance dates specified in this contract are based upon the expectation that the Government-furnished property will be suitable for contract performance and will be delivered to the Contractor by the dates stated in the contract.
(i) If the property is not delivered to the Contractor by the dates stated in the contract, the Contracting Officer shall, upon the Contractor’s timely written request, consider an equitable adjustment to the contract.
(ii) In the event property is received by the Contractor, or for Government-furnished property after receipt and installation, in a condition not suitable for its intended use, the Contracting Officer shall, upon the Contractor’s timely written request, advise the Contractor on a course of action to remedy the problem. Such action may include repairing, replacing, modifying, returning, or otherwise disposing of the property at the Government’s expense.
Upon completion of the required action(s), the Contracting Officer shall consider an equitable adjustment to the contract (see also paragraph (f)(1)(ii)(A) of this clause).
(iii) The Government may, at its option, furnish property in an "as-is" condition. The Contractor will be given the opportunity to inspect such property prior to the property being provided. In such cases, the Government makes no warranty with respect to the serviceability and/or suitability of the property for contract performance. Any repairs, replacement, and/or refurbishment shall be at the Contractor’s expense.
(3) (i) The Contracting Officer may by written notice, at any time-
(A) Increase or decrease the amount of Government-furnished property under this contract;
(B) Substitute other Government-furnished property for the property previously furnished, to be furnished, or to be acquired by the Contractor for the Government under this contract; or
(C) Withdraw authority to use property.
(ii) Upon completion of any action(s) under paragraph (d)(3)(i) of this clause, and the Contractor’s timely written request, the Contracting Officer shall consider an equitable adjustment to the contract.
(e) Title to Government property. (1) All Government-furnished property and all property acquired by the Contractor, title to which vests in the Government under this paragraph (collectively referred to as "Government property"), is subject to the provisions of this clause.
The Government shall retain title to all Government-furnished property. Title to Government property shall not be affected by its incorporation into or attachment to any property not owned by the Government, nor shall Government property become a fixture or lose its identity as personal property by being attached to any real property.
