(i) This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued. This acquisition for commercial items will be conducted using simplified procedures under FAR Part 13 and 13.5.

(ii) This solicitation number 124D9018Q0012 is issued as a Request for Quotations (RFQ), and the acquisition procedures at FAR Parts 12 and 13 are being utilized. The Government reserves the right to make award without negotiations. We will award one base year.

(iii) This solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2005-72, dated January 1, 2014.

(iv) This is a 100% SMALL BUSINESS SET ASIDE and the applicable NAICS code is 541519 – Other Computer Related Services. The size standard for this NAICS code is $27.50 million. Only quotes from small businesses will be considered. A size standard is the largest that a concern can be and still qualify as a small business for Federal Government programs. Size standards are the average annual receipts of a firm. How to calculate average annual receipts of a firm can be found in 13 CFR § 121.104.

(vii) Date(s) and Place(s) of Delivery and Acceptance. Delivery and acceptance shall be as set forth in the SOW. Invoices will be approved by the Contracting Officer.

(viii) The provision at 52.212-1, Instructions to Offerors—Commercial, applies to this acquisition. The following addenda also apply. Offerors must read and follow these additional instructions to receive consideration.

1. System for Award Management (SAM) Registration In order to comply with the Debt Collection Improvement Act of 1996, all Contractors must be registered in the System for Award Management, or SAM (formerly Central Contractor Registration (CCR)) and Online Representations and Certifications Application (ORCA)) prior to award of a Federal Contract. However, due to the need to promptly award a contract after receipt of proposals, registration in SAM, to include completion of the Representations and Certifications, and having a status of “Active” is required BEFORE submitting an offer. For information regarding registration visit www.sam.gov. Successful offerors and their employees will also be required to provide a completed/signed NRCS Conservation Cooperator Certification as described in the PWS after award is made.

2. Technical Proposal and Past Performance Information Offerors should submit resumes, curricula vitae, and/or a written narrative that thoroughly addresses all three (3) non-price evaluation factors listed in Section (ix) below. The narrative should be supported by evidence that gives credibility to the statements made by the offeror and in turn gives the Government enough information to understand and gain confidence in what the offeror is stating. There is no limit on the length of the narrative, but it should be of a reasonable length and well supported.

3. Price Proposal Submit unit and extended pricing for each Contract Line Item Number (CLIN) listed in (v) above.

Pricing must be provided for every CLIN.

4. Certification at FAR 52.209-7 Information Regarding Responsibility Matters and the Certification at AGAR 452.209–70 (Representation by Corporations Regarding an Unpaid Delinquent Tax Liability or a Felony Conviction.)

The offeror must complete the two certifications by reading and checking the appropriate box(s).

A copy of the text of the two provisions can be found in Section (xiii) below and as a separate attachment to this notice. Complete the certification using the attachment related to this notice.

5. Copies of Proposal The proposal technical/past performance must be submitted in Volume One and price proposal must be submitted in Volume two. Also include the certifications referenced in paragraph 4 above. Offers can only be submitted by email.

Evaluation Factors:

FACTOR 1: Technical Approach.

Offerors must explain to the Government how they will accomplish the objectives of the statement of work.

Offerors must include specific description of the methodology they propose to use including how they would:

1. Develop training videos customized to NRCS customized AutoCAD templates and specific to NRCS computer configurations.

2. Host web based online training videos of 60 minutes each.

3. Maintain 24/7 online access for up to 2,400 concurrent USDA and partner users, with ability for NRCS to manage account creation and deletion.

4. Create customized national NRCS drawing templates with new releases of AutoCAD.

5. Provide dedicated telephone support for NRCS administrators between the hours of 9 am to 7 pm (EST).

Management. Offerors shall provide information about their company. This information should include a description of their management structure including staff with relevant expertise available to complete the deliverables. Offerors shall describe how they intend to transition into this contract.

FACTOR 2: Similar Experience: Offerors must submit a complete Offeror

Questionnaire for at least 1 but no more than 3 contract/projects of similar scope. The information provided on the Offeror Questionnaire form will be used to evaluate the relevancy, depth & breadth of each offeror’s experience. When we evaluate your experience, we may contact your references in order to confirm the relevancy of the submitted contract/project experience. Offerors are responsible for providing contract/project descriptions in sufficient detail to permit evaluation of contract/project relevancy.

FACTOR 3: Past Performance. Information in the Offeror Questionnaire will be used to contact past customers to evaluate past performance. Offerors are encouraged to provide information that may aid in the evaluation of its successful past performance, e.g., as letters of appreciation, performance evaluations, commendations, for contracts/projects of similar size and type of work.

Offerors are directed to Federal Acquisition Regulation (FAR) Part 15.305 and advised that where they are without a record of relevant past performance, or where information on past performance is not available, the offeror will be evaluated neither favorably nor unfavorably for past performance, but will receive half of the available points for the factor.

In reviewing and evaluating an offeror’s past performance, the Government may consider information obtained from the offeror and from any other sources available to it. The offeror should ensure that the identified references and points of contact are aware they may be contacted for information.

FACTOR 4: (Contract Officer Responsibility) Price. Offerors shall submit the bid sheet in this solicitation. Offers will be evaluated in accordance with paragraphs: BASIS FOR

AWARD, EVALUATION FACTORS, and PRICE listed below.

ADDITIONAL INFORMATION TO BE PROVIDED IN PART D:

1. Acknowledgement of all amendments to the solicitation in accordance with the instructions on the Standard Form 30 (amendment form).

SOURCE SELECTION PROCESS

The principal objective of this process is to select the responsible offeror to be the overall Best Value to the

Government, price and other factors considered. The Government reserves the right to consider the information regarding past performance from sources outside the proposal. The right is reserved to accept other than the lowest price offers and to reject any or all offers. The process is designed to ensure the impartial, suitable, and comprehensive evaluation of all technically acceptable, responsible proposals received in response to this particular solicitation.

BASIS FOR AWARD

The Government intends to select, the responsible offeror whose proposal conforms to the solicitation and is determined to be the Best Value to the Government in accordance with the following relationship between price and technical merit. Technical Approach and Similar Experience are more important than

Past Performance and combined are more important than price.

SUBMITTALS

(1) The contractor is responsible for developing a milestone chart as part of their submittal. The Contractor will identify completion dates for each phase. The entire project must be completed no later than 120 colander days after contract award.

(2) Technical Volume- Proposal evaluation is an assessment of the proposal and your ability to perform the prospective contract successfully. The government evaluates all proposals on the same non-price/cost factors: Technical Approach, Past Performance, and Price.

(3) Price Volume

1. Proposal Format

a. The proposals shall be in the following format:

Volume One: PART A - Factor 1 Technical Approach (Demonstrate technical & project management approach for ensuring delivery of requirement)

Volume One: PART B - Factor 2 (Similar Experience)

Volume One: PART B - Factor 3 (Past Performance)

Volume Two PART C - Factor 4 (Price)

2. Proposal Characteristics

a. All text must be legible and easily read. All text shall be typed single-spaced.

Margins (1-inch) shall be clean and clear. Each Part shall be clearly marked and easy to read.

b. All proposals shall contain the requirements stated herein and every Part shall be identified by the name, address, and telephone number of the offeror on the cover.

Each Part shall also contain a Table of Contents and also a List of Tables, List of Figures, List of Appendices, and List of Acronyms, if applicable. The list of acronyms should include all acronyms appearing in the Part.

c. Proposal clarity, organization (as requested in this solicitation) and cross-referencing are mandatory. In order for the proposal to receive an in-depth evaluation, it is necessary that the proposal be presented in a manner, which will provide clarity, organization and cross referencing as required.

d. Each evaluation factor shall be described in a separate section, appropriately tabbed in a report form. The information in all parts shall be concise. Elaborate presentations are not necessary or desirable.

FAR provision 52.212-2, Evaluation-Commercial Items applies to this solicitation as follows.

The Government will award a contract resulting from this solicitation to the responsible offeror whose offer who meets Best Value for the Government.

52.212-2 EVALUATION—COMMERCIAL ITEMS (Jan 1999)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror(s) whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. Best Value: Best Value is defined as Best Value procurements utilize a Best Value Tradeoff Analysis, which gives the agency the ability to weigh proposal costs and benefits and award the contract to the offeror that will provide the “best value” to government – even if that comes at a higher price than another acceptable offer.

(b) The Evaluation factors are listed in order of importance and all factors other than price when combined are significantly more important than price.

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

SECTION B – SUPPLIES OR SERVICES AND PRICE/COSTS

The Contractor shall provide all equipment, materials, and labor necessary to provide United States Department of Agriculture (USDA), Natural Resources Conservation Service (NRCS) with AutoCAD® Civil 3D® 2018 Training and Online CAD Performance Support Tools as described in the Performance of Work.

The completion time is 120 business days after award. Within 10 days after award, the Contractor shall contact the Contracting Officer’s Representative (COR)/Project Manager to initiate/discuss the general strategy for accomplishing the effort proposed.

PERFORMANCE WORK STATEMENT

SECTION C-1

C.1. General Information

The Natural Resources Conservation Service (NRCS) seeks services to develop, and deliver, AutoCAD® Civil 3D® 2018 Training and Online CAD Performance Support Tools as described in the following Scope of Work (SOW). This Performance Work Statement (PWS) outlines the requirements of deliverables and expected content. This is a firm fixed price contract that is performance based.

A documented Project Plan will be developed using a methodology and format agreed to by the Contracting Officer Representative (COR).

C.1.2. Background

In FY 2007, NRCS purchased AutoDesk Map and Civil 3D® 2008, which is an enterprise license managed computer-aided drafting and design (CAD) software. This software has since been upgraded every other year since and has been bundled with other AutoDesk Products in which NRCS has since utilized. This design software which is a very powerful tool for use in engineering design, yet can be complex and difficult to learn. NRCS CAD users transition to new Civil 3D® upgrades every other year to update to new standards, fix defects, and/or provide new and necessary tools. Therefore, NRCS would like to provide Civil 3D® 2018 Online CAD Performance Support Tools to approximately 2,400 CAD users nationwide to assist them with that transition.

C.1.3. Scope of Work

C.1.3.1. The Contractor must provide all personnel, equipment, tools, materials, supervision, and all items and services necessary to develop and deliver Civil 3D® 2018 Online CAD Performance Support Tools as defined in this Scope of Work (SOW), except as specified in Section C-3. The Contractor must have proven expertise in developing and delivering Civil 3D® 2018 training and Online CAD Performance Support Tool methodologies and must provide a full complement of related services. The Contractor must collaborate with the NRCS CAD Management Workgroup (CMW) located mainly in Washington, DC, Fort Worth, Texas, and West Union, Iowa. The Contractor must involve the CMW including the NRCS Project Manager in all phases of the Civil 3D® 2018 training and Online CAD Performance Support Tool development process. The Contractor shall ensure that all deliverables are in compliance with NRCS Part 641 Drafting and Drawings National Engineering Handbook, Chapter 1 - Computer Aided Design (CAD) Standards dated January 2006.

C.1.3.2. The Contractor shall develop and deliver Civil 3D® 2018 training and Online CAD Performance Support Tools as described in the following tasks:

Task 1 – Web Based Seminar/Virtual Classroom. The Contractor will develop, and host, custom online training recordings with unlimited access for up to 2,400 NRCS users (including employees, volunteers, and partners) in a format that is compatible with NRCS computer systems and software. The recordings shall be approximately 60 mins in length and divided into segments that meet the requirements listed Table #1in Table 1 AutoCAD® Civil 3D® 2018 Course Outline, see below. These recordings will be produced, edited and hosted online by the contractor in the Online CAD Performance Support Tool in Task 2 below. All activities, demonstrations, and exercises will be customized for NRCS applications and require prior approval from the CMW. Prior to producing the recorded training sessions, the Contractor will coordinate with the CMW to identify the customization needs and submit course criteria and materials to the CMW for approval. The Contractor shall provide any data and/or documents that are needed to perform the training activities and exercises in a downloadable format that is compatible with NRCS computer systems. The Contractor shall create a prototype lesson that illustrates the “look and feel” of the online training as well as the quality of the audio and visuals. The Contractor will provide CMW access to the prototype for usability and performance testing. The CMW shall approve the prototype before any recordings are produced.

Task 2 – Online CAD Performance Support Tools. The Contractor will provide NRCS with a web-based Online CAD Performance Support Tools for a period of 1 year (12 months) with options to renew. This website will be hosted by the contractor and will allow access for up to 2,400 NRCS users, with no limit of concurrent users. The Online CAD Performance Support Tools will accommodate all AutoCAD® software products version 2018 being used by NRCS. These products include AutoCAD® Map3D, AutoCAD® Raster Design, AutoCAD® Recap and AutoCAD® Civil 3D®. The Online CAD Performance Support Tools will include:

1. Access to a library of AutoDesk AutoCAD 2018 & Civil 3D 2018 online recorded training content.

2. Access to a library of custom online recorded training lessons.

3. Future online recordings for AutoCAD® product version upgrades.

4. Creation of a NRCS Customized Civil 3D 2018 National Drawing Template (DWT), with

NRCS CAD Standards, NRCS Tools, Custom Interface to incorporate NRCS tools and NRCS Features to enhance functionality for NRCS users. “For NRCS CAD Standards, See Section C- 3”.

5. Online quizzes for lessons

6. Upload option, for NRCS Specific training Videos created by NRCS Administrators.

7. Search features within the entire library

8. Links to NRCS custom materials and resources

9. Closed Captioning feature to all videos in English format for hearing impaired employees.

10. Online technical support tool where all users can submit “helpdesk” requests with a guaranteed response time of less than 24 hours

11. Access to a submittal database that will house all prior support requests/solutions

12. Option for automatic email notification to inform users of new content.

In addition to the Online CAD Performance Support Tools listed above, the Contractor will provide access to the following Administrator Performance Support Tools for 75 designated NRCS users:

1. Telephone support between the hours of 9:00 a.m. to 7:00 p.m. (Eastern Standard Time)

2. Host recordings that are created (in-house) by NRCS

3. Reporting tools to track user activity

4. Reporting tools to track user quiz scores

5. Ability to manage account creation and deletion

NRCS will have sole (restricted) access to the site and will not share information with the public. The Contractor will customize the interface to indicate NRCS specific support. The Contractor will provide training to designated NRCS administrators for the site.

The Website will be available to NRCS employees 24 hours a day, 7 days a week. The government reserves the right to cancel this contract and obtain a refund of prepaid fees if the website is not accessible for more than one day a week. If this occurs, the vendor will provide NRCS with electronic files of all content on the website.

C.1.3.3. NRCS will indefinitely retain possession of all NRCS customized training and support materials created under this contract including, but not limited to, recordings, documents, and technical support solutions.

C.1.3.4. The Contractor shall conduct in a Kick-off meeting with Contractor personnel and the CMW to identify what information/data needs to be exchanged in order for the Contractor to customize the Civil 3D® 2018 training and Online CAD Performance Support Tools to represent NRCS applications.

Contractor and CMW will define, and agree to a, format for the Project Plan. The Project Plan shall contain a documented structured process, approach, and defined timelines to facilitate the completion of the Tasks outlined in the SOW.

C.1.3.5. The Contractor shall conduct a follow-up meeting to submit the Project Plan (for NRCS oversight, review, and concurrence) and provide it to the Project Manager, in an agreed-to format for approval. The Contractor will assist NRCS by leading structured meetings with CMW, to ensure that the AutoCAD Civil 3D® 2018 Training and Online CAD Performance Support Tools are being developed and customized to fit NRCS needs and standards.

C.1.3.6. The Contractor must provide a Task Leader with specialized expertise in the Civil 3D® 2018 Training and Online CAD Performance Support Tool processes and methodologies and must be capable of working with and guiding the CMW through the process from project initiation, through planning, and close-out of the project with agency acceptance of the required deliverables.

C.1.3.7. The Contractor shall provide the CMW with minutes from all meetings/reviews held throughout the duration of the contract.

SECTION C-2 DEFINITIONS

C.2.1. General Information

C.2.1.2. Performance Requirement Summary (PRS). A listing of the service outputs under the contract that are to be evaluated by the Project Manager on a regular basis, the surveillance methods to be used for these outputs, and the performance requirements of the listed outputs.

C.2.1.3. Quality Assurance. A planned and systematic pattern of all government actions necessary to provide confidence that adequate technical requirements are established; products and services confirm to established technical requirements; and satisfactory performance is achieved.

C.2.1.4. Quality Control. Those actions taken by a Contractor to control the production of outputs to ensure that they confirm to the contract requirements.

SECTION C-3 GOVERNMENT FURNISHED PROPERTY AND SERVICES

C.3.1. Applicable Publications/Documents

C.4.1. Specific Performance Tasks

The Contractor shall develop and deliver the following components of the Civil 3D® 2018 training and Online CAD Performance Support Tools:

1. Conduct Kick-off meeting and provide a list of specific information/data that will be required to create customized training and support tools that are specific to NRCS applications.

2. A Project Plan shall be submitted for NRCS approval.

3. Submit content and specifications for recorded/online Civil 3D® 2018 Training course to CMW for review and approval.

4. Provide CMW with a prototype of recorded training sessions for review and approval.

5. Complete online version of Civil 3D® 2018 training.

6. Submit content and specifications for the Online CAD Performance Support Tools to CMW for review and approval.

7. Provide CMW with a prototype of the Online CAD Performance Support Tools for final approval.

8. Provide training to designated NRCS administrators for the Online CAD Performance Support Tools.

9. Launch hosted website with access to the Online CAD Performance Support Tools for up to 2,400 NRCS users

C.4.4. Performance Standard

C.4.4.1. Draft deliverables, for CMW review, shall be distributed via email and/or posted on a website by the close of business (COB) of the due dates listed in the Project Plan. The NRCS Project Manager shall coordinate the CMW and shall have 14 working days to provide consolidated comments back to the contractor, after receiving draft deliverables.

C.4.4.2. All work products shall be accurate in presentation, technical content, and adhere to accepted elements of style. Work products are clear and concise. All examples are easy to understand and relevant to the supporting narrative.

All documents and submittals, including developed software related to this project will be the property of the Government.

C.4.5. Contractor Personnel

C.4.5.1. The Contractor shall have experience in operating and developing Civil 3D® 2018 Training and Online CAD Performance Support Tool processes and methodologies. The Contractor shall also be able to lead and deliver a full complement of CAD services.

C.4.5.2. The Contractor must provide a Task Leader with specialized expertise in the Civil 3D® 2018 Training and Online CAD Performance Support Tool processes and methodology to ensure that activities and deliverables are completed on schedule. The name of this person and an alternate, who must act for the Task Leader when the Task Leader is absent, must be designated in writing to the Project Manager.

The Task Leader or alternate must be available during normal duty hours.

C.4.5.3. Contractor resource personnel must have high-level skill in AutoCAD products and online training methodologies.

C-5 QUALITY CONTROL

C.5.1. Quality Control

C.5.1.2. The Contractor shall establish quality control procedures for measuring the performance of work on the tasks. The procedures shall be outlined in the Project Plan. The Government and Contractor shall agree on the quality control procedures prior to starting work.

C.5.1.3. With regard to primary work items, the Contractor shall notify the Project Manager anytime schedule completion dates will not be met due to, in its opinion, action or inaction of the Government.

The Contractor shall provide a brief written justification to the Project Manager setting forth the relevant facts. The Project Manager will make the final determination of whether such action or inaction contributed to the Contractor's delinquency in meeting the scheduled completion dates. This determination will be considered in performance measurement.

C.5.1.4. Bi-Weekly Performance Reviews

The Project Manager and Contractor’s Task Leader shall review performance issues at two week intervals during the performance period. This review shall be for the benefit of both the Contractor and the Government. If issues or concerns are identified during the performance review, the Contractor shall take corrective action as necessary in order to meet the performance standard. The Government will identify any internal resource issues that might hinder the Contractor’s performance.

C.5.2. QUALITY ASSURANCE

C.5.2.1. The Contractor shall establish quality assurance procedures for measuring contract performance.

Provisions 52.209-7 Information Regarding Responsibility Matters.

(a) Definitions. As used in this provision— “Administrative proceeding” means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. Clauses

52.217-8 Option to Extend Services (Nov. 1999) The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 calendar days.

AGAR 452.209-71 ASSURANCE REGARDING FELONY CONVICTION OR TAX DELINQUENT

STATUS FOR CORPORATE APPLICANTS

(a) This award is subject to the provisions contained in the Agriculture, Rural Development, Food and Drug Administration, and Related Agencies Appropriations Act, 2012, P.L. No. 112-55, Division A, Sections 738 and 739 regarding corporate felony convictions and corporate Federal tax delinquencies. Accordingly, by accepting this award the Contractor acknowledges that it –

(1) does not have a tax delinquency, meaning that it is not subject to any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, and

(2) has not been convicted (or had an officer or agent acting on its behalf convicted) of a felony criminal violation under any Federal or State law within 24 months preceding the award, unless a suspending and debarring official of the United States Department of Agriculture has considered suspension or debarment of the awardee, or such officer or agent, based on these convictions and/or tax delinquencies and determined that suspension or debarment is not necessary to protect the interests of the Government.

(b) If the awardee fails to comply with these provisions, the NRCS may terminate this contract for default and may recover any funds the awardee has received in violation of sections 738 or 739.

452.224-70 CONFIDENTIALITY OF INFORMATION (FEB 1988)

(a) Confidential information, as used in this clause, means --

(1) information or data of a personal nature, proprietary about an individual, or (2) information or data submitted by or pertaining to an organization.

(b) In addition to the types of confidential information described in (a)(1) and (2) above, information which might require special consideration with regard to the timing of its disclosure may derive from studies or research, during which public disclosure of primarily invalidated findings could create an erroneous conclusion which might threaten public health or safety if acted upon.

(c) The Contracting Officer and the Contractor may, by mutual consent, identify elsewhere in this contract specific information and/or categories of information which the Government will furnish to the Contractor or that the Contractor is expected to generate which is confidential. Similarly, the Contracting Officer and the Contractor may, by mutual consent, identify such confidential information from time to time during the performance of the contract. Failure to agree will be settled pursuant to the "Disputes" clause.

(d) If it is established that information to be utilized under this contract is subject to the Privacy Act, the Contractor will follow the rules and procedures of disclosure set forth in the Privacy Act of 1974, 5 U.S.C. 552a, and implementing regulations and policies, with respect to systems of records determined to be subject to the Privacy Act.

(e) Confidential information, as defined in (a)(1) and (2) above, shall not be disclosed without the prior written consent of the individual, institution or organization.

(f) Written advance notice of at least 45 days will be provided to the Contracting Officer of the Contractor's intent to release findings of studies or research, which have the possibility of adverse effects on the public or the Federal agency, as described in (b) above. If the Contracting Officer does not pose any objections in writing within the 45 day period, the Contractor may proceed with disclosure. Disagreements not resolved by the and Contracting Officer will be settled pursuant to the "Disputes" clause.

(g) Whenever the Contractor is uncertain with regard to the proper handling of material under the contract, or if the material in question is subject to the Privacy Act or is confidential information subject to the provisions of this clause, the Contractor shall obtain a written determination from the Contracting Officer prior to any release, disclosure, dissemination, or publication.

(h) The provisions of paragraph (e) of this clause shall not apply when the information is subject to conflicting or overlapping provisions in other Federal, State or local laws.
