PART I -- THE SCHEDULE

SECTION A: SOLICITATION / CONTRACT FORM.

SECTION B: SUPPLIES OR SERVICES AND PRICES/COSTS.

2.1 Brief Description of Services

The United States Department of Agriculture’s Research, Education and Economics division will host a Leadership Summit from February 24-28, 2020. The Contractor facilities shall comply with the Hotel and Motel Fire Safety Act of 1990, Public Law 101- 391, accommodate lodging for 80 attendees and lodging is available from February 24, 2020 through February 28, 2020. A 80-room block is required for the duration.

FAR 52.216-1 Type of Contract (APR 1984)

The Government contemplates award of a firm-fixed price contract resulting from this solicitation.

2.2 Severable Services

The services acquired under this contract is a non-severable service. Funds are only available for use for the line item to which they are obligated. Unused funds from one period (line item) may not rollover for use in other periods.

2.3 Commercial Services

The services specified in this contract/order have been determined to be commercial.

2.4 Consideration and Payment (FFP)

SECTION C: DESCRIPTION / SPECIFICATIONS / STATEMENT OF WORK.

3.1 Statement of Work

The Contractor shall furnish all necessary personnel, materials, services, facilities, and otherwise (except as otherwise specified herein) do all the things necessary for or incident to the performance of the work as set forth below:

The United States Department of Agriculture’s Research, Education and Economics division will host a Leadership Summit from February 24-28, 2020. The Contractor facilities shall comply with the Hotel and Motel Fire Safety Act of 1990, Public Law 101- 391, accommodate lodging for 75 attendees and lodging is available from February 24, 2020 through February 28, 2020. A 80-room block is required. Each attendee will pay for their room stay separately.

Audiovisual (AV) equipment is required for each day of the summit and in each room (excluding lunch space). It is expected that, at a minimum, AV equipment will include:

• Laser Pointer

• Wireless Advancer

• LCD Projector, Screen, & Powered AV Table

• 6 ft Table with skirting & Power Strip

• Wired Handheld, Podium

• Wireless handheld

• Mic Stand

• Portable sound system

• Display Easel x 4

• Flipchart with Markers

*Note – If additional equipment is recommended, please add the recommendation and price to the pricing sheet.

Required (for each item below, please indicate if included in the conference fee or if there is an additional charge):

• Signage for the Summit to be posted in the hotel and conference space

• February 24, 2020 (5:00 PM – 9:00 PM local time) o One room to hold the group in their entirety.

o The room will be used for event registration from 6:00 – 7:00 PM and a recognition dinner No less than two six-foot tables will be required for registration Following registration, the recognition dinner will require the use of AV equipment

• February 25-27, 2020 (8:00 AM – 5:00 PM local time) o One main room to hold the entire group (80 people) at least twice a day.

o Lunch o A space for attendees to eat lunch o Wired Podium in the general session room o Carafes and cups for water (in each room) o Food Break Items: Coffee, tea, fruit (apples, banana, orange, etc.) & pastries, donuts, or cookies, Available during the morning session & again during the afternoon session o Hotel Pens & Notebooks/notepads

• February 28, 2020 (8:00 AM - 12:00 PM local time) o One room to hold the group in their entirety o AV equipment is required o Podium required o One additional room to hold 14 attendees through 2:30 PM o Morning Food Break Items: Coffee, tea, pastries, fruit (apples, banana, orange, etc.)

In addition to the items listed above, ensure that your proposal addresses the following:

• Will an outside caterer be permitted on premises for dinner on Thursday, February 27, 2020?

• Is there shuttle service from the airport?

• Is there a restaurant(s) onsite?

• Is there mass transit within walking distance (1/2 mile or less)?

• Are there offsite restaurants within walking distance (1/2 mile or less)?

• Is hot breakfast complimentary in your hotel?

• Is complimentary Wi-Fi available throughout the hotel (including conference space)?

• Is complimentary Wi-Fi available in the hotel rooms?

• What is the cancellation policy for the conference?

• Is onsite parking included or is there a separate charge?

• What benefits are provided with a block of 70-75 rooms booked?

• What is your cancellation policy?

The federal government will not pay taxes for the hotel stay or the summit.

SECTION D: INSPECTION AND ACCEPTANCE

7.1 Authorities of Government Personnel

Notwithstanding the Contractor’s responsibility for total management during the performance of this contract, the administration of this contract will require maximum coordination between the Government and the Contractor. 7.2 Contracting Officer’s Representative (COR) Authority

a) Performance of work under this contract must be subject to the technical direction of the Contracting Officer's Representative identified above, or a representative designated in writing.

The term "technical direction" includes, without limitation, direction to the contractor that directs or redirects the labor effort, shifts the work between work areas or locations, fills in details and mailto:Travis.Heller@usda.gov mailto:Travis.Heller@usda.gov otherwise serves to ensure that tasks outlined in the work statement are accomplished satisfactorily.

(b) Technical direction must be within the scope of the specification(s)/work statement.

The Contracting Officer's Representative does not have authority to issue technical direction that:

(1) Constitutes a change of assignment or additional work outside the specification(s)/statement of work;

(2) Constitutes a change as defined in the clause entitled "Changes";

(3) In any manner causes an increase or decrease in the contract price, or the time required for contract performance;

(4) Changes any of the terms, conditions, or specification(s)/work statement of the contract;

(5) Interferes with the contractor's right to perform under the terms and conditions of the contract; or

(6) Directs, supervises or otherwise controls the actions of the contractor's employees.

(c) Technical direction may be oral or in writing. The Contracting Officer's Representative shall confirm oral direction in writing within five work days, with a copy to the Contracting Officer.

(d) The contractor shall proceed promptly with performance resulting from the technical direction issued by the Contracting Officers, Representative. If, in the opinion of the contractor, any direction of the Contracting Officers, Representative, or his/her designee, falls within the limitations in (b), above, the contractor shall immediately notify the Contracting Officer no later than the beginning of the next Government work day.

(e) Failure of the contractor and the Contracting Officer to agree that technical direction is within the scope of the contract shall be subject to the terms of the clause entitled "Disputes."

7.3 Invoice Preparation

The Contractor shall submit an electronic invoice through the Department of Treasury's Invoice Processing Platform (IPP) service. The Contractor shall invoice no more frequently than monthly for all work completed and accepted during the preceding month. This is a mandatory requirement initiated by the U.S. Department of Treasury and you can find more information at this website https://www.ipp.gov/index.htm. Please make sure that your company has registered at https://www.ipp.gov/vendors/enrollment-vendors.htm to establish your account.

In accordance with FAR 52.212-4, Contract Terms and Conditions – Commercial Items, a proper invoice must include the following items:

(1) The Contractor shall submit an original invoice and three copies (or electronic invoice, if authorized) to the address designated in the contract to receive invoices. An invoice must include—

(i) Name and address of the Contractor;

(ii) Invoice date and number;

(iii) Contract number, contract line item number and, if applicable, the order number;

(iv) Description, quantity, unit of measure, unit price and extended price of the items delivered;

(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on Government bill of lading;

(vi) Terms of any discount for prompt payment offered;

(vii) Name and address of official to whom payment is to be sent;

(viii) Name, title, and telephone number of person to notify in event of defective invoice; and

(ix) Taxpayer Identification Number (TIN). The contractor shall include its TIN on the invoice only if required elsewhere in this contract.

(x) Electronic funds transfer (EFT) banking information.

(2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C. 3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR Part 1315.

In accordance with OMB Memorandum, M-11-32, Agencies shall make payments to small businesses as soon as practicable, with the goal of making payments within 15 days of receipt of a proper invoice. If a small business contractor is not paid within this (15 day) accelerated period, the contractor will not be given a late-payment interest penalty. Interest penalties, as prescribed by the Prompt Payment Act, remain unchanged by means of this memorandum. All small businesses shall label all invoices as "Small Business."

Additionally, in accordance with OMB Memorandum, M-12-16, all prime contractors are encouraged to disburse funds received from the Federal Government to their small business subcontractors in a prompt manner. To assist prime contractors in expediting contractor payments to small business subcontractors, Agencies shall, to the full extent permitted by law, temporarily establish an earlier, accelerated date for making agency payments to all prime contractors. Consistent with OMB Memorandum M-11-32 above, Agencies shall have a goal of paying all prime contractors within 15 days of receiving proper documentation. To support small business growth, drive economic activity and job creation, the Contractor is encouraged to accelerate payments to their small business subcontractors.

In accordance with the requirements of the Debt Collection Improvement Act of 1996, all payments under this order will be made by electronic funds transfer (EFT). The Contractor shall provide financial institution information to the Finance Office designated above in accordance with FAR 52.232-33 Payment by Electronic Funds Transfer - System for Award Management.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. 452.228-71 Insurance Coverage (NOV 1996)

Pursuant to FAR clause 52.228-5, Insurance-Work on a Government Installation, the Contractor will be required to present evidence to show, as a minimum, the amounts of insurance coverage indicated below:

(a) Workers Compensation and Employer's Liability. The Contractor is required to comply with applicable Federal and State workers' compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they shall be covered under the employer's liability section of the insurance policy, except when contract operations are so commingled with a Contractor's commercial operations that it would not be practical to require this coverage. Employer's liability coverage of at least $100,000 shall be required, except in States with exclusive or monopolistic funds that do not permit worker's compensation to be written by private carriers.

(b) General Liability. The Contractor shall have bodily injury liability insurance coverage written on a comprehensive form of policy of at least $500,000 per occurrence.

(c) Automobile Liability. The Contractor shall have automobile liability insurance written on a comprehensive form of policy. The policy shall provide for bodily injury and property damage liability covering the operation of all automobiles used in connection with performing the contract. Policies covering automobiles operated in the United States shall provide coverage of at least $200,000 per person and $500,000 per occurrence for bodily injury and $20,000 per occurrence for property damage or loss.

(d) Aircraft Public and Passenger Liability. When aircraft are used in connection with performing the contract, the Contractor shall have aircraft public and passenger liability insurance. Coverage shall be at least $200,000 per person and $500,000 per occurrence for bodily injury, other than passenger injury. Coverage for passenger injury shall be at least $200,000 multiplied by the number of seats or passengers, whichever is greater.

452.237-75 Restrictions Against Disclosure (FEB 1988)

(a) The Contractor agrees, in the performance of this contract, to keep all information contained in source documents or other media furnished by the Government in the strictest confidence. The Contractor also agrees not to publish or otherwise divulge such information in whole or in part in any manner or form, or to authorize or permit others to do so, taking such reasonable measures as are necessary to restrict access to such information while in the Contractor's possession, to those employees needing such information to perform the work provided herein, i.e., on a "need to know" basis. The Contractor agrees to immediately notify in writing, the Contracting Officer, named herein, if the Contractor determines or has reason to suspect a breach of this requirement.

(b) The Contractor agrees not to disclose any information concerning the work under this contract to any persons or individual unless prior written approval is obtained from the Contracting Officer. “Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest-level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror.

Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or
