NOTICE TO ALL BIDDERS:

Bids are to be submitted electronically through a secure mailbox via the Integrated Financial Resources Management System (INFORMS) (https://supplier.miamidade.gov) until the date and time indicated in the INFORMS Solicitation End Date published in INFORMS and in this Solicitation document. It is the sole responsibility of the Bidder to ensure that its Bid is in INFORMS before the Solicitation deadline. There is no cost to the Bidder to submit a Bid for a Miami-Dade County Solicitation via INFORMS.

Electronic submissions may require the uploading of electronic attachments. The submission of attachments containing embedded documents or proprietary file extensions is prohibited. All documents should be attached as separate files.

For information concerning this Solicitation, use the question/answer feature provided within the Solicitation by INFORMS at https://supplier.miamidade.gov. Questions of a material nature must be received prior to the date and time of the INFORMS Solicitation Question & Answer End Date specified in the Solicitation. Material changes, if any, to the Solicitation will be made only by written addendum. (See Mandatory Online Forms and Addendum Acknowledgement section of INFORMS site).

SECTION 2

ADDITIONAL/SPECIAL TERMS AND CONDITIONS

2.1 PURPOSE

The purpose of this solicitation is to establish a contract for the purchase of legal research services for inmates by the Miami-Dade Correction and Rehabilitation Department (MDCR). The Awarded Bidder will be required to provide access to the courts by conducting legal research for inmates incarcerated in the County’s correctional facilities. The County intends to make a single award as a result of this solicitation.

2.2 TERM OF CONTRACT

This Contract shall commence on the first calendar day of the month succeeding approval of the Contract by the Board of County Commissioners, or designee, unless otherwise stipulated in the Purchase Order issued by the County. The Contract shall expire on the last day of the 36th month.

2.3 OPTION TO RENEW

Prior to, or upon completion, of the initial term, the County shall have the option to renew this contract for one (1) additional two (2) year period. Continuation of the contract beyond the initial term, and any option subsequently exercised, is a County prerogative, and not a right of the Bidder. This option will be exercised only when the County determines that continuing the arrangement is clearly in its best interest.

2.4 METHOD OF AWARD

Award of this contract will be made to the lowest responsive, responsible Bidder. If the Awarded Bidder fails to perform in accordance with the requirements of the Contract, the contract may be terminated in accordance with Sections 1.25 and/or 1.26 of the General Terms and Conditions.

2.5 BIDDER REQUIREMENTS

In addition to the requirements detailed in Section 1-General Terms and Conditions, Paragraph 1.2-Instructions to Bidders, the Bidder shall meet the following requirements to be considered for award:

2.5.1 Bidder or Bidder’s Subcontractor shall be regularly engaged in the business of providing legal research services for inmates to be considered for award. Bidder or Bidder’s Subcontractor shall provide three (3) different references from customers to whom the Bidder or Bidder’s Subcontractor has provided or is currently providing legal research services for inmates as described throughout this Solicitation. In lieu of the references from the Bidder or Bidder’s Subcontractor, the County will consider the references from Bidder’s key personnel in accordance with Resolution No. 1122-21. The references should include the customer’s company name, and the contact person’s name, title, address, telephone number, e-mail address, who can verify that the Bidder has successfully provided the services, scope of work and inmate population (Section 4: Submittal Requirements). These references shall ascertain to the County’s satisfaction that Bidder has sufficient expertise in the industry, and its firm is properly equipped to perform the required goods/services.

2.5.2 A list of key personnel that will be assigned to conduct the services specified in the solicitation. Bidders shall furnish a brief description of their level of expertise and two similar projects performed by the key personnel. Key personnel must have expertise in providing research for legal and criminal matters. In the event the Awarded Bidder wishes to substitute or replace key personnel after contract award, the Awarded Bidder must notify the County in writing, request written approval, provide name and description of expertise for substitution/ replacement staff, at least ten (10) business days prior to effecting such substitution.

2.5.3 Provide a copy of the documentation showing that the key personnel are licensed members and in good standing with the Florida Bar. Documentation shall be included at the time of bid submittal.

The Bidder shall provide all the information, documents and/or attachments listed above to be considered for award. All information, documents, and/or attachments listed above are due with the Bid by the solicitation’s end time and date. The County may, at its sole discretion and in its best interest, allow the Bidder to complete, supplement or supply the required information, documents and/or attachments during the bid evaluation period. Failure to provide all the required information, documents and/or attachments with the Bid or, if allowed, as requested by the County during the Bid evaluation period, may result in the Bidder being declared non-responsive or non-responsible.

During the bid evaluation period, the County’s Strategic Procurement Department will review the information, documents and/or attachments submitted by the Bidder, may request additional information from the Bidder, and/or obtain additional information from available sources, to completely evaluate the Bidder’s submittal and ascertain that the Bidder meets the stipulated requirements and determine the Bidder’s ability to perform under a resulting Contract. The County shall be sole judge of a Bidder’s compliance with requirements and the Bidder’s ability to perform under a resulting Contract. Failure to meet the stipulated requirements or to demonstrate ability to perform under a resulting Contract, as determined by the County, may result in the Bidder being declared non-responsible.

During a resulting Contract, the Bidder has an obligation to advise the County of any changes, intended or otherwise, to the evidence given in compliance with the requirements in this Solicitation.

2.6 PRICES

The initial contract prices resulting from this solicitation shall remain fixed and firm for no less than one (1) year from the contract’s initial effective date. Upon completion of the initial one-year term, the County will consider yearly price adjustments, to be effective on the contract’s anniversary date, based on the Consumer Price Index (CPI) Series CUURS35BSA0L5 for All Urban Consumers, Miami-Fort Lauderdale, FL area. It is the awarded vendor’s responsibility to request any pricing adjustment under this provision. Requests for price adjustment should be submitted to the Strategic Procurement Department no less than 90 days prior to expiration of the then one (1) year period.

The County reserves the right to negotiate lower pricing for any subsequent one (1) year period based on market research information, or other factors that influence price. The County reserves the right to apply any reduction in pricing for the one (1) year period based on the downward movement on the applicable CPI index.

2.7 ADDITIONAL FACILITIES

Although this solicitation and resultant contract identify facilities to be serviced as specified in Section 3, Paragraph 3.5, it is hereby agreed and understood that any County department or agency facility may be added to this contract at the option of the County.

The price offered for the facilities specified herein will be utilized for any additional facilities.

2.8 DELETION OF FACILITIES

Although this solicitation identifies specific facilities to be serviced, it is hereby agreed and understood that any County department or agency may delete service for any facility(ies) when such service is no longer required during the contract period; upon fourteen (14) calendar days written notice to the Awarded Bidder.

2.9 INSURANCE

The Contractor shall furnish Miami-Dade Corrections and Rehabilitation Department, Certificate(s) of Insurance with coverages as outlined below:

A. Worker’s Compensation as required by Florida Statute 440 or any applicable law

B. Commercial General Liability for $1,000,000 each occurrence, $2,000,000 aggregate including Products/completed operations. Miami-Dade County must be included as additional insured for any and all work

C. Automobile Liability covering all owned, non-owned and hired vehicles for $1,000,000 combined single limit

D. Professional liability for $1,000,000 each occurrence $2,000,000 aggregate overing claims arising out of the rendering or failure to render professional services or provision of products

E. Cyber liability for $1,000,000 each occurrence $2,000,000 aggregate

All insurance policies required above shall be issued by companies authorized to do business under the laws of the State of Florida, with the following qualifications:

The company must be rated no less than “A-” as to management, and no less than “Class VII” as to financial strength, by Best’s Insurance Guide, published by A.M. Best Company, Oldwick, New Jersey, or its equivalent, subject to the approval of the County Risk Management Division or the company must hold a valid Florida Certificate of Authority as shown in the latest “List of All Insurance Companies Authorized or Approved to Do Business in Florida” issued by the State of Florida Department of Financial Services.

SECTION 3

SCOPE OF WORK

3.0 BACKGROUND

The fundamental constitutional right of access to the courts requires prison authorities to assist inmates in the preparation and filing of meaningful legal documents by providing them with adequate law libraries or assistance from persons trained in law.

Miami-Dade Corrections and Rehabilitation (MDCR) requires the services of a legal service provider to provide access to the courts by conducting legal research for inmates incarcerated in its correctional facilities.

Pursuant to Section 9.09 of the Florida Model Jail Standards (2025), Pro se inmates are to be provided reasonable access to legal materials to assist them in filing any type of action cognizable in Florida courts. Therefore, these services shall be afforded to the inmate population to allow inmates to have legal research access on a continuous basis. Currently, MDCR has an inmate population of approximately 5,000 inmates.

MDCR requires services from a company which can offer legal research findings pursuant to inmates’ requests. The Awarded Bidder shall have the qualifications and capacity to provide comprehensive research findings to a high volume of requests. The County reserves the right to hold pre-award qualification hearings to determine the bidders’ capability of performance, as required by MDCR.

3.1 SCOPE OF WORK

The following services are required of the Awarded Bidder:

1. Provide legal research services to inmates incarcerated at MDCR’s correctional facilities on an “as needed” basis. Research shall be conducted by staff with expertise in legal and criminal matters.

2. Provide the MDCR with an original form to be copied and used by inmates when they seek to request legal assistance (“Legal Information Request Form” or “Form”). This form will be two-sided and copies will be provided to the inmates by MDCR’s staff. The Form should request, at a minimum, the following information from inmates:

a. Inmate Name

b. Inmate Number

c. Housing Unit/ Correctional Facility

d. Information/ Research Requested

The front page will contain space for the inmates to provide the aforementioned required information and the reverse side will comprise instructions to help inmates complete the Form (see Attachment A, titled Legal Information Request, for sample form).

3. Upon receipt of the Form, the Awarded Bidder shall diligently process the request and shall respond within the time set forth in the Form with the information that best satisfies the request. Should the Awarded Bidder require additional information or clarification from the inmate, the Awarded Bidder shall then respond to the inmate in the form of an electronic communication via the electronic process File Transfer Program (FTP) platform that was developed by MDCR or a letter within three (3) business days, as per Section 3, Paragraph 3.4. The letter shall include the information or clarification required by the Awarded Bidder, in order to adequately complete the research.

4. The Awarded Bidder shall perform legal research on an as-needed basis at the Awarded Bidder’s location. The County will not allow the Awarded Bidder to use the County’s correctional facilities to render services.

5. The Awarded Bidder shall maintain and be able to perform up to date case law research.

6. The Awarded Bidder shall ensure diligent and reasonable efforts in conducting the required research and providing the inmate with comprehensive research findings.

7. Responses shall be sent via the FTP platform directly to the Correctional Counselor via their designated correctional facility email account (e.g., tablet-based or secure inmate email system), at the bidder's expense. Attachments must use acceptable digital formats, including PDF (recommended), DOC/DOCX/DOTX, XLS/XLSX/XLTX, PPT/PPTX/PPS/POTX, Document Page 8 of 15

TXT/RTF, JPEG/PNG/GIF/TIFF/BMP, HTML, EML, or similar non-compressed, non-password-protected files. MDCR staff will assist with inmate email access as needed.

8. The Awarded Bidder shall submit a log to the County as to the services rendered to inmates. Report/ log shall be provided when requested by MDCR or any authorized County representative. The report/ log shall consist of the inmate’s name, inmate number, date of request, date research provided, email delivery timestamp, and number of pages for the research findings. The report/ log shall be submitted to the County no later than fifteen (15) calendar days after written request by MDCR or any authorized County representative to the Awarded Bidder. The Awarded Bidder shall maintain a log tracking all inmates’ legal requests for accountability and billing purposes.

9. The Awarded Bidder shall have the capability to provide the inmate with their court case docket for local cases, all state cases in the United States, and for Federal cases.

10. The Awarded Bidder shall have experience of legal research service provision through tablets provided by jails or prisons for inmate use. This may also include receiving forms electronically from the inmate.

11. The Awarded Bidder shall have the ability to limit the number of items requested by the inmate based on contractual limits.

The Awarded Bidder shall have the ability to process requests for legal research whether received from the inmate in electronic or paper format. The Awarded Bidder shall confirm receipt of inmate requests via the electronic FTP platform acknowledgment to MDCR within 24 hours and deliver all responses exclusively via the FTP platform to the Correctional Counselor.

The Awarded Bidder shall be able to demonstrate a pattern of good performance as substantiated by current customers (jail agencies) with which they are contracted.

3.2 ADDITIONAL RELATED SERVICES REQUIREMENTS

1. The Awarded Bidder shall perform the additional requirements stated below, as needed, at no additional cost to the County shall: (i) respond to all inmate grievances regarding their research, (ii)appear in court, and/ or (iii) attend meetings with MDCR staff or inmate, as needed, to explain and support their research findings.

2. Shall provide and maintain all court-related forms required for inmate court access.

3.3 RESPONSE TIME

1. The Awarded Bidder shall respond to each inmate with either the research findings pertaining to their Legal Assistance

Request as set forth in the Form or a letter requesting additional information/clarification within three (3) business days, excluding weekends and County holidays, from the date the Form is submitted to the Awarded Bidder (“Required Response Time”).

2. Should the Awarded Bidder expect to exceed the Required Response Time, the bidder shall provide a letter to the inmate within the Required Response Time explaining the need for a delayed response. The letter shall also provide a reasonable estimate as to the date that the research findings will be provided to the inmate, and such time shall not exceed an additional three (3) business days beyond the Required Response Time. The letter shall be electronically communicated via the FTP platform to the Correctional Counselor. Letters must use acceptable digital formats, including PDF (recommended), DOC/DOCX, TXT/RTF, or EML.

3. The Awarded Bidder shall provide the legal research findings within the Required Response Time for at least 98% of the

Legal Assistance Requests, for any one (1) month period. Failure to meet this percentage for any given month may result in the Awarded Bidder being found in default of the contract, per Section 1, General Terms and Conditions, Paragraph 1.26, Termination for default.

3.4 COUNTY RESPONSIBILITIES

The following services will be performed by the County:

1. Department officers and/ or counselors in the housing units will advise inmates requesting law library access of the availability of the Awarded Bidder’s services and will provide the Form to interested inmates.

2. Completed Forms will be time-date stamped and then sent by facsimile, email, or other such means to the Awarded Bidder by a MDCR representative.

3. Inmates will be allowed to include up to three (3) items to be researched (“Legal Assistance Request”) in each Form (cases, statutes, packets, or any combination). It is MDCR’s practice to allow inmates one Form (3 items) per month for non-pro se inmates and one Form (3 items) per week for pro se inmates.

4.1 BIDDER REQUIREMENTS

2.5.2

A list of key personnel that will be assigned to conduct the services specified in the solicitation. Bidders shall furnish a brief description of their level of expertise and two similar projects performed by the key personnel. Key personnel must have expertise in providing research for legal and criminal matters. In the event the Awarded Bidder wishes to substitute or replace key personnel after contract award, the Awarded Bidder must notify the County in writing, request written approval, provide name and description of expertise for substitution/ replacement staff, at least ten (10) business days prior to effecting such substitution.

2.5.3

Provide a copy of the documentation showing that the key personnel are licensed members and in good standing with the Florida Bar. Documentation shall be included at the time of bid submittal.

Bidder shall assign a competent representative who is cognizant of industry standards and is authorized to discuss matters pertaining to the resultant Contract and provide the County with support and information. The Bidder’s representative shall be able to communicate with the County and shall have full authority to act on behalf of the Bidder on all matters related to the resultant Contract. Bidders are required to provide their authorized representative’s name, phone number, and e-mail address. All resources shall be available twenty-four (24) hours a day to provide immediate support and expedite services.

4.2. PRICE SUBMITTAL

Bidder shall provide pricing in INFORMS for legal research services for inmates as indicated under Section 3, Scope of Work, in accordance with all applicable terms and conditions of this Solicitation. Estimated quantities provided in INFORMS are for the initial three-year term of the contract and any subsequent option to renew or extension periods and are provided for Bidders guidance only. Refer to Section 1, Paragraph 1.9, Quantities.

Note: The price per page cannot exceed .55 cents. Unit of measure is per single sided page. Findings must be provided as follows: letter size paper (8 ½ x11), single spaced, typed in Arial 11 font. Estimated annual quantities are for the initial three-year term and one, two-year option to renew period; which is a total of five years.

Legal Information Request Instructions

To help us give you the information you are requesting, please do each of the following, printing in pencil as dark and clear as you can so the information we send will get to you.

1. Print the name of the facility you are currently housed.

2. Print your name (last, first, middle).

3. Print your booking inmate number and housing unit number.

4. List the current date and if you have a court date coming up, please write that date in the space headed “Next Court Date.” We give PRIORITY to cases with court dates.
