Justification and Approval (J&A) for Other Than Full and Open Competition

I. Contracting Activity.

II. Nature and/or description of the action being processed.
Westover ARB, MA, proposes to award a Firm Fixed Price (FFP) contract modification, with Labor Hour (LH) and Cost Reimbursable (CR) CLINs for work that cannot be accurately predicted. The resulting contract modification will include a six (6) month extension (1 Dec 2020 - 31 May 2021) with a six (6) month option to extend services (FAR 52.217-8) (1 Jun 2021 - 30 Nov 2021) under 10 USC 2304(c)(1)/FAR clause 6.302-1 Only One Responsible Source and No Other Supplies/Services will Satisfy Agency Reqs, on the existing contract (FA6606-19-C-A003). The CLIN structure for the modification will mirror the structure that of the contract (FA6606-19-C-A003) was awarded on 1 Dec 2019, and expires on 30 Nov 2020.
The Government anticipated the Westover BOS re-compete conclusion, and a follow-up contract to be awarded, prior to the expiration of the current 12-month contract. During the acquisition planning phase of the follow-on contract, it was determined a Pre-proposal Conference/Site Visit is critical for any interested party to fully capture the scope and comprehend the magnitude associated with the published workload, facilities, vehicles, and installation infrastructure requirements. This knowledge is essential to the interested party's development of a comprehensive proposal for the resulting contract. However, given unforeseen worldwide conditions COVID-19 has placed on travel, and industry concern regarding the fairness and safety of holding a site visit during COVID-19 (per vendor response, attendance discriminates against out-of-state companies and a poses health risk), and to promote competition to the maximum extent possible in the follow-on contract, the Government will defer the site visit until COVID-19 health risks have lowered.
Interest in our BOS contracts continue to raise attention from SDVOSBs across the country. As a whole, our SDVOSB vendor pool remains the same, for all our BOS contracts. Our incumbent BOS contractors represent three different states. Depending on where these contractors are located, the ever-changing travel restrictions, limitations, and/or quarantines will pose a hardship on the SDVOSB pool we pull from. Based on current COVID-19 infection rates, travel to/from most Northeast States is restricted to only Northeastern States. The referenced publicly available data relative to travel constraints and public safety measures, although vital to fight the spread of COVID-19, impose hardships upon our targeted SDVOSB offerors.
On 1 Aug 2020, the Governor of Massachusetts implemented travel orders related to COVID-19, for individuals entering Massachusetts. All visitors entering Massachusetts who do not meet an exemption are to complete the Massachusetts Travel Form prior to arrival, unless visiting from a lower-risk state as designated by the Department of Public Health, and quarantine for 14 days or produce a negative COVID-19 test result that has been administered up to 72-hours prior to your arrival in Massachusetts. The current list of lower-risk state information is on the https://www.mass.gov/info-details/covid-19-travel-order#lower-risk-states- website. As of 18 Sep 2020, there are only 10 states not required to quarantine: Colorado, Connecticut, Maine, New Hampshire, New Jersey, New Mexico, New York, Oregon, Vermont, and Washington.
Because of the uncertainty of the length of the pandemic and the associated travel restrictions, it is not possible to re-schedule the planned site visit in the near future. The current contract expires on 30 Nov 2020, and it is certain that a competitive procurement, including a pre-proposal conference and site visit, will not be performed in time to allow for a 30 Nov 2020 award, much less for a successor contractor to ramp up and be ready to begin performance by 1 Dec 2020. The original procurement using a competitive SDVOSB set-aside projected a follow-on contract award date of 1 Dec 2020, with a sixty (60) day Phase-In period, and a Base Period Start Date of 1 Feb 2021.
The award of the six (6) month extension with a six (6) month option to extend services will be made to the current service provider, Phoenix Management Inc. (PMI). PMI has the unique operational knowledge of the services required to support Westover ARB to prevent a lapse of service. In the absence of alternate courses of action, a contract
March 2018 SOURCE SELECTION SENSITIVE Page 3 of 4 extension awarded to the incumbent contractor is necessary to provide mission essential services between the expiration of the current contract and the award of a follow-on contract.
III. Description of supplies/services required to meet agency needs.
This contract is for Base Operations Support (BOS) Services including Materiel Management, Ground Transportation and Vehicle Management, Traffic Management Operations, Real Property Maintenance, and Fuels Management. The BOS Services contract includes training for Westover ARB Reservists. Total Period of Performance for this extension via J&A is 1 Dec 2020 - 30 Nov 2021. Appropriations 3470 will fund this effort.
IV. Statutory authority permitting other than full and open competition.
10 U.S.C.2304(c)(1), as implemented by FAR 6.302-1, Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements. Use of this authority is appropriate because any lapse in service or a shutdown of mission essential support services would shut down operations at Westover ARB, MA.
V. Demonstration that the contractor's unique qualifications or nature of the acquisition requires the use of the authority cited above (applicability of authority).
PMI is the current contractor who possesses the ability and qualifications to perform Westover ARB mission essential services and no other services will satisfy agency requirements at this time. They provide Base Operating Support services critical to keeping Westover ARB operational to support AFRC mission requirements. PMI has demonstrated successful past performance at this location and has an intimate knowledge of the Westover ARB mission. PMI is currently located on site, and have the financial stability to continue to perform successfully.
The current contract (FA6606-19-C-A003) was awarded under unusual and compelling urgent circumstances IAW FAR 6.302-2 due to unexpected loss of contract support. This contract was awarded as sole source, with a Period of Performance of 1 Mar 2019 to 30 Nov 2019. The Period of Performance was ultimately extended through 30 Nov 2020.
The resulting option was intended to afford sufficient time to implement new acquisition strategy changes, rewrite the PWS to conform to the new commercial strategy, and time to solicit and award an effective contract. The six (6) month extension and addition of a six (6) month option to extend services are necessary to allow continued performance of the required mission essential services. This acquisition is for continued performance of time sensitive mission essential services critical to meeting AFRC mission.
Award to any other source would result in unacceptable delays in fulfilling the Air Force's requirements. The length of the anticipated delay for successful award of the follow-on contract is six (6) to12 months. This amount of time is necessary to schedule and accomplish the Pre-proposal Conference/Site Visit, compete the follow-on source selection, and allow for the phase-in period. The impact of not having these mission essential requirements is Westover ARB will shut down, and thus reduce the ability of the warfighter to accomplish specific missions. Because of the limited performance period, retaining the existing contractor is in the best interest of the Government. This will eliminate the need for a phase-in period and any other associated delays.
Accordingly, the incumbent contractor PMI is the only contractor capable of providing the supplies and services described in Section III above without Westover ARB experiencing unacceptable delays in fulfilling its requirements.
VI. Description of efforts made to ensure that offers are solicited from as many potential sources as practicable.
The award of this short-term extension/option to only one responsible source is necessary to prevent a lapse of critical services, to afford the Government adequate time to conduct a Pre-proposal Conference/Site Visit and ultimately, support the successful solicitation and award of a competitive SDVOSB set-aside. The incumbent has the performance continuity and operational knowledge required to support the installation's mission. The follow-on solicitation is being competed.

VII. Determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.
The cost/price of this contract will be considered fair and reasonable to the government based upon the historical pricing data available to the government from the current contract, which was deemed fair and reasonable at time of original award based on adequate price competition.
VIII. Description of the market research conducted and the results, or a statement of the reasons market research was not conducted.
Market research was conducted under the original award and it was determined that this requirement be set-aside for SDVOSB. Market research for the follow-on contract also supports this requirement be set-aside for SDVOSB.
IX. Any other facts supporting the use of Other Than Full and Open Competition.
Phoenix Management Inc. (PMI) is the incumbent contractor that has manpower in place as well as equipment and material necessary to perform the services for Westover ARB, MA, immediately upon award.
X. List of any sources that expressed, in writing, an interest in the acquisition.
See Section VI above.
XI. A statement of the actions, if any, the agency may take to remove or overcome any barriers to competition before making subsequent acquisitions for the supplies or services required.
To prevent a lapse of critical services and to afford the Government adequate time to conduct a Pre-proposal Conference/Site Visit, a six (6) month extension of services (1 Dec 2020 - 31 May 2021), with a six (6) month Option to Extend Services (1 Jun 2021 - 30 Nov 2021) under FAR 52.217-8 will be added to the existing contract. A follow-on competition is being solicited and the award will remove any barriers to competition. The current target date to post the follow-on competitive solicitation to BetaSAMS is 30 Sep 2020.
