SOLE SOURCE JUSTIFICATION
FOR FEDERAL PROCUREMENTS UNDER SIMPLIFIED ACQUISITION THRESHOLD (i.e. < $150,000)

| Text1: The PMP is a support and instrument maintenance contract. The features of this support agreement include priority access to high quality on site and/or telephone support and software upgrades as soon as they are available. Furthermore, it includes an annual preventative maintenance visit. At the time of the PM, a Waters factory trained engineer will replace all parts subject to wear as defined in Waters’ product specific PM checklist. All parts are guaranteed genuine Waters quality parts, and are included in a comprehensive PM parts kit which is provided for every PM visit. The Performance Maintenance Plan also includes a 35% discount on any additional service required during the contract period. Additionally, charges for corrective maintenance visits are capped at $10,500.00 on a per instrument per event basis, limiting our liability for emergency repairs. |

Service engineers not connected to Waters do not have access to this knowledge base and are at significant disadvantage with respect to its maintenance. Furthermore, Waters’ field service engineers are highly skilled and trained concerning the applications and troubleshooting of this instrument. Thus, the only company that is able to fully support this instrument is Waters. |
The Acquity Ultra Performance Liquid Chromatograph was designed by Waters and incorporates many features unique to this instrument that are based on proprietary knowledge that is the intellectual property of Waters. Service engineers not connected to Waters do not have access to this knowledge base and are at significant disadvantage with respect to its maintenance. Furthermore, Waters’ field service engineers are highly skilled and trained concerning the applications and troubleshooting of this instrument. Thus, the only company that is able to fully support this instrument is Waters.
