52.209-5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (OCT 2015)

(a)(1) The Offeror certifies, to the best of its knowledge and belief, that-

(i) The Offeror and/or any of its Principals-

(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(B) Have ( ) have not ( ), within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation); and

(C) Are ( ) are not ( ) presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision.;

(D) Have , have not , within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,500 for which the liability remains unsatisfied.

(1) Federal taxes are considered delinquent if both of the following criteria apply:

(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).

(ii) The Offeror has ( ) has not ( ), within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.

(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager;

head of a division or business segment; and similar positions).

(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.

(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.

(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.

(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.

52.209-11 REPRESENTATION BY CORPORATIONS REGARDING DELINQUENT TAX LIABILITY OR A

FELONY CONVICTION UNDER ANY FEDERAL LAW (FEB 2016)

(a) As required by sections 744 and 745 of Division E of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. L. 113-235), and similar provisions, if contained in subsequent appropriations acts, the Government will not enter into a contract with any corporation that--

(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or

(2) Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless an agency has considered suspension or debarment of the corporation and made a determination that this action is not necessary to protect the interests of the Government.

(b) The Offeror represents that--

52.211-16 VARIATION IN QUANTITY (APR 1984)

(a) A variation in the quantity of any item called for by this contract will not be accepted unless the variation has been caused by conditions of loading, shipping, or packing, or allowances in manufacturing processes, and then only to the extent, if any, specified in paragraph (b) below.

(b) The permissible variation shall be limited to:

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

PROPOSAL EVALUATION AND FACTORS FOR AWARD

EVALUATION CRITERIA

1. General: This is a Lowest Priced, Technically Acceptable (LPTA) Solicitation. No discussions with offerors are anticipated; rather, the proposals themselves as a stand alone document will be evaluated for award. The evaluation process consists of five parts: Proposal Compliance review; Past Performance evaluation; Small Business verification; Technical and then Price evaluation. Non priced factors are rated as either "Acceptable" or "Unacceptable." **Note: Of the non-priced factors, past performance evaluation is more complex, therefore more definition is provided, but the rating is the same: "Acceptable" or "Unacceptable."

Acceptable/Unacceptable Rating Method

Unacceptable Based on the offeror’s performance record, the Government does not have a reasonable expectation that the offeror will be able to successfully perform the required effort.

2. Non Priced Factors: The Non Priced factors for award are not related to price, but are of equal value to price..

Therefore, all non-priced factors must all be rated as "Acceptable" for the proposal to be considered for award.

2.1 Proposal Compliance Review: This is an initial check by the Contracting Office on the basis of the solicitation requirements. This review may eliminate those proposals that fail to provide complete proposal requirements. Any offer (proposal) received that substantially exceeds cost objective provided in paragraph 10.1 may result in proposal rejection without discussion and not evaluated or considered for award.

2.2 Past Performance: The past performance evaluation is an assessment of the offeror’s probability of meeting the minimum past performance solicitation requirements. This assessment is based on the offeror’s record of relevant and recent past performance information that pertain to the products and/or services outlined in the solicitation requirements. The contractor shall have 5yrs experience with repair and warranty work for the type of upward lifting fabric doors (see PWS) we use at Barnes ANGB.

The Government will evaluate the quality , timeliness, and management of the offeror's past performance considering currency, relevancy, sources, context, and trends on recent (within the last three (3) years) projects performed under the existing or predecessor contracts, other open market projects performed in support of locations serviced by National Guard Contracting Offices. In addition, evaluations available from any source including Government wide databases, such as PPIRS, may be used.

There are other considerations with past performance. The past performance evaluation should determine how well the offeror performed on the prior contracts. In the case where the offeror 's past performance is unknown, this is not automatically considered "unacceptable. Rather, a lack of direct past performance is considered as “neutral.” The information provided in the proposal could include information that may not be recent nor relevant but could offer some information that would overcome a "neutral" rating and be considered “acceptable.”

2.3 Small Business Verification: The clause, 52.219-28 POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION must be filled in and returned with the proposal. The clause, in combination with what is recorded in the SAM registration found at: https://www.sam.gov/ will aid in determining the size. Ultimately, the vendor size must be "small" for the NAICS code assigned in block 10, page 1, of the solicitation (SF 1449). The contractor will use the clause to validate their business size for the NAICS code assigned.

Note: In the case where there is a NAICS code assignment question, contractors are encouraged to use the question and answer, request for information, process during the solicitation period. Do not wait until the conclusion of the solicitation period to address a NAICS change.

2.4 Technical Evaluation. The purpose of technical evaluation is to assess the offeror’s proposed approach, as detailed in its proposal, to satisfy the Government’s requirements. There are two subfactors that will be used to assess the contractor's ability to meet our need: Project Management Team and Quality. Both are evaluated separately at first, then the overall evaluation for technical is combined into an overall rating of "Acceptable" or "Unacceptable."

Note: If there are some discrepancies in formatting the proposal, such as a subfactor is not clearly defined or technical is mixed with past performance, then technical evaluation may look at the proposal as a whole to find a proposal "Acceptable." It is preferred that the proposal repeat, if necessary, information that can be used for both past performance and technical so that each non-priced factor is a separate unit for evaluation..

2.4.1 Subfactor 1: Project Management and Capability. This evaluation considers the qualifications and experience brought by either a team, individual personnel or management approach that will ensure a quality project. Evaluation is to ensure qualified, quality repair personnel are used in the execution of this project. The Government will review the offeror’s capabilities and related experience. This evaluation will be based on the proposal's extent, adequacy and understanding of the Statement of Work (SOW). This can be achieved by selecting the tasks in Section 5 of the PWS and matching elements of experience teams/personnel or management approach.

Also consider innovation, cost savings, and proposed means of communicating a quality end product.

2.4.2 Subfactor 2: Quality Control. Provide a Quality Control Plan that covers the Perforamce Work Statement.

Do not confuse this with the short list of QA that the Government intends to use to verify contractor performance.

Rather, the whole of the project is described in the PWS and the contractor will be evaluated on its Quality Assurance (QA) approach to provide an acceptable end product.

In addition, certain brand name parts and warranty must be defined. The Government will evaluate and consider materials and equipment proposed by brand name and model as a quality standard. If the successful offeror desires to substitute manufacturers or models after award, the substitute must meet the contract requirements and be approved by the Contracting Officer as equal in function, performance, quality and salient features to that initially proposed. Emphasis will be placed on offeror's understanding and compliance with concepts of the SOW.

3. PRICE EVALUATION: The Government will conduct a price evaluation of each offeror's proposal to determine whether or not each proposal complies with the stated criteria: “Reasonableness”, “Realism”, and Affordability”.

3.1 Reasonableness of an offeror's proposal is evaluated through cost or price analysis techniques as described in FAR Subpart 15.305(a) (1) and (4). For price to be reasonable, it must represent a price) that provides value to the Government when consideration is given to prices in the market, technical and functional capabilities of the offeror and risk. When evaluating price evaluators will also check for the appearance of unbalancing of costs. Offerors are cautioned to distribute costs and to evenly distribute indirect costs, such as job overhead, home office overhead etc.

Bond may be shown as a specific individual cost.

3.2 Realism is evaluated by assessing the compatibility of proposed costs with proposal scope and effort. For cost (Price) to be realistic, it must reflect what it would cost the offeror to perform the effort if the offeror operates with reasonable economy and efficiency. Proposals unrealistically high or low in price, when compared to the government estimate may be indicative of an inherent lack of understanding of the solicitation requirements and may result in proposal rejection without discussion. Any inconsistency, whether real or apparent, between proposed performance and price must be clearly explained in the price proposal. For example, if unique and innovative approaches are the basis for an unbalanced/inconsistently priced proposal, the nature of these approaches and their impact on price must be completely documented. The burden of proof of price realism rests solely with the offeror.

3.3 In the event the Government does not award a contract pursuant to this solicitation within 30 calendar days after receipt of proposals, the contractor may be asked to extend their approval period. This could be a question of "Affordability" and certain arrangements may cause delay to award. No additional proposal revisions will be allowed under these conditions. This does not constitute and shall not be construed as discussions.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (JAN 2017)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at https://www.sam.gov/portal. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u) of this provision.

(a) Definitions. As used in this provision --

“Administrative merits determination” means certain notices or findings of labor law violations issued by an enforcement agency following an investigation. An administrative merits determination may be final or be subject to appeal or further review. To determine whether a particular notice or finding is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.

“Arbitral award or decision” means an arbitrator or arbitral panel determination that a labor law violation occurred, or that enjoined or restrained a violation of labor law. It includes an award or decision that is not final or is subject to being confirmed, modified, or vacated by a court, and includes an award or decision resulting from private or confidential proceedings. To determine whether a particular award or decision is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.

“Civil judgment” means—

(1) In paragraph (h) of this provision: A judgment or finding of a civil offense by any court of competent jurisdiction.

(2) In paragraph (s) of this provision: Any judgment or order entered by any Federal or State court in which the court determined that a labor law violation occurred, or enjoined or restrained a violation of labor law. It includes a judgment or order that is not final or is subject to appeal. To determine whether a particular judgment or order is covered by this definition, it is necessary to consult section II.B. in the DOL Guidance.

“DOL Guidance” means the Department of Labor (DOL) Guidance entitled: ``Guidance for Executive Order 13673, `Fair Pay and Safe Workplaces' ''. The DOL Guidance, dated August 25, 2016, can be obtained from www.dol.gov/fairpayandsafeworkplaces.

“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Enforcement agency” means any agency granted authority to enforce the Federal labor laws. It includes the enforcement components of DOL (Wage and Hour Division, Office of Federal Contract Compliance

Programs, and Occupational Safety and Health Administration), the Equal Employment Opportunity Commission, the Occupational Safety and Health Review Commission, and the National Labor Relations Board. It also means a State agency designated to administer an OSHA-approved State Plan, but only to the extent that the State agency is acting in its capacity as administrator of such plan.
