Department of the Army FAR Part 6 Justification and Approval for Other than

Full and Open Competition

1. Contracting Activity: United States Property and Fiscal Office (USPFO) for Indiana, 2002

South Holt Road, Indianapolis, Indiana 46241.

2. Description of the action: The Indiana USPFO Procurement and Contracting office, on behalf of the Office of the Secretary of Defense (OSD) contracts a firm, fixed price bridge contract for Training Support Services with the incumbent contractor, McKellar Corporation.

This contract action is necessary to support two (2) 13-day Civilian Expeditionary Workforce (CEW) events under OSD’s Civilian Deployment Training Program while the recently solicited replacement contract continues to undergo source selection. The Government projects award of the new competitive action in mid-March 2017. OSD has provided sufficient current year funds from the 0100 appropriation to support this effort.

3. Description of Supplies/Services: The Government requires Contractor support for two

CEW events under the OSD Civilian Deployment Training Program. During the 13-day events, the Contractor shall provide support for three key areas: Program Training Management, Delivery of Deployment Training Events, and Evaluation/Assessment of the Training Events. The CEW training program is one aspect of the overarching Government Support Service and Deployment programs which also supports the Ministry of Defense Advisory (MoDA) program; Cyber Command initiatives; Dept of Homeland Security (DHS);

and Dept of Energy (DoE) under the OSD Directorate for Training Readiness and Strategy.

This particular training event will provide deploying civilians and their military counterparts a comprehensive, full-immersion preparation experience tailored to a specific integrated set of civilian and military integrated requirements. The estimated total cost of the two training events is $548,000.00.

4. Authority Cited: 10 U.S.C. 2304(c)(1) as implemented by FAR 6.302-1(a)(2)(iii), Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Reason for Authority Cited:

a. This is a follow-on bridge contract for highly specialized, non-personal, non-commercial expeditionary training services which are only available from the original program developer (McKellar Corp). This action is necessary to support an OSD training events between the expiration of the previous contract vehicle and the award of the new, competitively bid IDIQ contract. The training event is expected to utilize the existing contractor-provider training program and experienced support personnel. As a result, award of this short-term bridge to any other source would cause the Government to incur a substantial duplication in cost to the Government, not expected to be recovered through competition, and would also cause unacceptable delays in fulfilling the agency’s requirements.

b. The Government would incur substantial duplication of costs associated with course re-development/design, course delivery, and course revisions should a new contractor be required. Review of proposal pricing information from the current IDIQ solicitation, Control No: 17-02

W912L9-16-R-0003, reveals that a new contractor would need to hire and train qualified subject matter experts, translators, trainers and administrative staff. This would subject the Civilian Expeditionary Workforce (CEW) program to potential performance and schedule risks that could jeopardize the mobilization schedule, deployment and redeployment schedule of the CEW students. Utilizing the incumbent contractor for this short-term bridge allows for the uninterrupted continuity of services at an extremely high performance level without incurring unnecessary costs and risks.

c. The incumbent, McKellar Corporation, has developed the program and provided support services for six years under single-award, Indefinite Delivery, Indefinite Quantity contract, W912L9-11-D-0001 as well as the previous bridge contract for January 2017 CEW event, W912L9-17-C-0001. The task order providing the specific CEW support discussed herein expired on 31 December 2016. On 4 February 2017, OSD-Policy and Readiness (P&R) requires training services for approximately 35 Department of the Army Civilians to prepare them for forward deployment. The required preparation for this training and deployment support is complex and critically time sensitive. In order to meet this training requirement the initiation of requisite Subject Matter Experts (SMEs), role players and facility scheduling must commence no later than 2 February, 2017. McKellar Corporation is already capable and only requires a continuance of previous efforts to meet the short term needs for immediate training services. McKellar Corporation is the only source capable of successfully conducting the training program and providing the support services needed during the short gap in service.

6. Efforts to Obtain Competition: The Government has set-aside this requirement for Service

Disabled Veteran Owned Businesses (SDVOSB). A competitive action is in process of award with an expected completion date of March 2017.

7. Actions to Increase Competition: The Government is in the process of awarding a competitive contract vehicle for the overarching program.

8. Market Research: Market research was conducted in June 2016 for the current competitive solicitation (W912L9-16-R-0003) expected to be awarded in March 2017. The market research validated the Government’s expectation of adequate competition amongst SDVOSB concerns.

10. Other Facts:

a. Procurement History. In 2011 a competitive, 100% SDVOSB set-aside solicitation was issued for a single award IDIQ for training support services. The resulting contract, W912L9- 11-D-0001, was issued to McKellar Corporation as a one-year base plus four option year period. Each of the option years were exercised as well as the Option to Extend Services authority as allowed under FAR clause 52.217-8. This was utilized in order to allow time to solicit for a replacement IDIQ and to enable the ongoing training requirements of the Civilian Expeditionary Workforce and Ministry of Defense Advisors programs. That authority expired December 31, 2016.

b. Solicitation W912L9-16-R-0003 was issued in August 2016, again as a competitive, 100% SDVOSB set-aside for a single award IDIQ. As of this date, the source selection process is still on-going. At the time the solicitation was issued it was estimated that an award will be issued in mid-January, 2017.

c. In late December it was determined that the IDIQ would not be awarded in time to issue a task order for CEW training services starting in January, therefore a one-month bridge contract was awarded to McKellar Corporation to allow training to continue. The contract number was W912L9-17-C-0001.

d. The IDIQ solicitation was recently amended on Monday, January 23rd, 2017 in order to receive revised price proposals which are due on Monday, January 30th, 2017. As a result, the IDIQ will not be available in time to award a task order for the February CEW training course beginning on February 4th, 2017. It is also likely that the additional time required to review the revised proposals and finalize the source selection process would not allow its availability for the March training event and so this sole source award is being made for both the February and March events.

e. McKellar Corporation has successfully performed this same course over the past 5 years as evidenced by their CPARS reports. As such risk of unsuccessful performance on this particular course is evaluated as very low.

11. Actions to remove or overcome barriers to competition:

The requirement for Whole of Government training services which includes the CEW program has been competitively solicited as a SDVOSB set-aside and is currently in the source selection phase. It is anticipated that the resulting award from the solicitation will be completed in March 2017.

14. Fair and Reasonable Price Determination: I hereby determine that the anticipated cost to the Government for this contract action will be fair and reasonable based upon FAR Part 15.404-1(b)(2)(ii) and (v), comparison of proposed prices to historical prices paid and comparison of proposed prices with independent Government cost estimates.
