SUBJECT: Questions & Answers #1

Q1: We are inquiring as to your possible need for Relocation/Move Project Management Services within the A/E IDIQ.

A1: Please review the DISCIPLINES section in the synopsis. Other disciplines with specialized experience may be needed as necessary.

Q2: Is this project considered a new requirement?

A2: This requirement is not a project, but rather a contract vehicle that will be used to issue individual task orders for future, small projects that require A-E services.

Q3: If this project is not considered a new requirement; Who is the incumbent? What is the contract number?

A3: The previous incumbent was Oak Point Associates; contract number W912JD-08-D-0001.

Q4: We have been approached by a woman owned small business about serving on their team for this opportunity. Is there a minimum percentage of work that the Woman Owned Small Business must self-perform within their firm?

A4: The controlling WOSB shall perform at least 50% of the cost of the contract for personnel with its own employees. The Compliance Guide for WOSB Program was uploaded into the synopsis on 5 February 2013.

Q5: How can I find out who else might be putting a team together for this project?

Q6: Does 50% or more of profits have to stay with the prime WOSB if they have a subcontract with another WOSB?

A6: The WOSB still has to do a significant portion of the work. They have various ways to do this contract; they can self-perform 100%, subcontract out a portion or form a joint venture. In the case of a joint venture, they are essentially taking two companies and merging them together for the purpose of performing under a contract. The offer is presented in the name of the joint venture. In the case of a WOSB set-aside, the controlling firm has to do the majority of the work under the contract, which can include administrative duties towards the significant portion of work. The issues arise when you have a WOSB and another category of business or a large business. In this case the WOSB company cannot being used as a pass through for the larger company.

In the case of the IDIQ contract, the 51% does not apply to individual delivery orders but to the master IDIQ itself. For example, you may issue a delivery order to the WOSB but they can only do 40% of the work with their own resources. That is okay, because the next delivery order issued to them they may be self-performing 80% or better. The test is can they do a significant portion of the work with their own resources for the base contract.

If a joint venture is formed, a copy of the joint venture agreement shall be provided to the contracting officer. It should be in writing and it should clearly spell out what each company is bringing to the table. The joint venture agreement shall identify if it is a populated or an unpopulated agreement and who the personnel would be. The joint venture agreement shall identify who the controlling company is...this has to be the WOSB.

The joint venture should be formed before submitting the offer and provide for contract performance. The joint venture can be a partnership, LLC or Corporation. The joint venture is limited in scope and the joint venture can only bid up to three proposals in a 2 year period. All the partners in the joint venture must be small except for an SBA approved Mentor-Protégé relationship.
