1.1 INTRODUCTION

The United States Army Corps of Engineers, St. Paul District (Government) is soliciting a Request for Qualifications (RFQ) for the Crow River Bank Stabilization Project (Project) as Phase 1 of a two‐phase design‐build selection procedure. A two‐phase procurement structure will be used for the Project, consisting of a Phase 1 Request for Qualifications (RFQ) and a subsequent Phase 2 Request for Proposals (RFP). The RFQ is being issued to identify, using the criteria and methodology described herein, a shortlist of highly qualified and capable design‐build teams that will be invited to submit technical/price proposals for Phase 2 (RFP portion). The Government anticipates that three firms will be shortlisted (from the RFQ responses) and invited to submit responses to the RFP; however, the Government reserves the right to shortlist more or fewer firms depending on the responses to the RFQ received. All Offerors will receive written notice regarding whether or not they were selected to compete in Phase 2.

In Phase 2, the RFP package will be issued to the shortlisted design‐build teams and will specify technical and pricing criteria. Those selected to compete for Phase 2 will have approximately 60 calendar days to prepare and submit their Phase 2 proposals. The Phase 2 proposals will be evaluated by the Government to select the design‐build contractor for the project.

1.2 GENERAL DESCRIPTION OF WORK

The project is located in Hennepin County on the South Fork of the Crow River, just northeast (downstream) of and adjacent to the Delano Sportsmen’s Club, and on the west side of Rebecca Park Road, also known as County Road 50. In this location, the South Branch of the Crow River constitutes the border between Wright and Hennepin counties in Minnesota. The Corps completed a bank stabilization project in the area in 2012 under the authority of Section 14 of the Flood Control Act of 1948, which constructed a 500‐foot‐long geogrid reinforced soil slope along County Road 50 to protect it from the erosive effects of the Crow River. After construction of the previous project, two areas adjacent to the transitions from geogrid reinforced soil slope to natural ground developed slope stability issues. These areas are denoted as “Target Areas” as shown on Attachment 1 of Section 00 83 00 of this RFQ.

The proposed project consists of additional design and construction to stabilize these two Target Areas. Background information on the observed problems and a recent inspection are included as Attachments 2 and 3 of Section 00 83 00 of this RFQ.

The Corps is seeking offerors who have experience in the design and construction of similar streambank protection projects and geogrid reinforced soil slopes. The work will involve designing and constructing a streambank erosion protection project for this segment of County Road 50, for the target areas defined on Attachment 1. Survey information is being obtained by Hennepin County, and will be provided during phase 2 of this process (request for proposal). Previous design and construction information will be provided during phase 2 of this process. During phase 2, the Offerors identified as the most highly qualified in Phase 1 will be asked to submit a Phase 2 proposal for design and construction of the project.

Phase 2 proposals will be evaluated on technical merit as well as the value of the work proposed.

Section 00 10 00, page 4

Prior to award of the Phase 2 contract, the Corps will determine if the National Environmental Policy Act compliance document (Environmental Assessment) prepared for the previous project will need to be updated. The NEPA compliance process is expected to take up to 60 days. Therefore, the Phase 2 Offerors shall guarantee their quoted price for 90 days following the submittal of Phase 2 proposals.

The successful Offeror from phase 2 shall be responsible for design, hydraulic analysis, quality control, professional engineering certification of the design, acquisition of all applicable permits, obtaining traffic control plan approvals, construction, construction oversight and preparing as‐built drawings. Hennepin County, the non‐Federal sponsor for the project, shall acquire the rights‐of‐entry for the areas shown on Attachment 1 of Section 00 83 00. The successful Offeror in Phase 2 shall be responsible for acquiring any rights‐of‐entry outside of this area unless the non‐Federal sponsor agrees to acquire the additional right‐of‐entry for the successful Offeror.

Following award of the Contract, the successful Offeror from Phase 2 shall submit 65% designs, from which the Corps and the local sponsor (Hennepin County) will provide courtesy comments. The successful Offeror from Phase 2 shall submit 100% designs, from which it will apply for and obtain the applicable permits, prior to the Corps issuing the Notice to Proceed with Construction. Permits include, but are not limited to: Public Waters Work Permit from the Minnesota Department of Natural Resources (DNR) and a Section 401 Certification from the Minnesota Pollution Control Agency (PCA). Depending on what the PCA determines, a National Pollutant Discharge Elimination System Permit (NPDES)/State Disposal System (SDS) General Stormwater Permit may be required, which would require a detailed Stormwater Pollution Prevention Plan (SWPPP), and a Section 10 Permit from the Corps. The successful Offeror from Phase 2 should allow 60‐90 days in its schedule to obtain these permits.

The successful Offeror from Phase 2 shall develop and submit a schedule that ensures that the design and construction components are completed sufficiently to evidence the beginning of establishment of turf, and that the as‐built drawings are completed no later than 30 September 2019.

An Environmental Assessment and 404(b)(1) was previously completed by the Corps for the Section 14 Crow River Project in 2011, which covered the requirements of the National Environmental Policy Act (NEPA) and the Clean Water Act (CWA), respectively. Previous environmental documents and permits are included as Attachments 4, 5 and 6 of Section 00 83 00 of this RFQ.

The materials submitted will be evaluated and a shortlist of Offerors will be selected to proceed to Phase 2 (RFP) that are determined to be the most highly qualified by the Government. All Offerors will receive written notice of whether they were or were not selected to compete in Phase 2. The fact that a particular Phase 1 qualification is not selected to participate in Phase 2 is not necessarily an indication that the Offeror, its proposed team, or its Phase 1 qualification were in any way deficient or unacceptable but only that more highly rated proposals were present in this competition. Offerors not participating in Phase 2 are encouraged to submit bids or proposals in response to other St. Paul District procurements.

(b) Note specifically that the Offeror will not be participating in a sealed bid procurement process under this acquisition method. Issuance of this Request for Qualifications does not constitute an award commitment on the part of the Government.

(c) Qualifications must set forth full, accurate, and complete information as required by this RFQ, (including attachments). The penalty for making false statements is prescribed in 18 U.S.C. 1001.

1.13.1 General Requirements

General requirements regarding qualifications submission formats for Phase 1 of this solicitation are described below. See Section 00 11 00 for detailed RFQ submission requirements. The Phase 1 qualifications will be evaluated, and the following qualifications will be examined to determine if the Phase 1 Offeror is highly‐qualified. The Phase 1 Offeror may provide qualifications for multiple individuals within the Geotechnical Engineer, Hydraulic Engineer, Construction Manager and Other disciplines categories as the Government recognizes that staff availability may change.

The following are the minimum requirements for qualifying for this solicitation:

• Company shall have experience in designing and building at least 4 streambank erosion control projects and 1 geogrid reinforced soil slope. Experience may come in the form of a single company doing both design and construction, a partnership of two companies, one doing the design and the other doing the construction, as long as the personnel whose qualifications are provided in the RFQ submittal are those who will be performing the work.

• Geotechnical Engineer with a Professional Engineering license in the U.S. with 10+ years of experience and who has designed at least 4 streambank erosion repair projects before and designed at least one geogrid reinforced soil slope.

• Civil Engineer with a professional engineering license in the U.S. with 5+ years of experience in roadway design including drainage and traffic management.

• Hydraulic engineer with a professional engineering license in Minnesota with 10+ years of experience in fluvial geomorphic assessment, designing streambank erosion protection, and discharge frequency analysis, and permitting and construction management. Must be well versed in bank stabilization methods including hard armoring and bio‐stabilization methods adjacent to endangered infrastructure in steep, confined, and wooded setting with ability to showcase a minimum of 3 projects with this application.

Hydraulic engineer must have 10+ years of experience using HEC‐RAS and experience with local and state permitting requirements and coordination with regulatory agencies on flood stage impacts on the floodplain (and regulatory floodway) as particularly related to the National Flood Insurance Program.

Hydraulic Engineer must possess and demonstrate a good understanding of fluvial geomorphic field assessment and processes, sediment transport and design. An advanced degree in a relevant river restoration field of study including fluvial geomorphology would be desirable. Specific training related to this field should be described.

Section 00 10 00, Page 9

Firm should have experience preparing modifications to the National Flood Insurance Program. Experience with successfully submitting a Conditional Letter of Map Revision/Letter of Map Revision (CLOMR/LOMR) and achieving approval of same should be demonstrated.

• Construction Manager with recent construction management experience (within the last five years) and who has managed the construction of at least 4 of streambank erosion repair projects and has overseen the construction of at least one geogrid reinforced soil slope.

• Other disciplines, such as landscape architecture, drafting, which may be needed for this project.

If the Phase 1 Offeror is invited to submit a Phase 2 proposal, the qualifications submitted in Phase 1 for the Geotechnical Engineer, Hydraulic Engineer, Construction Manager and Other disciplines categories will be verified in Phase 2. If any of the key personnel identified in the Phase 1 qualifications are no longer available, the Offeror may propose different, similarly‐qualified key personnel as part of its Phase 2 submittal, but will need to submit these qualifications in their phase 2 submittal. The Government may reject the Phase 2 proposal containing substitute personnel, if the substitute individual’s qualifications would have caused the Offeror’s Phase 1 qualifications to be declined in Phase 1. The key personnel identified by the successful Offeror in Phase 2 shall be required to perform and certify the work in Phase 3. No substitution of key personnel shall be allowed after the award of the Contract unless approved in writing by the Contracting Officer. In the event that the Contractor cannot provide the listed key personnel or personnel of comparable qualifications, the Contracting Officer may reduce the contract price or take such other actions as are necessary to protect the interests of the Government, including cancelling the contract.

1.14.1 52.214‐34 SUBMISSION OF OFFERS IN THE ENGLISH LANGUAGE (APR 1991). Offers submitted in response to this solicitation shall be in the English language. Offers received in other than English shall be rejected. (End of provision)

1.14.2 52.215‐1 INSTRUCTIONS TO OFFERORS – COMPETITIVE ACQUISITION (Jan 2017)

(a) Definitions. As used in this provision—

“Discussions” are negotiations that occur after establishment of the competitive range that may, at the Contracting Officer’s discretion, result in the offeror being allowed to revise its proposal.

“In writing,” “writing,” or “written” means any worded or numbered expression that can be read, reproduced, and later communicated, and includes electronically transmitted and stored information.

“Proposal modification” is a change made to a proposal before the solicitation’s closing date and time, or made in response to an amendment, or made to correct a mistake at any time before award.

“Proposal revision” is a change to a proposal made after the solicitation closing date, at the request of or as allowed by a Contracting Officer as the result of negotiations.

“Time,” if stated as a number of days, is calculated using calendar days, unless otherwise specified, and will include Saturdays, Sundays, and legal holidays. However, if the last day falls on a Saturday, Sunday, or legal holiday, then the period shall include the next working day.

(b) Amendments to solicitations. If this solicitation is amended, all terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to this solicitation by the date and time specified in the amendment(s).

(c) Submission, modification, revision, and withdrawal of proposals.

(1) Unless other methods (e.g., electronic commerce or facsimile) are permitted in the solicitation, proposals and modifications to proposals shall be submitted in paper media in sealed envelopes or packages:

(i) addressed to the office specified in the solicitation, and

Section 00 10 00, Page 12

(ii) showing the time and date specified for receipt, the solicitation number, and the name and address of the offeror. Offerors using commercial carriers should ensure that the proposal is marked on the outermost wrapper with the information in paragraphs (c)(1)(i) and (c)(1)(ii) of this provision.

(2) The first page of the proposal must show—

(i) The solicitation number;

(ii) The name, address, and telephone and facsimile numbers of the offeror (and electronic address if available);

(iii) A statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation and agreement to furnish any or all items upon which prices are offered at the price set opposite each item;

(iv) Names, titles, and telephone and facsimile numbers (and electronic addresses if available) of persons authorized to negotiate on the offeror’s behalf with the Government in connection with this solicitation; and

(v) Name, title, and signature of person authorized to sign the proposal. Proposals signed by an agent shall be accompanied by evidence of that agent’s authority, unless that evidence has been previously furnished to the issuing office.

(3) Submission, modification, revision, and withdrawal of proposals.

(i) Offerors are responsible for submitting proposals, and any modifications or revisions, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that proposal or revision is due.

(ii

(A) Any proposal, modification, or revision received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and—

(1) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of proposals; or

(2) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government’s control prior to the time set for receipt of offers; or

(3) It is the only proposal received.

(B) However, a late modification of an otherwise successful proposal that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

Section 00 10 00, Page 13

(iii) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the proposal wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(iv) If an emergency or unanticipated event interrupts normal Government processes so that proposals cannot be received at the office designated for receipt of proposals by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation, the time specified for receipt of proposals will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(v) Proposals may be withdrawn by written notice received at any time before award.

Oral proposals in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile proposals, proposals may be withdrawn via facsimile received at any time before award, subject to the conditions specified in the provision at 52.215‐5, Facsimile Proposals. Proposals may be withdrawn in person by an offeror or an authorized representative, if the identity of the person requesting withdrawal is established and the person signs a receipt for the proposal before award.

(4) Unless otherwise specified in the solicitation, the offeror may propose to provide any item or combination of items.

(5) Offerors shall submit proposals in response to this solicitation in English, unless otherwise permitted by the solicitation, and in U.S. dollars, unless the provision at FAR 52.225‐17, Evaluation of Foreign Currency Offers, is included in the solicitation.

(6) Offerors may submit modifications to their proposals at any time before the solicitation closing date and time, and may submit modifications in response to an amendment, or to correct a mistake at any time before award.

(7) Offerors may submit revised proposals only if requested or allowed by the Contracting Officer.

(8) Proposals may be withdrawn at any time before award. Withdrawals are effective upon receipt of notice by the Contracting Officer.

(d) Offer expiration date. Proposals in response to this solicitation will be valid for the number of days specified on the solicitation cover sheet (unless a different period is proposed by the offeror).

(e) Restriction on disclosure and use of data. Offerors that include in their proposals data that they do not want disclosed to the public for any purpose, or used by the Government except for evaluation purposes, shall—

(1) Mark the title page with the following legend:

This proposal includes data that shall not be disclosed outside the Government and shall not be duplicated, used, or disclosed—in whole or in part—for any purpose other than to evaluate this proposal. If, however, a contract is awarded to this offeror as a result of—or in connection with—the submission of this data, the Government shall have the right to

Section 00 10 00, Page 14 duplicate, use, or disclose the data to the extent provided in the resulting contract. This restriction does not limit the Government's right to use information contained in this data if it is obtained from another source without restriction. The data subject to this restriction are contained in sheets [insert numbers or other identification of sheets]; and

(2) Mark each sheet of data it wishes to restrict with the following legend:

Use or disclosure of data contained on this sheet is subject to the restriction on the title page of this proposal.

(f) Contract award.

(1) The Government intends to award a contract or contracts resulting from this solicitation to the responsible offeror(s) whose proposal(s) represents the best value after evaluation in accordance with the factors and subfactors in the solicitation.

(2) The Government may reject any or all proposals if such action is in the Government’s interest.

(3) The Government may waive informalities and minor irregularities in proposals received.

(4) The Government intends to evaluate proposals and award a contract without discussions with offerors (except clarifications as described in FAR 15.306(a)). Therefore, the offeror’s initial proposal should contain the offeror’s best terms from a cost or price and technical standpoint.

The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.

(5) The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit cost or prices offered, unless the offeror specifies otherwise in the proposal.

(6) The Government reserves the right to make multiple awards if, after considering the additional administrative costs, it is in the Government’s best interest to do so.

(7) Exchanges with offerors after receipt of a proposal do not constitute a rejection or counteroffer by the Government.

(8) The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced between line items or subline items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.

(9) If a cost realism analysis is performed, cost realism may be considered by the source selection authority in evaluating performance or schedule risk.

Section 00 10 00, Page 15

(10) A written award or acceptance of proposal mailed or otherwise furnished to the successful offeror within the time specified in the proposal shall result in a binding contract without further action by either party.

(11) If a post‐award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:

(i) The agency’s evaluation of the significant weak or deficient factors in the debriefed offeror’s offer.

(ii) The overall evaluated cost or price and technical rating of the successful and the debriefed offeror and past performance information on the debriefed offeror.

1 OVERVIEW

The United States Army Corps of Engineers, St. Paul District (Government) is soliciting a Request for Qualifications (RFQ) for the Crow River Bank Stabilization Project (Project) as Phase 1 of a two‐phase design‐build selection procedure. A two‐phase procurement structure will be used for the Project, consisting of a Phase 1 Request for Qualifications (RFQ) and a subsequent Phase 2 Request for Proposals (RFP). This Phase 1 RFQ is being issued to identify, using the criteria and methodology described herein, a shortlist of highly qualified and capable design‐build teams that will be invited to submit technical/price proposals for Phase 2 (RFP portion). The Government anticipates that three firms will be shortlisted (from the RFQ responses) and invited to submit responses to the RFP; however, the Government reserves the right to shortlist more or less firms depending on the responses to the RFQ received. All Offerors will receive written notice if they were or were not selected to compete in Phase 2.

In Phase 2, the RFP package will be issued to the short listed design‐build teams and will specify technical and pricing criteria. Those selected for Phase 2 will have approximately 60 calendar days for submittal of Phase 2 proposal. The responses to the RFP will be evaluated by the Government to select the design‐build contractor for the project.

2 PROJECT DESCRIPTION

The project is located in Hennepin County on the South Fork of the Crow River, just northeast (downstream) of and adjacent to the Delano Sportsmens Club, and on the west side of Rebecca Park Road, also known as County Road 50. In this location, the South Branch of the Crow River constitutes the border between Wright and Hennepin counties in Minnesota. The Corps completed a bank stabilization project in the area in 2012 under the authority of Section 14 of the Flood Control Act of 1948. The previous project experienced problems upstream and downstream of the project with the transitions from geogrid reinforced soil slope to the natural slope. The proposed project consists of additional design and construction to stabilize the County Road 50 embankment adjacent to the existing Corps geogrid reinforced soil slope, and to protect County Road 50 from further erosive effects of the river. The approximate limits of work have been pre‐ defined.

3 SCHEDULE

The estimated schedule is as follows. Regardless of the date of contract award, the latest Interim Project Completion date is 30 September 2019. Interim project completion includes all design, permitting, construction, as‐built drawings and sufficient physical evidence of establishment of turf. Final acceptance may extend into the following construction season to allow for establishment of turf during the one‐year standard warranty period, which will be measured from the Interim Project Completion Date.

This is a competitive two‐phase (RFQ and RFP) acquisition for the award of a firm fixed price contract.

After short‐listing qualified offerors in Phase 1, the Government will invite those qualified offerors to submit a Phase 2 proposal, which will be evaluated for technical merit. Cost will be a factor. The Government will award a firm fixed price contract to the responsible Offeror whose Phase 2 proposal has been determined to be the most advantageous to the Government ‐ technical/quality, price and other evaluation factors considered.

5 BASIS FOR AWARD

The basis of award for Phase 2 is the best value trade‐off; therefore, the Government has the right to accept other than the lowest price offer. The right is also reserved to reject any and all offers. The Government intends to award without discussions, but reserves the right to conduct discussions at any time during the Phase 1 (RFQ) or Phase 2 (RFP) evaluations as needed.

6 STIPEND

A stipend will not be paid to those Offerors that submit a response to the RFQ in Phase 1, or to the short‐ listed firms invited to submit proposals to the RFP in Phase 2.

Section 00 11 00, Page 5

7 GENERAL INSTRUCTIONS

Submit the Phase 1 (RFQ) proposal in a tabbed, three‐ring binder; refer to Section 00 10 00, “Instructions to Offerors” for additional information. Note that the Government will not evaluate any material that exceeds the page limits, as indicated in Section 00 10 00. PHASE 1 DOES NOT INVOLVE PRICING

SUBMISSION.

Offerors are discouraged from providing information not required by the solicitation. The Offeror shall address each of the factors in sufficient detail to permit a complete and comprehensive evaluation. Any deviation from the solicitation requirements may result in non‐consideration of its Phase 1 qualifications.

Phase 1 (RFQ) responses should be submitted and segregated by TAB as follows:

• TAB A – Proposal Data Sheet

• TAB B – Company Capabilities and Experience

• TAB C – Past Performance

• TAB D – Key Project personnel

The content of each of these tabbed sections is described in the table in Section 00 10 00 of this RFQ.

8 PROPOSAL COMPLIANCE REVIEW

Upon receipt of the Phase 1 qualifications, the Government will screen them to ensure each is properly completed, executed, and submitted in accordance with the solicitation requirements. The Government may remove from further consideration any offeror’s Phase 1 qualifications that fails to provide a complete and signed proposal transmittal form (TAB A), a technical/quality proposal (TABS B‐D), or is submitted in an incorrect or incoherent format.

1.0 EVALUATION PROCEDURES

The purpose of the evaluation process is to provide critical input to the source selection determination by providing a rational basis for selection of the successful Phase 1 (RFQ) offerors who will be invited to submit proposals in Phase 2 (RFP).

During evaluation of Phase 1 qualifications, ratings will be assigned for the factors and subfactors.

Ratings will be adjectival, rather than numerical, as described in the rating scheme, Section 3.2.2.

During the evaluation, evaluators will cite the strengths, weaknesses, deficiencies, deviations and betterments of each Phase 1 qualification associated with each factor and subfactor. At the completion of the evaluation process, each factor of each Phase 1 qualification will be assigned a single rating. The single ratings for each factor will be determined by discussion and consensus of the Government’s evaluators, considering the consensus ratings and relative importance of subfactors under each factor.

If any subfactor is rated “unacceptable,” the single rating for the factor will be “unacceptable”.

A rating of “unacceptable” for any factor or subfactor will result in the Offeror being ineligible for selection in the Phase 1 (RFQ) stage, unless the Government decides to hold discussions, includes the Offeror in the competitive range, and all of the Offeror’s ratings are improved to at least “marginal” for the Offeror’s revised Phase 1 qualifications.

The Government may remove a Phase 1 qualification that does not pass the Proposal Compliance Review, as described in Section 00 11 00.

2.0 DEFINITIONS

A “strength” is a provision in the Phase 1 qualification that increases the likelihood of successful contract performance.

A "weakness" is a flaw in the Phase 1 qualificationthat increases the risk of unsuccessful contract performance.

A "significant weakness" in the Phase 1 qualification is a flaw that appreciably increases the risk of unsuccessful contract performance.

A "deficiency" is a material failure of a Phase 1 qualificationto meet a Government requirement or a combination of significant weaknesses in a Phase 1 qualification that increases the risk of unsuccessful contract performance to an unacceptable level.

A "deviation" occurs when a Phase 1 qualification takes exception to, implies or specifically offers something that does not meet a Government requirement. Although required by the solicitation, the Offeror may not have called the deviation to the attention of the Government. Evaluators must identity all discovered deviations.
