Justification and Approval

For Other than

Full and Open Competition

1. Contracting Activity: US Army Corps of Engineers, Huntsville Center.

2. Description of Action: The purpose of this action is to issue a new; Firm Fixed Priced (FFP) commercial purchase order to Geosoft Inc. located at Queens Quay Terminal, 207 Queens Quay

West, Suite 810, Toronto, ON M5J1A7 Canada. Cost sharing from multiple DoD agencies using FY

2017 Operations and Maintenance (O&M) funds will be used to initiate this procurement. The proposed total value of this contract action is estimated at . The obligated amount for the base period is estimated at ; NAICS Code 511210.

3. Description of Supplies: Provide software licenses, maintenance and support as described herein to the Department of Defense (DoD) Military Munitions Response Program (MMRP); to be managed by the U.S. Army Corps of Engineers, Environmental and Munitions Center of Expertise, Military Munitions Division (CX-MM).

Provide 30 Oasis montaj licenses on a subscription basis, with technical support, including the following modules: Oasis Montaj, Montaj Geophysics, Montaj UXO Land, Montaj UXO

Marine, UX-Analyze, and USACE Custom Software developed by Geosoft Inc.

Provide the most current release version for installation at time of award and licenses will be upgraded and maintained with the most current software releases, typically provided twice per year.

Provide ongoing maintenance, bug fixes, technical support and release testing for the DX-

Process extension.

Geosoft will provide up to five (5) days of annual public training for DoD and its contractors in UX- Analyze and related topics, on site in Huntsville, Denver or at another agreed location within the continental US. This includes travel costs and travel time for up to two trainers, preparation time, obtaining training location and any documentation/ training materials.

DoD originally contracted with Geosoft, Inc. for the customization of the Oasis Montaj UX-Process software, which is currently in the operation and maintenance phase.

The UX-Process tools are currently used on MMRP projects by contractors and government personnel and allow those users to be more effective in assessing and documenting the quality of the product delivered. The suite of capabilities provided in this extensive set of tools is not available in any other software platform. The main capabilities of this software include:

Tools for geophysical and navigation data manipulation, corrections and processing;

Tools to standardize the QC/QA process (e.g. automatically calculating several QC/QA measures such as percent data coverage, sample spacing, repeatability);

Tools for target analysis and management (e.g. extracting anomaly parameters such as size and signal-to-noise ratio);

Tools for survey planning and progress reporting;

A standard software platform for algorithm sharing.

The government has a need to maintain this capability for mission execution. Additionally, the government has purchased several software licenses for additional Oasis Montaj software modules, which provide additional tools that also support the MMRP, and which must be maintained yearly and are currently funded through multiple contract actions.

The period of performance including all options is 17 March 2017 – 16 March 2019 including the option period, if exercised.

Base Year – 20 March 2017 – 19 March 2018

Option Year – 20 March 2018 – 19 March 2019

4. Authority Cited. Authority is under 10 USC 2304 (c)(1) as implemented by paragraph 6.302-1(a)(2) of the Federal Acquisition Regulation (FAR), “Only one responsible source and no other supplies or services will satisfy agency requirements.”

5. Reason for Authority Cited. Geosoft, Inc. owns the data rights to the required software, they are the sole provider of subscription licenses, the source code is proprietary, and they are the sole developer and provider of training and maintenance (to include bug fixes and release testing). They are the only commercial source that can meet the requirements stated in Item 3 above. Only this software along with its training, maintenance, and support services will satisfy the current government needs and requirements.

The estimated value of the software and services for a period of one year is This estimate was based on previous contract rates and the subsequent escalation over the last ten years.

Maintenance of existing Oasis Montaj licenses within USACE are currently contracted as sole-source actions with Geosoft, Inc. If this sole-source award is not favorably considered, DoD will continue to contract for maintenance of currently held software licenses individually, incurring additional costs versus a single contract.

Additionally, if this sole-source award is not favorably considered, the UX-Process toolset will be unmaintained, and will cease to function correctly in future software releases. This would represent a significant loss of DoD funding, which has been used to customize the toolset, and would limit the ability of MMRP Geophysicists to provide the same level of data analysis and quality control/quality assurance.

Based on the aforementioned, it is in the best interest of the Government to issue a contract to

Geosoft, Inc. Upon approval of this J&A, a Request for Quote (RFQ) as a sole-source requirement will be issued to Geosoft, Inc. with a SOW describing the requirements.

6. Efforts to Obtain Competition. GeoSoft Inc. was contacted and confirmed there are no distributors authorized to provide the Oasis Montaj licenses and maintenance. No further actions were not taken to obtain competition because of the reasons cited in section 5 above. The project Delivery Team

(PDT) has determined that no other firms could meet the requirements.

7. Actions to Increase Competition. A synopsis was posted to the FebBizOpps web site on 3 - 18

December 2014, as well as 26 February 2015 thru 03 March 2016. No vendors wrote to express interest in this requirement.

Due to the timeframe of the last two Synopses being posted over a year ago, an additional Request for

Information (RFI) was posted to FedBizOpps from 21 - 23 February 2017. This posting received no vendor responses as well.

8. Market Research. The Government has determined that GeoSoft Inc. is the only vendor authorized to provide the Oasis Montaj software licenses and maintenance.

The customer received a Statement of Non-Availability (SoNA) from the Computer Hardware, Enterprise Software and Solutions (CHESS) office on 9 May 2017, as well as an IT Approval

System (ITAS) waiver (20161215111961013).

Geosoft, Inc. is a Canadian firm which own the data rights to the required software, they are the sole provider of subscription licenses, the source code is proprietary, and they are the sole developers and providers for training and maintenance (to include bug fixes and release testing).

GeoSoft Inc. is registered in the System for Award Management (SAM) as a large business (CAGE

3AS59).

9. Interested Sources. See section 7 above.

4) If a justification was prepared to support the procurement made before this one, a summary of the contents of paragraph 7 of the justification for that procurement and an explanation of the results: On two of the previous occasions a Synopsis was uploaded to

FedBizOpps through the Army Single Face to Industry (ASFI) website to increase competition and Geosoft, Inc. was the only respondent.

5) If any prior award was accomplished by full and open competition, a detailed explanation of the changed circumstances: Full and Open competition was not used previously.

6) An explanation of any unusual patterns which may be revealed by the history, e.g., several consecutive, urgent buys: No unusual patterns exist.

7) If a justification was prepared to support the procurement made before this one, briefly describe the circumstances justifying the buy and whether there have been any significant changes: The justification used to sole source on three previous occasions, was that

Geosoft, Inc. owns the data rights, the source code is proprietary, and they are the sole developers and providers of training, maintenance, and support services. There have been no significant changes.
