BASIS FOR AWARD

1. BASIS FOR AWARD

A. General.

(1) This solicitation is an unrestricted competitive acquisition using the Lowest Price Technically Acceptable (LPTA) source selection process for the award of a firm-fixed-price contract. Award will be made on the basis of the lowest evaluated price of proposals meeting or exceeding the acceptability standards for non-cost factors. This acquisition will utilize FAR Part 15 LPTA source selection procedures, leading to selection of the proposal representing the best value to the Government.

00 10 00-12 https://www.projnet.org/projnet/

(2) In the context of this proposal, the “Offeror” refers to the proposed prime contractor. A “major subcontractor” is defined as a subcontractor that the offeror proposes to perform 25% or more of the work required under the solicitation.

(3) The Government intends to make an award without discussions, but reserves the right to conduct discussions should discussions prove to be necessary or advantageous to the Government. Because the Government does not intend to hold discussions, Offerors are encouraged to include their best pricing in their initial proposal.

(4) All proposals received will stand alone and be considered complete and final. The evaluation board will not consider any information or data incorporated by reference or otherwise referred to. The successful Offeror will be selected solely on the basis of the evaluation factors set forth below.

Accordingly, proposals submitted in response to this solicitation should provide clear, complete, concise, and straightforward responses to the evaluation factors. Elaborate proposals, color brochures, and other excesses are discouraged.

(5) Joint Ventures (JV). A joint venture is defined as a legal business entity formed between two or more companies (parties) to undertake the performance activities of a contract together. This does not include other arrangements such as “teaming agreements” or “strategic alliances,” which are not recognized as bona fide joint ventures for the purposes of this solicitation. An Offeror that is a joint venture shall submit a copy of its legally binding joint venture agreement signed by an authorized officer from each of the firms comprising the joint venture with the chief executive of each entity identified. If submitting a proposal as a joint venture, the experience and past performance of each of the joint venture partners can be submitted for the joint venture entity. The experience for each joint venture partner will be considered the experience of the joint venture entity. Page and project form limits apply to the joint venture as a whole. Offerors that submit proposals may not change their firm (including Letters of Commitment (LOC) and proposed subcontractors) or their Joint Venture firms, if selected to submit Final Proposal Revisions (FPR).

(6) The Government recognizes that completion of a project is often a team effort. Thus, offerors are required to submit experience and past performance information for any major subcontractor proposed to be used to help demonstrate that the team they select to perform this project has a complete record of experience and past performance. Per FAR 15.305(a)(2)(iii). In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, the offeror may not be evaluated favorably or unfavorably on past performance.

B. Evaluation Ratings.

(1) The principal objective of the evaluation process is to make award of a contract to the responsible Offeror whose proposal is determined to be the “best value” to the Government, price and other factors considered. The Government will evaluate each proposal for acceptability in accordance with FAR 15.101- 2, Lowest Price Technically Acceptable Source Selection Process. Award will be made on the basis of the lowest evaluated price of proposals meeting the acceptability standards of non-cost factors. Tradeoffs are not permitted. The failure of a proposal to meet any of the acceptability standards for non-cost factors will result in a technically unacceptable rating and thus preclude award.

(2) The non-price, non-past performance factors will be rated as “Acceptable” or “Unacceptable” using the ratings in Table 1.

Table 1. Technical Acceptable/Unacceptable Ratings

Rating Description

Acceptable Proposal clearly meets the minimum requirements of the solicitation.

00 10 00-13

Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation.

(3) Past performance will be rated as “Acceptable” or “Unacceptable” using the ratings in Table 2.

Table 2. Past Performance Acceptable/Unacceptable Rating Method

Rating Description

Acceptable Based on the Offeror’s performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort, or the Offeror’s performance record is unknown. (See note below.)

Unacceptable Based on the Offeror’s performance record, the Government has no reasonable expectation that the Offeror will be able to successfully perform the required effort.

Note: In the case of an Offeror without a record of relevant past performance or for which information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the Offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

2. SUBMISSION OF PROPOSALS

A. Administrative Details and General Instructions. Proposals are due no later than the time and date specified in Block 13 of Standard Form 1442.

(1) General Proposal Format. Submit each copy of the proposal in tabbed, 3-ring binders with a “D” ring or locking closures.

Title Page. Each copy must include the Offeror’s name and address, phone number, email address, title of the solicitation, solicitation number, and date of submittal clearly identified on the front cover of the binder.

Table of Contents. Each binder of the proposal shall contain a detailed table of contents. The complete table of contents shall be included in each binder.

Printed Matter Submissions. Pages containing text shall be 8 ½ x 11 inches with at least one-inch margins at the top, bottom, and both sides. Paragraphs shall be separated by at least one blank line. A standard 11-point font in either Arial or Times New Roman fonts is required.

Organization charts or schedules. A folded 11” x 17” format may be used. Larger format drawings or tables may be added by folding them to fit within the binder.

All information must be confined to the appropriate volume. If the materials do not fit within a single volume, they should be separated in additional binders, but clearly identified as such. Each volume of the proposal is expected to contain a table of contents, summary section with a brief abstract of the volume, and the narrative discussion.

THE OFFEROR SHALL SUBMIT AN ELECTRONIC VERSION OF EACH PROPOSAL as one

(1) .pdf file. The electronic version shall be on a readable CD. Any discrepancies between the electronic and paper copies shall give precedence to the paper copy.

00 10 00-14

(2) Proposal Content Limitations.

The Offeror must confine the proposal to relevant information and documentation sufficient to provide an adequate basis for evaluation. Offerors are responsible for including sufficient details, in a concise manner, to permit a complete and accurate evaluation of the proposal.

The page count is at the discretion of the Offeror; however Volume I, Technical Proposal may not be more than thirty-five (35) pages total. The thirty-five (35) page limitation does NOT include past performance information submitted in Factor 2, Past Performance.

The evaluation panel for the Government will evaluate the non-price proposal factors on the basis of the information provided. Extraneous information provided in the proposals will not be considered in the evaluations; therefore, the Offeror should provide only information that satisfies the solicitation requirements. Merely restating the specifications without sufficient elaboration demonstrates a lack of understanding of the requirement.

DO NOT cross reference past performance information. It is acceptable to repeat data, project information, or experience in more than one non-price area as long as it satisfies the requirements of the factor.

Proprietary information must be clearly marked.

(3) English Language Requirement.

In order for a proposal to be considered, it MUST be prepared in ENGLISH.

B. Content of Proposals. All proposals must be prepared in two (2) volumes: a Technical Proposal (Volume I) and a Price Proposal (Volume II). Each of the volumes shall be separate and complete in itself so that evaluation of one may be accomplished independently from evaluation of the other. Offerors that fail to submit a complete proposal may be excluded and thus receive no further consideration for award.

The successful offeror will be selected solely on the basis of the evaluation factors set forth below. Accordingly, proposals submitted in response to this solicitation should provide clear, complete, concise, and straightforward responses to the evaluation factors. The awardee’s Technical Proposal will be incorporated into the awarded contract.

(1) Technical Proposal, Volume I: Provide one (1) original and three (3) copies, and one (1) .pdf file on a CD-ROM. Volume I shall consist of information for the three (3) factors listed in tabular form, as noted below. The Technical Proposal must not contain reference to price. The narrative and content structure of the proposal shall follow the format shown for Volume I below.

Volume I – Technical (Non-Price) Factors

Tab 1 – Factor 1: Experience

Tab 2 – Factor 2: Past Performance

Tab 3 – Factor 3: Schedule

(2) Price Proposal, Volume II: Provide one (1) original and one (1) .pdf file on a CD-ROM. Provide pricing and complete all line items on Standard Form 1442 (SF 1442). The Price Proposal must be prepared in accordance with the following and must include:

Tab 1 - SF1442, Solicitation, Offer, and Award.

00 10 00-15

The SF1442 shall be filled out completely by the Offeror and signed by an official that is authorized to bind the company. The Offeror shall also acknowledge all amendments to the solicitation in accordance with the instructions on the Standard Form 30 or Block 19 of SF1442.

The Offeror shall fully complete this section.

The Offeror shall complete all representations and certifications in Section 00600 and also ensure current registration and completed/updated Annual Representations and Certifications on the System for Award Management (SAM) website, www.sam.gov.

Tab 4 – Banking and Bonding Points of Contact.

The Government is required to determine a contractor’s responsibility. Accordingly, the Offeror shall provide contact information (company name, point of contact, address, email, and phone number) for the Offeror’s bank and bonding institutions.

Tab 5 - Bid/Offer Guarantee. The Bid Bond shall be at least 20% of the bid price, but shall not exceed $3 million. See FAR Clause 52.228-1 – Bid Guarantee.

Tab 6 - Subcontracting Plan (Large Businesses Only). Other than U.S. small business offerors (i.e., large businesses) must also submit a small business subcontracting plan meeting the requirements of FAR 52.219-9 and DFARS 252.219-7003 contained in Section 00700, Contract Clauses. In accordance with FAR 19.702, if any apparently successful Offeror fails to negotiate a subcontracting plan acceptable to the Contracting Officer within the time limit prescribed by the Contracting Officer, the Offeror will be ineligible for award.

Annual Subcontracting Report. Large businesses shall provide a completed subcontracting plan and most recent annual subcontracting report.

A model subcontracting plan is included as an attachment to this solicitation. For information on the evaluation of subcontracting plans, see Army Federal Acquisition Regulation Supplement (AFARS), Appendix DD.

The Offeror shall submit information for two (2) projects that best demonstrate the Offeror’s experience executing projects in the last ten (10) years that are similar in size, scope, and complexity to this project.

Information submitted for each project must include the information outlined in Offeror’s Experience Form, Attachment A.

To be evaluated, each project must be individually valued over $2,000,000 and have been completed or must be substantially complete within ten years of the date that proposals are due. Substantially complete is defined as being 75% complete by the date that proposals are due. If an Offeror submits a project that it represents is “substantially complete,” the Offeror must reasonably explain why the project is considered at least 75% complete. If an Offeror submits an ongoing project without providing an accompanying reasonable explanation that explains how the project is at least 75% complete, the Government reserves the right to reject the project.

Only two (2) projects will be evaluated. If an Offeror disregards these instructions and submits more than two projects, only the first two projects will be evaluated for meeting the requirements. Offerors should describe each project with enough detail to ensure that the Government can meaningfully assess whether the projects submitted meet the minimum evaluation criteria outlined below.

Instructions on the use of major subcontractors to demonstrate experience: Offerors may use the past experience of major subcontractors to demonstrate experience. If the Offeror submits experience of major subcontractors, the offeror must submit a letter of commitment from the subcontractor on the letterhead of the firm to be subcontracted. The letter of commitment must be signed by an authorized individual from the major subcontractor that is proposed to perform the work. If a letter of commitment is not submitted, the experience will not be considered.

Evaluation Method:

Experience will be rated on an “Acceptable” or “Unacceptable” basis:

Table 1. Technical Acceptable/Unacceptable Ratings Rating Description

Acceptable Proposal clearly meets the minimum requirements of the solicitation.

Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation.

Acceptable: To be determined “Acceptable,” the Offeror’s proposal must demonstrate that the Offeror has performed two projects meeting the following criteria.

00 10 00-17

Project 1 Completed or substantially completed within ten (10) years of the date that proposals are due;

Valued over $2,000,000; and Involved installation of at least two (2) 30,000kVA or larger generator step-up transformers at the same project site with the following attributes:

Installation of transformers;

Installation or modification of at least 15kV or greater iso-phase bus;

Connecting the transformers to power, control, and protection systems; and Testing and commissioning.

Project 2

• Completed or substantially completed within ten (10) years of the date that proposals are due;

• Valued over $2,000,000; and

• EITHER

Involved installation of at least two (2) 30,000kVA or larger generator step-up transformers at the same project site with the following attributes:

o Installation of transformers;

o Installation or modification of at least 15kV or greater iso-phase bus;

o Connecting the transformers to power, control, and protection systems; and o Testing and commissioning.

• OR

Involved the installation of at least two (2) 15kV switchgear or larger at the same project site with the following attributes o Installation or modification of at least 15kV or greater iso-phase bus;

o Connecting switchgear to power, control, and protection systems; and o Testing and commissioning.

Unacceptable: The Offeror’s experience fails to meet the minimum acceptability criteria outlined above.

FACTOR 2 (TAB 2) – Past Performance

Submission Requirements:

The Offeror shall provide past performance information for each project listed by the Offeror under Factor 1 – Experience:

• If a completed Contractor Performance Assessment Reporting System (CPARS) evaluation is available, the Offeror shall submit it with the proposal.

• If there is not a completed CPARS evaluation, the Offeror shall submit a Past Performance Questionnaire (PPQ) for the project. See Attachment B. Do not submit a PPQ when a completed CPARS is available.

o If the Offeror is unable to obtain a completed PPQ from a client for a project(s) before proposal closing date, the Offeror should complete and submit with the proposal the first page of the PPQ, which will provide contract and client information for the respective project(s).

o Offerors should follow up with clients/references to ensure timely submittal of questionnaires. If the client requests, questionnaires may be submitted directly to the Government's point of contact, Mr. Brandon M. Lasich, via email at Brandon.M.Lasich@usace.army.mil prior to proposal closing date. The offerors shall instruct the clients to refer to the solicitation number (W9127N17R0101) in the subject line.

00 10 00-18 mailto:Brandon.M.Lasich@usace.army.mil o PPQs are source selection materials. All successfully submitted PPQs will receive an email confirmation upon receipt. If the Offeror does not receive the confirmation, it is the Offeror’s responsibility to follow up to ensure the government has received the information.

Offerors shall not incorporate by reference into their proposal PPQs or CPARS previously submitted for other procurements. However, this does not preclude the Government from utilizing previously submitted past performance information in the past performance evaluation.

Offerors may provide explanation on problems encountered on past projects and the corrective actions taken by the offeror.

In addition to the above, the Government may review other sources of information for evaluating past performance. Other sources may include, but are not limited to, past performance information retrieved through the PPIRS, including Contractor Performance Assessment Reporting System (CPARS), using all CAGE/DUNS numbers of team members (partnership, joint venture, teaming arrangement, or parent company/subsidiary/affiliate) identified in the offeror’s proposal, inquiries of owner representative(s), FAPIIS, telephone interviews with organizations familiar with the offeror’s performance, Government personnel with personal knowledge of the offeror’s performance capability, and any other known sources not provided by the offeror.

While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror.

Evaluation Method:

The past performance evaluation results is an assessment of the offeror’s probability of successful performance of the solicitation requirements. This assessment is based on the offeror’s record of recent and relevant past performance of projects that pertain to the project outlined in the solicitation requirements.

There are three aspects to the past performance evaluation: recency, relevancy, and quality.

The first aspect is to evaluate the recency of the Offeror’s past performance projects. For this solicitation, recent projects are those projects completed or substantially completed (as defined above) within ten (10) years of the date that proposals are due.

The second aspect is to determine how relevant the Offeror’s past performance projects are to the solicitation requirements. For this solicitation, relevant projects are those that meet the other requirements for acceptability under Factor 1.

The third aspect of the past performance evaluation is to determine how well the contractor performed on its past performance projects. The Government will evaluate the offeror’s past performance to ensure previous work performance satisfactorily met the contract requirements, performance schedules, prescribed quality of work, safety requirements, and other customer expectations on these projects.

Based on a consideration of those three aspects, the Government will evaluate Factor 2 – Past Performance on an “Acceptable” or “Unacceptable” basis:

Table 2. Past Performance Acceptable/Unacceptable Rating Method

Rating Description

Acceptable Based on the Offeror’s performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort, or the Offeror’s performance record is unknown. (See note below.)

00 10 00-19

Unacceptable Based on the Offeror’s performance record, the Government has no reasonable expectation that the Offeror will be able to successfully perform the required effort.

Note: In the case of an Offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the Offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

FACTOR 3 (TAB 3) - Schedule

Submission Requirements:

Offerors shall submit a proposed project schedule to complete the work in accordance with the solicitation’s time constraints. The Offeror’s proposed schedule must be submitted in Gantt chart format using Microsoft Office Project format. Show task durations, including Government review times for submittals where applicable, start and finish milestones, and relationships.

At a minimum, the schedule shall include the following work activities, for each transformer (T8, T7, T3, T5, T6, T1, and removal of TA), consistent with the solicitation:

• All Critical Path Activities;

• Materials ordering and manufacturing, including isophase bus;

• Site Mobilization;

• Removal and Disposal/Relocation of existing transformers;

• Transformer Installation, Connection, Testing, and Commissioning; and

• As-builts, O&M Manuals, and Closeout.

Evaluation Method:

The Government will evaluate the Offeror’s schedule to assess the Offeror’s ability to execute the project within the time constraints established in the solicitation.

The Schedule will be rated on an “Acceptable” or “Unacceptable” basis:

Table 1. Technical Acceptable/Unacceptable Ratings Rating Description

Acceptable Proposal clearly meets the minimum requirements of the solicitation.

Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation.

Acceptable: To be determined “Acceptable,” the Offeror’s schedule must:

• Be in a Gantt chart format; and

• Include all work activities outlined in the submission requirements above. Additionally, work activities must:

o Include realistic durations;

o Be in a logical sequence; and o Be scheduled to be completed within the required timeframe described in the solicitation, to include the line outage period.

Unacceptable: The Offeror’s schedule fails to meet the minimum acceptability criteria outlined above.

Volume II – Price Proposal Evaluation Method:

00 10 00-20

Award will be made on the basis of the lowest evaluated price (sum of all CLINs) of proposals meeting or exceeding the acceptability standards for non-cost factors.

The Price Proposal will be evaluated to determine fairness and reasonableness. For evaluation purposes, the total evaluated price will be calculated by adding the total price for all optional items to the total price for the basic requirement. Evaluation of options will not obligate the Government to exercise the options.

The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced between line items or subline items. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly overstated or understated as indicated by the application of cost or price analysis techniques. A proposal may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.

52.215-1 INSTRUCTIONS TO OFFERORS--COMPETITIVE ACQUISITION (JAN 2017)

(a) Definitions. As used in this provision--

“Discussions” are negotiations that occur after establishment of the competitive range that may, at the Contracting Officer's discretion, result in the offeror being allowed to revise its proposal.

“In writing or written” means any worded or numbered expression which can be read, reproduced, and later communicated, and includes electronically transmitted and stored information.

“Proposal modification” is a change made to a proposal before the solicitation's closing date and time, or made in response to an amendment, or made to correct a mistake at any time before award.

“Proposal revision” is a change to a proposal made after the solicitation closing date, at the request of or as allowed by a Contracting Officer as the result of negotiations.

“Time”, if stated as a number of days, is calculated using calendar days, unless otherwise specified, and will include Saturdays, Sundays, and legal holidays. However, if the last day falls on a Saturday, Sunday, or legal holiday, then the period shall include the next working day.

(b) Amendments to solicitations. If this solicitation is amended, all terms and conditions that are not amended remain unchanged. Offerors shall acknowledge receipt of any amendment to this solicitation by the date and time specified in the amendment(s).

(c) Submission, modification, revision, and withdrawal of proposals. (1) Unless other methods (e.g., electronic commerce or facsimile) are permitted in the solicitation, proposals and modifications to proposals shall be submitted in paper media in sealed envelopes or packages (i) addressed to the office specified in the solicitation, and (ii) showing the time and date specified for receipt, the solicitation number, and the name and address of the offeror.

Offerors using commercial carriers should ensure that the proposal is marked on the outermost wrapper with the information in paragraphs (c)(1)(i) and (c)(1)(ii) of this provision.

(2) The first page of the proposal must show--

(i) The solicitation number;

(ii) The name, address, and telephone and facsimile numbers of the offeror (and electronic address if available);

(iii) A statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation and agreement to furnish any or all items upon which prices are offered at the price set opposite each item;

00 21 00-1

(iv) Names, titles, and telephone and facsimile numbers (and electronic addresses if available) of persons authorized to negotiate on the offeror's behalf with the Government in connection with this solicitation; and

(v) Name, title, and signature of person authorized to sign the proposal. Proposals signed by an agent shall be accompanied by evidence of that agent's authority, unless that evidence has been previously furnished to the issuing office.

(3) Submission, modification, or revision, of proposals.

(i) Offerors are responsible for submitting proposals, and any modifications, or revisions, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that proposal or revision is due.

(ii)(A) Any proposal, modification, or revision received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--

(1) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of proposals; or

(2) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or

(3) It is the only proposal received.

(B) However, a late modification of an otherwise successful proposal that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(iii) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the proposal wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.

(iv) If an emergency or unanticipated event interrupts normal Government processes so that proposals cannot be received at the office designated for receipt of proposals by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation, the time specified for receipt of proposals will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

(v) Proposals may be withdrawn by written notice received at any time before award. Oral proposals in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile proposals, proposals may be withdrawn via facsimile received at any time before award, subject to the conditions specified in the provision at 52.215-5, Facsimile Proposals. Proposals may be withdrawn in person by an offeror or an authorized representative, if the identity of the person requesting withdrawal is established and the person signs a receipt for the proposal before award.

(4) Unless otherwise specified in the solicitation, the offeror may propose to provide any item or combination of items.

(5) Offerors shall submit proposals in response to this solicitation in English, unless otherwise permitted by the solicitation, and in U.S. dollars, unless the provision at FAR 52.225-17, Evaluation of Foreign Currency Offers, is included in the solicitation.

00 21 00-2

(6) Offerors may submit modifications to their proposals at any time before the solicitation closing date and time, and may submit modifications in response to an amendment, or to correct a mistake at any time before award.

(7) Offerors may submit revised proposals only if requested or allowed by the Contracting Officer.

(8) Proposals may be withdrawn at any time before award. Withdrawals are effective upon receipt of notice by the Contracting Officer.

(d) Offer expiration date. Proposals in response to this solicitation will be valid for the number of days specified on the solicitation cover sheet (unless a different period is proposed by the offeror).

(e) Restriction on disclosure and use of data. Offerors that include in their proposals data that they do not want disclosed to the public for any purpose, or used by the Government except for evaluation purposes, shall--

(1) Mark the title page with the following legend: This proposal includes data that shall not be disclosed outside the Government and shall not be duplicated, used, or disclosed--in whole or in part--for any purpose other than to evaluate this proposal. If, however, a contract is awarded to this offeror as a result of--or in connection with-- the submission of this data, the Government shall have the right to duplicate, use, or disclose the data to the extent provided in the resulting contract. This restriction does not limit the Government's right to use information contained in this data if it is obtained from another source without restriction. The data subject to this restriction are contained in sheets [insert numbers or other identification of sheets]; and

(2) Mark each sheet of data it wishes to restrict with the following legend: Use or disclosure of data contained on this sheet is subject to the restriction on the title page of this proposal.

(f) Contract award.

(1) The Government intends to award a contract or contracts resulting from this solicitation to the responsible offeror(s) whose proposal(s) represents the best value after evaluation in accordance with the factors and subfactors in the solicitation.

(2) The Government may reject any or all proposals if such action is in the Government's interest.

(3) The Government may waive informalities and minor irregularities in proposals received.

(4) The Government intends to evaluate proposals and award a contract without discussions with offerors (except clarifications as described in FAR 15.306(a)). Therefore, the offeror's initial proposal should contain the offeror's best terms from a cost or price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary. If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals.

(5) The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit cost or prices offered, unless the offeror specifies otherwise in the proposal.

(6) The Government reserves the right to make multiple awards if, after considering the additional administrative costs, it is in the Government's best interest to do so.

(7) Exchanges with offerors after receipt of a proposal do not constitute a rejection or counteroffer by the Government.

(8) The Government may determine that a proposal is unacceptable if the prices proposed are materially unbalanced between line items or subline items.
