1 SCOPE OF WORK
1.1. General Information: Contractor shall provide all labor, materials, equipment, supplies, transportation and supervision necessary to perform all Water Quality Testing Services at Black Butte Lake, Tehama and Glenn Counties, CA. See Figure 1.
1.2 Work Locations: Services shall be performed at all developed recreation areas within the Black Butte Lake boundaries. The Contractor shall possess a vehicle in good working order to make trips between work locations and fulfill Performance Work Statement (PWS) requirements.
2. REQUIREMENTS
Contractor shall be knowledgeable and proficient in performing Water Quality testing services. The Contractor shall hold all licenses, certifications, and permits required by the State of California and register with both Glenn and Tehama County as required to perform water quality testing services at Black Butte Lake.
Contractor shall provide proof of all licenses, certifications, and permits to the COR before the commencement of services.
3. DEFINITIONS
3.1 Where "as shown", "as indicated", "as detailed", or words of similar meaning are used, it will be understood that reference is made to this PWS.
3.2 Where "as directed," "as required," "as permitted," "approval," "acceptance," or words of similar importance are used, it shall be understood that direction, requirement, permission, approval, or acceptance of the Contracting Officer is intended unless stated otherwise.
3.3 Contractor. The term Contractor as used herein refers to both the prime Contractor and any subcontractors or personnel. The prime Contractor shall ensure that his/her subcontractors comply with the PWS.
3.4 Contracting Officer’s Representative (COR). The Government employee appointed by the
Contracting Officer, with limited authorities specific to this contract.
3.5 Quality Assurance (QA). A method used by the Government to provide some measure of control over the quality of purchased services.
3.6 Quality Assurance Evaluator (QAE). The Government employee designated to evaluate the quality of services provided.
3.7 Contract Discrepancy Report (CDR). See Attachment A – Performance Work Requirements Summary.
4. CONTRACTOR’S QUALITY CONTROL PROGRAM
Contractor shall establish a complete Quality Control Program (QCP) for the performance requirements of this contract and shall provide a written copy to the Government no later than 30 days after contract award.
Contractor shall maintain the QCP throughout the contract performance period; and, at any time upon verbal or written request, shall provide a copy to the Government for review. The QCP shall include as a minimum the following:
4.1 A method of identifying deficiencies in the quality of services performed before the level of performance becomes unacceptable. Contractor shall use process control procedures and quality data analysis techniques.
4.2 Corrective action procedures for deficiencies and measures to prevent recurrence. The corrective actions shall address the deficiency and an action to prevent future deficiencies. Additional inspection(s) are not considered a corrective action. The QCP shall be evaluated for adequacy and changed or updated by Contractor as a part of all corrective actions taken by Contractor.
5. GOVERNMENT QUALITY ASSURANCE SURVEILLANCE PLAN (QASP)
This plan will be used by the Government to assure that the work specified under this contract is being completed satisfactorily by Contractor, and that a viable QCP is in place. This plan is included as an attachment to the PWS and contract. The QASP will consist of periodic inspections conducted by the COR or QAE.
Payment analysis will be conducted by using the random, planned, 100% sampling methods, or validated complaint. However, the Government has the right to change or modify inspection methods at its discretion.
Management Support Rating Criteria are included in Attachment E.
6. PERFORMANCE EVALUATION MEETINGS
Contractor shall meet with the COR as often as determined necessary by the Government. An effort will be made to resolve any and all problems identified.
7. PERFORMANCE CRITERIA
Acceptable and unacceptable contract performance will be determined by the COR in accordance with Attachment A – Performance Work Requirements Summary. When Contractor’s performance is considered to be unsatisfactory, a report will be made to the COR to determine the deduction in price to be taken. Contractor shall respond to any complaints and/or ratings of poor performance within 5 calendar days after receipt of the report. The COR will require Contractor to explain, in writing, the cause of the discrepancy, and corrective action to obtain an acceptable level(s), and corrective action to preclude a recurring incidence of the problem.
Contractor will not be paid for that portion of performance determined to be unsatisfactory by the COR.
8. REMEDIAL ACTIONS
8.1 The COR will verbally advise or give a written inspection report to Contractor of discrepancies the first time they occur and ask Contractor to correct the problem. A notation will be made on the COR checklist of the date and time the deficiency was discovered and the date and time Contractor was notified.
8.2 If the Government created any of the discrepancies, these will not be counted against Contractor’s performance. When the Government has caused Contractor to perform in an unsatisfactory manner, the COR will forward a written notice to the responsible organizational element requesting corrective action be taken.
8.3 When Contractor is not meeting the limits of satisfactory performance, a CDR will be issued to Contractor.
The seriousness of the failures should govern whether to issue a CDR at the end of the period, or as soon as the limits of satisfactory performance are exceeded.
8.4 When a CDR is issued for a service, the Contracting Officer must deduct from the periodic payment, a percentage of that payment as indicated in the Performance of Work Requirements Summary, Attachment A.
8.5 If the Contractor does not achieve satisfactory performance by the end of the next period or agreed suspense date, another CDR will be issued and the appropriate amount deducted from the periodic payment in accordance with the disincentive rate listed in the Performance of Work Requirements Summary, Attachment A.
8.6 A third CDR will be the cause for a Cure Notice. However, the Contracting Officer may issue a Cure Notice or Show Cause letter at any time he/she deems appropriate. Depending on the overall performance of Contractor, an unsatisfactory reply to the Cure Notice should require a Show Cause letter to be issued, followed by consideration of termination of the contract.
9. INVOICES AND PAYMENT
9.1 Estimated Quantity Line Items: All Section B Pricing Schedule Line Items with quantities are estimated-quantity Line Items. The quantities are estimated amounts and are not guaranteed amounts. Contractor shall only be paid for work actually performed. At no time shall Contractor exceed the estimated quantity on any estimated quantity Line Item. Contractor shall establish a tracking system of actual quantities against the contract’s estimated quantities for each estimated quantity Line Item and shall maintain the tracking system up to date throughout the life of the contract. When the actual quantity of any Line Item reaches 85% of the estimated quantity on any estimated quantity Line Item, the Contractor shall notify the Government’s Contract Specialist and the COR in writing by fax or e-mail within two calendar days. Once the Government is notified that the actual quantity has reached 85% of the estimated quantity on any Line Item and if the Government determines that the estimated quantity needs to be increased, Contractor shall receive an official modification to the contract action signed by the Contracting Officer increasing the quantity and the amount obligated on the contract before Contractor shall proceed to work over the existing estimated quantity. The modification will set the new estimated quantity that Contractor shall not exceed without another modification
9.2 Invoices for payments shall be submitted upon completion of tasks as outlined in Section B, Pricing

9.4 The COR will compare the Contractor’s performance to Industry Standards and will not exclude common sense considerations. If the performance in any required service is unsatisfactory, and poor performance is clearly the fault of the Contractor, monthly payments to Contractor will be reduced by the Contracting Officer based upon documentation provided by the COR as deemed appropriate per bid sheet. In the event of continued unsatisfactory performance with documentation of three (3) incidences where correction and time to cure has been given, the Contracting Officer may determine it is the best interest of the Government to terminate the contract.
9.5 Invoices shall be submitted monthly in arrears, after services have been provided, to the addresses specified below. Contractor shall deduct from invoice appropriately for deficiencies and/or no shows. The Contractor is responsible for providing an acceptable invoice to the Government for payment.
