The successful offeror will be required to submit this document upon award. The APP must be accepted by the Government Designated Authority prior to the preconstruction conference.

The contractor that receives this award will have 10 calendar days to provide an Accident Prevention Plan (APP). If this deadline is not met, the contractor will be given a cure notice stating that they will have 10 calendar days to acceptable APP, otherwise the contract may be terminated for default.

The Government intends to award to the contractor provided the lowest priced quote. The intent is to award without discussions.

This Solicitation contains options. As stated in the scope of work, the Government will award a Base Award with the option to award two (2) additional options. Pricing for each option shall remain valid and may be exercised/awarded by unilateral modification at time of award. The Government reserves the right to award a single option and/or a combination of options described herein. See Section 4.7 for the period of performance for the base work and any options exercised. Your quote should include the cost of acquiring payment protection separately for each option. Payment protection is needed for any amount in excess of $35,000 total. If the Base award amount is under $35,000.00 and the addition of option 1 puts the total over $35,000.00, the amount in line item 1001 should cover the cost of the base and option one. The additional options should only include the additional amounts needed for the new protection.

Section C - Descriptions and Specifications

STATEMENT OF WORK

SPECIFICATIONS

For Design, Installation, and Warranty of Grid-tied SOLAR PHOTOVOLTAIC ARRAY, Including Net Metering

U.S. Army Corps of Engineers Grayson Lake

Intake Structure Grayson, KY

1. GENERAL: The US Army Corps of Engineers (USACE) is requesting services to design, procure, install, test and warrant a grid-tied solar photovoltaic array (PV System) for the production of electrical energy to be consumed on USACE property at Grayson Lake, a US Army Corps of Engineers Field Operating Activity. Any additional energy produced shall be fed back to the power grid and recorder through net metering. Net metering arrangements, as a requirement of this contract, are specified in sections 2.4 and 4.1.

1.1 Notice – North American Board of Certified Energy Practitioners (NABCEP) Certified Professional Required:

All contractors must have on staff a NABCEP Certified Professional who verifies the data provided to USACE.

This verification should be an attached statement indicating the suitability of the data on all sheets to function correctly if installed as submitted. The NABCEP Certified Professional must remain on the contractor’s staff throughout the design, installation, performance testing, and training period.

1.2 Notice – Permits, Licenses, Codes and Evaluations: All contractors are hereby advised that they will be responsible for obtaining all permits from all applicable jurisdictions to implement a successful PV System structure(s), including any and all zoning permits, building codes, electrical codes, and NPDES stormwater associated with construction permits (if applicable). As part of obtaining permission from jurisdictions, a Professional Engineer seal, structural evaluations, geotechnical evaluations, and other evaluations may be necessary; codes at any level may reference ASCE 7. All PV System components in piece and in their assembled entirety must be designed and installed in accordance with the 2017 National Electric Code (NEC).

1.3 Notice – Existing Utility Service: The project is served by Grayson Rural Electric from three (3) 50kVA pole mounted transformers, totaling 150kVA, with a voltage of 480V, 3 phase, 3 wire ungrounded delta. The account number for the service is #60644001 and the billing address is:

Grayson Lake 50 Launch Ramp Road Grayson, KY 41143-7785.

The service disconnect is adjacent to the utility pole, which is located across KY State Route 7 from the project Intake Structure and consists of a heavy duty fused switch in a NEMA 3R enclosure mounted on a metal frame.

The contractor shall make the utility interconnection of the PV System inside this enclosure at the point of service.

1.4 Notice – Standby Generator on-site: All contractors are hereby advised that USACE at Grayson Lake has a standby generator for backup power. The designer must ensure that the PV system does not operate in parallel with the generator nor in any way affect its function as currently installed and operated. All contractors are highly encouraged to visit the site and review the current electrical installation prior to submitting a quote; see section 4.5 for information concerning scheduling a site visit.

1.5 Net Metering: The successful offeror shall provide USACE with all the technical information, equipment documentation, site drawings and all other pertinent drawings and documentation, to allow USACE to obtain a net metering interconnection with Grayson Rural Electric, the serving utility. This provision shall include the successful offeror completing in draft and submitting to USACE, a net metering interconnection application on the proper form required by Grayson Rural Electric, with all attachments, for USACE to utilize in completing application and any other instruments necessary to get the net metering application approved. Further, the contractor is to provide all information and paper work it has under its control or can obtain to assist the USACE in obtaining approval of the net metering application from Grayson Rural Electric. This provision also includes providing USACE any other documentation concerning the system that Grayson Rural Electric may subsequently need from the period from receiving the application from USACE through approval of interconnection and net metering.

2. TIMELINES: Execution shall be required to meet certain time constraints, as follows:

2.1 Design Timeline. The successful offeror shall submit a system design for USACE review within 25 calendar days of award to ensure the PV System and its implementation conforms to the specifications. The design shall follow the format required in the remainder of this specification, and must be accepted by USACE prior to the pre-construction meeting. Any conflicts identified by USACE that does not conform to our specifications or with industry standards (as minimum) will cause the design to be rejected, requiring the design to be re-submitted for approval without additional cost to USACE.

2.2 Installation Timeline. See FAR Clause 52.211-10.

2.3 Performance Testing Timeline. An additional period of 5 calendar days will be extended for performance testing, if necessary.

2.4 Net Metering Prior to and Concurrent with work. The contractor shall be required to provide any and all technical assistance, documentation and drawings necessary to assist USACE in obtaining a net metering interconnection with Grayson Rural Electric. The contractor shall be available during the approval process and for any follow-up issues for up to one year from the date of the approval agreement.

2.5 Operations/Maintenance Manual Timeline. By the date selected for Training (see Section 4.3), the Operations/Maintenance Manual of Section 4.2 must be complete and submitted for approval. Any deficiencies in the Manual as noted by the USACE shall be corrected at no cost to the USACE and the manual shall be re-submitted within 7 calendar days for approval without additional cost to USACE.

3. DESIGN AND CONSTRUCTION. The design shall meet all the provisions of these specifications [one exception is explained in this paragraph]. The contractor shall be responsible for providing, but not limited to, all expertise, analysis, design, procurement and provision of materials, construction and installation, electrical connectivity, provision of drawings and information, compliance with laws-regulations-codes, site recovery, performance testing, training, warranting, providing operations manual, providing net metering, and all other provisions for a fully functioning PV System as required by these specifications. Where industry standard practice is in excess of the specifications in this document, the industry practice shall prevail, should be built into the design, duly noted, and correspondingly quoted; where industry practice is not in excess of but are in conflict with any of the specifications written here, the USACE specifications shall prevail for design and quoting purposes, and must be resolved with USACE concurrence before any work is done.

3.1 Design Criteria. The design must incorporate a 480VAC, 3 phase, 3 wire, ungrounded delta PV System with a rated capacity of 30kW as defined in the Grayson Rural Electric Interconnection and Net Metering agreement. A specific area of USACE land is being set aside in which to site the array (see accompanying site plan drawing), therefore the designers are encouraged to visit the site, see section 4.5 for information concerning scheduling a site visit.

3.2 Plans, Diagrams and Information Sheets. All designs must be submitted in electronic format. As a minimum, designs shall incorporate 1) plan views, elevation views and, if necessary, isometric views showing location where all components are expected to be placed and/or housed; 2) a diagram showing all components and their interconnection; 3) a wiring diagram; and 4) catalog cut sheets shall be submitted for approval for each component including but not limited to conductors, conduit, fuses, combiner boxes, circuit breakers, interconnection splicing items, distribution panels, control systems, enclosures, inverters, mounting frame system, and PV panels, showing the brand, specification, and sizing as a minimum. Drawings shall be not less than 11”x17” and electronic submissions must be capable of being viewed in PDF format.

3.3 Industry Standard. The design and installation shall comply with typical industry standards, including all manufacturers’ requirements and USACE standards, whichever is most stringent.

3.5 Ground Mount System. The design must incorporate solar panels on ground mounts specifically designed by a manufacturer for use as ground mounting of solar panels. Ground mount columns and supports must be hot-dipped galvanized or aluminum. The ground mount system shall be anchored in concrete footings at each columns and sized as required by the manufacturer. The panels and mounts in their permanent anchored positions must be able to survive wind gusts to not less than 100 mph.

3.6 Utilities. All electrical conductors must be in conduit. Underground conductors shall be installed in schedule 40 rigid PVC, minimum size shall be 1.5”. All other conduit shall be rigid galvanized steel (RGS), minimum size shall be 0.75”. All energized parts must be within electrical boxes capable of being locked. The provision of external locks shall be performed by USACE, except when they are integral with the cabinet selected, in which the contractor shall supply not less than 2 sets of keys for each lock.

3.7 Electrical Equipment Location. All electrical equipment and enclosures shall be mounted on a free-standing metal frame adjacent to the north side of the PV panel mounting frame, and shall be hot-dipped galvanized, including all fasteners and hardware. All electrical enclosures must be water-tight under wind-driven rain conditions, equal to NEMA 3R.

3.8 Excavation and Roadway Crossings. The land and roadways in the area are owned by USACE, and the Contracting Officer shall make a final determination on the location of roadway cuts and conduit trenches. The contractor is encouraged to contact the Grayson Lake Manager for this information, as the trenches and roadway crossings may only be allowed in specific areas and may be 20 feet or more away from the lines shown on USACE drawings. Road crossings may only be made perpendicular to the roadway centerline, and all crossings shall be either saw cut (or otherwise precisely sliced) prior to excavation. Width of excavation at road crossings should be not greater than 24 inches. Backfill on road crossings shall be granular material, compacted in lifts not to exceed 6 inches per lift, up to the roadway surface. Asphalt placement will be completed by the USACE at a later date.

3.9 Electrical Work. All Direct Current (DC) and Alternating Current (AC) installation, generation, and distribution electrical work shall be accomplished by the contractor. The person(s) performing the work shall be a Qualified Electrical Person (per EM 385-1-1 and NFPA 70E). All equipment including solar panel(s) and inverter(s) shall be provided and installed by the contractor. The DC portion of the PV System, including the PV panel mounting frame, shall be grounded at all times for personnel safety per UL 2703 and any others that apply. The contractor shall ensure the system functions without problems from the solar panels to the USACE facility AND to the point of utility interconnection. Isolation of the utility from the solar equipment shall be as specified by Grayson Rural Electric and in accordance with the NEC.

The contractor shall take every precaution to work on electrical equipment while de-energized. De-energization of USACE facilities shall be coordinated at least 24 hours in advance with the Grayson Lake Manager resource by providing a schedule for concurrence by USACE. The contractor shall follow control of hazardous energy with lock out/tag out direction per EM 385-1-1.

If the contractor works on exposed, energized equipment they shall follow arc flash safety precautions listed in EM 385-1-1 and NFPA 70E. The PPE and hazardous work boundaries listed on all equipment arc flash labels shall be followed.

3.10 Lightning Arrestors. The system shall be designed with lightning strikes in mind. Strikes by lightning on any part of the solar array system MUST be arrested such that it cannot transfer to the USACE electrical system and/or the Grayson Rural Electric service; lightning striking the array and its components must not be the cause of damage to USACE equipment which is already in place. The PV System and its component shall be designed to sustain as little damage as possible from lightning strikes; the design must describe the method used for acceptance by

USACE.

3.11 Fencing. See section 3.15 OPTION 1: Installation of Fencing, but as a minimum the contractor shall inform the USACE as part of the Design the correct “set back distances” for a 72” high fence in the north, south, east, and westerly directions from the array such that the fence does not create a shadow on the PV panels, or otherwise block the direct sunlight.

3.12 Construction Spoil. The contractor will be provided a spoil area, within 100 yards of the work, for disposal of excess earthen excavation. Contractor shall not be expected to haul the material off-site, and the material will be stored by the USACE for use elsewhere.

3.13 Site Recovery. The contractor shall be required to provided site recovery, which shall include backfill of all trenches (road crossings further explained in section 3.8), smoothing all areas to match existing grade (allowing for drainage contours as necessary), and planting grass seed, finishing with straw. This provision includes the solar panel area, however see provisions of Section 3.16 for requirements under OPTION 2: Alternative Landscaping - Solar Panel Area.

3.14 “AS-BUILT” Drawings. At the completion of work, the contractor shall submit in electronic format the exact information as constructed in drawings marked “AS BUILT,” showing the location and arrangement of each piece of equipment, with details, and precise location of conduit and wire runs. The file shall be easily read in PDF format.

The file shall contain not only the drawings, but also the complete owner’s manual associated with each piece of equipment installed [Note: This entire Section

3.14 may be satisfied if included with the Operations/Maintenance Manual of Section 4.2, and submitted by time of Training in Section 4.3 below].

3.15 OPTION 1: Installation of Fencing. The contractor shall include as a separate price the cost of supplying and erecting a chain-link fence enclosing the solar panels and other new electrical equipment. The chain-link fences (including gates) must be constructed of a minimum of 6-foot material, excluding the top guard. Chain-link fences must be constructed with 9-gauge or heavier wire, be zinc coated, and have a mesh opening not larger than 2 inches per side, with twisted and barbed top selvages and knuckled bottom selvage. The wire must be taut and securely fastened to rigid metal posts set in concrete and must reach within 2 inches of hard ground or pavement. On soft ground, the wire must reach below the surface deep enough to compensate for shifting soil or sand, and proper erosion control measures should be considered. A top guard is an overhang of barbed wire along the top of a fence, facing outward and upward at about a 45-degree angle. Placing barbed wire above it can further enhance the top guard. Top-guard supporting arms shall be permanently affixed to the top of fence posts to increase the overall height of the fence by at least 1foot. (Due to liability issues in some locations, the top guards will not be allowed to face outward where the fence is adjacent to public areas.) Three strands of barbed wire spaced 6 inches apart should be installed on the supporting arms. The number of strands of wire may be increased when required. Any fence so submitted shall have a 12’ gate (sufficient to allow a maintenance vehicle to pass).

3.16 OPTION 2: Alternative Landscaping – Solar Panel Area. The contractor should include as a separate price the cost of placing landscape fabric topped with crushed #57 limestone to a depth of 3 inches completely within and around the solar panel mounts and out to the expected fence line to preclude mowing.

4. OTHER PROVISIONS.

4.1 Net Metering. The system shall be completely designed and equipment selected and procured which are capable of net metering and in accordance with the rules of Grayson Rural Electric. Any equipment which cannot be installed prior to USACE securing a completed Net Metering Interconnection agreement shall be packaged and stored in an indoor area provided by the USACE at Grayson Lake. The contractor shall complete the installation within 30 calendar days of an agreement between USACE and the local power company servicing the site. See Section 1.5 and Section 2.4 for additional details and requirements.

4.2 Operations/Maintenance Manual (O&M). The successful offeror must develop and present copies of a system wide O&M Manual to include a section on dangers (lethal and extreme hazards), and warnings (non-lethal less hazardous); a section on how to maintain to maximum efficiency all maintainable parts of the system; a section on user-replaceable parts (and the steps in their replacement); and a section on typical functions that are not problems at all, but idiosyncrasies of a PV System, which will limit service calls (often known as a Q&A section). Photographs must be incorporated in all sections to assist maintenance personnel. Two hard copies (8-1/2” x 11” bound or 3 ring binder; 11”X17” drawings folded down to fit this size) and three electronic versions (CD or DVD, capable of being read in PDF format). The manual needs to be in the English language only. At a minimum, the manual must address each major element of the system; the USACE reserves the right to have the contractor add information to the Operations/Maintenance Manual for any section it finds lacking. A commercial manual may meet these requirements, but likely will require additional individual efforts of the contractor (write-up, photos, instructions, warnings, care & maintenance, etc) to ensure that it matches the specific system provided. The manual should not include “typical” equipment (i.e., equipment brands that were not installed), which may otherwise confuse USACE maintenance personnel, but should show photos, diagrams and/or language pertaining for the exact equipment installed. The complete O&M shall be submitted for Government review and approval.

4.3 Training. The contractor shall perform a minimum 4-hour basic training class to the Grayson Lake Maintenance Staff on the subjects of the O&M manual described in Section 4.2 above. The contractor shall provide a schedule of possible times on 4 different days, all not later than 30 calendar days following completion of the installation of the system, and allow the Grayson Lake Manager to select one training date.

4.4 Warranty. A warranty period for the installation of the entire system; all equipment, mounts, housings, cabinets, connections, appurtenances, and all other devices, to include installation work, shall be warranted by the contractor for a period of not less than one year. Inverters selected shall carry an equipment warranty of not less than 10 years; photovoltaic modules selected shall carry an equipment warranty of not less than 25 years. The contractor shall ensure that the equipment is registered with the manufacturer with the USACE as owner; the warranty is in place, and shall provide the USACE with the original written copy of the warranty.

4.5 Site Visit. All interested parties are strongly encouraged to visit the Grayson Lake site prior to submitting a quote. See FAR Clause 52.236-27 for detailed information concerning the site visit.

4.6 Hours of Work. For installation and construction only (NOT site visits under section 4.5), hours of work may be from 0700-1900 hours (7 a.m. to 7 p.m. Eastern), Monday through Friday, except Federal Holidays. Federal Holidays are New Years Day, Martin Luther King Day, Presidents’ Day, Memorial Day, Independence Day, Labor Day, Columbus Day, Veterans Day, Thanksgiving, and Christmas. The contractor may store his equipment on site during evenings and weekends, but in no way does the USACE have and/or accept any responsibility for losses or damages to/for equipment, materials or supplied at any time. Normal USACE procedures of locked gates and buildings will be in effect, and access behind such locked gates/buildings will not be allowed outside of the hours of work.

4.7 Period of Performance. The contractor shall have fourteen (14) calendar days from receipt of Notice to Proceed (NTP) to start work. The contractor shall have sixty (60) calendar days from receipt of the notice to proceed to finish the work. For each Option exercised, the contractor shall have an additional five (5) calendar days to complete the work.

4.8 Exercising Options. The Government shall award the Base which consists of the Solar Array with the Option to award Option 1 for the installation of fencing and Option 2 for the alternative landscaping. Pricing for each option shall remain valid and will be awarded, if at all, at time of award. The Government reserves the right to award a single option or both options.

4.9 Pre-Construction Conference: The Contractor shall attend a pre-construction conference, prior to the initiation of work under this contract. The Contractors Accident Prevention Plan must be accepted prior to this meeting.

4.10 Wage Rates: In accordance with contract clause FAR 52.222‐6, Davis‐Bacon wage rates are applicable to this procurement and can be located at http://www.dol.gov/ . Applicable wage rates for this procurement are:

General Decision Number WV130049 dated 07/05/2013.

5. Contractor Safety Requirements:

A. General. Contractor shall comply with all Federal, State and Local safety requirements including those specified by the Occupational Safety and Health Act (OSHA) in 29 CRF 1910 General Industry Standard, 1926 Construction Standard and the U.S. Army Corps of Engineers Safety & Health Requirements Manual EM 385-1-1 as currently revised at date of solicitation. Where a conflict exists between safety standards/requirements the contractor shall comply with the more stringent requirement. If the Contractor fails or refuses to promptly comply with safety requirements as specified herein, any project employee may stop all or part of the work until satisfactory corrective action has been taken. No part of the time lost due to any such work stoppage shall be made subject to any claims for extension of time or for excess costs or damages sustained by the Contractor. Also, the Contractor will not be paid for work not performed as a result of the stop order.

B. Contractor Abbreviated Accident Prevention Plan (AAPP). The Contractor shall prepare a site-specific Abbreviated Accident Prevention Plan as outlined in EM 385-1-1, Appendix A beginning with subparagraph 3.k on page A-10. Contractor must address each element/sub-element in the order they appear in the outline. Any element the contractor feels is not applicable to work under this contract must be listed and a brief explanation provided. Plan must be accepted by the Contracting Officer prior to commencement of any work. Contractors are encouraged to contact the USACE Safety & Occupational Health Office for questions or information regarding the development of contract Accident Prevention Plans. (Attached for your information and use is CESO Checklist A-01. This checklist was developed to assist you in the development of a site-specific Abbreviated Accident Prevention Plan. This checklist is provided as a tool only.)

C. Contractor Risk Management Process. Contractor may use Job Safety Analyses (JSAs), Job Hazard Analyses (JHAs) or Activity Hazard Analysis (AHA) for the purpose of risk assessment. Before beginning each work activity Contractor performing that work activity shall prepare an initial assessment (AHA/JSA/JHA) listing each job step, anticipated hazards, site conditions, equipment, materials, personnel and control measures to be implemented. A Risk Assessment Code (RAC) shall be assigned to each step assessing the level of risk remaining after implementation of controls. Once this process is complete a RAC will be assigned to the activity as a whole (cannot be lower than the highest step RAC). Residual risk must be communicated to the proper authority for acceptance in order to proceed. It is the Contractor's responsibility to prepare the AHA/JSA/JHA. Analysis with RAC shall be accepted by the GDA and discussed with al engaged in the activity including Contractor, subcontractor(s), and on-site government representative prior to commencement of work. Names of Competent Person(s) and Qualified Person(s) required for a particular activity (e.g., excavation, scaffolding, fall protection, or other activities specified by OSHA and/or EM 385-1-1) shall be identified and included in the AHA/JSA/JHA and proof of their competency/qualification.

NOTES:

Work crews of two or more must have two people holding current qualifications in First Aid and CPR from the American Red Cross, American Heart Association or a licensed physician. Training must include a hands-on element and the contractor must maintain appropriate First Aid kit on site. Single individuals working alone must have current certification in First Aid as a minimum.

Contractor shall employee a minimum of one Competent Person at each worksite to function as the Site Safety and Health Officer (SSHO). The SSHO as a minimum must have completed the 30-hour OSHA Construction or General Industry Safety class or its equivalent as specified in EM 385-1-1 Section 01.A.17.b and have a minimum of 5 years safety experience relative to the work being completed. The SSHO must be on-site at all times work is being performed. (Note: SSHO qualification requirements may be waived at the discretion of the USACE District Safety & Occupational Health Office for extremely low risk operations.)

Crane operators, riggers and signal persons shall be trained, licensed and meet the physical and drug testing requirements specified in EM 385-1-1 Section 16.

All electrical work must be completed by a Qualified Person with verifiable credentials as specified in EM 385-1-1, Section 11.A.01.c. Electrical work will require contractor to submit a Control of Hazardous Energy Plan (LOTO) in accordance with EM 385-1-1, Section 12.

D. Accident/Mishap Reporting. The Contractor shall report all recordable mishaps to the GDA within 24-hours in accordance with EM 385-1-1 Section 01.D. Accidents shall be investigated to determine causal factors and corrective actions shall be implemented. Accidents resulting in: days away injuries, days away illnesses, restricted/transfer injuries, property damage of $5,000.00 or more shall be investigated and reported to the GDA using the USACE Accident Investigation Report Form ENG 3394 within 24 hours of the occurrence.

(1) Immediate notification to the GDA is required for all serious accidents:

a. Fatal Injury/illness;

b. Permanent totally disabling injury/illness;

c. Permanent partial disabling injury/illness;

d. One (1) or more persons hospitalized as inpatients as a result of a single occurrence;

e. $500,000 or greater accidental property damage;

f. Three (3) or more individuals become ill or have a medical condition suspected to be related to a site condition, or a hazardous or toxic agent on the site;

g. USACE aircraft destroyed or missing;

The Contractor shall maintain an OSHA Log of Work Related Injuries and Illnesses, OSHA Form 300 and comply with all accident reporting and recordkeeping requirements specified in 29 CFR 1904.39.

(2) In addition to the above, any mishap occurring in any of the following high hazard areas shall be reported immediately to the GDA, investigated and corrective actions implemented.

a. Electrical (includes Arc Flash, electrical shock, etc.);

b. Uncontrolled Release of Hazardous Energy (includes electrical and non-electrical);

c. Load Handling Equipment (LHE) or Rigging;

d. Fall-from-Height (any level or other than same surface);

e. Underwater Diving

5.1 Minimum Personal Protective Equipment: long pants, safety toe shoes/boots, and shirt with minimum 4 inch sleeve, hard hat, hearing protection and safety glasses.

6. CONTRACTOR SUBMITTALS

The successful offeror shall provide as a minimum the following documentation:

o Accident Prevention Plan-EM 385-1-1 Appendix A and APP (Accident Prevention Plan) o Activity Hazard Analysis o Invoice as stated on the contract award.

7. SECURITY REQUIREMENTS

All Contractors and subcontractor employee(s) working on this contract who require access in and/or around any

Huntington District facilities shall receive authorization to be on site at these facilities based upon a favorable background investigation in accordance with “Homeland Security Presidential Directive 12: Policy for a Common Identification Standard for Federal Employees and Contractors” (HSPD 12). The Huntington District Security Management Office shall submit contractor(s) personal information in order to complete the basic background investigation in order to make a recommendation to the Contracting Office of an employee’s suitability for work on Government property. The Procuring Contracting Officer (PCO) has the right to deny any contractor or subcontractor employee from working on the contract based upon the results provided by the Huntington District Security Management Office of the background investigation. The Government, Contractor, and subcontractors shall not permit any employee(s) access to drawings, blueprints, records, photos, sites, or projects until the Huntington District Security Management Office has completed an Operations Security (OPSEC) review of such items and determined they can be released.

Contractors shall submit a complete investigation packet for each contractor and subcontractor employee to the Huntington District Security Management office within 10 working days after award of any contract, or prior to the individual being permitted unescorted access in or on District facilities. The Contractor must also provide the following: (1) Name of the Contract Specialist with whom he/she is working, (2) Project Name, (3) Contract Number and (4) Task Order Number when applicable.

The documents listed below are required:

SF 85, Questionnaire for Non-Sensitive Positions (see http://www.opm.gov/forms/ to print form). FD 258, Contractor Fingerprint Card (one card for digital prints, two for ink prints) (NOTE: a trained/qualified individual must take prints, ORI block on the FD 258 must be USOPM000Z) (Contractor Fingerprint Cards (FD-258) may be obtained by Contracting Division by contacting the Huntington District Security Management office).

Contractor shall report any changes in personnel or at anytime conditions change at least 5 working days prior to individual(s) need to have access to the site. The Contractor shall provide the same information as listed above for all new employees.

Following submission of paperwork, the Security Management Office will conduct an initial criminal check based upon the information provided. If there are no issues, Security Management Office will make recommendations to the PCO or their Designated Representative. The Security Management Office cannot give approval due to unfavorable report(s). The Security Management Office shall coordinate with Office of Counsel and will jointly make recommendations to the PCO and/or the Designated Representative should a background investigation come back with derogatory information. The PCO will make the determination whether to allow the Contractor personnel to work on the site based on Security and Office of Counsel recommendations, and the PCO will advise Contractor of the decision.

FOREIGN NATIONALS

The Contractor shall provide the package listed above, as well as additional materials noted below for all Foreign Nationals. The Contractor is to expect additional time in the approval process for all Foreign Nationals due to the level of review and elevation of the review to Headquarters Staff to accomplish. All Foreign Nationals must comply with the following paragraph:

In accordance with Engineering Regulation 380-1-18, “Technology Transfer, Disclosure of Information and Contacts with Foreign Representatives” dated 1 August 1996, Section 4, all foreign nationals who work on Corps of Engineers’ contracts shall be approved by the Headquarters US Army Corps of Engineers (HQ USACE) Foreign Disclosure Officer before beginning work on this contract; this regulation includes subcontractor employees. The Contractor shall submit to the Security Management Office, the names of all foreign nationals proposed for performance under this contract, along with documentation to verify legal admittance into the United States. Such documentation shall include at least one of the following a U.S. passport, Certificate of U.S. Citizenship (INS Form N-560 or N-561), Certificate of Naturalization (INS Form N-550 or N-570), Alien Registration Card with photograph (INS Form I-151 or I-551), Employment Authorization Card (INS Form I-688A), etc.

In order to assure forms are properly completed, and to minimize time delays, Contractor is encouraged to work closely with the Security Management Office. Per AR 380-10, Foreign Disclosure, All Foreign National Visits must be submitted to the Security Office within 30 days prior to the visit. The Government will return for correction incomplete forms, illegible forms, etc. which will delay the contractor / subcontractor from beginning work.

Security requirements are subject to change in accordance with HSPD-12, Office of Personnel Management, regulation or policy changes, etc. The Government shall add any changes to security requirements by modification to the contract.

AT/OPSEC Requirements. The following shall be accomplished by the contractor before any work will be ordered:

1. Access and General Protection/Security Policy and Procedures. All Contractor and all associated sub‐ contractors employees shall comply with applicable installation, facility, and area commander installation/facility access and local security policies and procedures (provided by government representative). The contractor shall also provide all information required for background checks or background investigation and to meet installation/facility access requirements to be accomplished by installation Provost Marshal Office, Director of Emergency Services, or Security Office. Contractor workforce must comply with all personal identity verification requirements as directed by DOD, HQDA and/or local policy. In addition to the changes otherwise authorized by the changes clause of this contract, should the Force Protection Condition (FPCON) at any individual facility or installation change, the Government may require changes in contractor security matters or processes.

2. Suspicious Activity Reporting Training (e.g. iWATCH, CorpsWatch, or See Something, Say Something).

The contractor and all associated sub-contractors shall receive a brief/training (provided by the RA) on the local suspicious activity reporting program. This locally developed training will be used to inform employees of the types of behavior to watch for and instruct employees to report suspicious activity to the project manager, security representative or law enforcement entity. This training shall be completed within 30 calendar days of contract award and within 30 calendar days of new employees commencing performance with the results reported to the COR NLT 5 calendar days after the completion of the training.

3. Pre-screen candidates using E-Verify Program. The Contractor must pre-screen Candidates using the E-verify

Program (http://www.uscis.gov/e-verify) website to meet the established employment eligibility requirements. The Vendor must ensure that the Candidate has two valid forms of Government issued identification prior to enrollment to ensure the correct information is entered into the E-verify system. An initial list of verified/eligible Candidates must be provided to the COR no later than 3 business days after the initial contract award." *When contracts are with individuals, the individuals will be required to complete a Form I-9, Employment Eligibility Verification, with the designated Government representative. This Form will be provided to the Contracting Officer and shall become part of the official contract file.

UAI 5152.231-9000 Equipment Ownership and Operating Expense Schedule.

EQUIPMENT OWNERSHIP AND OPERATING EXPENSE SCHEDULE (MAR 1995)

(a) This clause does not apply to terminations. See UAI 5152.249-9000, Basis for Settlement of Proposals, and Federal Acquisition Regulation (FAR) part 49.

(b) Allowable costs for construction and marine plant and equipment in sound workable condition owned or controlled and furnished by a contractor or subcontractor at any tier shall be based on actual cost data for each piece of equipment or groups of similar serial and series for which the Government can determine both ownership and operating costs from the contractor's accounting records. When both ownership and operating costs cannot be determined for any piece of equipment or groups of similar serial or series equipment from the contractor's accounting records, costs for that equipment shall be based upon the applicable provisions of Engineer Pamphlet (EP) 1110-1-8, Construction Equipment Ownership and Operating Expense Schedule, Region II. Working conditions shall be considered to be average for determining equipment rates using the schedule unless specified otherwise by the contracting officer. For equipment not included in the schedule, rates for comparable pieces of equipment may be used or a rate may be developed using the formula provided in the schedule. For forward pricing, the schedule in effect at the time of negotiations shall apply.

For retroactive pricing, the schedule in effect at the time the work was performed shall apply.

(c) Equipment rental costs are allowable, subject to the provisions of FAR 31.105(d)(ii) and FAR 31.205-36. Rates for equipment rented from an organization under common control, lease-purchase arrangements, and sale-leaseback arrangements, will be determined using the schedule, except that actual rates will be used for equipment leased from an organization under common control that has an established practice of leasing the same or similar equipment to unaffiliated lessees.

(d) When actual equipment costs are proposed and the total amount of the pricing action exceeds the simplified acquisition threshold (SAT), the contracting officer shall request the contractor to submit either certified cost or pricing data, or partial/limited data, as appropriate. The data shall be submitted on Standard Form 1411, Contract Pricing Proposal Cover Sheet.

UAI 5152.236-9009 Partnering

PARTNERING (FEB 2000)

In order to most effectively accomplish this contract, the Government proposes to form a partnership with the Contractor to develop a cohesive building team. It is anticipated that this partnership would involve the Contractor, primary subcontractors and designers, and the Corps of Engineers. This partnership would strive to develop a cooperative management team drawing on the strengths of each team member in an effort to achieve a quality project within budget and on schedule. This partnership would be bilateral in membership and participation will be completely voluntary. Any cost associated with effectuating this partnership, excluding travel and lodging cost of Government personnel, will be borne by each party. The partnering meetings, if needed, shall be held informally during the period of performance at Paint Creek Lake, Bainbridge, OH; at the request of either the Contractor or the Government.
