Justification and Approval (J&A) for Other than Full and Open Competition
1. Contracting Activity: United States Army Intelligence and Security Command (INSCOM)
Acquisition Center, 8825 Beulah St., Fort Belvoir, VA 2206.
2. Description of Action: The purpose of this J&A is for approval to execute a Firm Fixed Price
(FFP) sole-source contract with CALNET, Inc. 12359 Sunrise Valley Dr Ste 270, Reston VA
20191-3494 to maintain Geospatial Intelligence (GEOINT) and Measurement and Signature
Intelligence (MASINT) support services for the INSCOM G-3 GEOINT/MASINT Branch.
Operation and Maintenance (O&M) funds will be utilized. The total estimated value for this sole source action is
Continued support will ensure no unacceptable delays in fulfilling the Government’s requirements while a new effort is competed under the Global Intelligence Support Services
(GISS) Indefinite Delivery Indefinite Quantity (IDIQ) multiple-award contract. The period of performance (POP) will be for one (1) 2-month base period from 29 February through 30 April
2016, with one (1) 2-month option period from 1 May 2016 through 30 June 2016, with the option extend services in accordance with FAR 52.217-8.
3. Description of Supplies/Services: Contractor support will provide the INSCOM G-3
GEOINT/MASINT Branch with the following support services at five (5) theater support brigades world-wide.
a. Provide expertise, research, advice, draft recommendations and prepare staff products as required for the Army and INSCOM GEOINT mission. Assist the Government in critical national level geospatial collection management for national systems in support of Army missions world-wide.
b. Conduct and coordinate initiatives and issues on multiple networks with all supported MSCs
Integrated GEOINT Divisions (IGD) for the Army GEOINT Office, HQ INSCOM and within the Intelligence Community (IC).
c. Perform multiple updates on milSuites-MI Space, Intellipedia, and Wiki (on three systems);
and INSCOM G3 GEOINT, and Army GEOINT Office (AGO) websites (NIPRNET, SIPRNET, JWICS).
d. Provide GEOINT trainers to perform GEOINT training to soldiers Army wide providing advance geospatial and measurement signatures (MASINT) training as part of the FOUNDRY program. Trainers conduct GEOINT and MASINT classes throughout the year preparing, researching and incorporating the latest GEOINT tactics, techniques and procedures into current training materials as required following National Geospatial-Intelligence Agency
(NGA) and Army standards.
e. Provide the primary GEOINT analyst support to the 500th MI Brigade’s Integrated GEOINT
Division in Hawaii which in turn supports USARPAC and PACOM GEOINT and MASINT production requirements. Assists the 500th Pacific Integrated GEOINT Division (IGD) to execute its GEOINT Mission Requirements in support of Theater, National, and Federation customers.
4. Authority Cited: The statutory authority permitting other than full and open competition is 10
U.S.C. 2304(c)(1) as implemented by FAR 6.302-2, Unusual and Compelling Urgency.
5. Reason for Authority Cited: This J&A is necessitated by the issuance of a directive from the
Assistant Secretary of the Army (Acquisition, Logistics, and Technology) (ASA(ALT)), Ms.
Heidi Shyu, terminating Head of the Contracting Activity (HCA) Delegation and transferring contracting authority from U.S. Army Intelligence and Security Command to Army Materiel
Command (AMC)/Army Contracting Command (ACC) – Warren effective January 27, 2016.
Prior to receipt of this unforeseen directive, a follow-on Task Order (TO) was competed under the Global Intelligence Support Services (GISS) suite of IDIQ contracts Unrestricted Pool (UP) and was projecting a timely award. Upon receipt of the ASA(ALT) directive, ACC-Warren directed immediate alignment to its policies with regard to contract reviews prior to contract award for those actions whose contract value exceeded $50M. The G3 GEOINT TO value exceeds the $50M threshold for ACC-Warren review and therefore required a higher level review and resulted in additional time needed to conduct these reviews. In addition, on February
22, 2016, the INSCOM Acquisition Center (IAC) received notice of a Pre Award Protest filed by
Sotera Technologies with the Government Accountability Office (GAO) under protest number
B-41774. GAO has levied an immediate Competition in Contract Act (CICA) stay and thus halts any further action from occurring as it relates to award of the G3 GEOINT TO.
This sole source contract will allow for the completion of review of the award documentation for the follow-on TO and the resolution of the GAO Pre-award Protest. Because of the confluence of these unusual and compelling events, the incumbent contractor is the only vendor capable of providing continued support under a sole-source contract until the competitive TO is awarded. A sole source contract for continued services is essential to maintain continuity of service and prevent unacceptable delays or a break in services in fulfilling agency requirements until the new contract is awarded.
a. Background
CALNET is the current contractor performing since the contract start date of September 2010.
Contract personnel are highly qualified and experienced GEOINT experts executing the duties of staff officers, training experts and GEOINT analysts. The expertise of these contractors is rare, not easily replaced and, if not sustained, would create gaps in services that would be detrimental to mission accomplishment without this extension.
It is not realistic to expect another contractor to perform the support services for the short-term/interim period of performance, at the same level of quality, and at a competitive price; nor is it in the best interest of the Government to compete the short term requirement when an existing contractor performing this work has the experience and existing resources to perform these services for this interim period. The incumbent contractor is part of a small population of subject matter experts whose absence in support of the GEOINT/MASINT mission would result in mission failure. The analysts supporting the Pacific area in the 500th MI Brigade, the trainers in the unique one of a kind GEOINT/MASINT training facility and the GEOINT/MASINT subject matter experts supporting the Army GEOINT Office provide detailed analysis, products, training and research critical to daily operations. It is in the Government’s best interest to continue to execute all parts of this support using the existing contractor for the interim period versus another contract vehicle to satisfy INSCOM’s requirements.
The
GEOINT/MASINT subject matter experts provide support to the 500th MI Brigade, Army
GEOINT Office (AGO) and the NGIC/Army GEOINT Battalion’s unique training facility support task order which was competed under GISS.
b. Impact
Failure to continue these services will result in mission failure at the GEOINT training facility where two CALNET contractors are the primary instructors.
The AGO’s
GEOINT/MASINT SMEs daily workload of research, products, updating and maintaining several webpages on several systems would cease and any further activity associated to these tasks would immediately halt.
CALNET’s employees are highly trained, highly skilled and experienced geospatial and MASINT experts who are a small population and not easily replaced. The AGO would not have the SMEs available to support the GEOINT/MASINT workload of INSCOM, Army and NGA. In addition, the GEOINT training facility provides GEOINT training and an additional skill identifier (ASI) to soldiers Army wide.
Government personnel are not staffed at manpower levels that could, without contractor support, maintain the same level of service as currently provided utilizing contractor personnel, and their absence would cause a severe degradation in support to INSCOM, Army G-
2, and NGA.
CALNET currently has highly qualified personnel performing critical tasks in support of the
Army and INSCOM GEOINT mission. They have been performing mission essential support tasks producing superb products, training and mission support which could not be replaced by hiring new personnel during the proposed current contract period.
6. Efforts to Obtain Competition: The proposed sole source contract will allow continuance of services until the award of a TO under GISS IDIQ. Prior to the directed transition of contracting authorities from the IAC to ACC-Warren, and the receipt of the GAO Pre Award Protest the new
TO was on track for award by 25 February 2016. Taking into consideration the unforeseen transition of contracting authorities and the GAO Pre Award Protest, the award of the new TO for G3 GEOINT support is anticipated to be awarded in March/April 2016.
7. Actions to Increase Competition: The purpose of this J&A is to allow a continuance of existing services in support of INSCOM GEOINT.
The solicitation for this requirement was released on 4 December 2015, with fair opportunity to all member of the GISS Unrestricted Pool. Proposals were due on 4 January 2016. Evaluation of proposals concluded on 15 January 2016. The new GISS TO was on schedule and meeting the established acquisition milestones to be awarded on 25 February 2016. The new TO will be awarded with one (1) 12-month base year and four (4) 12-month option years.
8. Market Research: The requirement’s primary cost is labor for the contractors with some funds set aside as Other Direct Costs (ODC) for travel. Labor rates used in the Independent
Government Cost Estimate were derived from the most recent period of performance for the current contract. Informal market research was conducted in May 2015. Pay scales reviewed were mostly for generic intelligence analysts and found to be comparable with or higher than the
FFP rate of this contract. The geospatial positions identified were also found to have higher pay rates than the current contract labor rates. An informal comparison to the market reveals that the proposed rates included in the task order for Option Year 4 ultimately provide a lower price than the open market rates found on Indeed.com (10.09% less than Indeed.com) and Simplyhired.com
(1.19% less than Simplyhired.com).
A total of twenty four (24) contractors, eleven (11) small businesses and thirteen (13) large businesses, have been awarded prime contracts under the GI IDIQ all of whom have the potential to address the overall requirement. The Government’s intent and subsequent solicitation recompeted the effort under the GISS contract. However, no prospective offeror has the existing file:///C:/Users/woodrumj/AppData/Local/Microsoft/Windows/Temporary%20Internet%20Files/Content.Outlook/I1KKK3WF/in experience to provide services that CALNET is currently performing, without the disruption caused by transition and learning curve delays that would be experienced with an award to another contractor. No other contractor can immediately assume this mission without unacceptable delays to the MI community.
9. Interested Sources: The market research and subsequent multiple awards made under GISS confirm competition among interested sources could be expected for the follow-on requirement.
Interested parties are the thirteen (13) contractors awarded in the Unrestricted Pool of the GISS
IDIQ.
This approved J&A shall also be posted to FedBizOpps to meet the stated posting requirements in FAR 6.305.
10. Other Facts:
Procurement History:
The current contract included a base year plus 4 option years, with a PoP beginning 1 September
2010 and ending 31 August 2015. The FAR Clause 52.217-8 – Option to Extend Services was exercised for 6-months from 1 September 2015 through 28 February 2016. INSCOM’s GEOINT mission is an enduring requirement which has utilized contractual support from the onset to assist the AGO to meet mission requirements. The current contract ending 28 February 2016 was preceded by a five year contract (base plus four option years) with Electronic Warfare
Associates/Information and Infrastructure Technologies, Inc. (EWA/IIT).
The current TO W911W4-10-D-0022-0001 for GEOINT support was awarded on 20 August
2010 with a POP of 1 September 2010 to 31 August 2011, with the FAR Clause 52.217-8 exercised from 1 September 2015 to 28 February 2016. The TO was awarded as a Firm-Fixed-
Price (FFP) contract under the OMNIBUS III Multiple Award IDIQ contract, with a base year of
12-months and four (4) 12-month option years, with the FAR Clause 52.217-8 exercised for the full six months. Total task order value is Fair opportunity was provided to all contract holders under OMNIBUS III Service Area 3. The entirety of the option years were exercised for this requirement. The FAR 52.217-8 Option to Extend Services was exercised for the entire 6-months. The sole source contract will allow for continuation of critical support services until the preaward protest is resolved and a new task order completes the ACC-Warren approval process and is awarded under the GISS multi-award IDIQ contract.
Unlike the current contract which supports AGO and the 500th MI Brigade, the new GISS task order is a larger consolidation of all INSCOM GEOINT capability combining the efforts of our 5
(five) theater support brigades and the AGO GEOINT mission into multiple locations at Fort
Gordon, GA, Fort Sam Houston, TX, Fort Shafter, HI, MacDill AFB, FL, and Fort Belvoir, VA.
This highly complex effort requires detailed coordination with the various units to affect an efficient transition and consolidation of INSCOM’s GEOINT production without a break in distributing time sensitive GEOINT and MASINT production requirements and associated training to the war fighter.
