This solicitation and resulting contract contains technical data whose export is restricted by the Arms Export Control Act (Title 22, U.S.C., Sec 2751, et. seq.) or the Export Administration Act of 1979, as amended, Title 50, U.S.C, App. 2401 et. seq. The contractor shall not release or authorize release of DoD specifications; acceptance test results; information involving critical military technology; or any other information in which the DoD maintains proprietary rights, or is otherwise confidential or classified. The contractor agrees that each employee working at Watervliet Arsenal will sign the “Contractor Personnel Agreement on Non-Disclosure of Watervliet Arsenal Technology below. Signatures must be received by the Contract Administrator before work may begin and any resultant delay won’t be considered an excusable delay to contract performance as defined in the contract clause “Default”. CONTRACTOR PERSONNEL AGREEMENT ON NON-DISCLOSURE

OF WATERVLIET ARSENAL TECHNOLOGY

1. The Undersigned, as an employee of _________________________ (Name of Firm) agrees to the following terms and conditions.

2. Any knowledge gained, as a result of my being permitted on Watervliet Arsenal’s premises, concerning cannon production technology (as defined below) or other technology on any defense item being manufactured or developed at Watervliet Arsenal, will not be released outside of _________________________ (Name of firm) and/or the United States of America (this prohibition includes, but is not limited to, the company’s domestic and foreign subsidiaries, affiliates, etc.), nor will such technology be used to manufacture or assist another in the manufacture of cannon (as described below) or other defense items being manufactured or developed at Watervliet Arsenal, without the written prior approval of Watervliet Arsenal.

3. Definitions:

a. CANNON: is defined as any and all components/parts of a complete assembly consisting of a tube, breech mechanism, tube attachments, muzzle appendages, firing mechanisms, and all integral components. It may also be a component of a weapons system of 40mm Bore or over such as tank guns, towed and self-propelled howitzers, naval guns, mortars and recoilless guns.

b. CANNON PRODUCTION TECHNOLOGY: is defined as the technical data package and manufacturing technology.

(1) TECHNICAL DATA PACKAGE: cannon engineering drawings, specifications and standards.

(2) MANUFACTURING TECHNOLOGY: technical knowledge, documentation, assistance and equipment and machines used an/or useful in the manufacturing of cannon.

(a) TECHNICAL KNOWLEDGE: the know how collected, trade secrets, production experience and special skills necessary for the production of cannon and the technical information and inventions necessary for the manufacture of cannon and relating to the manufacture of cannon.

(b) TECHNICAL DOCUMENTATION: manufacturing technical data comprised of drawings, specifications, schemes, composition, descriptions, methods of calculations, instructions and other information necessary for the manufacture of cannon.

(c) TECHNICAL ASSISTANCE: all assistance required to make practical and economical use of the technology required to manufacture cannon, such as delivery of documentation, training of personnel, instructions, consultations and acquainting of specialists with the most economical method of using this technology in the manufacture of cannon.

(d) EQUIPMENT AND MACHINES: production machines, machine accessories, apparatuses, spare parts and tooling used for cannon manufacture.

JOB SITE AVAILABILITY:

The work site will be available for performance during normal business hours:

Monday through Thursday Business Hours: 7:00 a.m. EST to 4:00 p.m. EST Friday Business Hours: Every other Friday from 7:00 a.m. EST to 3:00 p.m. EST Fridays will be staggered with every other Friday being a closed business day. The first Friday of 2015 to be closed is January 9, 2015.

Based on the above, service contractors should call contract/purchase order administrator in advance if service is scheduled for a Friday to determine if the Arsenal will be open for business.

When a federal holiday is normally observed on Friday, the Arsenal may be closed on the preceding Thursday. In this case, contact the contract/purchase order administrator in advance if scheduling service to determine if the Arsenal will be open for business.

Work at other than the above hours won’t be allowed unless the contractor makes an application at least 48 hours in advance and gets written contracting officer approval. No guarantee is made that the job site will be made available other than as stated above.

CONTROL OF FOREIGN VISITORS TO WATERVLIET ARSENAL:

Offerors are advised that any employee or representative of their company who is not a U.S. citizen, (or is representing a foreign company) and is a U.S. citizen), planning on visiting the Watervliet Arsenal for the purpose of attending: bid conferences, bid openings, site visits, engineering services, or any other visit related to this solicitation will be escorted at all times by an arsenal representative while on the installation grounds.

Therefore, offerors must notify the Contracting Officer in advance (a minimum of two [2] weeks) of any proposed visit by a non-U.S. citizen or U.S. citizen representing a foreign firm, to assure proper clearance for entry into the arsenal. Failure to comply, or disclose a foreign national visitor, may subject the Contractor to the penalties set forth in 18 U.S.C.A. Section 1001, Chapter 14.

Due to manpower constraints, Watervliet Arsenal is often unable to provide escort services during contract performance. Therefore, if the resulting contract requires performance on Watervliet Arsenal property, employees, individuals or subcontractors representing the successful offeror who are not U.S. citizens may not, depending on staffing levels and the availability of escorts, be allowed access to the Arsenal for purpose of contract performance.

Be further advised that the inability of the Arsenal to provide escorts resulting in denial of access to Watervliet Arsenal of the aforementioned personnel will not be considered an excusable delay to contract performance as defined in the contract clause “Default” contained in the contract. Therefore, offerors should consider the above contingencies during offer preparation.

CONTRACTOR IDENTIFICATION:

Contractor employees shall identify themselves as contractor personnel by introducing themselves or being introduced as contractor personnel and displaying distinguishing badges or other visible identification for meetings with Government personnel. In addition, contractor personnel shall appropriately identify themselves as contractor employees in telephone conversations and in formal and informal written correspondence, and when working in situations where their actions could be construed as official government acts. Section C - Descriptions and Specifications

52.0000-4020 ACCESS AND GENERAL PROTECTION/SECURITY POLICY AND PROCEDURES (MAR

2015) (ACC-WRN)

a. The contractor and all associated subcontractors’ employees shall comply with applicable installation, facility, and area commander installation and facility access and local security policies and procedures (provided by the Government representative). The contractor shall also provide all information required for background checks to meet installation access requirements to be accomplished by the installation Provost Marshal Office, Director of Emergency Services, or Security Office. The contractor workforce must comply with all personal identity verification requirements (FAR clause 52.204-9 “Personal Identity Verification of Contractor Personnel”) as directed by DoD, HQDA, and/or local policy. In addition to the changes otherwise authorized by the changes clause of this contract, should the Force Protection Condition (FPCON) at any individual facility or installation change, the Government may require changes in contractor security matters or processes.

b. For contractors requiring Common Access Card (CAC). Before CAC issuance, the contractor employee requires, at a minimum, a favorably adjudicated National Agency Check with Inquiries (NACI) or an equivalent or higher investigation in accordance with Army Directive 2014-05, The contractor employee will be issued a CAC only if duties involve one of the following: (1) Both physical access to a DoD facility and access, via logon, to DoD networks on-site or remotely; (2) Remote access, via logon, to a DoD network using DoD-approved remote access procedures; or (3) Physical access to multiple DoD facilities or multiple non-DoD federally controlled facilities on behalf of the DoD on a recurring basis for a period of six (6) months or more. At the discretion of the sponsoring activity, an initial CAC may be issued on a favorable review of the FBI fingerprint check and a successfully scheduled NACI at the Office of Personal Management (see clause 52.204-4959 “Trusted Associate Sponsorship System (TASS) Program” (Local ACC-WRN (WVA)).

c. For contractors that do not require CAC, but require access to a DoD facility or installation. Contractor and all associated sub-contractors employees shall comply with adjudication standards, and procedures using the National Crime Information Center Interstate Identification Index (NCIC-III) and Terrorist Screening Database (TSDB) (Army Directive 2014-05/AR 190-13), applicable installation, facility and area commander installation/facility access and local security policies and procedures (see “Watervliet Arsenal (WVA) Information For Contractors” incorporated by reference in ACC-WRN (WVA) notice 52.0000-4200, “Notice of Watervliet Arsenal Information/Requirements” and available at: http://www.wva.army.mil/Documents/Contracting/WAIC.pdf ) or at OCONUS locations, in accordance with Status of Forces Agreement and other theater regulations.

52.0000-4138 ANTITERRORISM (AT) LEVEL I TRAINING/IWATCH TRAINING (Scope of Work) (AUG

Contractor employees, including subcontractor employees, requiring access to Army installations, facilities, or controlled access areas shall complete AT Level I awareness training within 60 calendar days after contract start date or effective date of incorporation of this requirement into the contract, whichever applies. The contractor shall submit certificates of completion for each affected contractor employee and subcontractor employee to the Contracting Officer Representative (COR), or to the Contracting Officer, if a COR is not assigned, within 60 calendar days after completion of training by all employees and subcontractor personnel. 52.0000-4142 REQUIREMENT FOR AN OPSEC STANDING OPERATING PROCEDURE/PLAN (JAN 2014)

a. The contractor is subject to provisions of the TACOM LCMC OPSEC Standing Operating Procedures (SOP/Plan), per AR 530-1, Operations Security. This SOP/Plan specifies the government’s critical information, why it needs to be protected, where it is located, who is responsible for it, and how to protect it.

b. The contractor will receive a copy of the SOP/Plan at time of award. Local form STA Form 7114 (or similar) will be used to document and record security OPSEC reviews which are conducted by G2, TACOM LCMC or individual organizations supporting OPSEC Officers.

c. The contractor shall identify an individual who will be an OPSEC Coordinator. The contractor will ensure that this individual is OPSEC Level I.

52.0000-4143 CONTRACTS REQUIRING OPSEC TRAINING AT WATERVLIET ARSENAL (MAY 2015)

Per AR 530-1, Operations Security, new contractor employees must complete Level I OPSEC training within 30 calendar days of reporting for duty. All contractor employees must complete annual OPSEC awareness training.

52.0000-4959 Trusted Associate Sponsorship System (TASS) Program (Oct 2013) (ACC-Warren)

The contractor is responsible for processing applications for Common Access Cards (CAC) for every contractor employee who deploys with the military force, OR who has need to access any government computer network in accordance with FAR 52.204-9, “Personal Identity Verification of Contractor Personnel.”

The contractor is responsible for managing requests for new or renewal CAC cards in sufficient time to ensure that all contractor employees have them when needed to perform work under this contract. The norm is at least ten calendar days’ advance notice to the Trusted Agent* (TA), unless there are extenuating circumstances approved by the Contracting Officer’s Representative (COR) or Contracting Officer. *The COR will be the TA for this contract.

The contractor shall obtain an Army Knowledge Online (AKO) email address for each applicant, including subcontractors, who may be deployed or require logical access to a government computer network. This can be done by going to http://www.us.army.mil and register as an “Army Guest” with the sponsor being the COR. Note:

If a contractor employee loses the privilege to access AKO, they lose the ability to renew their CAC. Therefore it is critical that contractor employees maintain their AKO accounts.

It is recommended that a “Corporate Facility Security Officer (FSO) be established to serve as your firm’s single point of contact for TASS. If a FSO is not established, each contractor employee requiring a CAC card will be required to process their own applications.

CAC applications must be processed through the DoD’s TASS. The contractor’s FSO or contractor employee shall submit requests for a CAC via email to the TASS Trusted Agent (TA) at ______ before accessing the TASS website.

The government will establish a TASS application account for each CAC request and will provide each contractor employee a USER ID and Password via email to the FSO. The FSO or contractor employee shall access the TASS account and complete the CAC application (entering/editing contractor information as applicable) at https://www.dmdc.osd.mil/appj/cvs/index.jsp.

The FSO or contractor employee will submit completed applications in TASS, and will follow up to ensure that the TA is processing the request.

The government will inform the contractor’s applicant via email of one of the following:

- Approved*. Upon approval, the information is transferred to the Defense Enrollment Eligibility Reporting

System (DEERS) database and an email notification is sent to the contractor with instructions on obtaining their CAC. The contractor proceeds to a Real-Time Automated Personnel Identification System (RAPIDS) station (http://www.dmdc.osd.mil/rsl/owa/home provides RAPIDS locations).

- Rejected*. Government in separate correspondence will provide reason(s) for rejection.

- Returned. Additional information or correction to the application required by the contractor employee.

*The contractor will maintain records of all approved and rejected applications.

At the RAPIDS station, the RAPIDS Verification Officer will verify the contractor by SSN, and two forms of identification, one of which must be a picture ID. The Verification Officer will capture primary and alternate fingerprints and picture, and updates to DEERS and will then issue a CAC.

Issued CACs shall be for a period of performance not longer than three (3) years or the individual’s contract end date (inclusive of any options) whichever is earlier.

The contractor shall return issued CAC’s to the DEERS office upon return from deployment, departure or dismissal of each contractor employee. A receipt for each card must be obtained and provided to the TA/COR.

A CAC cannot be issued without evidence that a National Agency Check with Written Inquires (NACI) has at least been initiated by the FSO. TASS will be linked to the Joint Personnel Adjudication System (JPAS) in the near future. The TA will have to verify via JPAS that the NACI has been initiated by the FSO before he/she can approve a contractor request for a CAC.

SERVICE CONTRACT FOR THE REPLACEMENT OF A CHROME TANK LINER

M1A1 CO-PRODUCTION OF THE M256 CANNON AND GUN MOUNT

AT MILITARY FACILITY 100 (MF-100) CAIRO, EGYPT,

C.1 SCOPE/GENERAL REQUIREMENTS

Contractor shall replace one chrome tank liner located at MF-100, Cairo, Egypt. Estimate replacement to take one week.

C.2 TASKS

C.2.1 The contractor shall remove the damaged chrome tank liner, disconnecting all port connections. The contractor shall inspect the underlying tank for damage before the new installation.

C.2.2 The contractor shall insert the new liner into the steel tank. The contractor shall cut the necessary port connections into the liner and weld the port sleeves to the main liner and then install the sleeve into the port for final assembly. The contractor shall inspect for leaks prior to refilling the tank with the chromic acid solution.

C.2.3 The contractor shall also inspect all remaining tank liners to determine if failures may occur and provide an explanation of completed work to the COR.

C.2.4 Except for the PCO and COR, the contractor shall not accept any direction issued by any personnel employed by the US Government, Military Factory 100, or Government of Egypt.

The COR or PCO shall be consulted in case of conflict.

C.2.5 The particular days of the week worked by the contractor shall be adjusted to match Military Factory 100 policy and local customs, including observance of Egyptian national Holidays and Ramadan. Normal workweek at MF-100 is Sunday through Thursday, 8:00 AM to 3:00 PM. Authorization is required in advance to work outside the norm workweek.

C.2.6 Overtime is not authorized.

C.3 REQUIREMENTS

C.3.1 All tools and equipment, including personal safety, steel toed shoes and eye protection, needed to perform the calibration and repair required by this contract shall be furnished by the contractor.

C.3.2 Contractor must have inspection and repair experience for hazardous chemical tank liners.

C.3.3 Prior to travel, the contractor will get approval for travel dates with the Contracting Officer Representative (COR), Alan Burke, alan.l.burke.civ@mail.mil.

C.4 DELIVERABLES

C.4.1 At the conclusion of the technical visit, the contractor shall provide a status report within 30 days IAW CDRL A001. PURPOSE

This document facilitates the implementation of the Synchronized Predeployment and Operational Tracker (SPOT) as the federal government database for the tracking and accountability of contractor personnel and equipment during contingencies, by defining the SPOT procedures and policies (“who” does “what” and the “why”) for all Department of Defense (DoD) SPOT users. 1 This document provides an overview of the compliance requirements for SPOT, defines the roles, responsibilities and the business rules for using the system, and the requirements to input and update information within the system. This document does not provide a system overview, or instructions on how to operate within the system. These topics are contained in the applicable SPOT user manuals located within the SPOT Resource Center (https://spot.dmdc.mil/home.aspx). These SPOT business rules align with the SPOT 8.0 release.

VALUE OF SPOT

SPOT is the central authoritative repository for applicable DoD contracts, contractor personnel, and contract equipment as defined by the Congressional Acts and DoD regulations listed in the Compliance section below. SPOT delivers a standard and collaborative method for the management, tracking and visibility of contractor personnel and contracts in support of contingencies, humanitarian assistance, disaster recovery operations, and other military operations or military exercises, when designated by the Combatant Commander. It provides a centralized means to identify the Department’s reliance and dependence on contracted capabilities. Additionally, SPOT offers the fidelity and visibility of existing and previously contracted support, so that planners and others may consider current and historical data when developing future total force structure requirements as well as logistics and operational plans across all phases of operations.

In addition to providing the foundation for operational contract support planning, SPOT enables functional oversight and integration of all contracted capabilities by:

facilitating collaboration between diverse, geographically separated communities— requiring activities, theater and Joint Task Force (JTF) staffs, Contracting Officer Representatives (CORs), contracting offices, and contractor companies—in collecting and sharing information;

promoting synchronization and integration among whole of government partners; and providing awareness, visibility and accountability of individual contingency contractor personnel and contracted capabilities.

Historic SPOT records also provide a wealth of useful information that can be used for resolving or clarifying issues, locating and correlating individuals to contract information, providing points

of contact for routine actions and emergency situations, supporting audits and congressional inquiries, assessing past performance, and informing future requirements and sourcing decisions.

COMPLIANCE (REQUIREMENTS FOR SPOT)

Due to the increased awareness that operational contract support is a force multiplier in contingencies, Congress has passed legislation and the DoD has developed regulations, policies and directives, to ensure that all personnel supporting contingencies (from the Combatant Command (COCOM) inclusive to the company administrator personnel) enter and maintain proper data in SPOT. On 25 January of 2007, the Office of the Secretary of Defense designated SPOT as the central repository for information on Contractors Authorized to Accompany United States Forces (CAAF) in a memo titled, “Designation of SPOT as Central Repository for Information on the Contractors Deploying with the Force.”

Subsequently, the following legislation and DoD guidance has been issued:

Section 861 of the FY2008 National Defense Authorization Act: Required the DoD, Department of State (DOS), and United States Agency for International Development (USAID) to identify a common database to serve as a repository of information on contracts and contractor personnel in Iraq and Afghanistan. In July 2008, DoD, DOS, and USAID signed a Memorandum of Understanding (MOU), updated in Feb 2010, in which they agreed to use SPOT as the repository for information on all contracts valued over $100,000 and contractor personnel deployed for more than 30 days.

Section 862 of the FY2008 National Defense Authorization Act: Required the DoD and DOS to establish a process for registering, processing and accounting of personnel performing private security functions in an area of combat operations; authorizing and accounting for weapons to be carried by personnel performing private security functions in an area of combat operations; and a process for registering and identifying armored vehicles, helicopters and other military vehicles operated by contractors performing private security functions in an area of combat operations.

Office of the Under Secretary of Defense Memorandum, dated 28 Jan 08: Required that all contractors employed on DoD funded contracts being performed in support of contingency operations anywhere in the world be input to SPOT by 30 Sep 08.

DoD Instruction 3020.50, 22 Jul 09: Required that geographic Combatant Commanders publish guidance that contain procedures for the registration and identification in SPOT or its successor of armored vehicles, helicopters, and other vehicles operated by private security personnel.

Section 813 of the FY2010 National Defense Authorization Act: Revised the definitions of contracts in Iraq and Afghanistan to include Grants and Cooperative Agreements.

CJCSM 3150.13C, 10 Mar 10: Identified SPOT as the central repository for all DoD funded contractors (U.S., TCN, LN) data and identified it as the source of DoD funded contractor JPERSTAT- type information for a geographical combatant commander.

DoD Instruction 3020.41: dated20 Dec 11: Requires that in applicable contingency operations, contractor visibility and accountability shall be maintained through a common joint database, the Synchronized Predeployment and Operational Tracker (SPOT) or its successor. Additionally, it required that all required data must be entered into SPOT or its successor before a contractor employee is permitted to deploy to or enter a military theater of operations. Contracting officers, through the terms of the contracts, shall require contractors to enter by-name data before an employee’s deployment and to maintain and update the information in SPOT or its successor.

DFARS Clause 252.225-7040: Requires contractor companies to use SPOT to enter all applicable data on contracted personnel before deployment and maintain data for all contractor personnel that are authorized to accompany U.S. Armed Forces deployed outside the United States. It further requires contractor personnel to have a SPOT-generated Letter of Authorization (LOA) signed by the Contracting Officer in order to process through a deployment center or to travel to, from, or within the designated operational area. The LOA will identify any additional authorizations, privileges, or Government support that Contractor personnel are entitled to under this contract.

DFARS Class Deviation 2013-O0017: Allows contractors to request an extension of the SPOT deployment LOA for up to 30 calendar days past the contract end date for those contractor personnel in Afghanistan whose presence is required to execute an approved demobilization plan. This clause also requires contractors to close out their employee deployments with the proper status in SPOT within 72 hours of their employee’s re-deployment and, if applicable, release their personnel in SPOT.

DFARS Class Deviation 2015-O0009- Contractor Personnel performing in CENTCOM:

Provides guidance on the use of SPOT and clarifies the requirement that contractors use SPOT for all contract personnel authorized to accompany the force (CAAF) within the CENTCOM AOR. Class deviation also provides instructions on how to register and the requirements to register for SPOT.

CENTCOM Clause 952.225-0022: Requires contractors to input inbound cargo and equipment valued greater than $50,000 in SPOT.

SPOT ACTIVITY FLOW

Figure 1, illustrates the activity flows and the activity owners responsible for executing each SPOT activity. The activities are described in detail below (for ease of understanding, the activities are grouped under pre-deployment, deployment, and re-deployment corresponding to the SPOT system functionality).

PRE-DEPLOYMENT

The Theater/Joint Task Force (JTF) must identify any Theater Business Clearance requirements, OPERATION Names and authoritative base/site listings to the SPOT PMO and to the contracting community as soon as possible to ensure data integrity is as accurate as possible, as well as provide updates to that information throughout the contingency.

Furthermore, the Theater/JTF Commander must issue guidance on which authorized government services (AGS), including Organizational Clothing and Individual Equipment (OCIE), if any, will be issued or provided to contractors. If not already fielded, the Theater/JTF Commander will direct placement and use of the SPOT provided JAMMS terminals to appropriate choke points (such as DFACS, APODs, Billeting, MWR, etc.) for contractors to scan their Letters of Authorizations (LOAs).
